NOTE: This Return Goods Policy (RGP) shall only apply to the FSS Contract and procurements made thereunder. Applicable to eligible ordering activities under the FSS Contract, this RGP supersedes all other commercial Return Goods Policies expressed or implied by the contractor or its affiliates.
As the recognized contractor, Image Diagnostics, Inc. is the responsible party of this Return Goods
Policy (RGP). IMAGE DIAGNOSTICS, INC. is accountable for all matters concerning the RGP and shall serve as the sole point of contact to the government. It is not the government's responsibility to communicate with the contractor’s manufacturers or other third parties when seeking remedies of, or inquiries to this RGP.
Contact IMAGE DIAGNOSTICS, INC for all RGP matters at: 978-829-0009 during normal business hours: Monday through Friday, 8:00 a.m. through 5:00 p.m., Eastern Standard Time, excluding holidays, or by email at sales@imagediagnostics.com. Product returns will not be accepted unless accompanied by a Return Authorization number issued by IDI Customer Service.
If an order is delivered incorrectly due to the contractor’s error, or otherwise fails the government’s inspection and acceptance, the contractor shall pay all return freight costs and shall reimburse the government a full credit for the returned items. A full credit shall be issued at the complete invoiced price and no restocking fee shall apply.
Returns passing Inspection and Acceptance:
At the sole discretion of the government, products that are in an unused condition* may be returned up to 90 days after completion of the government’s inspection and acceptance. Returned goods that are received by the contractor in a new/unused condition within 90 days following completion of the government’s inspection and acceptance are subject to a restocking fee no greater than 5% of the invoiced price of the product(s). A restocking fee may be applied at the sole discretion of the contractor equal to or below the maximum restocking fee allowed (5%). It is the government ordering facility’s responsibility to pay all return freight costs when returning conforming products that have passed the government’s inspection and acceptance. The contractor will provide a prorated credit as the complete invoiced price, less the maximum allowable restocking fee, when applied. Returns for products in a new/unused condition may be accepted beyond 90 days after completion of the government’s inspection and acceptance at the sole discretion of the contractor. The maximum allowable restocking fee (5%) still applies.
* Performance of the government’s inspection and acceptance does not constitute “use” of the product.
The contractor shall reimburse the government within 10 days after receipt of any returned products allowed or accepted under the terms and conditions of this RGP. Returned products that do not comply with the terms and conditions of this return policy may not be accepted by the contractor.

Any replacement or exchange of products issued by the contractor under the FSS Contract shall be provided in a new and unused condition. Used or refurbished items shall not be provided by the contractor. All replacement and exchange products shall comply with FAR Clause 52.225-5 Trade
Agreements.

As the recognized contractor, Image Diagnostics, Inc is the responsible party (warrantor) of this warranty, to include any supplemental warranty terms that may be provided for other manufacturers’ products.
Image Diagnostics, Inc is accountable for all matters concerning the warranty and shall serve as sole the point of contact to the government. Components subject to frequent wear and tear and misuse are limited to 12 months parts warranty only, these parts include, but are not expressly limited to, table pads, casters, batteries, external video cabling, power cords and electrical cords for hand and/or foot controls.
Additional fees may apply for services outside of the Warranty Policy. Please contact Image Diagnostics for more information.
The government is responsible for all freight costs (outgoing and incoming) for warranty replacements or repairs.
Any replacement or exchange of products issued by the contractor under the FSS Contract shall be provided in a new and unused condition. Used or refurbished items shall not be provided by the contractor. All replacement and exchange products shall comply with FAR Clause 52.225-5 Trade Agreements.
This Warranty applies to the FSS Contract, and procurements made thereunder. Any conflicts to additional supplemental warranty terms that may be provided for other manufacturers’ products shall be superseded by the contractor’s warranty expressed above and FAR Clause 52.212-4, Paragraphs (o) & (p).

NOTE: This Installation Term shall only apply to the FSS Contract and procurements made thereunder.
Applicable to eligible ordering activities under the FSS Contract, this Installation Term supersedes all other commercial Installation Terms expressed or implied by the contractor or its affiliates.
As the recognized contractor, IMAGE DIAGNOSTICS, INC. is the responsible party of this Installation Term.
IMAGE DIAGNOSTICS, INC. is accountable for all matters concerning the Installation Term and shall serve as the sole point of contact to the Government. It is not the Government's responsibility to communicate with the contractor’s manufacturers or other third parties when seeking remedies of, or inquiries to this Installation Term.

Area of Coverage: Installation will be performed by IMAGE DIAGNOSTICS, INC. in all geographic areas that include FOB Destination under the awarded FOB Terms of the contract: 48 contiguous States and the District of Columbia. Installation Services may not be performed by the contractor in geographic areas that are not designated as FOB Destination within the contract’s awarded FOB Terms (i.e., “Overseas” or where “Origin” or “Point of Exportation” terms are awarded). Prior to ordering: The Government should contact the contractor for installation service availability if the place of performance is not located in a geographic area that includes FOB Destination under the awarded FOB Terms of this contract.
The awarded FSS Price is inclusive of installation for the following items:

Inspection and Acceptance: The contractor shall only tender for acceptance those items that conform to the requirements of this contract. The Government reserves the right to inspect or test any supplies or services that have been tendered for acceptance. The Government may require repair or replacement of nonconforming supplies or reperformance of nonconforming services at no increase in contract price. If repair/replacement or reperformance will not correct the defects or is not possible, the Government may seek an equitable price reduction or adequate consideration for acceptance of nonconforming supplies or services. The Government must exercise its post-acceptance rights—
(1) Within a reasonable time after the defect was discovered or should have been discovered; and

(2) Before any substantial change occurs in the condition of the item, unless the change is due to the defect in the item.
Installation services not performed on Government property: The Government ordering facility shall enter into a Business Associate Agreement (BAA) with the contractor if the installation service is not performed on Government owned or leased property. Installation services that are not performed on Government property are subject to additional terms and conditions that may be negotiated by the ordering facility and the contractor.
Installation Schedule: The contractor shall begin performance of the installation service no later than thirty (30) days After Receipt of Order (ARO), unless otherwise agreed to by the Government. All installation dates and times will be coordinated with the Government prior to performance of the installation service. The installation schedule will be mutually agreed upon by the contractor and the Government at least ten (10) days prior to the date of performance.
Site preparation and surveillance: The Government shall ensure that the installation site is made accessible to the contractor on the agreed upon dates and times of performance. IMAGE DIAGNOSTICS, INC. will be granted access limited to the space required to perform the installation service. As determined by the Government, the installation service will be performed under the surveillance of the Government.
Hazardous Waste and Materials: Hazardous waste and material include forms of chemical, biological, and radiological/nuclear materials that pose substantial or potential threats to public health. Examples include asbestos, black mold, and medical waste, but also include common household items such as batteries, paints, and solvents. It is the responsibility of the Government to have hazardous waste and material that is known to the Government to exist at the installation site removed or remediated prior to the contractor performing installation services in an area where the contractor may reasonably come into contact with such material. It is the contractor’s responsibility to remove and properly dispose of all hazardous waste or material brought onto or generated at the installation site by the contractor.
Environmental Controls: IMAGE DIAGNOSTICS, INC. is responsible for implementing environmental controls during the performance of the installation service, including but not limited to: sealing off installation site room, placing adhesive dust mats in doorways, applying plastic wall coverings, supplying HEPA filtration systems if required, disposing of and maintaining all materials brought onto or generated at the installation site by the contractor in accordance with applicable regulations (e.g., EPA, OSHA).
Security: IMAGE DIAGNOSTICS, INC. will comply with the security requirements of the Government facility required to gain entry and access onto the installation site. Contracted personnel may face criminal penalties for possessing weapons and other contraband when located on Government property.
In accordance with applicable laws and regulations, the contractor may be subject to security screening measures when located on, or when attempting to gain access to Government property, including but not limited to:
o Requirement to furnish photo identification and other credentials.
o Requirement to submit information pertaining to a criminal background investigation;

Damage to government property: The contractor is liable for any loss of or direct damage to property of the Government caused by the contractor during its performance of the installation service. The Government will relieve the contractor of its liability for loss of or damage to property of the Government resulting from defects or deficiencies from the installation services that occurs after the government’s inspection and acceptance.
Cleanup: Following completion of the installation service, the contractor is responsible for removing all debris, packing material, and excess scrap and supplies brought onto or generated at the installation site by the contractor. The Government may bill the contractor for the cost to dispose of any such items left behind at the installation site following completion of the installation service.
Used or refurbished items: All products installed by the contractor during performance of the installation service shall be provided in a new and unused condition. Used or refurbished items shall not be installed by the contractor. All products installed by the contractor shall comply with FAR Clause 52.225-5 Trade Agreements.

NOTE: This Training Term shall only apply to the FSS Contract and procurements made thereunder.
Applicable to eligible ordering activities under the FSS Contract, this Training Term supersedes all other commercial Training Terms expressed or implied by the contractor or its affiliates.
As the recognized contractor, IMAGE DIAGNOSTICS, INC. is the responsible party of this Training Term.
IMAGE DIAGNOSTICS, INC. is accountable for all matters concerning the Training Term and shall serve as the sole point of contact to the Government. It is not the Government's responsibility to communicate with the contractor’s manufacturers or other third parties when seeking remedies of, or inquiries to this Training Term.

Area of Coverage: Training will only be performed “onsite” at the government’s location. Training is not available “offsite” at the contractor’s location. Training will be performed by IMAGE DIAGNOSTICS, INC.
in all geographic areas that include FOB Destination under the awarded FOB Terms of the contract: 48 contiguous States and the District of Columbia. Training may not be performed by the contractor in geographic areas that are not designated as FOB Destination within the contract’s awarded FOB Terms (i.e., “Overseas” or where “Origin” or “Point of Exportation” terms are awarded). Prior to ordering: The Government should contact the contractor for Training availability if the place of performance is not located in a geographic area that includes FOB Destination under the awarded FOB Terms of this contract.

*Training is only offered for the above products. Additional training may be available outside the terms and conditions of the FSS Contract.
Training offered: The contractor’s training consists of the following:
• 2 days of onsite training for ilex 55 video integration system.
• The IDI Clinical Applications Specialist will coordinate with the facility Biomed team the unpacking, equipment set up, and installation.
• The IDI Clinical Applications Specialist will conduct and overview of basic equipment operation and clinical use with as many members of the facility staff that can be available within the designated timeframe of training.

Training Expenses: There are no additional expenses for the government when the contractor provides onsite training (at Government’s location.) All transportation, lodging, meals and incidentals for the contractor’s onsite training staff shall be the sole responsibility of the contractor. There are no additional fees for educational material and learning aides provided by the contractor during its performance of the training.
Training Schedule: The contractor shall begin performance of the Training no later than thirty (30) days After Receipt of Order (ARO), unless otherwise agreed to by the Government. All Training dates and times will be coordinated with the Government prior to performance of the Training. The Training schedule will be mutually agreed upon by the contractor and the Government at least ten (10) days prior to the date of performance.
PII/PHI Concerns: Training provided to “end user”: At the discretion of the Government Ordering Facility, the Government Ordering Facility shall enter into a Business Associate Agreement (BAA) with the contractor to safeguard patient or end user PII/ PHI during the contractor’s performance of the Training.
Security: IMAGE DIAGNOSTICS, INC. will comply with the security requirements of the Government facility required to gain entry and access onto the Training site. Contracted personnel may face criminal penalties for possessing weapons and other contraband when located on Government property.
In accordance with applicable laws and regulations, the contractor may be subject to security screening measures when located on, or when attempting to gain access to Government property, including but not limited to:
o Requirement to furnish photo identification and other credentials;
o Requirement to submit information pertaining to a criminal background investigation;
o Searches of the contractor’s property (including vehicles) and its persons.
