Client will, at its own cost, make all necessary and appropriate preparations for the installation of the Equipment and ensure that Client’s premises specified in the Quotation (the “Location”) meet all conditions specified in Attachment B including but not limited to Internet access for the Equipment (the “Installation Specifications”). Upon Client’s confirmation that the preparations have been completed, OD-OS will deliver the Equipment to the Location and will install the Equipment. Upon successful completion of the Tests, OD-OS will hand over the Equipment and transfer ownership and title to the System to Client (the “Equipment Acceptance”), subject to the security interest described in Section 15.9 below. Client will confirm delivery, functionality and operability of the Equipment by signing a certificate as attached hereto as Attachment C (the “Equipment Acceptance Certificate”).

OD-OS will train only those Trainees who meet all applicable regulatory requirements for the performance of retinal imaging (the “Imaging”) in the operation of the Equipment for Imaging.
OD-OS will train only those Trainees who also meet all applicable regulatory requirements for the performance of laser photocoagulation to treat ocular conditions (the “Treatment”) in the operation of the Equipment for both Imaging and Treatment.
OD-OS will issue a certificate (the “Training Certificate”) for every Trainee, who completes the Training (the “Authorized Operator(s)”); every Training Certificate will specify whether the Trainee was trained in the operation of the Equipment for Imaging only or for both Imaging and Treatment. On Client’s request, additional Training sessions will be held at OD-OS’s standard rates applicable at the time.

Client will make all arrangements for OD-OS’s installation of Software Updates and Upgrades as necessary and appropriate.

performance based on any claimed non-performance by OD- OS. Client shall not be entitled to set off any claims against OD- OS against payments due to OD-OS hereunder.
15.8 Late Payments. If payments due are not paid by Client within thirty (30) days of the date of invoice, OD-OS may, without prejudice to any other rights, withhold further services and claim interest at 8% (eight per cent) per annum from the date of the invoice.

17.1 Indemnification by OD-OS. OD-OS shall indemnify, defend
and hold Client harmless against any liability, damage, claim, cost or expense (including reasonable attorneys' fees), arising out of any third party claim brought against Client during the Warranty Period alleging that the Equipment, as supplied by OD-OS and used in accordance with the Agreement, directly infringes any United States copyright, trademark, patent, trade secret, or other United States intellectual property right of any third party (an “IP Infringement Claim”). OD-OS shall have no liability to the extent the alleged IP Infringement Claim arises from (i) alterations to the Equipment made by Client or any third party, (ii) use of the Equipment in combination with products not supplied by OD-OS, provided that the claim would not have arisen in the absence of such combination, or (iii) use of the Equipment in a manner for which it was neither designed nor contemplated, as evidenced by the Documentation and the Agreement.
17.2 OD-OS Options. In the event OD-OS becomes aware of an
IP Infringement Claim during the Warranty Period, or if OD-OS believes that an IP Infringement Claim may arise, OD-OS may, at its option (i) appropriately modify the Equipment or replace it with a non-infringing Equipment, so long as such modification or replacement does not materially alter the functionality of the Equipment; or (ii) obtain a license with respect to the applicable third party intellectual property rights. In the event neither of the foregoing alternatives is commercially practicable, OD-OS shall have the right to terminate the Agreement, in which case the Client may return the Equipment to OD-OS and OD-OS will reimburse Client the Purchase Price less a reasonable use fee for the time period between the delivery and the return of the Equipment based on a straight-line five (5) year depreciation period.
17.3 The obligations set forth in Sections 17.1 and 17.2 shall constitute OD-OS’s entire liability and Client’s sole remedy for any actual or alleged IP Infringement Claim.
18 Liability.
18.1 OD-OS’ Liability. OD-OS WILL NOT BE LIABLE FOR ANY
INDIRECT, SPECIAL, INCIDENTAL OR CONSEQUENTIAL
DAMAGES, WHETHER BASED ON CONTRACT, TORT, OR

TOTAL AGGREGATE AMOUNT OF U.S. $100,000.00.
18.2 Force Majeure. Neither Party will be liable to the other where its performance of the Agreement is affected in whole or in part by reason of any event, delay or other failure beyond its reasonable control. Such Party will give prompt notice to the other of such event and will use all commercially reasonable efforts to resume performance as soon as possible.
19 Assignment. This Agreement will be binding upon and inure to the benefit of the Parties hereto and their respective successors and assigns, provided, however, that neither Party will assign any of its rights, with the exception of claims for payment, or obligations (by operation of law or otherwise) hereunder without the prior written consent of the other Party, such consent not to be unreasonably withheld or delayed. Notwithstanding the foregoing, either Party may assign this Agreement to any of its affiliates or to a successor in interest (or its equivalent) of all or substantially all of its relevant assets, whether by sale, merger, or otherwise.
20 Severability. In the event that any provision in the Agreement or part thereof is held to be invalid, or unenforceable, the other provisions as well as the other part of the provision will remain valid and enforceable.
21 Waiver. Failure by either Party to enforce any provision of the Agreement will not be deemed a waiver of future enforcement of that or any other provision.
22 Notices. Unless explicitly stated differently in the Agreement, any notice required or permitted to be given by either Party under the Agreement will be in writing and delivered in person or sent by overnight courier, with notice of receipt, to the other Party at its address set forth on page 1 of the Agreement or such new address supplied to the other Party in accordance with this Section 22.
23 Entire Agreement. The terms and conditions of the Agreement including its Attachments constitute the entire agreement between the Parties and supersede all previous agreements and understandings, whether oral or written, regarding the subject matter hereof.
24 Modification. No alteration, amendment, waiver, cancellation or any other change in any term or condition of the Agreement will be valid or binding on either Party unless mutually agreed in writing by both Parties. Any and all supplementary agreements or modifications hereto must be made in writing. This also applies to any waiver of this requirement of written form.
25 Governing Law. This Agreement will be construed, interpreted, and the rights of the Parties determined in accordance with the laws of the State of California, without regard to its principles of conflict of laws. Jurisdiction and venue for any action brought hereunder shall exclusively be in the state and Federal courts in San Francisco California, and Client hereby waives any objection to such jurisdiction and venue.
26 Counterparts. The Agreement may be executed in counterparts each of which, when executed and delivered, shall be original, but all such counterparts shall constitute one and the same document. The Parties agree that facsimile or emailed scanned copies of signatures shall be deemed originals.
27 Remedies. Client agrees that OD-OS’ remedies at law for a breach or threatened breach of any of the provisions of Sections 4.1, 5.2, 9, 11 and 12 hereof would be inadequate and OD-OS would suffer irreparable damages as a result of such breach or threatened breach. In recognition of this fact, Client agrees that, in the event of such a breach or threatened breach, in addition to any remedies at law, OD-OS shall be entitled to relief in the form of specific performance, temporary restraining order, temporary or permanent injunction or any other equitable remedy which may then be available.
28 Survival. Upon termination of this Agreement for any reason, the provisions of Sections 5, 7, 9, 10, 11, 13, 15.9, 18, 21, 23 and 25 shall survive.
