B.2 SUBCONTRACTING COMMITMENTS--MONITORING AND

COMPLIANCE (JUN 2011)

This solicitation includes VAAR 852.215-70, Service-Disabled Veteran-Owned and Veteran-Owned Small Business Evaluation Factors, and VAAR 852.215-71, Evaluation Factor Commitments. Accordingly, any contract resulting from this solicitation will include these clauses. The contractor is advised in performing contract administration functions, the CO may use the services of a support contractor(s) to assist in assessing contractor compliance with the subcontracting commitments incorporated into the contract. To that end, the support contractor(s) may require access to the contractor's business records or other proprietary data to review such business records regarding contract compliance with this requirement. All support contractors conducting this review on behalf of VA will be required to sign an “Information Protection and Non-Disclosure and Disclosure of Conflicts of Interest Agreement” to ensure the contractor's business records or other proprietary data reviewed or obtained in the course of assisting the CO in assessing the contractor for compliance are protected to ensure information or data is not improperly disclosed or other impropriety occurs. Furthermore, if VA determines any services the support contractor(s) will perform in assessing compliance are advisory and assistance services as defined in FAR 2.101, Definitions, the support contractor(s) must also enter into an agreement with the contractor to protect proprietary information as required by FAR 9.505-4, obtaining access to proprietary information, paragraph (b). The contractor is required to cooperate fully and make available any records as may be required to enable the CO to assess the contractor compliance with the subcontracting commitments.

B.4 SPECIAL INSTRUCTIONS

SITE VISIT

The Contractor Site Visit will be held on 02/13/2018 10:00 AM PDT at VA San Diego Healthcare System. The intent of the on-site visit is to give all interested Contractors an opportunity to be fully cognizant with the VA San Diego Healthcare System and VA San Diego Oceanside Clinic facilities where the window washing services will be provided and the scope of work required. All Contractors shall RSVP for the site visit with Contract Specialist, Soledad De La Torre via email at Soledad.Delatorre@va.gov.

Note: Contractor shall be responsible for all cost and travel expenses associated with the on-site visit. Failure to conduct on-site inspection or walk-through of the participating VA facilities shall not release the Contractor from complying with the terms, conditions, specifications, and requirements of the resulting contract.

B.6 CONTRACTING OFFICER REPRESENTATIVE (COR):

No service shall be provided without the approval of the Contracting Officers Representative

(COR).

The Contractor shall not accept any instructions issued by any other person(s) other than the Contracting Officer or COR acting within the limits of his/her authority.

B.7 STATEMENT OF WORK

The Contractor shall furnish all necessary and appropriate labor, supervision, materials, equipment, and supplies to provide semi-annual (twice per year) interior and exterior window, skylight and surface cleaning for the VA San Diego Healthcare System (VASDHS) and VA San Diego Oceanside Clinic.

The Contractor shall be responsible for cleaning the following windows, skylights and surfaces cleaning as well as cleaning window ledges, west entrance, east entrance, MRI Building, Canteen, and Patio Skylights, patient dining rooms, patient dining room skylights, main building 1-6 floors, SCI building entrance, SCI Solarium between main building, SCI Skylights, SCI Building Exterior surface cleaning, 2nd floor smoking shelter, Main Building exterior surface cleaning, exterior mailto:lee.tanner@va.gov mailto:lee.tanner@va.gov mailto:Soledad.Delatorre@va.gov windows of the Admin Building #27. Estimated number of windows 2800 of various sizes throughout the Medical Center including the Admin Building located at the VA San Diego Healthcare System located at 3350 La Jolla Village Drive, San Diego, CA 92161 and for VA San Diego Oceanside Clinic located at 1300 Rancho del Oro Rd. Oceanside, Ca. 92056.

The Contractor shall be responsible for cleaning the following windows, skylights and surfaces:

Building 1- this is a six (6) story building, including atrium. There are no roof anchors on this building.

Exterior has no access or walkways; therefore, contractor will need to utilize a man-lift scissor to reach the exterior windows for this building.

Building 11- this is a two (2) story building. There are no roof anchors on this building. Exterior has no access or walkways; therefore, contractor will need to utilize a man-lift scissor to reach the exterior windows for this building.

Building 27- this is a three (3) story building. There are no roof anchors on this building. Exterior has no access or walkways; therefore, contractor will need to utilize a man-lift scissor to reach the exterior windows for this building.

Oceanside Clinic- this is a two (2) story building. There are no roof anchors on this building. Exterior has no access or walkways; therefore, contractor will need to utilize a man-lift scissor to reach the exterior windows for this building.

B.8 PERFORMANCE REQUIREMENTS

All cleaning tasks shall be accomplished to meet the standards listed below:

a) The Contractor shall remove all residual tar, gum, paint, waterproofing compounds, dirt and soil of other substances, which may be found. Screens and safety bars shall be removed for cleaning, replaced and securely fastened.

b) All Contractor material and equipment shall be removed from the facility or stored and secured properly at the end of the workday.

c) The Contractor shall use equipment for the purpose it was intended for and in accordance with all OSHA regulations and safety standards.

d) Contractor shall furnish Material Safety Data Sheets (MSDS) on all chemicals to the COR prior to commencement of work.

e) The Contractor shall place signs designating work areas to warn others of work in progress, as well as to protect persons, property and equipment.

f) The Contractor shall coordinate all work with the COR to prevent conflicts with the treatment of patients and the functioning of the facility.

g) The Contractor shall comply with all appropriate regulations and guidelines of the JCAHO, OSHA, and any other pertinent Federal, State, and local references.

h) Contractor shall conform to Cal-OSHA ruling, Article 5, §3286When using a

Controlled Descent Apparatus (CDA), for window cleaning applications, its design, use and maintenance.

B.9 SUPPLIES, EQUIPMENT AND TOOLS

The Contractor shall provide all cleaning materials, equipment, and supplies necessary to perform the cleaning services of this contract, except for those noted within this SOW. All cleaning materials and supplies shall be provided in their original containers with Material Safety Data Sheets (MSDS) immediately accessible to the user(s).

1. The Contractor shall provide environmentally preferable products (soap, chemical, etc.)

and is required to provide a MSDS for all potentially hazardous agents used within the facility to ensure the safety of the occupants and employees.

2. The equipment shall have bumpers and guards to prevent marking, scratching or marring of furniture, fixtures or building surfaces.

3. All Contractor electrical equipment shall be Underwriter’s Laboratory (UL) listed and maintained in a safe condition for the operator and bystanders. All equipment must operate using existing building circuits. Contractor shall not operate electrical equipment or combinations of electrical equipment, which require power exceeding the capacity of the site.

4. The Government shall follow (OSHA) 1910.66 and provide required information to the

Contractor at the pre-performance conference and on a required basis after that.

5. Keep inventory tools and equipment in sight and out of the hands of patients. Avoid conversation and do not give to or take anything from patients. If there is indication of any type of problem, call the COR and Nursing Staff on duty for assistance.

B.10 CONTRACT MANAGER

1. The Contractor shall designate, in writing, the name and telephone contact information for a Contract Manager, who shall be responsible to ensure all services required under this Contract are performed as specified.

2. The Contract Manager shall have a full authority to act on behalf of Contractor for all contract matters to include, but not limited to administrative, financial, and safety issues.

3. The Contract Manager shall meet with the COR prior to starting services.

B.11 CONTRACTOR PERSONNEL

1. The parties agree that the Contractor Personnel working under this contract shall not be considered VA employees for any purpose and shall be recognized as contracted employees only. All contractor personnel assigned to the performance of this contract shall wear a contractor provided uniform that clearly identifies the individual as a contractor.

2. Contractor shall assume full responsibility for the protection of its personnel furnishing services under this contract, such as providing Worker’s Compensation, professional liability insurance, health examination(s) and Social Security payments.

3. Contractor personnel shall be subject to all Federal rules and regulations relative to entering and leaving the building.

4. Smoking is not permitted within or around the VA Healthcare System facilities, except in designated areas.

5. Contractor personnel shall not disturb paper on desks, open desk drawers or cabinets, and they are not authorized to use Government telephones and equipment for personal reasons.

B.12 SECURITY BACKGROUND CHECKS

The Contractor at the time of award shall certify that their employees working under this contract have had Security Background Checks prior to working at the VA San Diego Healthcare Systems and VA Dan Diego Oceanside Clinic Facility.

B.13 CONTRACTOR SECURITY REQUIREMENTS

The Office of Security and Law Enforcement provides Department-wide policy on the assignment of appropriate position sensitivity designations associated with Department of Veterans Affairs (VA) positions involving national security and public trust responsibilities, and on the level of background investigations required for applicants for, and incumbents of, those positions.

The cost for such investigations shall be borne by the Contractor, either in advance or as reimbursement to the Government. The level of sensitivity shall be determined by the Government on the basis of the type of access required. The level of sensitivity will determine the depth of the investigation and the cost thereof. At this time, the current estimated costs for such investigations are as follows:

The Contractor shall be required to furnish all applicable employee information required to conduct the investigation, such as, but not limited to, the name, address, and social security number of the Contractor’s personnel. The VA will provide all the necessary instructions and guidance for submission of the documents required to conduct the background investigation.

Background investigations shall not be required for contract personnel assigned to Low Risk/Non-sensitive positions for 180 days or less under a single contract or series of contracts.

However, a Security Access Clearance (SAC) background screening will be required for appropriate preliminary checks IAW VA Directive 0710.

B.14 CONTRACTOR SUBMITTALS/INSURANCE REQUIREMENTS

Contractor shall be required to provide copies of the following:

The Contractor is required to comply with Federal and State Workers Compensation and liability insurance. Reference FAR clause 52.228-5-Insurance and Subpart 28.307-2-Liability. Within 15 days of contract award the Contractor shall furnish to the Contracting Officer certification from his/her insurance company indicating that the coverage has been obtained and that it may not be changed or cancelled without guaranteed thirty (30) day notice to the Contracting Officer. New certifications shall be furnished prior to the expiration date.

B.15 HAZMAT

VASDHS and Oceanside Clinic (HAZMAT personnel) may inventory all chemicals that the Contractor rings onto or any property under the control of VASDHS and Oceanside Clinic. Any products that meet the criteria of “Hazardous Waste” must be tracked until permanently removed from Government property. The inventory shall be performed prior to commencement of work.

Criteria for identifying hazardous waste, is contained in Subpart C of 40 CFR, Part 261.

Spill Response: The Contractor shall be briefed on VASDHS and Oceanside Clinic spill response procedures at the pre-performance conference. The Contractor is responsible to report and promptly cleanup all spills in a manner consistent with current environmental regulations, in the event that it is necessary to utilize Government material, equipment or personnel to clean up a Contractor caused spill, the Contractor shall be required to reimburse the Government for all associated costs.

Hazardous Material Handling: The Contractor shall have approval from the GEMS and Industrial Hygiene sections prior to purchasing, handling, using, and storing any chemicals, solvents, lubricants, and other products that require MSDS(s). The Contractor shall provide one copy of the MSDS(s) for each item to HAZMAT section for review prior to any chemicals being brought onto VASDHS and Oceanside Clinic. The Contractor shall maintain one copy of the MSDS(s) for each hazardous material line item used within the work center.

Toxic Chemicals: The Contractor shall not use products that are or contain Toxic 17 chemicals, Extremely Hazardous Substances (EHS), Ozone Depleting Substances (ODS), and/or Persistent Bio-accumulative and Toxic (PBT) chemicals. Any HM containing one of these banned substances shall not be allowed.

Disposal: Contractor shall be responsible for proper disposal of hazardous waste or materials.

B.16 WORK HOURS/HOLIDAYS

Normal Work Hours: VASDHS and Oceanside Clinic hours of operation are 0700 – 1600 hrs. The Contractor may find it necessary to deviate from the normal base hours of operation, to ensure timely completion of work under this PWS at no additional cost to the Government. The service schedule shall be developed between the Contractor and COR prior to any service being performed.

Government Holidays: Any overtime and/or holiday pay that may be entitled to the Contractor’s employees shall be the sole responsibility of the Contractor and shall not be billed to nor reimbursed by the Government.

Listed below are the ten national holidays:

When one of the holidays falls on Sunday, the following Monday shall be observed as a national holiday. When a holiday falls on a Saturday, the preceding Friday is observed as a national holiday by U.S. Government Agencies. Also, included would be any day specifically declared by the President of the United States of America as a National holiday.

B.17 CHANGES

Only those services specified herein are authorized. Before performing any service of a non-contract nature, the Contractor shall advise the Contracting Officer of the reasons for the additional work. Changes to the resulting contract are not authorized, unless in writing by the Contracting Officer.

SECTION C - CONTRACT CLAUSES

C.1 52.203-9 PROHIBITION ON CONTRACTING WITH ENTITIES THAT

REQUIRE CERTAIN INTERNAL CONFIDENTIALITY AGREEMENTS

(DEVIATION) (Jan 2017)

(a) Definitions. As used in this clause--

“Internal confidentiality agreement or statement” means a confidentiality agreement or any other written statement that the contractor requires any of its employees or subcontractors to sign regarding nondisclosure of contractor information, except that it does not include confidentiality agreements arising out of civil litigation or confidentiality agreements that contractor employees or subcontractors sign at the behest of a Federal agency.

“Subcontract” means any contract as defined in subpart 2.1 entered into by a subcontractor to furnish supplies or services for performance of a prime contract or a subcontract. It includes but is not limited to purchase orders, and changes and modifications to purchase orders.

“Subcontractor” means any supplier, distributor, vendor, or firm (including a consultant) that furnishes supplies or services to or for a prime contractor or another subcontractor.

(b) The Contractor shall not require its employees or subcontractors to sign or comply with internal confidentiality agreements or statements prohibiting or otherwise restricting such employees or subcontractors from lawfully reporting waste, fraud, or abuse related to the performance of a Government contract to a designated investigative or law enforcement representative of a Federal department or agency authorized to receive such information (e.g., agency Office of the Inspector General).

(c) The Contractor shall notify current employees and subcontractors that prohibitions and restrictions of any preexisting internal confidentiality agreements or statements covered by this clause, to the extent that such prohibitions and restrictions are inconsistent with the prohibitions of this clause, are no longer in effect.

(d) The prohibition in paragraph (b) of this clause does not contravene requirements applicable to Standard Form 312 (Classified Information Nondisclosure Agreement), Form 4414 (Sensitive Compartmented Information Nondisclosure Agreement), or any other form issued by a Federal department or agency governing the nondisclosure of classified information.

(e) In accordance with section 743 of Division E, Title VII, of the Consolidated and Further Continuing Appropriations Act, 2015, (Pub. L. 113-235), and its successor provisions in subsequent appropriations acts (and as extended in continuing resolutions) use of funds appropriated (or otherwise made available) is prohibited, if the Government determines that the Contractor is not in compliance with the provisions of this clause.

(f) The Contractor shall include the substance of this clause, including this paragraph (f), in subcontracts under such contracts.

(d) Comptroller General Examination of Record. (1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement.

Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

C.2 52.217-8 OPTION TO EXTEND SERVICES (NOV 1999)

The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 3 days.

C.4 52.217-9 OPTION TO EXTEND THE TERM OF THE CONTRACT (MAR

2000)

(a) The Government may extend the term of this contract by written notice to the Contractor within 1 day; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 days before the contract expires. The preliminary notice does not commit the Government to an extension.

(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.

(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed five (5) years.

(a) Definition. For the Department of Veterans Affairs, “Service-disabled veteran-owned small business concern or SDVSOB”:

(1) Offers are solicited only from verified service-disabled veteran-owned small business concerns. Offers received from concerns that are not verified service-disabled veteran-owned small business concerns shall not be considered.

(2) Any award resulting from this solicitation shall be made to a verified service-disabled veteran-owned small business concern.

(c) Agreement. A service-disabled veteran-owned small business concern agrees that in the performance of the contract, the concern will comply with the limitation on subcontracting requirements in 13 CFR §125.6.

(d) A joint venture may be considered a service-disabled veteran owned small business concern if the joint venture complies with the requirements in 13 CFR 125.15, provided that any reference therein to SDVO SBC is to be construed to apply to a VA verified SDVOSB as appropriate.

(e) Any service-disabled veteran-owned small business concern (non-manufacturer) must meet the requirements in FAR 19.102(f) of the Federal Acquisition Regulation to receive a benefit under this program.

C.5 VAAR 852.203-70 COMMERCIAL ADVERTISING (JAN 2008)

The bidder or offeror agrees that if a contract is awarded to him/her, as a result of this solicitation, he/she will not advertise the award of the contract in his/her commercial advertising in such a manner as to state or imply that the Department of Veterans Affairs endorses a product, project or commercial line of endeavor.

C.6 VAAR 852.232-72 ELECTRONIC SUBMISSION OF PAYMENT REQUESTS

(a) Definitions. As used in this clause—

(1) Contract financing payment has the meaning given in FAR 32.001.

(2) Designated agency office has the meaning given in 5 CFR 1315.2(m).

(3) Electronic form means an automated system transmitting information electronically according to the

Accepted electronic data transmission methods and formats identified in paragraph (c) of this clause. Facsimile, email, and scanned documents are not acceptable electronic forms for submission of payment requests.

(4) Invoice payment has the meaning given in FAR 32.001.

(5) Payment request means any request for contract financing payment or invoice payment submitted by the contractor under this contract.

(b) Electronic payment requests. Except as provided in paragraph (e) of this clause, the contractor shall submit payment requests in electronic form. Purchases paid with a Government-wide commercial purchase card are considered to be an electronic transaction for purposes of this rule, and therefore no additional electronic invoice submission is required.

(c) Data transmission. A contractor must ensure that the data transmission method and format are through one of the following:
