It is the intent of the Government to award a Firm-Fixed Price contract for repair and maintenance services for Government-owned Stryker Endoscopes and Video equipment. The services shall be performed at VA Loma Linda Healthcare System, 11201 Benton St., Loma Linda, CA 92357. The

2. STATEMENT OF WORK:
The full service contract shall cover all repairs, exchanges, and maintenance services of each unit, plus needed repairs during the term of the contract as required by the original equipment manufacturer (OEM), excluding misuse or abuse of the equipment.
The equipment shall remain in good working condition as required by the OEM. All services performed shall be provided by Stryker certified trained personnel. All preventative, maintenance, and repair services shall be performed in accordance with original manufacturer’s specifications/service manual.
Replacement parts will be furnished on an exchange basis at contractor’s expense. All parts shall be new or reconditioned as authorized by the OEM.
3. PREVENTIVE MAINTENANCE (PM) AND INTERVENING SERVICES:
PM and Intervening services shall include, but not limited to the following:
a. All labor, parts, equipment, and travel are all inclusive for scheduled and unscheduled services.
b. Setting up any Stryker Products purchased by the VALLHS identified in the above list.
c. Annual preventative maintenance in accordance with OEM specifications and service manual.
d. Scheduled services to perform OEM’s Periodic Manufacturer’s Certification by Stryker trained and certified technician.
e. Use of OEM parts only.
f. Unlimited on-site repair services.
g. Diagnostics checks.
h. Loaner Equipment as required.
i. Train the VALLHS personnel and surgeons on how to use any Stryker products purchased by the VALLHS.
4. TEST EQUIPMENT:
The VA shall not furnish parts and/or test equipment for the performance of this contract. It is the responsibility of the contractor to bring the appropriate equipment and/or supplies necessary to complete the work as required within the SOW.
5. REMOVAL OF EQUIPMENT:
Government property shall not be removed from the station without a signed property pass. This property pass may be obtained, after the removal is authorized by the Contracting officer or
Contracting Officer’s representative (COR). If sensitive data is stored on the device, the Privacy
Officer must be involved and should approve the process of removing equipment from the government site. Equipment shall not be removed by the contractor from the government site for minor repairs. The contractor assumes full responsibility for the equipment while it is off-site or in transit.
6. RECONDITIONING:
Reconditioning and/or extensive repair work determined by the Contracting Officer not to be economically feasible is not included in the contract and the Government reserves the right to obtain such service from other than the listed Contractor.
7. PERFORMANCE:
Contractor will respond to service calls within 24 hours and be on site for repair within 72 hours after receipt of telephone, written or verbal notification. All work is to be performed by competent personnel, experienced and qualified to work on the specific equipment. All work performed shall be accomplished in accordance with manufacturer’s instructions. PMIs shall be completed within one workday, unless approval for a longer completion time is given by the COR.
8. AUTHORIZED SERVICES:
a. The Contractor is advised that only the Contracting Officer, acting within the scope of the contract has the authority to make changes which affect the contract in terms of quality, quantity, price or delivery.
b. In the event the Contractor effects any such change at the direction of any person other than the Contracting Officer, the change shall be considered to have been made without authority and no adjustment shall be made in the contract price to cover any increase in costs incurred as a result thereof.
9. DELAY IN ACCESS/INTERVENING SERVICE CALL:
If patient care necessitates delay in access to equipment, Contractor’s Personnel shall notify the
COR. Documentation of the delay on the Field Service Report with a concurring signature from the
COR is required. Contractor’s Repair Personnel are responsible for proper documentation of delays.
The Field Service Report must confirm the actual time that access, for repair of the equipment, is given.
B.4 ADDITIONAL REQUIREMENTS:
1. CHANGES:
Services shall only be changed by a written modification to the contract. The modification will be prepared by the VA Contracting Officer prior to becoming effective. Only those services specified herein are authorized. Before performing any service of a non-contract nature, the Contractor shall advise the Contracting Officer of the reasons for the additional work. Changes to the resulting contract are not authorized, unless in writing by the
Contracting Officer.
2. QUALITY ASSURANCE:
a. The COR shall evaluate the services provided by the Contractor on an ongoing basis.
b. The Contractor shall provide to the Contracting Officer a copy of the Contractors
Quality Assurance Plan within thirty (30) days of award and shall include the following:
I. A description of the Contractor’s plan of providing repair services for the
Government-owned Stryker Endoscopes and Video equipment.
II. A description of the Contractor’s plan to provide maintenance services for the
Government-owned Stryker Endoscopes and Video equipment.
c. The Contracting Officer reserves the right at no additional cost to the Government to schedule a quarterly visit with the Contractor to discuss performance. The Contractor shall have at least one person attending the meeting that can make decisions on their behalf.
3. CONTRACTOR POINT OF CONTACT:
The Contractor shall provide a contract Program Manager who shall be responsible for the performance of the work. The name of this person shall be designated in writing to the
Contracting Officer. The Contractor’s Program Manager shall have full authority to act for the Contractor on all contract matters relating to daily operation of this contract.

4. CONTRACTOR EMPLOYEES:
The Contractor shall not employ persons for work on this contract if such employee is identified to the Contractor as a potential threat to the health, safety, security, general well-being or operational mission of the installation and its population.
Contract Personnel shall be subject to the same quality assurance standards or exceed current recognized national standards as established by the Joint Commission (JC).
The parties agree that the contract personnel working under this contract shall not be considered VA employees for any purpose and shall be considered employees of the
Contractor.
5. HOURS OF SERVICE
The Contractor shall perform the services as specified herein Monday through Friday, with the exception of Government Holidays (see below), between the hours of 6:00a.m. and
4:00p.m. The COR shall establish hours for services on these days if required.

When one of the holidays falls on Sunday, the following Monday shall be observed as a legal holiday by U.S. Government Agencies. When a holiday falls on a Saturday, the preceding
Friday shall be observed as a legal holiday. Also included would be any other day specifically declared by the President of the United States to be a National holiday.
6. SAFETY AND FIRE PREVENTION
In the performance of this contact, the Contractor shall take such safety precautions as necessary to protect the lives and health of the occupants of the building. Fire and safety deficiencies, which exist and are part of the responsibility of the Contractor, shall be immediately corrected. If the Contractor fails or refuses to correct deficiencies promptly, the COR may issue an order stopping all, or any part, of the work.
The Contractor shall comply with applicable Federal, State, and local safety and fire regulations and codes, which are in effect during the performance period of the contract.
The Contractor personnel shall follow applicable facility policies concerning fire/disaster programs.
7. CONTRACTOR SUBMITTALS /INSURANCE REQUIREMENTS
The Contractor shall procure and maintain liability insurance of at least $100,000, while the contract is in effect. The Contractor is also required to comply with federal and state Workers Compensation and liability insurance.
Within fifteen (15) days of contract award the Contractor shall furnish to the
Contracting Officer certification from the insurance company indicating that the coverage has been obtained and that it may not be changed or cancelled without guaranteed thirty (30) day notice to the Contracting Officer. New certifications shall be furnished prior to the expiration date.
8. SMOKING POLICY
Smoking is not permitted within or around the VA Healthcare System facilities, except in designated areas.
9. PARKING POLICY
It is the responsibility of Contractor personnel to park only in designated parking areas.
Parking information is available from the VA Police. The VA will not invalidate or make reimbursement for parking violations of the Contractor's personnel under any circumstances.
10. CONTRACTOR SECURITY REQUIREMENTS:
(a) The Office of Security and Law Enforcement provides Department-wide policy on the assignment of appropriate position sensitivity designations associated with Department of
Veterans Affairs (VA) positions involving national security and public trust responsibilities, and on the level of background investigations required for applicants for, and incumbents of, those positions.
IAW VA 0710 Handbook, appointees and contract personnel appointed to
Low/Moderate/High Risk positions must be subjects of a background investigation conducted by OPM and receive a favorable adjudication from the VA Office of Security and Law Enforcement to ensure compliance with such policy. If such investigation has not been completed prior to contract commencement, the Contractor shall be responsible for the actions of those individuals performing under the contract.
Should the contract require Contractor’s personnel to maintain U.S. citizenship, the
Contractor shall be responsible for compliance. Regardless of U.S. citizenship requirements, Contractor’s personnel are required to read, write, speak, and understand the
English language, unless otherwise specified herein or agreed to by the Government. The level of sensitivity shall be determined by the Government on the basis of the type of access required.
The Contractor shall be required to furnish all applicable employee information required to conduct the investigation, such as, but not limited to, the name, address, and social security number of the Contractor’s personnel. The VA will provide all the necessary instructions and guidance for submission of the documents required to conduct the background investigation. Background investigations shall not be required for contract personnel assigned to Low Risk/Non-sensitive positions for 180 days or less under a single contract or series of contracts. However, a Security Access Clearance (SAC) background screening will be required for appropriate preliminary checks IAW VA Directive 0710.
(b) Background Screening: In accordance with VHA Directive 0710 all Contractor personnel providing services under this resulting contract shall be subject to a background screening and must receive favorable adjudication from the VA prior to contract performance. The level of screening for this resulting contract is: Special Agreement Check (SAC). Any employee whose background investigation yields unfavorable results shall be removed immediately from performance under this resulting contract. In the event the screening is not completed prior to contract performance, the Contractor shall be responsible for the actions of those individuals performing under the contract.
(c) Contractors, contract personnel, subcontractors, and subcontractor personnel shall be subject to the same Federal laws, regulations, standards, and VA Directives and Handbooks as VA and VA personnel regarding VA information and information system security.

“Information Protection and Non-Disclosure and Disclosure of Conflicts of Interest Agreement” to ensure the contractor's business records or other proprietary data reviewed or obtained in the course of assisting the CO in assessing the contractor for compliance are protected to ensure information or data is not improperly disclosed or other impropriety occurs. Furthermore, if VA determines any services the support contractor(s) will perform in assessing compliance are advisory and assistance services as defined in FAR 2.101, Definitions, the support contractor(s) must also enter into an agreement with the contractor to protect proprietary information as required by FAR 9.505-4, obtaining access to proprietary information, paragraph (b). The contractor is required to cooperate fully and make available any records as may be required to enable the CO to assess the contractor's compliance with the limitations on subcontracting or percentage of work performance requirement.

(d) Comptroller General Examination of Record. (1) The Comptroller General of the United States, or an authorized representative of the
Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the

C.3 52.217-8 OPTION TO EXTEND SERVICES (NOV 1999)
The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting
Officer may exercise the option by written notice to the Contractor within 30 days.

C.4 52.217-9 OPTION TO EXTEND THE TERM OF THE CONTRACT (MAR 2000)
(a) The Government may extend the term of this contract by written notice to the Contractor within 30 days provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 days before the contract expires. The preliminary notice does not commit the Government to an extension.
(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.
(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed three (3) years six (6) months.
C.5 VAAR 852.237-70 CONTRACTOR RESPONSIBILITIES (APR 1984)
The contractor shall obtain all necessary licenses and/or permits required to perform this work.
He/she shall take all reasonable precautions necessary to protect persons and property from injury or damage during the performance of this contract. He/she shall be responsible for any injury to himself/herself, his/her employees, as well as for any damage to personal or public property that occurs during the performance of this contract that is caused by his/her employees fault or negligence, and shall maintain personal liability and property damage insurance having coverage for a limit as required by the laws of the State of California. Further, it is agreed that any negligence of the Government, its officers, agents, servants and employees, shall not be the responsibility of the contractor hereunder with the regard to any claims, loss, damage, injury, and liability resulting there from.
SECTION E - SOLICITATION PROVISIONS
E.1 52.212-1 INSTRUCTIONS TO OFFERORS—COMMERCIAL ITEMS (JAN 2017)
(a) North American Industry Classification System (NAICS) code and small business size standard. The NAICS code and small business size standard for this acquisition appear in Block
10 of the solicitation cover sheet (SF 1449). However, the small business size standard for a concern which submits an offer in its own name, but which proposes to furnish an item which it did not itself manufacture, is 500 employees.
(b) Submission of offers. Submit signed and dated offers to the office specified in this solicitation at or before the exact time specified in this solicitation. Offers may be submitted on the SF
1449, letterhead stationery, or as otherwise specified in the solicitation. As a minimum, offers must show—
(1) The solicitation number;
(2) The time specified in the solicitation for receipt of offers;
(3) The name, address, and telephone number of the offeror;
(4) A technical description of the items being offered in sufficient detail to evaluate compliance with the requirements in the solicitation. This may include product literature, or other documents, if necessary;
(5) Terms of any express warranty;
(6) Price and any discount terms;
(7) "Remit to" address, if different than mailing address;
(8) A completed copy of the representations and certifications at FAR 52.212-3 (see FAR
52.212-3(b) for those representations and certifications that the offeror shall complete electronically);
(9) Acknowledgment of Solicitation Amendments;
(10) ast performance information, when included as an evaluation factor, to include recent and relevant contracts for the same or similar items and other references (including contract numbers, points of contact with telephone numbers and other relevant information); and
(11) If the offer is not submitted on the SF 1449, include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Offers that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration.
(c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 30 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.
(d) Product samples. When required by the solicitation, product samples shall be submitted at or prior to the time specified for receipt of offers. Unless otherwise specified in this solicitation, these samples shall be submitted at no expense to the Government, and returned at the sender's request and expense, unless they are destroyed during preaward testing.
(e) Multiple offers. Offerors are encouraged to submit multiple offers presenting alternative terms and conditions, including alternative line items (provided that the alternative line items are consistent with subpart 4.10 of the Federal Acquisition Regulation), or alternative commercial items for satisfying the requirements of this solicitation. Each offer submitted will be evaluated separately.
(f) ) Late submissions, modifications, revisions, and withdrawals of offers.
(1) Offerors are responsible for submitting offers, and any modifications, revisions, or withdrawals, so as to reach the Government office designated in the solicitation by the time specified in the solicitation. If no time is specified in the solicitation, the time for receipt is 4:30 p.m., local time, for the designated Government office on the date that offers or revisions are due.
(2)(i) Any offer, modification, revision, or withdrawal of an offer received at the Government office designated in the solicitation after the exact time specified for receipt of offers is "late" and will not be considered unless it is received before award is made, the Contracting Officer determines that accepting the late offer would not unduly delay the acquisition; and—
(A) If it was transmitted through an electronic commerce method authorized by the solicitation, it was received at the initial point of entry to the Government infrastructure not later than 5:00 p.m. one working day prior to the date specified for receipt of offers; or
(B) There is acceptable evidence to establish that it was received at the Government installation designated for receipt of offers and was under the Government's control prior to the time set for receipt of offers; or
(C) If this solicitation is a request for proposals, it was the only proposal received.
(ii) However, a late modification of an otherwise successful offer, that makes its terms more favorable to the Government, will be considered at any time it is received and may be accepted.
(3) Acceptable evidence to establish the time of receipt at the Government installation includes the time/date stamp of that installation on the offer wrapper, other documentary evidence of receipt maintained by the installation, or oral testimony or statements of Government personnel.
(4) If an emergency or unanticipated event interrupts normal Government processes so that offers cannot be received at the Government office designated for receipt of offers by the exact time specified in the solicitation, and urgent Government requirements preclude amendment of the solicitation or other notice of an extension of…
