PERFORMNACE WORK STATEMENT

RESEARCH STUDY FOR POST TRAUMATIC STRESS DISORDER

CLINICAL RESEARCH SERVICES

1. GENERAL

Contractors, contractor personnel, subcontractors, and subcontractor personnel shall be subject to the same Federal laws, regulations, standards, and VA Directives and Handbooks as VA and VA personnel regarding information and information system security.

2. ACCESS TO VA INFORMATION AND VA INFORMATION SYSTEMS

a. A contractor/subcontractor shall request logical (technical) or physical access to VA information and VA information systems for their employees, subcontractors, and affiliates only to the extent necessary to perform the services specified in the contract, agreement, or task order.

b. All contractors, subcontractors, and third-party servicers and associates working with VA information are subject to the same investigative requirements as those of VA appointees or employees who have access to the same types of information. The level and process of background security investigations for contractors must be in accordance with VA Directive and Handbook 0710, Personnel Suitability and Security Program. The Office for Operations, Security, and Preparedness is responsible for these policies and procedures.

c. The contractor or subcontractor must notify the Contracting Officer immediately when an employee working on a VA system or with access to VA information is reassigned or leaves the contractor or subcontractor’s employ. The Contracting Officer must also be notified immediately by the contractor or subcontractor prior to an unfriendly termination.

DESCRIPTION OF SERVICE:

1. The contractor shall provide clinical research services to facilitate further development of the Post-Traumatic Stress Disorder (PTSD) research being conducted by the Chief Psychologist.

2. DUTIES: Nursing, phlebotomy and sample processing services will be provided as described in study protocol, for subjects participating in the research

a. Registered Nurse services to conduct medical evaluations

b. Phlebotomy services to draw blood for study procedures

c. Sample processing services to prepare biological samples for analysis within 30 minutes

d. Research recruitment consultation and mailing services will be provided

3. CONTRACTOR QUALIFICATIONS: Provide investigators with a full-service outpatient research center in which they can study both veterans and non-veterans alike. The contractor must include on-staff Registered Nurses, two outpatient examination rooms, an exercise physiology laboratory and a core laboratory service. The contractor will work with Dr. Inslicht at the required location, and provide resources, knowledge, skill set and obtain VA approvals required for the research to occur.

6. EQUIPMENT FURNISHED: None.

7. DESIGNATION OF COR: A VA employee familiar with the research services at the VA will be designated as the COR to represent the CO in furnishing technical guidance and advice regarding the work being performed under this contract. In addition to furnishing technical guidance and advice to the CO, the COR will be assigned various administrative responsibilities under this contract. The Contractor should be aware of the COR’s role with regard to these assigned responsibilities in order meet the requirements of this contract. A copy of the COR delegation memorandum shall be provided to the Contractor after award. This memorandum will contain the COR’s name, official title, address, phone number, and e-mail address.

COR is not authorized to interpret or furnish advice and information to the Contractor relative to the financial or legal aspects of the contract. Interpretation and enforcement of these aspects of the contract is vested in, and is the responsibility of the CO.

COR:

8. PAYMENT: The COR, shall certify the invoices for payment.

9. RIGHT TO REFUSE OR DISMISS CONTRACT PERSONNEL:

a. VA reserves the right to refuse or dismiss contract personnel whose personal or professional conduct jeopardizes patient care or the regular and ordinary operation of the facility. Reasons for refusal or dismissal include, but are not limited to, unsatisfactory performance prior to and/or during the term of the contract, failure to receive favorable adjudication during a VA background investigation, failure to satisfy the requirements of the contract, physical or verbal abuse to patients, staff, or visitors, intoxication or debilitation resulting from drug use, theft, patient abuse, dereliction or negligence in performing directed tasks, ethical misconduct, conduct resulting in formal complaints by patients or other staff members, and any other valid reason considered by the CO to be objectionable (standards for ethical conduct shall mirror those prescribed by the OGE (http://www.usoge.gov/pages/forms pubs_otherdocs/fpo_files/reference/rfsoc_02.pdf) and as prescribed elsewhere in this contract).

b. For issues involving unsatisfactory performance, the CO will provide written notification of the unsatisfactory performance issue(s) to the Contractor, and if the problem has not been cured within five (5) calendar days of such written notification, the Contractor shall remove the person(s) in which the unsatisfactory performance issue relates. All other issues involving misconduct, complaints, or non-compliance with the terms and conditions of the contract by contract personnel will be dealt with by the Contractor and the CO. The CO is the final authority on validating misconduct, complaints, and issues of non-compliance with the terms and conditions of the contract. In the event that contract personnel are involved in misconduct, a validated complaint, or non-compliance with the terms and conditions of the contract as determined by the CO, VA reserves the right to refuse contract personnel or request that the Contractor immediately dismiss any personnel in which this issue relates upon written notice by the CO. Should an investigation be necessary to adequately address any of the aforementioned issues, the Medical Center Director has the authority to initiate such an investigation, and contract personnel must fully cooperate with any investigative requests.

c. In the event that VA exercises its right to refuse or dismiss contract personnel under the contract, the Contractor must immediately provide an acceptable substitute(s) for the contract personnel being refused or dismissed. This (these) substitute(s) must be provided to VA in accordance with this contract.

11. CPRS

Contract personnel are required to enter all patient care information into CPRS in accordance with any VHA/medical center policies, procedures, or memorandums that address this topic. A copy of these policies, procedures, or memorandums can be provided by the COR upon request.

Contract personnel must enter a CPRS staff note within 24-hours of inpatient admission, and additional staff notes at a frequency sufficient to demonstrate adequate resident supervision (e.g. with a significant change in patient condition). The COR will be responsible for ensuring and documenting that these requirements are satisfied. If patient records are not properly document within CPRS, VA reserves the right to withhold payment to the Contractor until such records are properly documented.

10. HANDLING OF RECORDS:

a. By performing services under this contract, the Contractor is considered part of the VA healthcare activity for purposes of the following statutes and respective regulations implementing these statutes: Title 5 U.S.C Section 552a (Privacy Act), Title 38 U.S.C. Section 5701, Title 38 U.S.C. Section 5705, Title 38 U.S.C Section 7332, and Public Law 104-191 (HIPAA). Contract personnel shall have access to patient medical records and general files only to the extent necessary to perform their contractual duties. Contract personnel shall only release medical information obtained during the course of this contract to those VA medical staff members involved in the necessary care and treatment of the individual patient in which the information pertains. Notwithstanding any other clause and/or provision of this contract, if a request for release or disclosure of information is not necessary for the care and treatment of an individual patient, the Contractor and contract personnel shall not disclose any information contained in general files, patient records, and/or any other individually identifiable health information, including information and records generated by the Contractor in performance of this contract, except pursuant to explicit instruction and written approval from VA. For the purposes of this paragraph, instruction to disclose or copy such records and/or information may only be provided by the following: VA Regional Counsel and Chief, Health Information Management Service/Privacy Officer through the CO. Violation of the aforementioned statutes may result in criminal and/or civil penalties.

b. Contract personnel who obtain access to hardware or media which may manipulate or store drug or alcohol abuse data, sickle cell anemia treatment records, records or tests or treatment for or infection with HIV, medical quality assurance records, or any other sensitive information protected under the statues and implementing regulations previously mentioned in paragraph a., above, shall not have access to the records unless absolutely necessary to perform their contractual duties. Any contract person who has access to the previously mentioned data and/or information must not disclose it to anyone, including other contract personnel not involved in the performance of the particular contractual duty for which access to this data and/or information was obtained.

c. Information or records accessed and/or created by the Contractor in the course of performing services under this contract are the property of the VA and shall not be accessed, released, transferred, or destroyed except in accordance with applicable federal law, regulations, and/or VA/VHA policy. The Contractor will not copy information contained in VA information systems, either by printing to paper or by copying to another digital format, without the explicit instruction and written approval from of the officials listed in paragraph a., above, except as is necessary to make single copies in the ordinary course of providing patient care. The Contractor will not commingle the data from VA information systems with information from other sources. Contractor shall report any unauthorized disclosure of VA information to the officials listed in paragraph a., above.

d. If this contract is terminated for any reason, the Contractor will provide VA with all individually identifiable VA patient treatment records or other information in its possession, as well as any copies made pursuant to paragraph c., above, within seven (7) calendar days of the termination of this contract.

e. The Contractor shall follow all VA policies regarding the retention of records. As an alternative, the Contractor may deliver the records to VA for retention.

f. The Contractor shall follow all of the previously mentioned statutes and respective regulations implementing these statutes as well as VHA Handbook 1605.1 - Privacy and Release of Information (issued May 17, 2006) and any other VA/VHA policies and procedures governing the information discussed in this section of the contract. Copies of the information discussed in the aforementioned paragraphs may be viewed by contract personnel in the Office of the Chief, Health Information Management Service/Privacy Officer. All contract personnel with access to any of the previously mentioned records (electronic or paper) will be required to complete VHA Privacy Policy Training before accessing such record systems. This training must also be completed annually. The COR will be responsible for ensuring and documenting that this requirement is satisfied.

g. Any changes in the laws, regulations, or VA/VHA policies or procedures governing the information covered by this section of the contract, during the term of this contract, shall be deemed to be incorporated into this contract.

11. HIPAA COMPLIANCE

Under HIPAA Privacy and Security Rules, the Contractor providing services under this contract is considered to be a “covered entity,” and thus is not required to enter into a Business Associate Agreement with VA. However, the Contractor must observe Public Law 104-191 and all respective regulations implementing this law while providing services under this contract.

12. JOINT COMMISSION (JC) COMPLIANCE

a. This contract does not require JC accreditation on the part of the Contractor; however, the Contractor is required to follow and comply with all JC guidelines as provided in the most current published relevant edition of JC’s Comprehensive Accreditation Manual for Hospitals. A copy of this manual may be viewed by contract personnel in the Office of the Chief of Staff (see the Chief, Quality Management).

b. Although this contract does not require JC accreditation, only JC compliance, the Contractor is required to maintain records that document competence/performance level of contract personnel providing services under this contract in accordance with JC and other regulatory body requirements. The Contractor is required to develop and maintain the following documents for each contract person providing services under the contract:

(1) Credentials and qualifications for the job,

(2) a current competence assessment checklist (an assessment of knowledge, skills, abilities and behaviors required to perform a job correctly and skillfully; includes knowledge and skills required to provide care for certain patient populations, as appropriate),

(3) A current performance evaluation supporting the ability of the contract person to successfully perform the work required in this solicitation, and

(4) Listing of relevant continuing education for the last two years.

Upon request, the Contractor will provide copies of these records to the CO or COR. The Contractor will be responsible for ensuring that contract personnel providing services under this contract are fully trained and completely competent to perform the required work.

c. The Contractor should be aware that JC will evaluate the VA's assessment of the quality of services provided under contract. JC reserves the right to evaluate, as part of its survey, services provided to the VA by the Contractor, either on-site at the VA facility or off-site at the Contractor’s facility. This may include a site visit to the Contractor’s base operation during VA’s JC survey. JC may also survey performance issues between VA and the Contractor, regardless of the accreditation status of the Contractor.

13. QUALITY ASSURANCE

The Contractor shall perform services under this contract in accordance with the ethical, professional, and technical standards of the healthcare industry, and must meet, or exceed, the current quality assurance standards recognized by JC and mandated by VHA quality assurance policies and/or performance measures. A copy of these standards/policies/performance measures may be viewed by contract personnel in the Office of the Chief of Staff (see the Chief, Quality Management).

In order to adequately protect VA patients, the Contractor shall not introduce new procedures or services without prior recommendation to, and approval from, the Chief of Staff/Clinical Medical Director.

All services provided under this contract will be subject to Quality Assurance and Utilization Review procedures of VA Medical Center.

14. OSHA REQUIREMENTS FOR HEALTHCARE FACILITIES (INFECTION CONTROL REQUIREMENTS, BLOOD BORNE PATHOGENS, ETC.)

In general, all contract personnel must comply with OSHA requirements for healthcare facilities. The Office of Quality Management Services has prepared various medical center memorandums to specifically address these OSHA requirements. All contract personnel must follow and become familiar with these medical center memorandums. A copy of these memorandums may be viewed by contract personnel in the Office of Quality Management Services (see an Infection Control Nurse).

All contract personnel are required to have annual PPD/TB screenings, current immunizations, and record of having been offered Hepatitis B vaccine prior to commencement of work.

A record keeping system that confirms compliance these OSHA requirements and VA medical center memorandums shall be established and maintained by the Contractor. Such records will be made available to the COR or CO upon request.

15. CONFLICTS OF INTEREST

As written, the provisions of VHA Handbook 1660.3 - Conflict of Interest Aspects of Contracting for Scarce Medical Specialist Services, Enhanced Use Leases, Health Care Resources Sharing, Fee Basis and Intergovernmental Personnel Act Agreements only applies to VA employees who are also employed by the Contractor; however, in accordance with FAR Subpart 9.5 Organizational and Consultant Conflicts of Interest, the CO has determined that it is in the interest of the Government to extend to applicability of the Specific Activities Prohibited, as identified in paragraph 6 of VHA Handbook 1660.3, to all persons who are employed by the Contractor, regardless of whether they are also employed by VA.

Although the criminal and/or civil penalties applicable to noncompliance with VHA Handbook 1660.3 only apply to VA employees who are also employed by the Contractor, the failure of any contract personnel, regardless of whether they are also employed by VA, to observe the Specific Activities Prohibited, as identified in paragraph 6 of VHA Handbook 1660.3, may result in no award or termination of the contract for default after award.

Prior to providing any services under this contract, all contract personnel (both key and substitute/replacement) must review and acknowledge receipt (as outlined in paragraph 4) of, VHA Handbook 1660.3. The COR will be responsible for ensuring and documenting that this policy was acknowledged by all contract personnel.

16. HHS – OIG EXCLUSION PROGRAM

To ensure that the Contractor and individuals providing services under the contract have not engaged in fraud or abuse as described Sections 1128 (Title 42 U.S.C. Section 1320a-7) and 1128A (Title 42 U.S.C. Section 1320a-7a) of the Social Security Act regarding federal health care programs, the Contractor is required to check the HHS-OIG List of Excluded Individuals/Entities on the HHS-OIG website (http://oig.hhs.gov/fraud/exclusions.html) for each person providing services under this contract as well as the Contractor itself. By submission of its offer, the Contractor certifies that itself and all persons listed in the Contractor’s proposal have been compared against the HHS-OIG List of Excluded Individuals/Entities and are NOT listed. During the performance of this contract, the Contractor is prohibited from using any business or individual listed on the HHS-OIG List of Excluded Individuals/Entities.

(d) Comptroller General Examination of Record. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(b) Submission of offers. Submit signed and dated offers to the office specified in this solicitation at or before the exact time specified in this solicitation. Offers may be submitted on the SF 1449, letterhead stationery, or as otherwise specified in the solicitation. As a minimum, offers must show—

(1) The solicitation number;

(2) The time specified in the solicitation for receipt of offers;

(3) The name, address, and telephone number of the offeror;

(4) A technical description of the items being offered in sufficient detail to evaluate compliance with the requirements in the solicitation. This may include product literature, or other documents, if necessary;

(5) Terms of any express warranty;

(6) Price and any discount terms;

(7) "Remit to" address, if different than mailing address;

(8) A completed copy of the representations and certifications at FAR 52.212-3 (see FAR 52.212-3(b) for those representations and certifications that the offeror shall complete electronically);

(9) Acknowledgment of Solicitation Amendments;

(10) Past performance information, when included as an evaluation factor, to include recent and relevant contracts for the same or similar items and other references (including contract numbers, points of contact with telephone numbers and other relevant information); and

(11) If the offer is not submitted on the SF 1449, include a statement specifying the extent of agreement with all terms, conditions, and provisions included in the solicitation. Offers that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration.

(c) Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 30 calendar days from the date specified for receipt of offers, unless another time period is specified in an addendum to the solicitation.

(d) Product samples. When required by the solicitation, product samples shall be submitted at or prior to the time specified for receipt of offers. Unless otherwise specified in this solicitation, these samples shall be submitted at no expense to the Government, and returned at the sender's request and expense, unless they are destroyed during preaward testing.

(e) Multiple offers. Offerors are encouraged to submit multiple offers presenting alternative terms and conditions, including alternative line items (provided that the alternative line items are consistent with subpart 4.10 of the Federal Acquisition Regulation), or alternative commercial items for satisfying the requirements of this solicitation. Each offer submitted will be evaluated separately.

(f) Late submissions, modifications, revisions, and withdrawals of offers.
