B.3 Statement of Work

1. GENERAL: Contractor shall provide White City, Oregon, VA Southern Oregon Rehabilitation Center and Clinics (VA SORCC) with testing, (exercise) services for FOUR Diesel powered EPS installations. These subject items need to be tested, (exercised) in accordance with NFPA 110. Reference NFPA 110 section 8.4.2.3: Items shall be exercised with supplemental loads at not less than 50 percent of the EPS nameplate kW rating for 30 continuous minutes and at not less than 75 percent of the EPS nameplate kW rating for 1 continuous hour for a total test duration of not less than 1.5 continuous hours.

3. CONTRACTOR

CONTRACTOR DELIVERABLES

Contractor shall provide a Load Test Report after testing for each item in the scope of this Statement of Work. Subject Report will as a minimum contain the following data:

a) Start time, Stop time, and time at fifteen-minute intervals in between start/stop

b) Voltage for all three phases for each time element

c) Amperage for all three phases for each time element

d) Percent Load for each time element

e) Water temperature at each time element

f) Oil Pressure at each time element

g) Battery Amps at each time element

h) KW at each time element

i) Signed and dated by technician that performed test

j) Specific information as to which generator item test was performed (model #, serial #’s, location, total hours on item, and item nameplate KW)

CONTRACTOR SORCC SITE CHECK IN:

The Contractor employees shall check-in at SORCC Building 229 (FMS) and check out when complete. If after hours, contact VAPD in building 202. Contractor shall wear a VA identification badge at all times while on station. Badge will be obtained in building 229 when signing in and shall be returned upon completion of the services when signing out.

CONTRACTOR PERSONNEL

The contract manager shall be responsible for management and coordination of the contract and shall be the point of contact with all government representatives. The contractor shall notify the contracting officer in writing prior to contract start date the names of the Contract Manager and an alternate contract manager. The Contract Manager shall be available for the Government to reach. During normal business hours, the contract manager shall respond within one business day from the time of notification. During non-business hours, the Contract Manager shall respond within one business day.

4. SPECIAL CONTRACT REQUIREMENTS

QUALITY CONTROL

The contractor is responsible for developing and maintaining a quality program to ensure that the services are performed in accordance with commonly accepted commercial practices. The contractor is responsible for developing and implementing procedures to identify, prevent, and ensure non-recurrence of defective services. At a minimum, the contractor is responsible for developing quality control procedures addressing each specific bid item of the contract to include a service delivery summary. The contractor is responsible for submitting the quality control program to the Contracting Officer with their proposal.

QUALITY ASSURANCE

1. Contractor will be here on the appointed times and days, unless necessary to come more often as requested by the VA SORCC.

2.The completed services shall be performed in an efficient and reliable manner. The VA SORCC has the right to reject work if the work is not performed in an efficient and reliable manner with the timelines and frequencies outlined above.

RECOGNIZED HOLIDAYS

The contractor is not responsible to provide services on the following days but must provide frequent enough service prior to and after these holidays: New Years Day, Martin Luther Kings Day, President’s Day, Memorial Day, Fourth of July, Labor Day, Columbus Day, Veteran’s Day, Thanksgiving Day, and Christmas.

PERSONNEL POLICY

The Contractor shall be responsible for protecting the personnel furnishing services under this contract. To carry out this responsibility, the contractor shall provide the following for their personnel:

1. Worker’s compensation, Professional Liability Insurance, Income tax withholding, and Social Security payments.

2. The parties agree that such personnel shall not be considered VA employees for any purpose and shall be considered employees of the Contractor.

LAWS & ORDINANCES

The Contractor shall comply with all applicable laws, ordinances and regulations (Federal, state, city or otherwise) covering his operations under the contract.

5. INVOICES

All payments shall be made in arrears upon receipt of a proper invoice. Invoices will provide the following minimum information:

· Contract Number

· Date of Service

· Itemized Charges

· Weight of all waste and recycle

· Authorizing Official

VA published the final rule requiring vendors to submit invoices electronically to the Financial Services Center (FSC) in the November 27, 2012 Federal Register. The rule became effective December 27, 2012. The rule includes a new contract clause to be inserted in all solicitations and contracts by the contracting officer (VAAR 852.232-72). Vendors can comply with the rule by using either of the two methods below:

1. The FSC uses a third-party contractor, Tungsten Network, to transition vendors from paper to electronic invoice submission. For information on Tungsten Network electronic invoicing set-up, vendors should call 1-877-489-6135, or email VA.Registration@Tungsten-Network.com.

Vendors are required to register with Tungsten Network and submit invoices electronically as a condition of acceptance of this contract or order.

FSC and VA’s Office of Acquisition, Logistics and Construction (OALC) will assist existing commercial vendors in migrating to the electronic process. Until the transition to electronic format is complete, FSC will continue to process paper invoices for commercial vendors.

The FSC’s electronic invoicing system provides a variety of flexible solutions for all vendor types, including small businesses, and does not require any vendor transaction fees. More information on the FSC electronic invoicing process can be found at http://www.fsc.va.gov/einvoice.asp.

C.2 52.217-8 OPTION TO EXTEND SERVICES (NOV 1999)

The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 30 days.

C.3 52.217-9 OPTION TO EXTEND THE TERM OF THE CONTRACT (MAR 2000)

(a) The Government may extend the term of this contract by written notice to the Contractor within 30 days; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 days before the contract expires. The preliminary notice does not commit the Government to an extension.

(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.

(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed five (5) years.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records—Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.
