B.2 STATEMENT OF WORK

1. Description of Services. Delivery and installation of three (3) of each item listed Physio VR

Software Packages, Hardware and Accessories for use of Balance VR, PC VR Ready Hardware Packages, PC VR Ready Packages, HTC Vive Pro Hardware Packages, 24” LED/HD Touchscreen monitors with DVI cable or DisplayPort, Mobile PC Carts, Leap Motion Controllers, KitThrust Hardware Packages to include Wheelstandpro V2, Maintenance Contract with unlimited access to online training (Annual Fee: $ p/yr), VR Setup and Delivery to include updates to PC & VR Goggles + Accessories with software installation, VR account set up, and test onsite, On Site installation with furniture assembly, VR installation and connection to PC with tests, and Onsite Clinical Education.

This will allow therapist to motivate and encourage movement to improve clinical outcomes for our Veterans within Physical Medicine and Rehabilitation Department (PM&R) located at Audie L.

Murphy VA Medical Center.

2. Scope of Work (SOW).

a. Contractor shall deliver three (3) of each item listed Physio VR Software Packages, Hardware and Accessories for use of Balance VR, PC VR Ready Hardware Packages, PC VR Ready Packages, HTC Vive Pro Hardware Packages, 24” LED/HD Touchscreen monitors with DVI cable or DisplayPort, Mobile PC Carts, Leap Motion Controllers, KitThrust Hardware Packages to include Wheelstandpro V2, Maintenance Contract with unlimited access to online training (Annual Fee: $ p/yr), VR Setup and Delivery to include updates to PC & VR Goggles + Accessories with software installation, VR account set up, and test onsite, On Site installation with furniture assembly, VR installation and connection to PC with tests, and Onsite Clinical Education at no-cost to Audie L. Murphy VA Medical Center.

a. Contractor shall provide on-site installation and training for three (3) of each item listed Physio VR Software Packages, Hardware and Accessories for use of Balance VR, PC VR Ready Hardware Packages, PC VR Ready Packages, HTC Vive Pro Hardware Packages, 24” LED/HD Touchscreen monitors with DVI cable or DisplayPort, Mobile PC Carts, Leap Motion Controllers, KitThrust Hardware Packages to include Wheelstandpro V2, Maintenance Contract with unlimited access to online training (Annual Fee: $ p/yr), VR Setup and Delivery to include updates to PC & VR Goggles + Accessories with software installation, VR account set up, and test onsite, On Site installation with furniture assembly, VR installation and connection to PC with tests, and Onsite Clinical Education to Physical Medicine and Rehabilitation Department located at Audie L. Murphy VA Medical Center.

i. Contractor shall contact the Contracting Officer Representative (COR) noted within paragraph sixteen (16) of this statement of work for an installation date and time that would avoid disruptions to patient care within the nursing services department.

ii. On-site installation shall be provided at the place of performance listed within this statement of work.

iii. On-site installation shall occur during the hours of operation (excluding federal holidays) listed within this statement of work, unless written consent is agreed upon by the Contractor, COR, and Contracting Officer (CO) as to avoid disruptions to patient care.

b. Contractor shall provide a written notification to the CO and COR of all transmitters damaged during installation. Written notifications shall be delivered to the CO and COR within 24 hours of damage occurrence in the form of either a letter, or email.

i. Contractor shall bear all replacement and installation costs to ensure new Physio VR Software Packages, Hardware and Accessories for use of Balance VR, PC VR Ready Hardware Packages, PC VR Ready Packages, HTC Vive Pro Hardware Packages, 24” LED/HD Touchscreen monitors with DVI cable or DisplayPort, Mobile PC Carts, Leap Motion Controllers, KitThrust Hardware Packages to include Wheelstandpro V2, Maintenance Contract with unlimited access to online training (Annual Fee: $ p/yr), VR Setup and Delivery to include updates to PC & VR Goggles + Accessories with software installation, VR account set up, and test onsite, On Site installation with furniture assembly, VR installation and connection to PC with tests, and Onsite Clinical Education are re-delivered and re-installed at no-cost to Audie L. Murphy VA Medical Center.

ii. Contractor shall work with the COR on establishing a new delivery and re-installation date of all installation damaged transmitters, which shall not exceed seven (7) business days thereafter written notification.

5. Hours of Operation. Services provided under this contract shall be performed during normal business hours of 7:00 a.m. to 4:30 p.m., Monday through Friday excluding Federal holidays. (Services required outside of normal duty hours, or weekdays requires approval by the COR prior to scheduling.)

6. Federal Holidays. The federal government hereby provides notice, and Contractor hereby acknowledges receipt that government personnel observe the following federal holidays:

When a holiday falls on a Sunday, the following Monday shall be observed as a Federal holiday. When a holiday falls on a Saturday, the preceding Friday shall be observed as a Federal Holiday.

In addition to the days designated as holidays, the Government observes the following days:

• Any other day designated by Federal Statute

• Any other day designated by Executive Order

• Any other day designated by the President’s Proclamation

It is understood and agreed upon between the federal government and the Contractor that observance of such days by government personnel shall not otherwise be a reason for an additional period of performance, or entitlement of compensation. In the event the Contractor's personnel work during the holiday, they may be reimbursed by the Contractor, however, no form of holiday or other premium compensation will be reimbursed either as a direct or indirect cost, other than their normal compensation for the time worked.

7. Period of Performance. Installation shall not exceed ten (10) business days thereafter delivery of equipment listed within paragraph three (3) of this statement of work.

8. Type of Contract: Firm-Fixed

9. Check In Requirements. Contractor personnel shall check-in with COR, Angela M. Griffin- DeNavejar prior to installation.

10. Safety Requirements. In the performance of this contract the Contractor shall take such safety precautions as the Contracting Officer may determine to be reasonably necessary to protect the lives and health of occupants of the building. The Contracting Officer shall notify the Contractor of any safety issues and the action necessary to correct these issues. Such notice, when served to the Contractor or his representative at the work sit shall be deemed sufficient for the corrective actions to be taken. If the Contractor fails or refuses to comply promptly, the Contracting Officer may issue an order stopping all or part of the work and hold the Contractor in default.

11. Information Systems Officer, Information Protections. The Contractor will not have access to VA Desktop computers, nor will they have access to online resources belonging to the government while conducting services.

12. Privacy Officer. The Contractor will not have access to Patient Health Information (PHI) nor will they have the capability of accessing patient information during the services provided to the VA.

13. Records Manager. There will be no federal records created, maintained, used or disposition with this contract; regardless of format [paper, electronic, etc.] or mode of transmission [e-mail, fax, etc.]

14. Additional Requirements.

14.1 Smoking. Smoking is only authorized in designated smoking areas and is strictly prohibited in and around all facilities near flammable liquids and highly combustible materials.

14.2 Security. All Contractor personnel must report to the designated individuals at each VAMC and sign in prior to performing work and sign out after completion of work each day. All Non-VA personnel shall wear security badge in plain sight above the waist during the entire time he/she is on Government property. I.D. badges must have an identification picture and shall state the name of the individual and the company he/she represents. The Contractor is to coordinate with the COR to obtain the I.D. badge from the PIV Office. The Contractor is to provide a list of all Contractor personnel who shall be performing service on this project. Contractors found on government property without an I.D. badge will be immediately removed from VA property by VA Police.

14.3 Parking. It is the responsibility of the Contractor’s personnel to park only in designated parking areas. The STVHCS shall not waive or make reimbursement for parking violations of the Contractor’s personnel under any circumstances. Contractor vehicles found parked in VA parking lots will be issued a United States District Court Violation Notice and immediately removed and banned from VA property if parking violations are repeated.

15. General Requirements.

15.1 Contract Administration. The Contracting Officer is the only person authorized to approve changes or modify any of the requirements under this contract. The Contractor shall communicate with the Contracting Officer on all matters pertaining to contract administration. Only the Contracting Officer is authorized to make commitments or issue changes that will affect price, quantity, or quality of performance of this contract. In the event the Contractor effects any such change at the direction of any person other than the Contracting Officer, the change shall be considered to have been made without authority and no adjustment will be made in the contract price to cover any increase in costs incurred as a result thereof. All changes to the contract will be issued via an amendment and/or modification in writing from the Contracting Officer to the Contractor.

15.2 Invoices. Invoices are to be submitted electronically; either monthly or quarterly, in arrears of the start of the services that were performed. Electronic invoices can be submitted at no additional cost at the VA Vendor Information System (VIS) The COR is responsible for acceptance of services and/or the processing of receiving reports for the services provided to the government.

15.3 Payments. Payments for services rendered will only be processed after the COR has verified and approved the invoice for services performed and accepted.

15.4 Contracting Officer Representative (COR). The COR will be identified by a separate letter. The COR monitors all technical aspects of the contract and assists in contract administration. A letter of designation issued to the COR, a copy of which will be provided to the Contractor, states the responsibilities and limitations of the COR, especially with regard to changes in cost or price, estimates or changes in delivery dates. The COR is not authorized to change any of the terms and conditions of the resulting order.

15.5 Contractor Responsibilities. The Contractor shall exercise extreme care to avoid damaging Government property such as buildings, equipment, trees, shrubs, or turf. Any damage to Government property by the Contractor shall be repaired by the Contractor to its original condition at no additional cost to the Government. The Contractor shall restore ALL disturbed grounds to existing conditions. The Contractor shall ensure that all materials are new, free from defects, imperfections.

15.5.1 The Contractor shall be responsible for obtaining and coordinating the services of any and all third-party Contractors/entities performing other services on site as part of the contract to ensure the expected quality, timely delivery, and documented final product.

15.5.2 The Contractor shall provide all necessary equipment and materials to protect personnel, furnishings, equipment, piping, and building from damage; Contractor shall move, remove, and/or replace movable items as necessary and shall replace any item damaged due to work performed under this contract, equal to its original installation, and/or finish.

15.5.3 The Contractor shall be responsible for safeguarding all government equipment, information and property provided to Contractor personnel while performing the services described herein.

15.5.4 The Contractor shall not perform any service that will result in additional charges without prior approval from the Contracting Officer.

15.6 Work Stoppage/Delays. The Contracting Officer shall be notified at the earliest time available, but no later than the next business day, via email of the Contractor's knowledge of any conditions which may adversely affect the Contractor's ability to perform under the terms and conditions as stated in the specifications of this requirement. For example, union strikes, vehicle problems, licenses, or anything that might jeopardize the terms and conditions of this contract should be reported to the Contracting Officer.

C.2 52.204-21 BASIC SAFEGUARDING OF COVERED CONTRACTOR

INFORMATION SYSTEMS (NOV 2021)

(a) Definitions. As used in this clause—

Covered contractor information system means an information system that is owned or operated by a contractor that processes, stores, or transmits Federal contract information.

Federal contract information means information, not intended for public release, that is provided by or generated for the Government under a contract to develop or deliver a product or service to the Government, but not including information provided by the Government to the public (such as on public Web sites) or simple transactional information, such as necessary to process payments.

Information means any communication or representation of knowledge such as facts, data, or opinions, in any medium or form, including textual, numerical, graphic, cartographic, narrative, or audiovisual (Committee on National Security Systems Instruction (CNSSI) 4009).

Information system means a discrete set of information resources organized for the collection, processing, maintenance, use, sharing, dissemination, or disposition of information (44 U.S.C. 3502).

Safeguarding means measures or controls that are prescribed to protect information systems.

(b) Safeguarding requirements and procedures. (1) The Contractor shall apply the following basic safeguarding requirements and procedures to protect covered contractor information systems. Requirements and procedures for basic safeguarding of covered contractor information systems shall include, at a minimum, the following security controls:

(i) Limit information system access to authorized users, processes acting on behalf of authorized users, or devices (including other information systems).

(ii) Limit information system access to the types of transactions and functions that authorized users are permitted to execute.

(iii) Verify and control/limit connections to and use of external information systems.

(iv) Control information posted or processed on publicly accessible information systems.

(v) Identify information system users, processes acting on behalf of users, or devices.

(vi) Authenticate (or verify) the identities of those users, processes, or devices, as a prerequisite to allowing access to organizational information systems.

(vii) Sanitize or destroy information system media containing Federal Contract Information before disposal or release for reuse.

(viii) Limit physical access to organizational information systems, equipment, and the respective operating environments to authorized individuals.

(ix) Escort visitors and monitor visitor activity; maintain audit logs of physical access; and control and manage physical access devices.

(x) Monitor, control, and protect organizational communications (i.e., information transmitted or received by organizational information systems) at the external boundaries and key internal boundaries of the information systems.

(xi) Implement subnetworks for publicly accessible system components that are physically or logically separated from internal networks.

(xii) Identify, report, and correct information and information system flaws in a timely manner.

(xiii) Provide protection from malicious code at appropriate locations within organizational information systems.

(xiv) Update malicious code protection mechanisms when new releases are available.

(xv) Perform periodic scans of the information system and real-time scans of files from external sources as files are downloaded, opened, or executed.

(2) Other requirements. This clause does not relieve the Contractor of any other specific safeguarding requirements specified by Federal agencies and departments relating to covered contractor information systems generally or other Federal safeguarding requirements for controlled unclassified information (CUI) as established by Executive Order 13556.

(c) Subcontracts. The Contractor shall include the substance of this clause, including this paragraph (c), in subcontracts under this contract (including subcontracts for the acquisition of commercial products or commercial services, other than commercially available off-the-shelf items), in which the subcontractor may have Federal contract information residing in or transiting through its information system.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records—Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

C.4 VAAR 852.212-71 GRAY MARKET ITEMS (APR 2020)

(a) No gray market or remanufactured items will be acceptable. Gray market items are Original Equipment Manufacturers’ (OEM) goods sold through unauthorized channels in direct competition with authorized distributors. This procurement is for new OEM medical equipment only for VA medical facilities.

(b) Vendor shall be an OEM, authorized dealer, authorized distributor or authorized reseller for the proposed equipment/system, verified by an authorization letter or other documents from the OEM. All software licensing, warranty and service associated with the equipment/system shall be in accordance with the OEM terms and conditions.
