B.2 STATEMENT OF WORK

Background Information

Immunohistochemical staining is widely used in the diagnosis of abnormal cells such as those found in cancerous tumors. Pathology is requesting this Immunostainer so slides may be prepared to allow the pathologists to differentiate different malignancies. Currently, the tissues that need immunostaining are sent to a reference lab for staining and reading. Amarillo VA Health Care System P&LMS sends approximately 175 specimens out, which results in approximately 810 slides per year. These numbers are expected to increase as our patient population increases

A. Scope:

Operational features:

1. Function as a stand-alone automated immunohistochemistry/in Situ Hybridization instrument for staining of anatomic pathology fixed tissue slides.

2. Must have a 30-slide capacity with capability of at least 35 reagent slots.

3. The instrument must be able to perform both imunohistochemical (IHC) and In-Situ hybridization (ISH) on the same platform.

4. Must be able to regulate the temperature of each individual slide during antigen retrieval and antibody testing protocols.

5. Must be able to perform antigen retrieval on the same platform as IHC testing.

6. Instrument must be able to process following specimens

B. Applicable Documents: ISO documents.

C. Contractor Requirements: The contractor will provide all equipment, parts, service and maintenance necessary for reagent/instrument rental operation of the equipment and shall pay routine shipping fees for such.

D. Instrumentation and manuals:

1. Instrumentation shall be delivered no later than 90 Days from the Date of Award. Required hardware and software upgrades, as well as necessary training, shall be provided at no additional expense.

2. The contractor shall provide on-site support to assist with performance of validation studies.

Vendor shall perform all required statistical analyses and report data in an organized, clearly comprehensible format. The contractor shall ensure that installation of equipment, validation studies and all other tasks that are necessary for implementation of this agreement are completed within 90 days from the award date.

3. Vendors should provide a list or otherwise specify all maintenance requirements/tasks to be performed by the analyzer operator(s) as well as the service engineers.

4. Vendors should provide commercial literature, other information describing compliance with technical specifications, and all customer references from successful installations over the past year.

E. Technical support services: Technical support services shall be provided at no additional charge

Technical support by telephone shall be available 24 hours a day, 7 days per week. On-site technical support shall be available 8:00 a.m. – 5:00 p.m. central time, Monday through Friday, excluding Federal holidays. Technical support shall return all downtime calls within one hour.

Should on-site service be required, the contractor’s field service organization shall provide on-site service response within 24 hours after being contacted. The repair person shall also, prior to departure, provide the visited site with written documentation of services performed. The contractor shall provide, at no charge, all labor, travel, and parts necessary to make repairs.

Repair service is expected to be provided 8:00 a.m. – 5:00 p.m. central time, Monday through

Friday, excluding Federal holidays.

F. Operator Training: Contractor shall provide operator training for up to two (2) persons per analyzer the first year at no additional cost. Contractor shall provide all tuition, training materials, airfare, lodging, and meals. Additional on-site training shall be provided as needed at no additional costs as per Contractor’s training schedule.

G. Value-added Items: All value-added items provided by the Contractor shall be the property of

Amarillo VAHCS and will not be returned at the end of the agreement unless Amarillo VAHCS ends the agreement prior to the end of fiscal year 2021. Contractor shall provide the following value-added items at no additional costs:

1. Uninterruptible Power Supply (UPS) for each analyzer. Systems shall be installed and maintained by the contractor. Preventive maintenance shall be performed in accordance with manufacturer’s recommended guidelines. Batteries should be replaced prior to expiration date provided by the manufacturer.

2. All ancillary equipment/furniture needed to support instrumentation.

H. Computer Hard Drives: Per Amarillo VAHCS Information Security Policies, no hard drives or computer disks containing VA patient information will be removed from VA facilities. At the time of turn-in or removal due to failure, the VA facility will remove all sensitive data from information systems storage devices or render the data from these systems unreadable. No

Federal Information Processing equipment will be discontinued from rental/lease or exchange without compliance with this requirement. No charge will be incurred by Amarillo VAHCS for any hard drive that is removed from the instrument.

I. INTERFACE/SECURITY: The processor is not tied into the VA computer system either through

VISTA or CPRS.

J. Government Requirements: NA

K. Deliverables: We request that the equipment be installed within 90 Days from the Date of

Award.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records—Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller

General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. Equipment Manufacturers’ (OEM) goods sold through unauthorized channels in direct competition with authorized distributors. This procurement is for new OEM medical equipment only for VA medical facilities.

(b) Vendor shall be an OEM, authorized dealer, authorized distributor or authorized reseller for the proposed equipment/system, verified by an authorization letter or other documents from the OEM. (a) No used, refurbished, or remanufactured supplies or equipment/parts shall be provided. This procurement is for new Original Equipment Manufacturer (OEM) items only. No gray market items shall be provided. Gray market items are OEM goods intentionally or unintentionally sold outside an authorized sales territory or sold by non-authorized dealers in an authorized sales territory.

(b) No counterfeit supplies or equipment/parts shall be provided. Counterfeit items include unlawful or unauthorized reproductions, substitutions, or alterations that have been mismarked, misidentified, or otherwise misrepresented to be an authentic, unmodified item from the original manufacturer, or a source with the express written authority of the original manufacturer or current design activity, including an authorized aftermarket manufacturer. Unlawful or unauthorized substitutions include used items represented as new, or the false identification of grade, serial number, lot number, date code, or performance characteristics.

(c) Vendor shall be an OEM, authorized dealer, authorized distributor or authorized reseller for the proposed equipment/system, verified by an authorization letter or other documents from the OEM. C.8 VAAR 852.219-74 LIMITATIONS ON SUBCONTRACTING—MONITORING AND

COMPLIANCE (JUL 2018)

(a) This solicitation includes FAR 52.219-6 Notice of Total Small Business Set-Aside.

(b) Accordingly, any contract resulting from this solicitation is subject to the limitation on subcontracting requirements in 13 CFR 125.6, or the limitations on subcontracting requirements in the

I. Basis of Award

The Government intends to award a contract resulting from this solicitation to the responsible offeror whose quote conforming to the solicitation meets or exceeds the requirement at the lowest price, Lowest Price Technically Acceptable (LPTA). The quotes will be evaluated based on the evaluation factors listed below. The technical acceptability will be evaluated on an "acceptable" or "unacceptable" basis. The lowest price contractor will first be evaluated. If determined to be technically

“unacceptable,” the next lowest price response will be evaluated, and so on, until an offer is determined to be “acceptable.” The following areas will be evaluated:

Backhaul, covered telecommunications equipment or services, critical technology, interconnection arrangements, reasonable inquiry, roaming, and substantial or essential component have the meanings provided in the clause 52.204–25, Prohibition on Contracting for Certain Telecommunications and Video

Surveillance Services or Equipment.

(b) Prohibition. (1) Section 889(a)(1)(A) of the John S. McCain National Defense Authorization Act for

Fiscal Year 2019 (Pub. L. 115–232) prohibits the head of an executive agency on or after August 13, 2019, from procuring or obtaining, or extending or renewing a contract to procure or obtain, any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system.

Nothing in the prohibition shall be construed to—

(i) Prohibit the head of an executive agency from procuring with an entity to provide a service that connects to the facilities of a third-party, such as backhaul, roaming, or interconnection arrangements;

or

(ii) Cover telecommunications equipment that cannot route or redirect user data traffic or cannot permit visibility into any user data or packets that such equipment transmits or otherwise handles.

(2) Section 889(a)(1)(B) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019

(Pub. L. 115–232) prohibits the head of an executive agency on or after August 13, 2020, from entering into a contract or extending or renewing a contract with an entity that uses any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system. This prohibition applies to the use of covered telecommunications equipment or services, regardless of whether that use is in performance of work under a Federal contract. Nothing in the prohibition shall be construed to—

(i) Prohibit the head of an executive agency from procuring with an entity to provide a service that connects to the facilities of a third-party, such as backhaul, roaming, or interconnection arrangements;

or

(ii) Cover telecommunications equipment that cannot route or redirect user data traffic or cannot permit visibility into any user data or packets that such equipment transmits or otherwise handles.

(c) Procedures. The Offeror shall review the list of excluded parties in the System for Award

Management (SAM) (https://www.sam.gov) for entities excluded from receiving federal awards for

“covered telecommunications equipment or services.”

(d) Representations. The Offeror represents that—

(1) It [ ] will, [ ] will not provide covered telecommunications equipment or services to the

Government in the performance of any contract, subcontract or other contractual instrument resulting from this solicitation. The Offeror shall provide the additional disclosure information required at paragraph (e)(1) of this section if the Offeror responds “will’’ in paragraph (d)(1) of this section; and

(2) After conducting a reasonable inquiry, for purposes of this representation, the Offeror represents that—

It [ ] does, [ ] does not use covered telecommunications equipment or services, or use any equipment, system, or service that uses covered telecommunications equipment or services. The Offeror shall provide the additional disclosure information required at paragraph (e)(2) of this section if the Offeror responds “does’’ in paragraph (d)(2) of this section.

(e) Disclosures. (1) Disclosure for the representation in paragraph (d)(1) of this provision. If the Offeror has responded “will’’ in the representation in paragraph (d)(1) of this provision, the Offeror shall provide the following information as part of the offer:

(i) For covered equipment—

(A) The entity that produced the covered telecommunications equipment (include entity name, unique entity identifier, CAGE code, and whether the entity was the original equipment manufacturer

(OEM) or a distributor, if known);

(B) A description of all covered telecommunications equipment offered (include brand; model number, such as OEM number, manufacturer part number, or wholesaler number; and item description, as applicable); and https://www.sam.gov/

(C) Explanation of the proposed use of covered telecommunications equipment and any factors relevant to determining if such use would be permissible under the prohibition in paragraph (b)(1) of this provision.

(ii) For covered services—

(A) If the service is related to item maintenance: A description of all covered telecommunications services offered (include on the item being maintained: Brand; model number, such as OEM number, manufacturer part number, or wholesaler number; and item description, as applicable); or

(B) If not associated with maintenance, the Product Service Code (PSC) of the service being provided; and explanation of the proposed use of covered telecommunications services and any factors relevant to determining if such use would be permissible under the prohibition in paragraph (b)(1) of this provision.

(2) Disclosure for the representation in paragraph (d)(2) of this provision. If the Offeror has responded

“does’’ in the representation in paragraph (d)(2) of this provision, the Offeror shall provide the following information as part of the offer:

(i) For covered equipment—

(A) The entity that produced the covered telecommunications equipment (include entity name, unique entity identifier, CAGE code, and whether the entity was the OEM or a distributor, if known);
