I. Basis of Award

The Government intends to award a contract resulting from this solicitation to the responsible offeror whose quote conforming to the solicitation meets or exceeds the requirement at the lowest price, Lowest Price Technically Acceptable (LPTA). The quotes will be evaluated based on the evaluation factors listed below. The technical acceptability will be evaluated on an

"acceptable" or "unacceptable" basis. The lowest price contractor will first be evaluated. If determined to be technically “unacceptable,” the next lowest price response will be evaluated, and so on, until an offer is determined to be “acceptable.” The following areas will be evaluated:

1. Technical Acceptability (acceptable/unacceptable)

2. Price

Factor 1: Technical Acceptability – The contractor shall provide a written statement addressing each of the following items. The written statement must describe each point and must provide enough detail to determine minimum qualifications.

a. Description of Specifications: Provide a listing of specifications meeting the specifications contained in the Statement of Work (SOW).

b. Letter of Authorization: A letter of authorization is required from the Original Equipment

Manufacturer (OEM) stating that contractor is an authorized distributor/reseller per E.1

Gray Market Language.

2. Contract Title.

Dental Treatment chairs to include accessories and instruments necessary for the Lubbock dental clinic processes.

3. Background.

The Thomas E Creek VA Medical Center is requesting additional dental treatment chairs with accessories for the activation of the new Lubbock Clinic.

4. Scope.

The Thomas E Creek VA Medical Center is seeking to purchase 3 Dental Chairs, provider stools, assistant stools with instruments and installation for three chairs in Lubbock. The dental hand pieces must be validated to use for KaVo Quattrocare Lubrication System. All Dental hand pieces and all other reusable medical equipment requiring sterilization must have pre-vacuum steam sterilization parameters of a minimum of 3 minutes at 134°C -1°C/+4°C (273°F -1.6°F/+7.4°F). The accessories will not utilize reusable curing lights. The request shall have two instruction manuals for Bio-medical Service. The vendor will provide In-service and training for reprocessing of reusable medical equipment must be provided to Sterile Processing Service staff.

5. Specific Technical requirements

Must be ADEC Brand name or equivalent:

Dental chairs must have ultra-thin back rest that flexes enabling the staff to tuck knees under the chair must have upholstery to cradle patient, double articulating gliding headrest that moves with the patient due to our veteran needs and mobility issues, be able to adjust headrest with one hand, hydraulic left system to ensure smooth transitions of patient treatment heights, shall provide 300-watt power supply for the system, expandable height range of 13.5 inches to 31.5 inches, 60 degree swivel with brakes, shall have multi-position armrest that rotate out of the way to allow for patient access and exit, cut a-way cast iron baseplate that provides six contact points for added stability to provider.

Delivery Systems shall have four position control block design to all air driven component with corrosion-resistant materials and a water flow system that eliminates stagnant water for infection control safety issues. Shall have left/right pivoting chair mount for ergonomic positioning of control head, shall have pivoting mounted control head for positioning of instruments and tubing, shall have 2 liter contained water bottle to allow for pickup tube and a quick disconnecting fitting, shall have reliable 2-way communication between circuit boards that detects new modules, shall have wet/dry foot control with chip blower

Assistant Instrumentation Provides secondary control of chair, dental light, and cuspidor (or accessory) functions; serves as a sturdy handle for positioning the assistant's arm. Easy left/right conversion that allows both left- and right-handed operators to assist the dentist with patient care. Shall have a Vacuum tower that Rotates to improve HVE and saliva ejector tubing management to includes a large-capacity solids collector to simplify routine cleaning and shall have adjustable holders that rotate as a group and pivot independently customizing instrument positioning.

Dental Monitors shall have glide tracking to ensure monitor movement, shall have an ergonomic grip handle to maneuver and tilt monitor with one hand, shall be VESA compatible and accommodate 15, 17, or 19-inch medical grade monitors.

Provider stools shall have tilt seats, with five castors that allow for stability for dentist on hard flooring, shall have contoured backrests, vinyl upholstery.

Assistant Stools shall have tilt seating, cradled back rest, standard foot ring

Multiflex 460 LED, 6-Pion Coupler with KAVO multi LED

Dental hand pieces shall have ceramic bearing, miniature head (15 watt), multiflex LUX connection, push button auto chuck, 3 port spray, shall be able to be used at 33psi

Expertmatic E25L handpieces shall have speed increase, transmission 1:5, small head, snap on facility and ceramic bearings, 3 port spray and replaceable water filter

Expertmatic handpiece E20L shall have transmission of 1:1, shall be efficient with single spray of internally conducted water and air

Expertmatic handpiece E10C shall have transmission of 1:1, single spray and conducted spray water and air

Expertmatic handpiece E679L shall have ceramic bearing, standard head of 18 watt, multiflex

Lux connection, push button auto chuck, 4 port spray, use an air pressure of 36psi.

Purchase shall include two user manuals, 2 technical menus, and training of sterilization process for all SPS staff in and Lubbock, Texas. All equipment shall be blanket wrapped to ensure equipment arrives in new condition. Installation of equipment being purchased and uninstall of current equipment shall be quoted.

Dental Chairs, stools, water and air lines must be able to be low level disinfected by being wiped with a quat or alcohol based low level disinfectant.

(d) Comptroller General Examination of Record. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. C.4 VAAR 852.212-71 GRAY MARKET ITEMS (APR 2020)

(a) No gray market or remanufactured items will be acceptable. Gray market items are Original

Equipment Manufacturers’ (OEM) goods sold through unauthorized channels in direct competition with authorized distributors. This procurement is for new OEM medical equipment only for VA medical facilities.

(b) Vendor shall be an OEM, authorized dealer, authorized distributor or authorized reseller for the proposed equipment/system, verified by an authorization letter or other documents from the

OEM. All software licensing, warranty and service associated with the equipment/system shall be in accordance with the OEM terms and conditions.

C.5 VAAR 852.219-74 LIMITATIONS ON SUBCONTRACTING—MONITORING

AND COMPLIANCE (JUL 2018)

(a) This solicitation includes FAR 52.219-6 Notice of Total Small Business Set-Aside.

(a) Definitions. As used in this provision—

Covered telecommunications equipment or services, critical technology, and substantial or essential component have the meanings provided in clause 52.204–25, Prohibition on

Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.

(b) Prohibition. Section 889(a)(1)(A) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019 (Pub. L. 115–232) prohibits the head of an executive agency on or after

August 13, 2019, from procuring or obtaining, or extending or renewing a contract to procure or obtain, any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system. (d) Representation. The Offeror represents that it [] will, [] will not provide covered telecommunications equipment or services to the Government in the performance of any contract, subcontract or other contractual instrument resulting from this solicitation.

(e) Disclosures. If the Offeror has represented in paragraph (d) of this provision that it “will” provide covered telecommunications equipment or services, the Offeror shall provide the following information as part of the offer—

(1) A description of all covered telecommunications equipment and services offered (include brand; model number, such as original equipment manufacturer (OEM) number, manufacturer part number, or wholesaler number; and item description, as applicable);

(2) Explanation of the proposed use of covered telecommunications equipment and services and any factors relevant to determining if such use would be permissible under the prohibition in paragraph (b) of this provision;

(3) For services, the entity providing the covered telecommunications services (include entity name, unique entity identifier, and Commercial and Government Entity (CAGE) code, if known);

and

(4) For equipment, the entity that produced the covered telecommunications equipment

(include entity name, unique entity identifier, CAGE code, and whether the entity was the OEM or a distributor, if known).

E.4 52.211-6 BRAND NAME OR EQUAL (AUG 1999)

(a) If an item in this solicitation is identified as "brand name or equal," the purchase description reflects the characteristics and level of quality that will satisfy the Government's needs. The salient physical, functional, or performance characteristics that "equal" products must meet are specified in the solicitation.

(b) To be considered for award, offers of "equal" products, including "equal" products of the brand name manufacturer, must—

(1) Meet the salient physical, functional, or performance characteristic specified in this solicitation;

(2) Clearly identify the item by—

(i) Brand name, if any; and

(ii) Make or model number;

(3) Include descriptive literature such as illustrations, drawings, or a clear reference to previously furnished descriptive data or information available to the Contracting Officer; and

(4) Clearly describe any modifications the offeror plans to make in a product to make it conform to the solicitation requirements. Mark any descriptive material to clearly show the modifications.

(c) The Contracting Officer will evaluate "equal" products on the basis of information furnished by the offeror or identified in the offer and reasonably available to the Contracting Officer. The

Contracting Officer is not responsible for locating or obtaining any information not identified in the offer.

(d) Unless the offeror clearly indicates in its offer that the product being offered is an "equal" product, the offeror shall provide the brand name product referenced in the solicitation.

E.5 52.212-2 EVALUATION—COMMERCIAL ITEMS (OCT 2014)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

Technical and Price, when combined, are equal.

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

(c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the

Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for Award Management

(SAM) accessed through https://www.sam.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (v) of this provision.

(a) Definitions. As used in this provision—

Covered telecommunications equipment or services has the meaning provided in the clause

52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance

Services or Equipment.

Economically disadvantaged women-owned small business (EDWOSB) concern means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.

Forced or indentured child labor means all work or service—

(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or

(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.

Highest-level owner means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest-level owner.

Immediate owner means an entity, other than the offeror, that has direct control of the offeror.

Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.

Inverted domestic corporation means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).
