B.2 LIMITATIONS ON SUBCONTRACTING-- MONITORING AND COMPLIANCE (JUN 2011)

This solicitation includes FAR 52.219-14 Limitations on Subcontracting. Accordingly, any contract resulting from this solicitation will include this clause. The contractor is advised in performing contract administration functions, the CO may use the services of a support contractor(s) retained by VA to assist in assessing the contractor's compliance with the limitations on subcontracting or percentage of work performance requirements specified in the clause. To that end, the support contractor(s) may require access to contractor's offices where the contractor's business records or other proprietary data are retained and to review such business records regarding the contractor's compliance with this requirement. All support contractors conducting this review on behalf of VA will be required to sign an “Information Protection and Non-Disclosure and Disclosure of Conflicts of Interest Agreement” to ensure the contractor's business records or other proprietary data reviewed or obtained in the course of assisting the CO in assessing the contractor for compliance are protected to ensure information or data is not improperly disclosed or other impropriety occurs. Furthermore, if VA determines any services the support contractor(s) will perform in assessing compliance are advisory and assistance services as defined in FAR 2.101, Definitions, the support contractor(s) must also enter into an agreement with the contractor to protect proprietary information as required by FAR 9.505-4, obtaining access to proprietary information, paragraph (b). The contractor is required to cooperate fully and make available any records as may be required to enable the CO to assess the contractor's compliance with the limitations on subcontracting or percentage of work performance requirement.

B.3 SUBCONTRACTING COMMITMENTS--MONITORING AND COMPLIANCE (JUN 2011)

This solicitation includes VAAR 852.215-70, Service-Disabled Veteran-Owned and Veteran-Owned Small Business Evaluation Factors, and VAAR 852.215-71, Evaluation Factor Commitments. Accordingly, any contract resulting from this solicitation will include these clauses. The contractor is advised in performing contract administration functions, the CO may use the services of a support contractor(s) to assist in assessing contractor compliance with the subcontracting commitments incorporated into the contract. To that end, the support contractor(s) may require access to the contractor's business records or other proprietary data to review such business records regarding contract compliance with this requirement. All support contractors conducting this review on behalf of VA will be required to sign an “Information Protection and Non-Disclosure and Disclosure of Conflicts of Interest Agreement” to ensure the contractor's business records or other proprietary data reviewed or obtained in the course of assisting the CO in assessing the contractor for compliance are protected to ensure information or data is not improperly disclosed or other impropriety occurs. B.4 STATEMENT OF WORK

The purpose of this contract is to provide to veteran patient’s quality laboratory services. Contractor is to provide healthcare resources in accordance with Public Law 104.262 and 38 U.S.C. 8153. Contractor agrees to provide the following laboratory procedures/tests in support of the El Paso VA Health Care System (EPVAHCS) in El Paso, Texas.

Pricing includes all labor, materials, equipment and supplies necessary to perform certain human laboratory procedures/tests.

Contractor shall perform and provide results for, but not limited to, the following procedures/tests:

WORK STATEMENT

1. Contractor shall provide laboratory services to the Pathology & Laboratory Medicine Service of the El Paso VA Health Care System, Department of Veterans Affairs Medical Center, located at 5001 N. Piedras St., El Paso, Texas. Tests will be performed as prescribed by the VA attending physician.

2. Contractor shall provide laboratory services to include daily scheduled specimen transportation, analysis and reporting of analytic results, and consultation regarding selection, collection, transportation and result interpretation. Results are to be accessible through the contractor’s electronic database by P&LMS personnel.

3. Contractor will supply test kits, collection containers, and specimen transport supplies. Supplies will be delivered at no charge at the request of P&LMS personnel and/or through vendor’s automated inventory system.

4. The volumes listed are independent government estimates and El Paso VA Health Care System (EPVAHCS) makes no guarantee as to what volume of tests, if any, the contractor may receive. Annual Testing volume pricing as follows.

5. Contractor shall provide all labor, equipment, and materials required to perform procedures/tests as stated herein.

6. These procedures/tests shall be performed to the satisfaction of El Paso VA Health Care System (EPVAHCS) Pathology & Laboratory Medicine Service, Chief of Staff, and the Contracting Officer’s Representative (COR).

7. Services rendered will be verified by a record keeping system maintained by Pathology & Laboratory Medicine Service and Fiscal Service at EPVAHCS, which assures that the VA pays for only those services actually requested, and only for valid patients of EPVAHCS.

8. Contractor shall provide to the COR the methodology, ranges, and expected turnaround time for results on any tests that are requested.

9. Security Requirements: VA Protected Health Information is provided to the vendor under this contract. This contract is to enable a HIPAA Covered Entity to provide clinical services on behalf of VA. A patient’s consent is not required (1605.1P24). The vendor is required to secure the PHI as required by HIPAA.

SECTION B: DESCRIPTION/SPECIFICATIONS

10. DEFINITIONS:

LAB ADVISORY COMMITTEE: An individual or group of laboratory directors (Chiefs) or their designees that evaluate the medical/technical/service/quality qualifications of offerors labs. During the life of the contract, this group monitors the quality and service provided by the contractor.

SPECIAL HANDLING: Unusual circumstances may dictate the need for a specimen to be picked up specially, run out of sequence or at a special time, or reported within a shorter than usual time.

CONTRACTING OFFICER: The Contracting Officer (CO) named below is responsible for the overall administration of this contract. Contractor is advised that only the Contracting Officer, acting within the scope of his/her duties and responsibilities, has the authority to make changes to the contract, which affect contract prices, terms and conditions of this contract:

CONTRACTING OFFICER REPRESENTATIVE: A Representative of the Contracting Officer (COR) will be designated to represent the Contracting Officer in furnishing technical guidance and advice under this contract. The foregoing is not to be construed as authorization to interpret or furnish advice and information to Contractor relative to the financial or legal aspects of the contract. Those matters are the responsibility of the Contracting Officer and shall not be delegated.

11. LAB REPORTS: All lab reports shall contain at a minimum the following information:

12. REPORTING OF LAB REPORTS RESULTS: All lab reports shall be reported electronically through the contractor’s secured on-line website. If electronic retrieval of lab reports is unavailable for an extended period, results may be sent by secured fax.

14. PAYMENT: The VA shall not be responsible for payment for services which were not requested in accordance with contract.

15. TRANSPORTATION OF SPECIMENS: Contractor shall transport specimens in such a manner as to ensure the integrity of the specimen. Contractor will arrange for daily pickup by a national carrier Monday through Friday excluding National holidays from the Laboratory at El Paso VA Medical Clinic, 5001 N. Piedras St., El Paso, TX 79930. Change in frequency of routine pickups will be negotiated between contractor and EPVAHCS.

16. LICENSING AND ACCREDITATION:

A) Contractor shall have all licenses, permits, accreditation and certificates required by law.

B) Personnel assigned by the contractor to perform these services covered under this contract shall be licensed in a State, Territory or Commonwealth of the United States or the District of Columbia.

C) The lab must be accredited by the College of American Pathologist (CAP) or have Joint Commission and Clinical Laboratory Improvement Amendments (CLIA) (Public Law 100-578) certifications or CLIA waiver. Contractor must submit proof of Joint Commission and CLIA certifications/waiver along with their offer.

D) Laboratory Director shall be a licensed pathologist, physician, or biologist.

17. QUALITY CONTROLS:

A) By the end of each month following the end of the quarter, the contractor shall provide to the Laboratory Manager and COR a cumulative (year-to-date) summary report by test. The report shall include at minimum the following

· Number of tests performed

· Number of test rejections with reason for rejection

· TAT for each test order during that quarter

B) The VA shall have access to inspect the contractor’s facilities, equipment and records. The results of these inspections shall be published and given to the contractor.

C) Contractor shall immediately advise the Laboratory Manager and COR of any changes in methodology, procedure, reference ranges and any new test introduced, including CPT code.

D) Contractor shall provide the following information annually during the life of the contract:

1. Indication of average monthly volume of specified tests listed in this contract.

2. Provide address of processing sites under contract, including subcontracted testing location sites.

3. Proficiency testing data shall include a list of tests outside of the -+2SD range for the past two (2) years. Contractor shall notify lab of any test falling outside -+2SD range during contract period.

E) Contractor agrees to maintain the satisfactory service, reporting systems and quality control as specified herein. Acceptable performance will be determined annually by the criteria listed below.

18. The contractor must also include names and telephone numbers of technical directors and pathologists available for consultation.

19. Contractor shall assign a specific account representative to each facility.

20. The Government may evaluate the quality of the professional and administrative services provided, but retains no control over the medical professional aspects of services rendered (e.g. professional judgments, diagnosis for specific medical treatment).

21. CANCELLATION: The government may terminate this contract at any time upon at least 30 days written notice by the contracting officer to the contractor. The contractor, with written consent of the contracting officer, may terminate this contract upon at least 30 days written notice to the contracting officer.

22. INVOICING: Invoices must contain at a minimum the following information. Contractor shall provide this information on one original invoice:

23. GOVERNING LAW: This contract shall be governed, construed and enforced in accordance with Federal Law.

24. MARKETING: Contractor shall not advertise or use any marketing material, logos, trade names, service marks, or other material belonging to the EPVAHCS without the EPVAHCS’ consent.

25. ORDER OF PRECEDENCE: The terms, conditions, and attachments referenced herein, including any formal written modifications thereto, constitute the complete agreement between the parties and take precedence over any other language, oral or written.

26. RECORDS MANAGEMENT:

All records (administrative and program specific) created during the period of the contract belong to El Paso VA Health Care System (EPVAHCS) and must be returned to EPVAHCS at the end of the contract.

27. SECURITY: The C&A requirements do not apply. A Security Accreditation Package is not required.

NARA RM Language Clause to be included in contracts, as necessary:

1. Citations to pertinent laws, codes and regulations such as 44 U.S.C Chapter 21 , 29, 31 and 33; Freedom of Information Act (5 U.S.C. 552); Privacy Act (5 U.S.C. 552a); 36 CFR Part 1222 and Part 1228.

2. Contractor shall treat all deliverables under the contract as the property of the U.S.

Government for which the Government Agency shall have unlimited rights to use, dispose of, or disclose such data contained therein as it determines to be in the public interest.

3. Contractor shall not create or maintain any records that are not specifically tied to or authorized by the contract using Government ‘IT’ equipment and/or Government records.

4. Contractor shall not retain, use, sell, or disseminate copies of any deliverable that contains information covered by the Privacy Act of 1974 or that which is generally protected by the Freedom of Information Act.

5. Contractor shall not create or maintain any records containing any Government Agency records that are not specifically tied to or authorized by the contract or identified in the RCS 10-1.

6. The Government Agency owns the rights to all data/records produced as part of this contract.

7. The Government Agency owns the rights to all electronic information (electronic data, electronic information systems, electronic databases, etc.) and all supporting documentation created as part of this contract. Contractor must deliver sufficient technical documentation with all data deliverables to permit the agency to use the data.

8. Contractor agrees to comply with Federal and Agency records management policies, including those policies associated with the safeguarding of records covered by the Privacy Act of 1974. These policies include the preservation of all records created or received regardless of format [paper, electronic, etc.] or mode of transmission [e-mail, fax, etc.] or state of completion [draft, final, etc.].

9. No disposition of documents will be allowed without the prior written consent of the Contracting Officer. The Agency and its contractors are responsible for preventing the alienation or unauthorized destruction of records, including all forms of mutilation. Willful and unlawful destruction, damage or alienation of Federal records is subject to the fines and penalties imposed by 18 U.S.C. 2701. Records may not be removed from the legal custody of the Agency or destroyed without regard to the provisions of the agency records schedules.

10. Contractor is required to obtain the Contracting Officer's approval prior to engaging in any contractual relationship (sub-contractor) in support of this contract requiring the disclosure of information, documentary material and/or records generated under or relating to this contract. The Contractor (and any sub-contractor) is required to abide by Government and Agency guidance for protecting sensitive and proprietary information.

(d) Comptroller General Examination of Record. (1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. The offeror agrees, if awarded a contract, to use the service-disabled veteran-owned small businesses or veteran-owned small businesses proposed as subcontractors in accordance with 852.215-70, Service-Disabled Veteran-Owned and Veteran-Owned Small Business Evaluation Factors, or to substitute one or more service-disabled veteran-owned small businesses or veteran-owned small businesses for subcontract work of the same or similar value.

C.9 VAAR 852.232-72 ELECTRONIC SUBMISSION OF PAYMENT REQUESTS (NOV 2012)

(a) Definitions. As used in this clause—

(1) Contract financing payment has the meaning given in FAR 32.001.

(2) Designated agency office has the meaning given in 5 CFR 1315.2(m).

(3) Electronic form means an automated system transmitting information electronically according to the Accepted electronic data transmission methods and formats identified in paragraph (c) of this clause. Facsimile, email, and scanned documents are not acceptable electronic forms for submission of payment requests.

(4) Invoice payment has the meaning given in FAR 32.001.

(5) Payment request means any request for contract financing payment or invoice payment submitted by the contractor under this contract.

(b) Electronic payment requests. Except as provided in paragraph (e) of this clause, the contractor shall submit payment requests in electronic form. Purchases paid with a Government-wide commercial purchase card are considered to be an electronic transaction for purposes of this rule, and therefore no additional electronic invoice submission is required.

(c) Data transmission. A contractor must ensure that the data transmission method and format are through one of the following:

(1) VA’s Electronic Invoice Presentment and Payment System. (See Web site at http://www.fsc.va.gov/einvoice.asp.)

(2) Any system that conforms to the X12 electronic data interchange (EDI) formats established by the Accredited Standards Center (ASC) and chartered by the American National Standards Institute (ANSI). The X12 EDI Web site (http://www.x12.org) includes additional information on EDI 810 and 811 formats.

(d) Invoice requirements. Invoices shall comply with FAR 32.905.

(e) Exceptions. If, based on one of the circumstances below, the contracting officer directs that payment requests be made by mail, the contractor shall submit payment requests by mail through the United States Postal Service to the designated agency office. Submission of payment requests by mail may be required for:

(1) Awards made to foreign vendors for work performed outside the United States;

(2) Classified contracts or purchases when electronic submission and processing of payment requests could compromise the safeguarding of classified or privacy information;

(3) Contracts awarded by contracting officers in the conduct of emergency operations, such as responses to national emergencies;

(4) Solicitations or contracts in which the designated agency office is a VA entity other than the VA Financial Services Center in Austin, Texas; or

(5) Solicitations or contracts in which the VA designated agency office does not have electronic invoicing capability as described above.

C.10 VAAR 852.246-71 INSPECTION (JAN 2008)

Rejected goods will be held subject to contractors order for not more than 15 days, after which the rejected merchandise will be returned to the contractor's address at his/her risk and expense. Expenses incident to the examination and testing of materials or supplies that have been rejected will be charged to the contractor's account.
