STATEMENT OF WORK

A. GENERAL INFORMATION

1. Title of Project: Full Service Maintenance Agreement for ASP STERRAD NX

2. Scope of Work: This requirement fulfills the need for preventative maintenance and repairs of VA owned equipment used in the Sterile Processing Services. The Contractor shall provide as part of this firm-fixed price contract all resources necessary to perform the required tasks specified herein.

The Contractor shall provide scheduled maintenance and emergency repair service for the items listed in Section I, “EQUIPMENT.”

The Contractor shall ensure proper service levels are maintained and make certain that equipment performance is optimal in accordance with manufacturer specifications.

All work must be performed by qualified technician in compliance with applicable manufacturer’s recommendations, codes and standards in its entirety. Maintenance and repair (when necessary) shall be performed as indicated in manufacturer’s requirements and recommendations for this equipment.

Additional inspections and tests shall be performed as needed or upon request of the Government.

3. Background: The mission of the Department of Veterans Affairs (VA), Veterans Health Care Administration, Valley Coastal Bend Health Care System (VCB), at Harlingen, Texas, is to provide benefits and services to veterans of the United States. In meeting these goals, the Sterile Processing Service at VCB strives to provide high quality, effective and efficient Sterile Processing services to those Departments providing care to the Veterans at the point-of-care as well as throughout all the points of the veterans’ health care in an effective, timely and compassionate manner. VCB depends on the skills and services of the Sterile Processing Service to meet mission goals.

4. Performance Period: The base period of performance will be a twelve-month period from date of award. At the discretion of the Contracting Officer, the Government may exercise up to four, twelve-month option periods.

All Coordination will be made with the Contracting Officer’s Representative (COR), before work begins. All maintenance and repair services shall be scheduled in advance with the COR and shall occur Monday through Friday, excluding federal holidays, during regular business hours between 8:00 A.M.

and 12:00 P.M. Work at the government site shall not take place on Federal holidays or weekends unless directed by the Contracting Officer (CO).

5. Type of Contract: It has been determined that a firm fixed price contract is appropriate.

6. Place of Performance: The contract will be performed at VA Valley Coastal Bend, Health

Care Center at Harlingen (HCC), located at 2601 Veterans Drive, Harlingen, Texas 78550.

B. CONTRACT AWARD MEETING

The contractor shall not commence performance on the tasks in this SOW until the COR has conducted a kick off meeting or has advised the contractor that a kick off meeting is waived.

The Certification and Accreditation (C&A) requirements do not apply, and a Security

Accreditation Package is not required.

C. GENERAL REQUIREMENTS

The intent of this Statement of Work is to provide a broad overview of the requirements not to list all the requirements. Partial listing of the requirements in this Statement of Work does not reduce or eliminate the obligation of the Contractor to meet all manufacturers’ requirements. The Contractor shall provide scheduled maintenance and emergency repair service for the equipment listed in Section I, “EQUIPMENT,” in accordance with all applicable standards and manufacturer’s requirements and recommendations.

1. The Contractor shall perform the required preventative maintenance tasks as scheduled;

repairs and maintenance calls will be addressed as needed.

2. The Contractor shall provide all parts, tools, labor, and travel to perform maintenance service and repairs (preventative or corrective). To maintain the equipment in accordance with Original Equipment Manufacturer specifications, parts requiring replacement will be replaced or rebuilt on new part basis. All parts that are removed from Government equipment during repairs or preventative maintenance must be turned in to the Biomedical Engineering Department (COR) prior to Contractor departure. All rebuilt or refurbished parts will have, at a minimum, a 90-day warranty.

3. The Contractor shall provide 24x7x365 Technical support/Help Desk support to address questions and problems on an immediate, real-time basis.

4. Preventative maintenance and unscheduled repairs shall be accompanied by:

a. Diagnosis/root cause analysis, defined resolution approach and or workaround or fix.

b. Operator instruction on actions to be taken on the customer’s end to correct the problem

c. Quality/training initiatives to increase operator knowledge and decrease the number of incoming incidents (informal)

5. Technician will arrive on site with 24-hours of service call

6. The Contractor will notify the COR, at least three business days before a preventative maintenance visit is required. All work shall be coordinated with the COR before commencement of work or entry onto Government premises. The Contractor shall ensure the COR is notified of the name of each Contractor representative assigned to the task at least 24 hours/one business day before the work is to begin.

7. Each representative of the Contractor will be required to sign-in and out at the Security Police prepared to provide a government issued picture identification during the sign-in process.

Contractor staff shall remain under escort while on Government premises.

8. This contract includes preventative maintenance and repair services. However, the

Contractor shall submit a list of all needed or anticipated repairs revealed, during the performance of preventative maintenance tasks, to the COR (or designee) along with the test reports prior to leaving site.

9. At the conclusion of the service visit, and prior to leaving the site, the contractor shall provide a written service report indicating:

a. the date of service,

b. the model, serial number, and VA identifying number (which is always on a bar code with EE#),

c. the location of the equipment serviced

d. the name of the Contractor personnel performing the work,

e. the service(s) performed and the parts replaced.

3. All written deliverables will be phrased in layperson language. Statistical and other technical terminology will not be used without providing a glossary of terms

D. CHANGES TO STATEMENT OF WORK

Any changes to this SOW shall be authorized and approved only through written correspondence from the CO. A copy of each change will be kept in a project folder along with all other products of the project. Costs incurred by the contractor through the actions of parties other than the CO shall be borne by the contractor.

Under no circumstances are you to assume that the contract has been extended or otherwise renewed unless you are informed to that effect by the Contracting Officer.

E. TRAVEL

The Government anticipates travel under this effort to perform the tasks associated with the effort through the period of performance. Include all estimated travel costs in your firm-fixed price line items. These costs will not be directly reimbursed by the Government.

The total estimated number of trips in support of this effort will vary depending on the Contractor proposed schedule and unanticipated equipment failures. The requirement is for two (2) contract line items, each of which requires one (1) preventative maintenance call per twelve-month period. All work will be performed at VA Valley Coastal Bend, Health Care Center at Harlingen (HCC), located at 2601 Veterans Drive, Harlingen, Texas 78550.

G. CONTRACTOR EXPERIENCE REQUIREMENTS – KEY PERSONNEL

All inspections and testing shall be performed by a qualified technician, whose credentials shall be submitted to the Contracting Officer’s Representative (COR) upon request. The OEM Certificate of Training shall be no less than two years. All Contractor personnel who will perform the required services shall have received the Original Equipment Manufacturer’s repair and maintenance training, specific to the equipment listed in Section I, “EQUIPMENT.”

(d) Comptroller General Examination of Record. The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. C.5 VAAR 852.237-70 CONTRACTOR RESPONSIBILITIES (APR 1984)

The contractor shall obtain all necessary licenses and/or permits required to perform this work. He/she shall take all reasonable precautions necessary to protect persons and property from injury or damage during the performance of this contract. He/she shall be responsible for any injury to himself/herself, his/her employees, as well as for any damage to personal or public property that occurs during the performance of this contract that is caused by his/her employees fault or negligence, and shall maintain personal liability and property damage insurance having coverage for a limit as required by the laws of the State of Texas. E.1 52.212-2 EVALUATION—COMMERCIAL ITEMS (OCT 2014)

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

(b) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. (c) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. ADDENDUM to FAR 52.212-2 EVALUATION—COMMERCIAL ITEMS

a. Price will be evaluated for reasonableness and realism. Unrealistically high or low proposed costs or prices, initially or subsequently, may be grounds for eliminating an offeror from competition either on the basis that the offeror does not understand the requirement or has submitted an unrealistic offer. Additionally, unbalanced pricing poses an unacceptable risk to the Government and may be reason to reject an offer. The burden of proof for credibility of proposed costs/prices rests with the offeror.

b. Technical Capability – Offerors are required to meet all solicitation requirements, such as terms, conditions, representations and certifications, and technical requirements, in addition to evaluations factors and/or sub-factors. Offeror shall submit current certification of training for Sterrad NX Sterilization Systems to show capability to maintain systems.

c. Past Performance – Past performance information must be submitted on no more than three recent contracts (within the last five years) that you consider most relevant in demonstrating your ability to perform the proposed effort. Past performance must be similar in nature and scope.

(a) Definitions. As used in this provision—

Forced or indentured child labor means all work or service—

Predecessor means an entity that is replaced by a successor and includes any predecessors of the predecessor.

Restricted business operations means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174).

Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate—

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

(3) Consist of providing goods or services to marginalized populations of Sudan;

(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;

“Sensitive technology”—

Successor means an entity that has replaced a predecessor by acquiring the assets and carrying out the affairs of the predecessor under a new name (often through acquisition or merger). The term “successor” does not include new offices/divisions of the same company or a company that only changes its name.

The extent of the responsibility of the successor for the liabilities of the predecessor may vary, depending on State law and specific circumstances.

Veteran-owned small business concern means a small business concern—

(1) Not less than 51 percent of which is owned by one or more veterans (as defined at 38 U.S.C.

101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and
