About this file
This document is a Sole Source Justification for a firm-fixed price contract under FAR 13.5 Simplified Acquisition Procedures for commercial items. The Department of Veterans Affairs (VA) is seeking maintenance services for a Varian TrueBeam-H194504 radiotherapy system at the John Cochran Veterans Affairs Medical Center in St. Louis, MO. The contract has a 12-month base period plus four 12-month option periods, with a total estimated value of $1,444,756. Varian Medical Systems, Inc. is the only responsible vendor that can provide the required proprietary maintenance services. The VA conducted market research but did not identify any other qualified vendors, including Veteran-owned small businesses, capable of meeting the requirement. As a result, this will be a sole source award to Varian Medical Systems, Inc.

5. Demonstration that the Contractor’s Unique Qualifications or Nature of the Acquisition Requires the Use of the Authority Cited Above (applicability of authority):
This requirement is for the maintenance services of the Varian TrueBeam-H194504, highly specialized ancillary equipment that is currently installed and in use and has a life span of 10 years, in which this equipment is only in its fourth year. This equipment provides a radiotherapy system designed to treat a broad range of cancer cases by delivering precise dosages of medication. The equipment is solely maintained by the manufacturer, a large business, which uses proprietary software and original equipment manufacturer hardware, Varian Medical Systems, Inc. Due to the proprietary nature, and as stated in the Sole Source Letter and E-mail from Varian Medical Systems, Inc., Varian Medical Systems technicians are certified to perform these services with unlimited access to proprietary diagnostic software and parts.
The repercussions of purchasing a whole new system will cause delays in providing Veterans with the needed medical care for cancer and will cost the Government an estimated $3.6 million to which the funds have not been budgeted vs. the maintence over 5 years for a total value of $1.4 million.
The following is for information purposes only: The Varian TrueBeam-H194504 was acquired by the St. Louis VAMC, March 5, 2020. The device is approaching its fourth year. Devices with an acquisition management criticality score of 10 typically have a life expectancy of 10 years.
Therefore, the Varian TrueBeam-H194504 is expected to reach its end of life, March 5, 2030. The asset value of the Varian TrueBeam-H194504 is $3,607,660.00.
6. Description of Efforts Made to ensure that offers are solicited from as many potential sources as deemed practicable:
A Sources Sought Notice was issued, November 14, 2023. There were only two responses and both were from vendors that are not authorized to work on Varian Medical Service, Inc.
equipment per Varian Medical Systems’ E-mail to the CO. Varian Medical Systems, Inc. also responded to the Sources Sought Notice and they sent their “Sole Source Letter”.
7. Determination by the CO that the Anticipated Cost to the Government will be Fair and Reasonable:
A fair and reasonable price determination will be made by comparison to the Independent Government Cost Estimate that was formulated by using market research of historical pricing from same/similar scope contracts and market price lists.
Certified cost and pricing data is not required under this requirement as the items being procured will be under a Firm-Fixed-Price contract and there is historical data available to determine a fair and reasonable pricing.
8. Description of the Market Research Conducted and the Results, or a Statement of the Reasons Market Research Was Not Conducted
In accordance with VETs First, the SBA VERTCERT website was searched using the words, “Varian” and there were no results. A search using the NAICS 811210 produced a list of 169 vendors but none of them are authorized vendors to perform maintenance services on Varian Medical Systems, Inc. equipment. Based on the limitations of VetCert and to capture an overall snapshot of small business availability, SBA's DSBS tool was also searched using NAICS 811210 narrowed down to Kansas and Missouri using keywords "radiotherapy system maintenance". This resulted in "0" small businesses to include SDVOSBs and VOSBs.
Request for Sole Source Justification >SAT-$7.5M under FAR13.5
Effective Date: 02/01/2022 Page 3 of 4
As indicated above, in Section 6, a Source Sought was posted to www.SAM.gov to determine if there were any other vendors the could meet the Government’s need. Varian Medical Systems, Inc., the manufacturer of TrueBeam-H194504, equipment and ancillary equipment, is the only vendor that can provide the required services and they have stated in their Sole Source Letter, and an E-mail sent to the CO, they do not authorize 3rd party service providers in the commercial marketplace. A NAC contract, 36H79719D0014, was found; however, it will expire August 2024 and is no longer viable. A search for SAC and GSA did not find any other viable contracts that can provide this service requirement.
Based on the analysis of the market research and historical data, the Contracting Officer does not have an expectation that two or more SBA VETCERT Veteran-Owned small business concerns will submit offers.
9. Any Other Facts Supporting the Use of Other than Full and Open Competition: None.
10. Listing of Sources that Expressed, in Writing, an Interest in the Acquisition:
• A&B Technical, LLC, 794 Barkley Crest Circle, Auburn, AL 36830-2170
• The Remi Group, 6325 Ardrey kell Road, Suite 200, Charlotte, NC 28277
• Varian Medical Systems, Inc., 3100 Hansen Way, Palo Alto, CA 94304.
11. A Statement of the Actions, if any, the Agency May Take to Remove or Overcome any Barriers to Competition before Making subsequent acquisitions for the supplies or services required:
There will be continued surveillance to monitor Varian Medical Systems should they decide in the future to authorize 3rd party vendors to perform their services. Until the manufacturer allows small businesses to train for the maintenance of the equipment, the only other alternative would be to replace the current equipment at all VISN 15 sites, which currently has not been budgeted.
12. Requirements Certification: I certify that the requirement outlined in this justification is a Bona Fide Need of the Department of Veterans Affairs and that the supporting data under my cognizance, which are included in the justification, are accurate and complete to the best of my knowledge and belief.

PART II TO BE COMPLETED BY CONTRACTING OFFICER
Effective Date: 03/01/2022 Page 10 of 11
Contracting Officer Responsibilities:
I. Background. See information above in Part I of this document.
In accordance with FAR 7.102, contracting officers and acquisition planners are required to perform acquisition planning and conduct market research. The following information is a summary of the acquisition planning: In submitting this request for procurement, the customer considered available sources within the agency, any government furnished information/property, and security considerations IAW VA Directive/Handbook 6500. The contract type for this procurement is (Firm-Fixed Price Type) and the milestone schedule will be accomplished and documented in the Electronic Contract Management System (eCMS).
See information above in Part I of this document.
II. Market Research
1. Techniques Used in Conducting Market Research:
2. Results of Market Research:
III. Consideration of Small Business Opportunities
Guidance: All acquisitions for supplies and services with an anticipated value above the micro-purchase up to and including the simplified acquisition threshold (SAT); these thresholds (see FAR 2.1-1 definitions) are reserved exclusively for small businesses and shall be set aside (FAR 19.502-2(a)). If the anticipated acquisition value exceeds the SAT, the requirement must be set aside for Small Businesses if (1) there is a reasonable expectation of receipt of offers from two or more responsible Small Businesses, and (2) award will be made at a fair market price (FAR 19.502-2(b)).
VAAR 819.7004: Contracting officers shall consider, in the following order of priority, contracting preferences that ensure contracts will be awarded
- To SDVOSBs
- To VOSB, including but not limited to SDVOSBs,
- To small business concerns using the priorities and preferences in 819.203-
70 and VAAR subpart 819.70
Effective Date: 03/01/2022 Page 11 of 11
Note: The Small Business Jobs Act of 2010 created parity among small business socioeconomic contracting programs. As a result of this amendment to the Small Business Act, there is no order of precedence among the 8(a), HUBZone, SDVOSB or WOSB programs in FAR (see 819.203).
38 U.S.C. 8127 (i) Priority for Contracting Preferences. Provides those preferences for awarding contracts to small business concerns shall be applied in the following order of priority: (1) SDVSOBs, followed by (2) VOSBs, including SDVOSBs, then (3) 8(a) and HUBZone firms and (4) any other small business. The order of priority was established in 2006 by Public Law 109-461, as per the policy in the Small Business Act at that time.
Since then, as a result of legislative amendments to the Small Business Act, the FAR has been amended to create a woman-owned small business set-aside and to provide parity among the various small business socio-economic programs. Therefore, VA has adopted the current parity policy in FAR 19.203 for procurements involving other than SDVOSBs/VOSBs.
Based on above Market Research, identify each Small Business (including its eligibility for specific socioeconomic category status) capable of performing or providing the requirement. Discuss and explain the potential for Small Business participation in this acquisition. See information above in Part I of this document.
IV. Conclusions and Recommendations
The vendor, Varian Medical Systems, Inc., is a Large Business concern and is the only vendor that can provide the maintenance services as described in the market research provided above in Part I of this document.
IV. PROPOSED PROCUREMENT METHOD
Based on the market research conducted, no two or more SBA VETCERT verified and capable SDVOSBs or VOSBs were identified and appeared capable of performing the requirement. In addition, no small business in any of the other targeted socio-economic groups appeared to qualify for a set-aside or sole source procurement. Therefore, it is anticipated that this will be a sole source contract awarded to Varian Medical Systems, Inc., for this requirement in accordance with FAR Part 6.302-1 and FAR Part 13. This market research information is not more than 12 months old.

Hey Teresa, These vendors would NOT be authorized or able to do the following items that are contained in the statement of work:
a. Proprietary operating system software enhancements without hardware changes (excludes software upgrades)
b. Unlimited Technical Services (24x7) & Clinical Applications Telephone Support (Mon-Fri 8am
- 5pm)
c. Remote Service Support (includes Remote Desktop)
d. Remote Proactive Monitoring
For these reasons and others, Varian has been awarded VA service contracts via Sole Source for almost all contracts over the past year.
- There’s only two Varian machines left in the VA fleet covered by a 3rd party and we expect to get those machines back under Varian service contract in March 2024.
Does this answer your question fully? Thank you.

Yes Sir it has been a minute.
I do have more questions. Please see the attached and I need to know per the attached, do the vendors listed have the authorization to perform the services:
A&B Technical, LLC, 794 Barkley Crest Circle, Auburn, AL 36830-2170
The Remi Group, 6325 Ardrey Kell Road, Suite 200, Charlotte, NC 28277
I have to know about these specific vendors because if they are authorized to perform the services listed on the attached, then I have to post a solicitation. If they are not authorized then I have to Sole Source to Varian.

Good Afternoon Teresa, Long time. Hope you are well.
There are 3rd party providers that can service our equipment; HOWEVER, Varian as the OEM is the only vendor that can comply with the Government T&Cs of the contract.
- For example, only Varian can perform hardware, software and firmware upgrades to our equipment.
o These 3rd parties can’t and all government contracts I’ve signed off on have this requirement.
- Varian’s service and support training, procedures and documentation are proprietary to and the intellectual property of Varian.
o Varian, as the OEM, does not train 3rd party service providers in the commercial market place.
o Varian, as the OEM, does not sanction non-Varian training centers to provide technical maintenance training for Varian products.
o Only Varian service and support technicians can directly escalate to Varian Product Specialists, Product
Support Engineering and Engineering for service issues and product repairs.
- SmartConnect is Varian’s proprietary remote support and diagnostic service tool technology used by Varian support personnel.
o SmartConnect meets all cyber-security and PHI requirements and is fully vetted & approved through the MOU/ISA between the VA and Varian.
o Other vendors will not be able to provide this type of remote access and analytics that Varian provides to our customers while under Varian service contract.
- Varian, as the OEM, ensures the exclusive use of qualified Varian parts to ensure proper design, pre-testing, and integration with all system components.
- Varian has numerous parts depots across North America enabling the service organization to receive replacement parts on site via NFO (next flight out) or overnight delivery for emergency or “system down” situations.
Let me know if you have any further questions and thanks for reaching out.
Have a great day.
