B.2 LIMITATIONS ON SUBCONTRACTING-- MONITORING AND COMPLIANCE (JUN 2011)

This solicitation includes VAAR 852.219-10 VA Notice of Total Service- Disabled Veteran-Owned Small Business Set-Aside. Accordingly, any contract resulting from this solicitation will include this clause. The contractor is advised in performing contract administration functions, the CO may use the services of a support contractor(s) retained by VA to assist in assessing the contractor's compliance with the limitations on subcontracting or percentage of work performance requirements specified in the clause. To that end, the support contractor(s) may require access to contractor's offices where the contractor's business records or other proprietary data are retained and to review such business records regarding the contractor's compliance with this requirement. All support contractors conducting this review on behalf of VA will be required to sign an “Information Protection and Non-Disclosure and Disclosure of Conflicts of Interest Agreement” to ensure the contractor's business records or other proprietary data reviewed or obtained in the course of assisting the CO in assessing the contractor for compliance are protected to ensure information or data is not improperly disclosed or other impropriety occurs. Furthermore, if VA determines any services the support contractor(s) will perform in assessing compliance are advisory and assistance services as defined in FAR 2.101, Definitions, the support contractor(s) must also enter into an agreement with the contractor to protect proprietary information as required by FAR 9.505-4, obtaining access to proprietary information, paragraph (b). The contractor is required to cooperate fully and make available any records as may be required to enable the CO to assess the contractor's compliance with the limitations on subcontracting or percentage of work performance requirement.

B.4. Statement of Work

1.1 SCOPE

1. The contractor will supply all tools, materials, labor and specialized test instruments to perform the following services in accordance with Inspection/Test Procedures outlined in section 1.7 below as well as VHA Directive 1028 (effective 2014) Electrical Power Distribution System, NFPA-70B, Recommended Practice for Electrical Equipment Maintenance, industry standards and manufacturers recommendations to inspect, service, test and adjust circuit breakers, switchgear, protective relays, automatic transfer switches, fused disconnect switches, motor control centers and transformers included in , Electrical Equipment List.

Contractor will perform an infrared scan of all switchboards (low and medium voltage), automatic transfer switches, oil-type transformers, motor control centers, chiller starters and electrical switchboards and panelboards.

Contractor shall generate a report documenting all test results, defective equipment and recommended corrective actions. This report will be submitted in three (3) bound copies and electronic versions (Compact Disc). The report will provide documentation of each defect (hot spot) noted during the infrared scan and it will include: visual and thermal images, temperature rise, probable cause, urgency of corrective action and recommendations.

All work performed under this contract is subject to inspection by the VA to ensure compliance with all terms and conditions of this contract.

2. Completion Time: 45 calendar days from notice to proceed.

1.2 QUALIFICATIONS/CERTIFICATIONS

1. The contractor will be an independent testing company, without affiliation to equipment manufacturers, electrical contractors, nor be engaged in the sale of new or used equipment. The contractor will have properly qualified testing personnel, either International Electrical Testing Association (NETA) certified, or person with equal or higher certifications, such as a Master Electrician license or an engineering degree, with at least five years of specialized and documented electrical testing experience on both low and medium voltage systems.

2. All testing personnel must have completed an Occupational Safety and Health Agency (OSHA) 10-hour Construction Safety Course and show documented proof. The testing supervisor must have completed the OSHA 30-hour Construction Safety Course and show documented proof. The contractor shall designate a “competent person” in accordance with 29 CFR 1926.32(f) which states, “One who is capable of identifying existing and predictable hazards in the surroundings or working conditions which are unsanitary, hazardous or dangerous to employees and who has authorization to take prompt corrective measures to eliminate them.” The contractor shall instruct each of its employees in the recognition and avoidance of unsafe conditions and the regulations applicable to their work environment to control or eliminate any hazards or other exposure to illness or injury.

1.3 EQUIPMENT

1. The contractor must supply his own equipment for all testing. This includes but is not limited to, ladders, carts, cleaning equipment, test equipment and safety equipment. Equipment, tools, etc., shall be properly maintained while on the project and shall be adequate in quality and suitable for proper execution of work.

2. All contractor employees must have and use sufficient quantities of flame resistant clothing and personal protective equipment (PPE) as required by NFPA 70E.

3. Contractor will have and utilize lockout/tagout kits, grounding kits as well as insulated tools and blankets as required by OSHA and industry standards to provide maximum safety for testing personnel.

1.4 ADDITIONAL SAFETY PROVISIONS

1. Flash suits with proper protective level will be worn by personnel performing opening and closing functions in addition to using insulated, protective gloves when clearing electrical circuits and performing voltage/current tests. A designated electrical safety supervisor will be onsite at all times to ensure safe operations and methods are followed.

2. Additionally, the contractor shall comply with the following requirements:

a. Maintain site and building access free and unobstructed to facility emergency services.

b. Means of egress shall not be blocked.

c. Flammable and combustible liquids must be stored, disposed and used in accordance with OSHA 1926, NFPA 241 and NFPA 30.

d. Prevent accidental smoke detector operation.

e. Prohibit smoking in and adjacent to work areas.

f. Dispose of waste and debris from buildings DAILY.

1.5 SCHEDULING OF WORK

1. The successful contractor shall submit to Engineering/COR for approval, a proposed work schedule at least two weeks in advance of the proposed starting date.

2. Hours of Work: The contractor will perform work from 10:00 pm to 6 am Monday through Friday not including federal holidays. Observed federal holidays are: New Year’s Day, Martin Luther King Jr. birthday, Presidents Day, Memorial Day, Independence Day, Labor Day, Columbus Day, Veterans Day, Thanksgiving Day and Christmas or any other day specifically declared by the President of the United States to be a national holiday.

1.6 MAJOR AND MINOR REPAIRS

The contractor shall make repairs or corrections when deficiencies are noticed while performing reliability testing procedures. Some repairs are considered to be: completely re-doing wiring terminations; re-torqueing breaker tabs on the buses; re-torqueing breaker connections to the breaker tabs and/or buses; re-phasing cables at terminations; replacing missing panel and panel cover hardware; other miscellaneous tasks. Contractor shall charge cost for materials and a specific wage rate at the schedule for these repairs. Each repair shall require a quote that breaks out the material cost and labor hours to be expended. The Repair costs for any given contract year shall not exceed $15,00.00. There is no guarantee that all or any of these services may be required. When repairs are needed the COR shall review and approve repairs before work may commence. The contract awarded will have $15,000.00 funded at this line item by the contracting officer and any portion not used will be de-obligated at the end of the performance period. The COR shall provide all quotes and invoices to the contracting officer to be placed in the contract file upon completion of repairs.

1.7 SPECIAL REQUIREMENTS

1. All contractor personnel will attend the mandatory Safety and Infection Control training class that is given every Tuesday morning at 7:00AM. This training is valid for 1 year.

2. Each worker must complete the form provided by the COR, at least 1 week in advance, in order to receive a badge. Fingerprints will be taken and a background check will be performed prior to issuance of an ID badge.

3. ID badges must be worn by contractor personnel always. The government will remove any contractor personnel not wearing a badge from the work area and those personnel will not be allowed to enter the property until properly badged.

1.7 INSPECTION/TEST PROCEDURES

For testing purposes, equipment rated over 600 VAC is classified as medium voltage and under 600 VAC is classified as low voltage equipment. Outlined below are testing and inspection procedures to be used for each equipment item type to be tested under this project. Note – test and safety equipment is included for each item type.

Medium Voltage Circuit Breakers

1) TEST EQUIPMENT

3) TEST METHODS

When authorized by VAMC personnel:

a) Open the circuit breaker by trip-close switch.

b) If circuit breaker provides normal power to an emergency power system, verify emergency power is available.

c) If circuit breaker is a main breaker with a tie breaker or alternate feeder system, observe and verify the tie or alternate system operated properly.

d) Remove the circuit breaker from the cubicle.

e) Clean, inspect, exercise and lubricate the circuit breaker in accordance with contract, manufacturer’s recommendations, and ANSI standards. Partial disassembly of the circuit breaker may be required by the manufacturer for these services. Re-assemble the circuit breaker as required for testing.

f) Perform circuit breaker tests as required by the contract, manufacturer and ANSI standards.

g) Record all test results data.

h) Compare test results with recognized standards such as ANSI or manufacturer’s guidelines.

i) Upon completion of testing, reinstall circuit breaker into cubicle up to the test position.

j) In the test position, verify electrical operations of the circuit breaker. Using protective devices (i.e., relays) verify these devices open the circuit breaker.

k) Fully install the circuit breaker into the cubicle.

l) With permission of VAMC personnel and all personnel cleared, close the circuit breaker.

m) If circuit breaker provides normal power to an emergency power system, observe and verify the operation of the emergency system.

n) If circuit breaker is a main breaker, observe and verify the tie or alternate system operates properly.

Medium Voltage Protective Relays

a) Disconnect the relay shorting plug and remove relay from protective case.

b) Perform visual and mechanical inspection in accordance with manufacturer’s recommendations.

c) Clean, inspect, exercise and lubricate the relay in accordance with contract, manufacturer’s recommendations, and ANSI standards.

d) Perform relay tests as required by the contract, manufacturer and ANSI standards. Test relay at three points on manufacturer’s time-current curve.

e) Record all test results data.

f) Compare test results with recognized standards such as ANSI or manufacturer’s guidelines.

g) Upon completion of testing, reinstall relay into its protective case. Reinstall relay shorting plug.

Medium Voltage Substation

a) De-energize the switchboard. Perform lock-out/tag-out procedures.

b) Install grounding kit.

c) Clean, inspect and tighten connections.

d) Inspect, verify and test switchboard grounding.

e) After temporarily removing grounding kit, measure bus insulation resistance for both phase-to-phase and phase-to-ground.

f) Measure all joint resistance.

g) Reinstall grounding kit.

h) Inspect and test all metering and relaying circuits to include potential and current transformers.

i) Inspect the switchboard installation to include leveling, hardware and covers.

j) Record all test data.

k) Compare test results with recognized standards such as ANSI or manufacturer’s guidelines.

l) Remove grounding kit.

m) With permission of VAMC personnel, all personnel cleared, and lock-out/tag-out devices removed, re-energize the switchboard.

n) After re-energizing the switchboard, verify both phase voltages and currents.

e) Clean, inspect and tighten transformer enclosure and connections (including load break elbows) per manufacturer’s recommendations.

f) Perform transformer tests as required by the contract, manufacturer and ANSI standards.

g) Winding resistance measurement should be performed in two-three tap settings.

h) Obtain oil sample from sampling valve. Oil sample is to be submitted to a certified testing laboratory for full testing to include dissolved gas analysis.

i) Restore nitrogen blanket over the oil as required using transformer-grade nitrogen.

j) Inspect neutral to ground bonding of secondary windings. Measure ground resistance.

k) Record all test data.

l) Compare test results with recognized standards such as ANSI or manufacturer’s guidelines.

m) With permission of VAMC personnel, personnel cleared, and lock-out/tag-out devices removed, re-energize the transformer.

n) If transformer provides normal power to an emergency power system, observe and verify emergency power is available.

o) If transformer is a main normal power source with a tie breaker or alternate system, observe and verify the tie or alternate system operates properly.

e) Clean, inspect, exercise and lubricate the circuit breaker in accordance with contract, manufacturer’s recommendations, and ANSI standards. Partial disassembly of the circuit breaker may be required by the manufacturer for these services. Re-assemble the circuit breaker as required for testing.

f) Perform circuit breaker tests as required by the contract, manufacturer and ANSI standards.

g) Record all test results data.

h) Compare test results with recognized standards such as ANSI or manufacturer’s guidelines.

i) Upon completion of testing, reinstall circuit breaker (draw out breakers only). Observe breaker and cubicle alignment.

j) With permission of VAMC personnel and all personnel cleared, close the circuit breaker.

k) If circuit breaker provides normal power to an emergency power system, observe and verify the operation of the emergency system.

l) If circuit breaker is a main breaker, observe and verify the tie or alternate system operates properly.

3) TEST METHODS

When authorized by VAMC personnel:

a) De-energize each transfer switch from both normal and emergency power sources. If the transfer switch is a bypass-type, place the transfer switch to the power source designated by VAMC personnel. Perform lock-out/tag-out procedures.

b) Verify power sources are off.

c) Inspect all connections, contacts, wiring, and relaying.

d) Perform contract, manufacturers, and ANSI tests on the transfer switch.

e) With permission of VAMC personnel, remove lock-out/tag-out devices and re-energize the normal power source. If a bypass-type transfer switch, place transfer switch back to the normal power source.

f) After completion of testing, perform an operational test of each transfer switch by de-energizing the normal power source, allowing transfer switch to start the generator and transfer to generator power. After short operating time on generator, re-energize the normal power source, allow the transfer to begin its timing cycle for retransfer to normal power and the generator cool-down period. This operational test must be coordinated with VAMC personnel to prevent disruption of critical systems.

g) Record all test results and operational data.

d) Inspect starter to cell connectors.

e) Test motor overload devices. Compare to motor load amperes.

f) Perform all tests and services required by contract, manufacturer’s recommendations, and ANSI standards.

g) Record all test results data.

h) With permission of VAMC personnel, all personnel cleared, and lock-out/tag-out devices removed, re-energize each motor starter and motor control center.

Low Voltage Electrical Panels

a) Verify panel is properly identified (life safety, critical branch, etc.) with a red label for emergency panels.

b) Verify branch circuit directory is present and legible.

c) Verify all panel hardware is present and in good operating condition.

d) Verify blank circuit spaces are covered with a manufacturer-approved cover.

e) Remove panel cover.

f) Exercise circuit breaker to “wipe” the contacts.

g) Visually inspect all connections and wiring.

h) Visually inspect neutral and ground wires.

i) Perform infrared scan.

j) Perform contract, manufacturers, and ANSI tests on each panel.

k) Record all test results and operational data.

B.5 CONTRACT ADMINISTRATION

(1) All contract administration functions will be retained by the Department of Veterans Affairs. The Contracting Officer will be the only person authorized to approve changes or modify any of the requirements under this contract. The Contractor shall communicate with the Contracting Officer on all matters pertaining to contract administration. Only the Contracting Officer will be authorized to make commitments or issue changes that affect price, quantity, or quality of performance of this contract. In the event the Contractor effects any such change at the direction of any person other than the Contracting Officer, the change shall be considered unauthorized and no adjustment will be made in the contract price to cover any increase in costs incurred as a result thereof.

(a) Contracting Officer’s Representative

(Pursuant to VAAR Provision 852.270-1, Representatives of Contracting Officer, the designated representative for this contract is will be determined at award.

(b) Acronyms and Definitions CDR: Contract Discrepancy Report. Report issued by the Government to the contractor to document a supply or service found to be unacceptable during contract performance.

CLIN: Contract Line Item Number. Unit of work (or service) to be performed (or delivered) by the contractor as a pay item.

CO: Contracting Officer. A person with the authority to enter into, administer, and/or terminate contracts and make related determinations and findings.

COR: Contracting Officer’s Representative. An individual, including a Contracting Officer’s Representative (COR), designated and authorized in writing by the contracting officer to perform specific technical or administrative functions.

QA: Quality Assurance. Actions taken by the government to assure contracted services meet PWS requirements.

(c) Non-Personal Services

(1) This is a non-personal services contract. Personnel rendering services under this contract are not subject either by the contract’s terms or by the manner of its administration, to the supervision and control usually prevailing in relationships between the government and its employees. The Government shall not exercise any supervision or control over the contract service s performing services herein. Such contract service s shall be accountable solely to the Contractor who, in turn, is responsible to the Government.

(d) Contractor Compliance with the Immigration and Nationality Act of 1952

(1) The Contractor shall comply with any and all legal provisions contained in the Immigration and Nationality Act of 1952, As Amended; its related laws and regulations that are enforced by Homeland Security, Immigration and Customs Enforcement and the U.S Department of Labor as these may relate to non-immigrant foreign nationals working under contract or subcontract for the Contractor while providing services to Department of Veterans Affairs patient referrals.

(e) Hours of Operations

(1) Business hours for the VAMC follow:

(A) Administrative hours: Monday through Friday, 8:00 a.m. - 4:30 p.m.

(B) National Holidays: The 10 holidays observed by the Federal Government are:

New Year’s Day;

Martin Luther King’s Birthday;

Presidents Day;

Memorial Day;

Independence Day;

Labor Day;

Columbus Day;

Veterans Day;

Thanksgiving;

Christmas; and any other day specifically declared by the President of the United States to be a national holiday.

(C) Off-Duty hours: Friday through Monday, 4:30 p.m. - 8:00 a.m.; Monday through Thursday, 4:30 pm – 8:00 am.

(f). Quality Control

(l) CONTRACT PERFORMANCE MONITORING. The COR may perform surveillance of services by any of the methods listed below:

(a) Observing actual performance;

(b) Inspecting the services to determine whether or not the performance meets the performance standards; and

(c) Review of any other appropriate records.

(2) When unacceptable performance occurs, the COR shall inform the Contractor and the Contracting Officer. This will normally be in writing unless circumstances necessitate verbal communication. In any case the COR shall document the discussion and place it in the COR file. When the COR determines formal written communication is required, the COR shall prepare a Contract Discrepancy Report (CDR), and present it to the contractor program manager. The Contractor shall acknowledge receipt of the CDR in writing. The CDR will specify if the Contractor is required to prepare a corrective action plan to document how the Contractor shall correct the unacceptable performance and avoid a recurrence. The CDR will also state how long after receipt the Contractor has to present this corrective action plan to the COR. The Government shall review the Contractor corrective action plan to determine acceptability. Any CDRs may become a part of the supporting documentation for any contractual action deemed necessary by the Contracting Officer.

(3) Pursuant to VAAR Provision 852.270-1, Representatives of Contracting Officer representative(s); The Government shall periodically evaluate the Contractor performance by appointing a Contracting Officers Representative (COR) to monitor performance to ensure services are received. The Government representative(s) shall evaluate the Contractor performance through inspections of observations, inspection of services or any other form of documentation and all complaints from VA personnel. The Government may inspect as each task is completed or increase the number of quality assurance inspections if deemed appropriate because of repeated failures or because of repeated customer complaints. Likewise, the Government may decrease the number of quality assurance inspections if performance dictates. The Government Contracting Officer shall make final determination of the validity of customer complaint(s).

(4) If any of the services do not conform to contract requirements, the Government may require the Contractor to perform the services again in conformity with contract requirements, at no increase in contract amount. When the defects in services cannot be corrected by re-performance, the Government may -

(5) Require the Contractor to take necessary action to ensure that future performance conforms to contract requirements at no additional cost to the Government.

(g) Contract Security

1)“The C&A requirements:

Records Management

a) Citations to pertinent laws, codes and regulations such as 44 U.S.C chapters 21, 29, 31 and 33; Freedom of Information Act (5 U.S.C. 552); Privacy Act (5 U.S.C. 552a); 36 CFR Part 1222 and Part 1228.

b) Contractor shall treat all deliverables under the contract as the property of the U.S. Government for which the Government Agency shall have unlimited rights to use, dispose of, or disclose such data contained therein as it determines to be in the public interest.

c) Contractor shall not create or maintain any records that are not specifically tied to or authorized by the contract using Government IT equipment and/or Government records.

d) Contractor shall not retain, use, sell, or disseminate copies of any deliverable that contains information covered by the Privacy Act of 1974 or that which is generally protected by the Freedom of Information Act.

e) Contractor shall not create or maintain any records containing any Government Agency records that are not specifically tied to or authorized by the contract.

f) The Government Agency owns the rights to all data/records produced as part of this contract.

g) The Government Agency owns the rights to all electronic information (electronic data, electronic information systems, electronic databases, etc.) and all supporting documentation created as part of this contract. Contractor must deliver sufficient technical documentation with all data deliverables to permit the agency to use the data.

h) Contractor agrees to comply with Federal and Agency records management policies, including those policies associated with the safeguarding of records covered by the Privacy Act of 1974. These policies include the preservation of all records created or received regardless of format [paper, electronic, etc.] or mode of transmission [e-mail, fax, etc.] or state of completion [draft, final, etc.].

i) No disposition of documents will be allowed without the prior written consent of the Contracting Officer. The Agency and its contractors are responsible for preventing the alienation or unauthorized destruction of records, including all forms of mutilation. Willful and unlawful destruction, damage or alienation of Federal records is subject to the fines and penalties imposed by 18 U.S.C. 2701. Records may not be removed from the legal custody of the Agency or destroyed without regard to the provisions of the agency records schedules.

j) Contractor is required to obtain the Contracting Officer's approval prior to engaging in any contractual relationship (sub-contractor) in support of this contract requiring the disclosure of information, documentary material and/or records generated under, or relating to, this contract. The Contractor (and any sub-contractor) is required to abide by Government and Agency guidance for protecting sensitive and proprietary information.

SECTION C - CONTRACT CLAUSES

C.1 52.212-4 CONTRACT TERMS AND CONDITIONS—COMMERCIAL ITEMS (JAN 2017)

(a) Inspection/Acceptance. The Contractor shall only tender for acceptance those items that conform to the requirements of this contract. The Government reserves the right to inspect or test any supplies or services that have been tendered for acceptance. The Government may require repair or replacement of nonconforming supplies or reperformance of nonconforming services at no increase in contract price. If repair/replacement or reperformance will not correct the defects or is not possible, the Government may seek an equitable price reduction or adequate consideration for acceptance of nonconforming supplies or services. The Government must exercise its post-acceptance rights—

(1) Within a reasonable time after the defect was discovered or should have been discovered; and

(2) Before any substantial change occurs in the condition of the item, unless the change is due to the defect in the item.

(b) Assignment. The Contractor or its assignee may assign its rights to receive payment due as a result of performance of this contract to a bank, trust company, or other financing institution, including any Federal lending agency in accordance with the Assignment of Claims Act (31 U.S.C. 3727). However, when a third party makes payment (e.g., use of the Governmentwide commercial purchase card), the Contractor may not assign its rights to receive payment under this contract.

(c) Changes. Changes in the terms and conditions of this contract may be made only by written agreement of the parties.

(d) Disputes. This contract is subject to 41 U.S.C. chapter 71, Contract Disputes. Failure of the parties to this contract to reach agreement on any request for equitable adjustment, claim, appeal or action arising under or relating to this contract shall be a dispute to be resolved in accordance with the clause at FAR 52.233-1, Disputes, which is incorporated herein by reference. The Contractor shall proceed diligently with performance of this contract, pending final resolution of any dispute arising under the contract.

(e) Definitions. The clause at FAR 52.202-1, Definitions, is incorporated herein by reference.

(f) Excusable delays. The Contractor shall be liable for default unless nonperformance is caused by an occurrence beyond the reasonable control of the Contractor and without its fault or negligence such as, acts of God or the public enemy, acts of the Government in either its sovereign or contractual capacity, fires, floods, epidemics, quarantine restrictions, strikes, unusually severe weather, and delays of common carriers. The Contractor shall notify the Contracting Officer in writing as soon as it is reasonably possible after the commencement of any excusable delay, setting forth the full particulars in connection therewith, shall remedy such occurrence with all reasonable dispatch, and shall promptly give written notice to the Contracting Officer of the cessation of such occurrence.

(g) Invoice.

(1) The Contractor shall submit an original invoice and three copies (or electronic invoice, if authorized) to the address designated in the contract to receive invoices. An invoice must include—

(i) Name and address of the Contractor;

(ii) Invoice date and number;

(iii) Contract number, line item number and, if applicable, the order number;

(iv) Description, quantity, unit of measure, unit price and extended price of the items delivered;

(v) Shipping number and date of shipment, including the bill of lading number and weight of shipment if shipped on Government bill of lading;

(vi) Terms of any discount for prompt payment offered;

(vii) Name and address of official to whom payment is to be sent;

(viii) Name, title, and phone number of person to notify in event of defective invoice; and

(ix) Taxpayer Identification Number (TIN). The Contractor shall include its TIN on the invoice only if required elsewhere in this contract.

(x) Electronic funds transfer (EFT) banking information.

(A) The Contractor shall include EFT banking information on the invoice only if required elsewhere in this contract.

(B) If EFT banking information is not required to be on the invoice, in order for the invoice to be a proper invoice, the Contractor shall have submitted correct EFT banking information in accordance with the applicable solicitation provision, contract clause (e.g., 52.232-33, Payment by Electronic Funds Transfer—System for Award Management, or 52.232-34, Payment by Electronic Funds Transfer—Other Than System for Award Management), or applicable agency procedures.

(C) EFT banking information is not required if the Government waived the requirement to pay by EFT.

(2) Invoices will be handled in accordance with the Prompt Payment Act (31 U.S.C. 3903) and Office of Management and Budget (OMB) prompt payment regulations at 5 CFR part 1315.

(h) Patent indemnity. The Contractor shall indemnify the Government and its officers, employees and agents against liability, including costs, for actual or alleged direct or contributory infringement of, or inducement to infringe, any United States or foreign patent, trademark or copyright, arising out of the performance of this contract, provided the Contractor is reasonably notified of such claims and proceedings.

(i) Payment.—

(1) Items accepted. Payment shall be made for items accepted by the Government that have been delivered to the delivery destinations set forth in this contract.

(2) Prompt payment. The Government will make payment in accordance with the Prompt Payment Act (31 U.S.C. 3903) and prompt payment regulations at 5 CFR part 1315.

(3) Electronic Funds Transfer (EFT). If the Government makes payment by EFT, see 52.212-5(b) for the appropriate EFT clause.

(4) Discount. In connection with any discount offered for early payment, time shall be computed from the date of the invoice. For the purpose of computing the discount earned, payment shall be considered to have been made on the date which appears on the payment check or the specified payment date if an electronic funds transfer payment is made.

(5) Overpayments. If the Contractor becomes aware of a duplicate contract financing or invoice payment or that the Government has otherwise overpaid on a contract…
