A. 36C24918Q0353, CBOC COURIER SERVICE CONTRACTOR QUESTIONS AND RESPONSES

1. Solicitation reads” The contractor shall provide the insulated refrigerated chest with a lock and return all laboratory supplies to each CBOC with each return visit. The insulated chest provided by the contractor must have a lock, and must be capable of accommodating refrigerated and frozen samples (dry ice) and be used for pick-up and delivery of specimens.” Is the Refrigerated Chest the same as an insulated cooler?

RESPONSE: Yes, this is the same as an insulated cooler. Cooler must be able to be secured by lock.

2. Are any of the pickups currently being run together?

RESPONSE: This is the decision of the contractor. The contractor routing is required to meet the pickup and delivery times listed in the RFQ. We leave delivery options up to contractor as long as pickup and delivery times are met.

3. Can North Memphis and Nonconnah Primary Care Clinics be run together?

RESPONSE: This is the decision of the contractor. The contractor routing is required to meet the pickup and delivery times listed in the RFQ. We leave delivery options up to contractor as long as pickup and delivery times are met.

4. Who is the incumbent?

RESPONSE: The incumbent contractor is Qontinuity Enterprises, LLC.

5. Paragraph 1-Introduction and scope of work: States delivery will be made to the Department of Veterans Affairs Medical Center shall not exceed 1-3 hours after pick-up whereas Paragraph 3-Delivery Specimen Pick-up and Delivery Locations-states the pick-up Not earlier than and delivery times no later than for example: Jackson TN 2 pick-ups (11:30 AM and 4:30PM) Lab Delivery (12:30PM and 5:30PM) the distance is 84.5 Miles and Estimated trip time is 1Hr 21Mins. Which times will the contractor need to use?

RESPONSE: The Jackson TN delivery window is now 2 hours after pickup to allow safe travel and delivery of specimen.

6. Who is the contractor currently performing the work?

RESPONSE: The contractor is Qontinuity Enterprises, LLC.

7. What was the cost of the final full option year of the previous contract?

RESPONSE: $239,102.50

8. How many drivers/vehicles are currently used to service the current contract?

RESPONSE: The required number of drivers/vehicles is a contractor decision. The contractor is responsible for meeting all of the requirements and terms & conditions of the contract.

9. What are the vehicle sizes required?

RESPONSE: The contactor is responsible to make the decision concerning vehicle sizes in order to meet the terms & conditions of the contract.

10. Will there be any STAT runs required for this contract? If so, can you provide an approximate number?

RESPONSE: There will not be any STAT runs required for this contract.

11. Page 44 of the Solicitation states that we should submit our quotes in 1 single pdf file; should we include in that one document the excel file (36C24918Q0353-002) with pricing schedule we have to fill out? Or is it okay if we submit the pricing schedule separately in its original spreadsheet?

RESPONSE: The spreadsheet can be submitted separately.

12. Same question for the BAA, do you want us to sign it and include it in that single PDF?

RESPONSE: The BAA will be completed once the award is accomplished. The BAA template was included for contractors to review and understand a BAA.

13. Will this contract be SCA enforced? After reviewing the solicitation on FBO, it contains language and dollar values regarding the Service Contract Act. This solicitation stipulates $13.20, $13.33 and $14.48 minimum wage for courier drivers, $4.27 minimum H&W, Sick Time/Vacation. Do you verify now that those are the minimum required rates to be performed on this contract upon award?

RESPONSE: The Service Contract Act (SCA) is applicable to this requirement. Please refer to the wage determinations posted with the RFQ. Moreover, the Agency assumes this question is being asked in the case that, in the view of an unsuccessful offeror and potential protestor, the eventual awardee submits an allegedly unreasonably low price or a price that is allegedly below the cost of performance. Regardless, neither allegation is a valid basis for protest. An offeror, in its business judgment, properly may decide to submit a price that is extremely low. See Brewer-Taylor Assocs., B-277845, Oct. 30, 1997, 97-2 CPD ¶ 124 at 4. An agency decision that the contractor can perform the contract at the offered price is an affirmative determination of responsibility, which GAO will not review except for protests that allege that definitive responsibility criteria in the solicitation were not met, and protests that identify evidence raising serious concerns that, in reaching a particular responsibility determination, the contracting officer unreasonably failed to consider available relevant information or otherwise violated statute or regulation. 4 CFR § 21.5(c); see also JKW Int’l Corp., B-237527, Feb. 21, 1990, 90-1 CPD ¶ 198 at 3-4.

14. A new SBA Final Rule regarding FAR Clause 52.219-14 Limitations on Subcontracting, dated June 30, 2016, reclassifies Independent Contractor drivers as Subcontractors — 13 CFR 125.6 “Work performed by an independent contractor shall be considered a subcontract.” Please inform us how the VA would like us to proceed upon award regarding this rule change given that it will affect our offer regarding pricing and performance.

RESPONSE: Subcontracts between a small business prime contractor and a similarly situated entity subcontractor are excluded from the limitations on subcontracting calculation.

C. PAGE 44, QUOTES IS AMENDED AND ADDS THE FOLLOWING AMPLIFICATION:

Attachment D.1 PRICE SCHEDULE, the spreadsheet can be submitted separately. Follow the guidance in section B.4 PRICE/COST SCHEDULE.

D. AMPLIFICATION TO FAR 52.217-8, THE FOLLOWING IS ADDED:

For the purposes of the award of this Contract, the Government intends to evaluate the option to extend services under FAR 52.217-8 as follows:

The evaluation will consider the possibility that the option can be exercised at any time, and can be exercised in increments of one to six months, but not for more than a total of six months during the life of the contract. The evaluation will assume that the prices for any option exercised under FAR 52.217-8 will be at the same rates as those in effect under the contract at the time the option is exercised. The evaluation will therefore assume that the addition of the price or prices of any possible extension or extensions under FAR 52.217-8 to the total price for the basic requirement and the total price for the priced options has the same effect on the total price of all proposals relative to each other, and will not affect the ranking of proposals based on price, unless, after reviewing the proposals, the Government determines that there is a basis for finding otherwise. This evaluation will not obligate the Government to exercise any option under FAR 52.217-8.

E. ADD TO SECTION C

C.14 52.232-19 -- Availability of Funds for the Next Fiscal Year. (Apr 1984) Funds are not presently available for performance under this contract beyond September 30, 2019. The Government’s obligation for performance of this contract beyond that date is contingent upon the availability of appropriated funds from which payment for contract purposes can be made. No legal liability on the part of the Government for any payment may arise for performance under this contract beyond September 30, 2019, until funds are made available to the Contracting Officer for performance and until the Contractor receives notice of availability, to be confirmed in writing by the Contracting Officer.
