B.4 STATEMENT OF WORK

SCOPE:

Department of Veterans Affairs (VA), Orlando VA Healthcare System in establishing a fixed-price purchase order for Luxor LX3 with Q-VUE Ophthalmic Microscope and NGENUITY 3D Visualization System – Brand Name or Equal to maximizes visibility during any type of ophthalmic surgery. The contractor shall provide all labor, materials, equipment, tools, and supervision requirement for the acquisition of the Ophthalmic Microscope.

SPECIFIC REQUIREMENTS:

To procure an Ophthalmologic Microscope LuxOR LX3 Q-VUE Brand Name or Equal Medical equipment for Surgical Service Department in the Orlando VA Medical Center. The intended use for the operating eye microscope is to be able to perform cataract and other anterior and posterior chamber ophthalmologic surgical procedures including retinal surgery.

DELIVERABLES:

LX3 with Q-VUE Ophthalmic Microscope or Equal The Luxor LX3 with Q-VUE Ophthalmic Microscope features unique technologies designed to optimize both anterior and posterior procedures, providing superior visualization1 for every type of ophthalmic surgery.

NGENUITY 3D VISUALIZATION SYSTEM or Equal NGENUITY 3D Visualization System integrates with Luxor LX3 with Q-VUE Ophthalmic Microscope The NGENUITY System features a 3D high dynamic range (HDR) camera, an ultra-high- speed image processor, and a surgical 55-inch, 3D 4K organic light-emitting diode (OLED) surgical display that the team views with passive, circularly polarized 3D eyeglasses. The HDR camera, which replaces the oculars and attaches to most surgical.

DELIVERY

Delivery and installation shall be completed within 60 days of award. (60 Days ARO) Delivery to the following location: Orlando Veterans Affairs Healthcare System, Lake Nona Warehouse, 13800 Veterans Way, Orlando, FL 32827

INSTALLATION

The Contractor personnel shall install the Equipment at the Installation Site and perform applicable tests to determine that the Equipment is operating in conformance with product documentation for the Equipment Installation

WARRANTY

Warranty of the equipment shall be provided for at least one year for parts and labor upon receipt and acceptance of the equipment. The vendor shall provide one (1) set of user manuals and technical manuals.

SIGN-IN PROCEDURES

All Contractor workers are required to sign in and out at the VA Police Dispatch at the corresponding locations as directed by the COR or designee at each facility. A valid state driver’s license or state identification card is mandatory for all employees to have access to these facilities. All contractor employees are required to wear the assigned VA badge always.

Everyone entering the OVAHCS facility is screened and visitors are limited. Face coverings are mandatory. Anyone with any symptoms of COVID-19 are not permitted inside the facility.

WORK HOURS

Normal business hours are 7:30AM to 4:30PM Monday thru Friday excluding Federal Holidays. Work completed outside this time must be requested through the COR.

Requests for afterhours work must be submitted in writing to the COR two (2) weeks prior to work. The VA requires that information submitted must contain extent of work, workers involved, the affected areas, and the estimated times of operation. Subject to COVID-19 restrictions and approval.

C.3 VAAR 852.212-71 GRAY MARKET ITEMS (APR 2020)

(a) No gray market or remanufactured items will be acceptable. Gray market items are Original Equipment Manufacturers’ (OEM) goods sold through unauthorized channels in direct competition with authorized distributors. This procurement is for new OEM medical equipment only for VA medical facilities.

(b) Vendor shall be an OEM, authorized dealer, authorized distributor or authorized reseller for the proposed equipment/system, verified by an authorization letter or other documents from the OEM. All software licensing, warranty and service associated with the equipment/system shall be in accordance with the OEM terms and conditions.

(End of Clause) C.4 VAAR 852.219-74 LIMITATIONS ON SUBCONTRACTING—MONITORING AND COMPLIANCE (JUL 2018)

(a) This solicitation includes VAAR 852.219-10 VA Notice of Total Service- Disabled Veteran-Owned Small Business Set-Aside.

(b) Accordingly, any contract resulting from this solicitation is subject to the limitation on subcontracting requirements in 13 CFR 125.6, or the limitations on subcontracting requirements in the FAR clause, as applicable. The Contractor is advised that in performing contract administration functions, the Contracting Officer may use the services of a support contractor(s) retained by VA to assist in assessing the Contractor's compliance with the limitations on subcontracting or percentage of work performance requirements specified in the clause. To that end, the support contractor(s) may require access to Contractor's offices where the Contractor's business records or other proprietary data are retained and to review such business records regarding the Contractor's compliance with this requirement.

(c) All support contractors conducting this review on behalf of VA will be required to sign an “Information Protection and Non-Disclosure and Disclosure of Conflicts of Interest Agreement” to ensure the Contractor's business records or other proprietary data reviewed or obtained in the course of assisting the Contracting Officer in assessing the Contractor for compliance are protected to ensure information or data is not improperly disclosed or other impropriety occurs.

(d) Furthermore, if VA determines any services the support contractor(s) will perform in assessing compliance are advisory and assistance services as defined in FAR 2.101, Definitions, the support contractor(s) must also enter into an agreement with the Contractor to protect proprietary information as required by FAR 9.505-4, Obtaining access to proprietary information, paragraph (b). The Contractor is required to cooperate fully and make available any records as may be required to enable the Contracting Officer to assess the Contractor's compliance with the limitations on subcontracting or percentage of work performance requirement.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records—Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

ELIGIBILITY:

This RFQ is limited to responsible parties (see FAR Part 9) with the ability to provide service/product(s) for Orlando Veterans Affairs Healthcare System located in Orlando, Florida.

Period for acceptance of offers. The offeror agrees to hold the prices in its offer firm for 120 calendar days from the date specified for receipt of offers.

CONTRACTING OFFICER’S SPECIAL INSTRUCTIONS AS FOLLOWS:

In order to maintain integrity of this solicitation and subsequent award date, all quoters are advised that any questions must be submitted in written form via e-mail to PatriciaE.Brown@va.gov received no later than AUGUST 18 AT 10:00 AM EASTERN TIME (ET). CONTRACTOR’S SIGNATURE:

FORMAT

a. All commitments made in the quote may become a part of the resultant contract. The data submitted with each quote should be complete and concise, but not overly elaborate. Excessive reliance on promotional brochures is discouraged.

b. Electronic Copy: Provide one (1) electronic copy of the complete proposal. Electronic copies must be in Microsoft Word or Adobe Acrobat format, and virus checked prior to submission.

6. Warranty Information The Technical volume should include necessary information regarding the offeror’s ability to perform all requirements outlined in the solicitation. Failure to provide a Technical information in accordance with the solicitation instructions may render a quote incomplete and ineligible for award.

c. Quoters, at the discretion of the Government, may be asked to provide information for clarification purposes regarding their proposals. Requests for clarification information do not constitute discussions.

d. The Quoters shall be held responsible for the validity of all information supplied in his/her quote, including information provided by potential subcontractors. Should subsequent investigation disclose that the fact and conditions were not as stated, the quote may be rejected and receive no further consideration. clearly marked. The use of hyperlinks in quotes is prohibited. Late quotes will not be accepted for evaluation. The contractor is responsible for confirming the Government’s receipt of the contractor’s quote.

e. If revised quotes are requested, the number of revised copies to be submitted shall be the same as those of initial proposals.

f. Submissions can be sent in multiple emails to avoid computer system email size limitation, to CO. Quotes submitted by any other method will not be considered. All proprietary information must be clearly marked.

NOTE: Quoters who fail to submit required documentation may be considered ineligible for award.

E.3 52.204-24 REPRESENTATION REGARDING CERTAIN TELECOMMUNICATIONS AND VIDEO SURVEILLANCE SERVICES OR EQUIPMENT (OCT 2020) The Offeror shall not complete the representation at paragraph (d)(1) of this provision if the Offeror has represented that it ‘‘does not provide covered telecommunications equipment or services as a part of its offered products or services to the Government in the performance of any contract, subcontract, or other contractual instrument’’ in paragraph (c)(1) in the provision at 52.204–26, Covered Telecommunications Equipment or Services—Representation, or in paragraph (v)(2)(i) of the provision at 52.212–3, Offeror Representations and Certifications–Commercial Items. The Offeror shall not complete the representation in paragraph (d)(2) of this provision if the Offeror has represented that it ‘‘does not use covered telecommunications equipment or services, or any equipment, system, or service that uses covered telecommunications equipment or services’’ in paragraph (c)(2) of the provision at 52.204–26, or in paragraph (v)(2)(ii) of the provision at 52.212–3.

(a) Definitions. As used in this provision— Backhaul, covered telecommunications equipment or services, critical technology, interconnection arrangements, reasonable inquiry, roaming, and substantial or essential component have the meanings provided in the clause 52.204–25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.

(b) Prohibition. (1) Section 889(a)(1)(A) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019 (Pub. L. 115–232) prohibits the head of an executive agency on or after August 13, 2019, from procuring or obtaining, or extending or renewing a contract to procure or obtain, any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system. Nothing in the prohibition shall be construed to—

(i) Prohibit the head of an executive agency from procuring with an entity to provide a service that connects to the facilities of a third-party, such as backhaul, roaming, or interconnection arrangements; or

(ii) Cover telecommunications equipment that cannot route or redirect user data traffic or cannot permit visibility into any user data or packets that such equipment transmits or otherwise handles.

(2) Section 889(a)(1)(B) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019 (Pub. L. 115–232) prohibits the head of an executive agency on or after August 13, 2020, from entering into a contract or extending or renewing a contract with an entity that uses any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system. This prohibition applies to the use of covered telecommunications equipment or services, regardless of whether that use is in performance of work under a Federal contract. Nothing in the prohibition shall be construed to—

(i) Prohibit the head of an executive agency from procuring with an entity to provide a service that connects to the facilities of a third-party, such as backhaul, roaming, or interconnection arrangements; or

(ii) Cover telecommunications equipment that cannot route or redirect user data traffic or cannot permit visibility into any user data or packets that such equipment transmits or otherwise handles.

(c) Procedures. The Offeror shall review the list of excluded parties in the System for Award Management (SAM) (https://www.sam.gov) for entities excluded from receiving federal awards for “covered telecommunications equipment or services.”

(d) Representations. The Offeror represents that—
