1. INTRODUCTION
The water treatment contractor shall be a recognized organization, active in the field of industrial water treatment for at least twenty years, whose major business is water treatment. The water treatment supplier shall provide chemical treatment services that include chemicals, technical services, consulting, testing, and balancing of the systems herein, for the open cooling tower system, closed chilled water system, hot water system, boiler feed, and condensate water systems. The contractor shall provide a fixed quarterly price to include all chemicals, equipment, and services required to fully treat and maintain all systems.
The monthly water treatment program shall cost-effectively optimize equipment and piping life; minimize water and chemical use; maximize safety; minimize environmental impact; and minimize container handling and operator workload.
2. REQUIREMENTS
Contractor shall comply with all the following requirements:
A. Provide one (1) Engineer employed full time and has a minimum of ten (10) years experience in overseeing and evaluating water treatment performance. The Engineer must hold a B.S. degree with a major in Chemistry, Chemical, or Mechanical Engineering from an accredited college or University. Proof of education is required. The Engineer must be the primary service person who services account weekly. This primary Technical Service Representative shall be capable of arriving on site within two (2) hours in response to an emergency Performance measure: weekly account service is required. Weekly report and review with the Contracting Officers Representative (COR).
B. Provide one (1) Chemist, employed full time and holds a Ph.D. in Chemistry from an accredited college or university. The chemist shall be available to provide technical assistance to the service representatives.
C. Provide one (1) primary technical service Representative who will become a back-up point of contact when the Engineer cannot respond with-in two (2) hours. The Technical Service Representative shall possess a cell phone and be able to respond by telephone within one (1) hour in case of an emergency. This primary Technical Service Representative shall be capable of arriving on site within two (2) hours in response to an emergency.
D. The contractor shall ensure that both the Engineer and Service Technician are trained and fully knowledgeable with chemical injection systems, dispersion of chemicals, and testing of chemical content. These same technicians shall also be fully knowledgeable in EPA, OSHA and FDA regulations for chemical handling and mandated procedures for clean-up of spills and provide proof of their training/certification(s). Each company representative shall have a minimum of ten (10) years of direct water treatment experience.
E. The water treatment contractor will provide all necessary labor, materials, tools, equipment, and supervision required to perform the water treatment program with no additional cost to the VA and all equipment will become the property of the VA. Only LMI or Walchem equipment is acceptable. Maintenance and replacement of all equipment throughout the duration of the contract shall be the responsibility of the water treatment contractor.
Performance measure: No more then one instance per month for failed equipment, all equipment shall be maintained in “as new” condition at all times.
F. The water treatment contractor shall submit a plan of action. The purpose of the plan of action shall define chemical monitoring and treatment equipment, method, chemicals and program initiation. The plane of action shall include existing conditions, recommendations, and a comprehensive program summarize.
3. QALIFICATIONS
A. Each water treatment contractor shall provide a detailed statement of experience, qualifications and background that shows evidence that the water treatment contractor has a minimum of fifteen (15) years in the water treatment for cooling tower and boiler systems, within the last five (5) years, specifically with each of the following systems: open recirculation cooling towers, closed chilled water, hot water, boiler feed water, and condensate return systems similar to the VA Medical Centers equipment.
NOTE: Proposals that are lacking in this submission requirements will be rated accordingly.
B. Each water treatment contractor shall provide a minimum of five (5) references in which similar goods and services have been provided within the past four (4) years including scope of work, contact names, addresses, telephone numbers and dates of services. Three of the references shall be from a hospital facility. A contact person shall be someone who has personal knowledge of the bidder’s performance for the specific requirement listed. Contact person must have been informed that they are being used as a reference and that the VA Medical Center may be calling them. Do not list persons who are unable to answer specific questions regarding the requirements.
NOTE: Proposals that are lacking in this submission requirement will be rated accordingly.
C. Provide written evidence that:
a. The bidder is ISO 9001-1994 or 9001-2000 certified.
b. The water treatment contractor possesses or has direct access to a certified research laboratory capable of performing necessary tests, analysis and research on itemized samples. Bidder shall submit name of laboratory, address and telephone number. The VA reserves the right to visit and inspect the laboratory listed.
4. PRODUCTS AND SERVICES - GENERAL REQUIREMENTS
A. The degreed service Engineer shall provide a routine service to each designated site, a minimum of once per week. The Engineer shall conduct field tests on water samples from each treated system and write a field analysis report of findings and recommendations. The Engineer shall review all reports with the designated VA representative in a summary form, on a weekly basis. In the event the secondary representative provides routine service to the sites and conducts the appropriate tests, the Engineer shall review a copy of the field analysis report with the designated VA representative. Services shall be performed during normal working hours 0800 – 1600 Monday thru Friday, unless prearranged with the VA.
B. Routine service visits shall include:
· Inventory of chemicals and, if needed, place orders to restock and avoid outages.
· Verification that application and control equipment is functioning properly
· Monitor corrosion rate on cooling tower system.
· Microbiological evaluation by monitory easicults
· Minor maintenance: to include cleaning of solenoid valves, strainers, corporation stops, manifold assembles pumps and injection equipment.
· Filling of all chemical tanks and removing empty drums and containers
· Mixing all boiler chemicals
· Maintain remote injection feed for condensate return system if needed to maintain essential Ph levels
· Inventory on reagents and reordering when low Performance measure: VA Staff shall be mentored and be proficient with monitoring and sampling activities, which shall include a contractor, provide logbook for daily sampling activities. This shall be part of the weekly review.
A legible handwritten service report and/or field analysis report shall be provided on site at the time of each routine service. Routine testing for mineral balance, halogen and product levels, conductivity and microbial levels shall be performed once per week on the cooling tower system with a Legionella test and detail report semi-annually, (MARCH AND SEPTEMBER). The analysis shall include all required test results, control ranges and recommendations for corrective action. The recommendations are not limited to chemical water treatment, but also include analysis, which shall result in improved energy conservation and also equipment life.
5. WATER TREATMENT PROGRAM
1. Cooling Tower (condenser) Water
Fouling, corrosion and microbiological control criteria:
Mild steel corrosion rates below 2.0 mils per year (mpy) Copper corrosion rate below 0.1 mils per year (mpy) Bacterial levels below 50,000 cts./ml.
The treatment program shall address the interrelated preventative maintenance items of corrosion control, scale and suspended solids control and bio-fouling control. The treatment program shall ensure the absence of bio fouling and silica scaling of heat exchange surfaces.
Performance measure: Maintain control limits as noted following.
A. Inhibitor
The product shall be an environmentally safe, multi-metal corrosion inhibitor and deposit control liquid formulation. The “all Organic” product shall not contain inorganic phosphate or metal based corrosion inhibitor type components, such as chromate, zinc, or molybdenum. The product shall be based on phosphonates, polymeric dispersant and other organic corrosion inhibitors, such as tolytriazole. Molybdenum may not be used in the system as a tracer for product level.

B. Biocides
Provide an alternating biocide program to control microorganisms such as bacteria, algae and fungi to prevent formation of biofilms. The biocides shall have a federal EPA registration number for use in cooling towers.
Non-oxidizing biocides shall be a 50% by volume quaternary amine (N-dimethylammonium chloride). No other biocide may be used. The non-oxidizing biocide shall be fed a minimum of one per week at the proper dosage limits as described on the EPA registration label.
The oxidizing biocide shall be liquid stabilized bromide. Any dry oxidizing biocide shell be fed using a dissolving feeder, the use of buckets or floaters in the towers are unacceptable.
C. Initial Change-Over to different Products
It shall be the responsibility of the water treatment contractor to determine the compatibility of any new chemicals with the existing chemicals in the system.
D. Periodic Corrosion Coupon Studies
Corrosion coupon studies shall be run on a 90-day interval basis on the cooling tower system. Corrosion coupons and evaluations shall be furnished, without additional cost. Evaluation of corrosion coupons shall be conducted by the water treatment contractors laboratory.
6. Closed chill Water System
The treatment program shall address the interrelated preventative maintenance items of corrosion control and biofouling control.
Corrosion and microbiological control criteria:
Mild steel corrosion rates below 0.2 mils per year (mpy) Copper corrosion rates below 0.1 (mpy) Bacteria <1000 cts./ml.
A. Inhibitor
The product shall be liquid containing nitrite, borate, alkalinity buffer, silicate and azole.

B. Biocide
Prevent biological growth within the closed systems. Test each system twice a year with a laboratory analysis to report microbiological activity in closed loop systems Apply a gluteraldhyde based non-oxidizing, nonionic biocide to control bacteria to levels below 1000 cts./mil. Inject the products as needed, directly into the piping in proportion to system volume by chemical feed pump or by means of a bypass feeder.
7. Closed Hot Water Systems
The treatment program shall address the interrelated preventative maintenance items of corrosion and biofouling control.
Corrosion and microbiological control criteria:

Special Conditions
Non-Traditional Water Treatment: No non-traditional water treatment devices will be considered for use at the VA Medical Center. This includes, but in not limited to; magnetic devices, electroplating, chemicals that require no bleed, special filtration systems
Provide equipment specifications, manufacturer literature, chemical product data sheets, and MSDS sheets.
Provide on site training for operating personnel along with logbooks for daily readings.
The chemical treatment supplier guarantees to keep the condenser tubes free of scale. If the condenser tubes are not free of scale at the end of the operating season, the chemical treatment supplier shall clean the system at no cost to VA Medical Center.
Installation of all equipment including plumbing is by the chemical treatment supplier.
Additional VA requirements, and conditions:
| 1. | Contractors are strongly recommended to visit the site to establish all other conditions and to include such considerations in his/her proposal. |
| 2. | VA will provide NO tools and NO equipment. |
| 3. | VA will NOT receive, load or unload, and transport contractors’ materials / equipment. |
| 4. | This service contract is intended to be for 1 base year with 4 optional 1 year extension terms starting October 1, 2014. Extensions are at the VA’s option, and will be acknowledged 30 days before the term ends. Provide proposed costs for the base year and for year 1, year 2, year 3, etc. Out year, proposed costs shall include all inflation, escalation, and all other considerations. |

C.1 52.202-1 DEFINITIONS (NOV 2013)
When a solicitation provision or contract clause uses a word or term that is defined in the Federal Acquisition Regulation (FAR), the word or term has the same meaning as the definition in FAR 2.101 in effect at the time the solicitation was issued, unless—

"Kickback," as used in this clause, means any money, fee, commission, credit, gift, gratuity, thing of value, or compensation of any kind which is provided to any prime Contractor, prime Contractor employee, subcontractor, or subcontractor employee for the purpose of improperly obtaining or rewarding favorable treatment in connection with a prime contract or in connection with a subcontract relating to a prime contract.
"Person," as used in this clause, means a corporation, partnership, business association of any kind, trust, joint-stock company, or individual.
"Prime contract," as used in this clause, means a contract or contractual action entered into by the United States for the purpose of obtaining supplies, materials, equipment, or services of any kind.
"Prime Contractor" as used in this clause, means a person who has entered into a prime contract with the United States.
"Prime Contractor employee," as used in this clause, means any officer, partner, employee, or agent of a prime Contractor.
"Subcontract," as used in this clause, means a contract or contractual action entered into by a prime Contractor or subcontractor for the purpose of obtaining supplies, materials, equipment, or services of any kind under a prime contract.
"Subcontractor," as used in this clause, (1) means any person, other than the prime contractor, who offers to furnish or furnishes any supplies, materials, equipment, or services of any kind under a prime contract or a subcontract entered into in connection with such prime contract, and (2) includes any person who offers to furnish or furnishes general supplies to the prime Contractor or a higher tier subcontractor.
"Subcontractor employee," as used in this clause, means any officer, partner, employee, or agent of a subcontractor.
(b) 41 U.S.C. chapter 87, Kickbacks, prohibits any person from—
(1) Providing or attempting to provide or offering to provide any kickback;
(2) Soliciting, accepting, or attempting to accept any kickback; or
(3) Including, directly or indirectly, the amount of any kickback in the contract price charged by a prime Contractor to the United States or in the contract price charged by a subcontractor to a prime Contractor or higher tier subcontractor.
(c) (1) The Contractor shall have in place and follow reasonable procedures designed to prevent and detect possible violations described in paragraph (b) of this clause in its own operations and direct business relationships.
(2) When the Contractor has reasonable grounds to believe that a violation described in paragraph (b) of this clause may have occurred, the Contractor shall promptly report in writing the possible violation. Such reports shall be made to the inspector general of the contracting agency, the head of the contracting agency if the agency does not have an inspector general, or the Attorney General.
(3) The Contractor shall cooperate fully with any Federal agency investigating a possible violation described in paragraph (b) of this clause.
(4) The Contracting Officer may (i) offset the amount of the kickback against any monies owed by the United States under the prime contract and/or (ii) direct that the Prime Contractor withhold from sums owed a subcontractor under the prime contract, monies withheld, the amount of the kickback. The Contracting Officer may order that monies withheld under subdivision (c)(4)(ii) of this clause be paid over to the Government unless the Government has already offset those monies under subdivision (c)(4)(i) of this clause. In either case, the Prime Contractor shall notify the Contracting Officer when the monies are withheld.
(5) The Contractor agrees to incorporate the substance of this clause, including subparagraph (c)(5) but excepting subparagraph (c)(1), in all subcontracts under this contract which exceed $150,000.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records—Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.
(e)(1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c), and (d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (e)(1) in a subcontract for commercial items. (End of Clause) C.4 52.225-25 PROHIBITION ON CONTRACTING WITH ENTITIES ENGAGING IN CERTAIN ACTIVITIES OR TRANSACTIONS RELATING TO IRAN—REPRESENTATION AND CERTIFICATIONS (AUG 2018)
(a) Definitions. As used in this provision— "Person"—
(1) Means—
(i) A natural person;
(ii) A corporation, business association, partnership, society, trust, financial institution, insurer, underwriter, guarantor, and any other business organization, any other nongovernmental entity, organization, or group, and any governmental entity operating as a business enterprise; and
(iii) Any successor to any entity described in paragraph (1)(ii) of this definition; and
(2) Does not include a government or governmental entity that is not operating as a business enterprise.
"Sensitive technology"—
(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically—
(i) To restrict the free flow of unbiased information in Iran; or
(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and
(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).
(b) The offeror shall email questions concerning sensitive technology to the Department of State at CISADA106@state.gov.
(c) Except as provided in paragraph (d) of this provision or if a waiver has been granted in accordance with 25.703–4, by submission of its offer, the offeror—
(1) Represents, to the best of its knowledge and belief, that the offeror does not export any sensitive technology to the government of Iran or any entities or individuals owned or controlled by, or acting on behalf or at the direction of, the government of Iran;
(2) Certifies that the offeror, or any person owned or controlled by the offeror, does not engage in any activities for which sanctions may be imposed under section 5 of the Iran Sanctions Act. These sanctioned activities are in the areas of development of the petroleum resources of Iran, production of refined petroleum products in Iran, sale and provision of refined petroleum products to Iran, and contributing to Iran’s ability to acquire or develop certain weapons or technologies; and
(3) Certifies that the offeror, and any person owned or controlled by the offeror, does not knowingly engage in any transaction that exceeds $3,500 with Iran’s Revolutionary Guard Corps or any of its officials, agents, or affiliates, the property and interests in property of which are blocked pursuant to the International Emergency Economic Powers Act (50 U.S.C. 1701 et seq.) (see OFAC’s Specially Designated Nationals and Blocked Persons List at https://www.treasury.gov/resource-center/sanctions/SDN-List/Pages/default.aspx).
(d) Exception for trade agreements. The representation requirement of paragraph (c)(1) and the certification requirements of paragraphs (c)(2) and (c)(3) of this provision do not apply if—
(1) This solicitation includes a trade agreements notice or certification (e.g., 52.225-4, 52.225-6, 52.225-12, 52.225-24, or comparable agency provision); and
(2) The offeror has certified that all the offered products to be supplied are designated country end products or designated country construction material.

C.5 52.228-5 INSURANCE—WORK ON A GOVERNMENT INSTALLATION (JAN 1997)
(a) The Contractor shall, at its own expense, provide and maintain during the entire performance of this contract, at least the kinds and minimum amounts of insurance required in the Schedule or elsewhere in the contract.
(b) Before commencing work under this contract, the Contractor shall notify the Contracting Officer in writing that the required insurance has been obtained. The policies evidencing required insurance shall contain an endorsement to the effect that any cancellation or any material change adversely affecting the Government's interest shall not be effective—
(1) For such period as the laws of the State in which this contract is to be performed prescribe; or
(2) Until 30 days after the insurer or the Contractor gives written notice to the Contracting Officer, whichever period is longer.
(c) The Contractor shall insert the substance of this clause, including this paragraph (c), in subcontracts under this contract that require work on a Government installation and shall require subcontractors to provide and maintain the insurance required in the Schedule or elsewhere in the contract. The Contractor shall maintain a copy of all subcontractors' proofs of required insurance, and shall make copies available to the Contracting Officer upon request.

C.6 52.244-6 SUBCONTRACTS FOR COMMERCIAL ITEMS (AUG 2018)
(a) Definitions. As used in this clause— Commercial item and commercially available off-the-shelf item have the meanings contained in Federal Acquisition Regulation 2.101, Definitions.
Subcontract includes a transfer of commercial items between divisions, subsidiaries, or affiliates of the Contractor or subcontractor at any tier.
(b) To the maximum extent practicable, the Contractor shall incorporate, and require its subcontractors at all tiers to incorporate, commercial items or nondevelopmental items as components of items to be supplied under this contract.
(c)(1) The Contractor shall insert the following clauses in subcontracts for commercial items:
(i) 52.203-13, Contractor Code of Business Ethics and Conduct (OCT 2015) (41 U.S.C. 3509), if the subcontract exceeds $5.5 million and has a performance period of more than 120 days. In altering this clause to identify the appropriate parties, all disclosures of violation of the civil False Claims Act or of Federal criminal law shall be directed to the agency Office of the Inspector General, with a copy to the Contracting Officer.
(ii) 52.203-15, Whistleblower Protections Under the American Recovery and Reinvestment Act of 2009 (JUN 2010) (Section 1553 of Pub. L. 111-5), if the subcontract is funded under the Recovery Act.
