B.3 PERFORMANCE WORK STATEMENT

Opacity System Support Services

1. General. Special Requirement -- The Contractor will provide all materials, hardware and parts, tools, specialized equipment, labor, transportation, supervision and technical expertise to perform Opacity System on-going support, quarterly audits, Annual Clear stack calibration and EPA audits at Charles George VA Medical Center, Asheville, NC.

(1) Coordination. The Contractor must pre –coordinate work and if needed, associated outages with the COR or designated POC. This work will be accomplished during regular business hours, Monday through Friday. The contractor will respond to Building 47, Room BF129 (EB-22) on the pre-scheduled date/time and contact the POC. Contact must be made with the POC prior to accomplishing the start of any work.

The POC will be immediately notified whenever the work requirements relating to the Opacity or related activities interfere with normal VAMC operations.

(2) Background. The Charles George VAMC in Asheville, NC has two Natural Gas/Oil fired boilers with continuous Opacity Monitoring Systems on them to meet the compliance requirements of its air permit and the US EPA regulations. The system is comprised of Durag D-R 290 opacity monitors (2) with a Monitoring Solutions COMDAS data acquisition system for recording and reporting the data.

The Opacity systems are located on the roof level above the respective boilers. Access is via stairs directly to the roof. The COMDAS system PC is in the boiler operator control room. There is also a COMDAS PLC located in a boiler control cabinet on the boiler floor.

The VAMC desires a company to maintain, service and support the entire system along with performing all the required quarterly audits and annual testing required by the regulations in order to keep the VAMC in complete compliance.

(3) Specific Requirements. The Contractors work shall include, but not be limited to the following:

a) Annual clear stack and Calibration for two opacity systems.

b) Ensure all point measurements are within manufacturer’s specifications.

c) Zero Alignment error check performed one time each year.

d) Check utilizes set up section of Durag’s Clear Path Procedure and verifies the “measuring” zero point of the unit in a known clear path setup.

e) Reports must reflect the system is compliant at Zero Alignment Error of .5% for boiler number one and Zero Alignment Error of .1% for boiler number two.

f) Perform annual clear stack Test or Annual “Zero Alignment”

g) Preparation includes removing the opacity unit from the stack and setting up on test stands while connected to final recording device. After test, the units will be re-installed on the stack and checked for alignment and calibration.

h) Email electronic report within 30 business days from completion of audits.

i) Zero Alignment Error Check includes stack correction factor (SCF) confirmation and the Durag Flange to Flange distance confirmation to be performed one time each year.

j) Perform Quarterly Opacity Audit and report preparation and delivery.

k) Replace the blower motor filters and standard opacity calibration reports for two Durag-290 Opacity Systems.

l) Quarterly Preventative Maintenance includes filter changes (contractor to supply required filters), cleaning of lenses and mirrors, and alignments checks.

m) Contractor will prepare the Opacity Monitors and perform the quarterly Performance Audits in accordance with 40 CFR Part 51, Appendix M, Method 203.

n) Supply the required filters (minimum of three calibration attenuators). The attenuators must be NIST calibrated by a third party annually as stated in EPA PS-1.

o) Correct any COMDAS software defects reported during the contract term at no charge.

p) Provide available COMDAS software version upgrades at no charge during the term of the contract. These upgrades will include correction of defects discovered along with performance and feature upgrades.

q) Once Per year VAMC may elect to have a Software Engineer visit the site and conduct a refresher course (2-3 Hours) on the Operation and Maintenance of the COMDAS System.

r) 24/7 Phone Support

s) Provide the COR all documentation and warranty information concerning installed components/equipment and work accomplished.

t) Notify the COR to inspect and accept all accomplished work.

B.4 SPECIAL CONTRACT REQUIREMENTS

a. The services specified in Section B. - Schedule of Supplies/Services may be changed by written modification to this contract. The modification shall be prepared by the Contracting Officer (CO) and, prior to becoming effective, shall be signed by both parties.

b. The Government reserves the right to refuse acceptance of the contractor’s employees, if personal or professional conduct jeopardizes patient care. Breaches of conduct include intoxication or debilitation resulting from drug use, theft, patient abuse, dereliction or negligence in performing directed tasks, or other conduct resulting in formal complaints by patient. Standards for conduct shall mirror those prescribed by current federal personnel regulations. The Contracting Officer and Contracting Officer’s Representative (COR) shall deal with issues raised concerning contract personnel’s conduct. The final arbiter on questions of acceptability is the Contracting Officer.

c. The Contracting Officer shall resolve complaints concerning the contractor employee relations with the Government employees or patients. The Contracting Officer is the final authority on validating complaints. In the event that the contractor employee is involved and named in a validated patient complaint, the Government reserves the right to refuse acceptance of the services of such personnel. This does not preclude refusal in the event of incidents involving physical or verbal abuse. In the event the contractor employee effects any such change at the direction of any person other than the Contracting Officer without authority, no adjustment shall be made in the contract price to cover an increase in costs incurred as a result thereof.

d. Contractor shall, in writing, keep the Contracting Officer informed of any unusual circumstances in conjunction with the contract.

1. PERSONNEL:

Personnel Replacement: Any personnel the contractor offers as substitutes shall meet the security requirements and qualifications as outlined in the Statement of Work (SOW).

2. WORK HOURS:

1. The services covered by this contract shall be furnished by the contractor as defined herein.

1. Federal Holidays: The 10 holidays observed by the Federal Government are:

New Year’s Day Martin Luther King’s Birthday President’s Day Memorial Day Independence Day Labor Day Columbus Day Veterans Day Thanksgiving Christmas Any other day specifically declared by the President of the United States to be a federal holiday.

When one of the holidays falls on Sunday, the following Monday shall be observed as a Federal Holiday. When a holiday falls on a Saturday, the preceding Friday shall be observed as a Federal Holiday.

Off Duty hours: Hours other than those described in 2(b).

3. MANAGEMENT AND SUPERVISION:

a. The Contractor shall be responsible for supervising the daily services provided by the contractor’s staff.

b. The VAMC will provide to the contractor policies, procedures and processes necessary to allow cooperative functioning between the agency and VAMC. Updates and refreshers will be provided to the contractor upon request and when policy procedures or process changes.

c. The Contractor shall complete checks to ensure that employees do not have a record of criminal offenses or substantiated incidents of patient abuse before being submitted; and, if required to perform their duties, employees are properly licensed and insured to operate motor vehicles.

4. RECORD KEEPING:

a. Contractor’s employee(s) shall report to the COR, upon arrival at the VA Medical Center. VAMC personnel shall brief Contractor employee(s) on VAMC policies and procedures on the first scheduled duty day. Contractor shall abide by VA Handbook 6300.1 located: http://www.va.gov/vapubs/viewPublication.asp?Pub_ID=475&FType=2

b. Documentation of services performed shall be reviewed prior to certifying payment. Contractor shall be present at the VAMC and shall be actually performing the required services as specified in the task order in order to receive reimbursement. The VAMC shall pay for services actually performed and in strict accordance with B7, Schedule of Supplies/Services above. Contract monitoring and record keeping procedures shall be sufficient to ensure proper payment and allow audit verification that services were provided.

5. NO SMOKING POLICY:

Under VHA Directive 1085, all VHA health care facilities (including CBOCs and HCCs) will be smoke-free for patients, visitors, contractors, volunteers, and vendors effective October 1, 2019.The policy applies to cigarettes, cigars, pipes, or any other combustion of tobacco, including but not limited to electronic or e-cigarettes, vape pens or e-cigars.

6. CONTRACT ADMINISTRATION DATA:

The Contracting Officer is the only person authorized to approve changes or modify any of the requirements of this contract. The Contractor shall communicate with the Contracting Officer and or Contraction Officer Representative on all matters pertaining to contract administration. Only the Contracting Officer is authorized to make commitments or issue changes that shall affect price, quantity or quality of performance of this contract. All contract administration functions will be retained by the Department of Veterans Affairs.

7. BILLING:

Invoice requirements and supporting documentation: Supporting documentation and invoice must be submitted no later than 30 days of the end of each month services were provided. Subsequent changes or corrections shall be submitted by separate invoice.

In addition to information required for submission of a “proper” invoice in accordance with FAR 52.212-4 (g), all invoices must include:

· Contract Number and Purchase/Task Order Number

· Dates of Service

· CLIN Numbers with quantity

· Total price

8. QUALITY ASSURANCE:

The Quality Assurance of this contract shall be monitored by the Teresa Gamble and Jerry Surrett.

9. OTHER STATION RULES AND GUIDELINES:

Work is being completed in a hospital environment. The Contractor must take all precautions to ensure all tools and materials are under continuous observation and accountability. At no time will tools be left unattended or unsecured.

All work will be accomplished to industry standards and compliant with all current CODE requirements (Life Safety, NFPA, Electrical and Building). All Dept. of Veteran Affairs, regulations and codes will be complied with.

This is a hospital environment. The Contractor and his personnel are expected to be appropriately dressed (preferably uniformed) and to conduct themselves professionally.

Parking will be in designated lots. Consult with the VA Police Office, Bldg 47 Room DB06 for allowable parking and material drop-off, parking permit and parking instructions. A parking permit must be displayed in the windshield while conducting business at the Medical Center. Violators may be cited and/or towed.

Any work requiring a shutdown or utility outage will be requested in advance and scheduled by the COR prior to the work being accomplished.

The Contractor will responsible for ensuring that all the employees and other personnel visiting the work site have and are using the appropriate Personal Protective Equipment (PPE) that

C.2 52.217-8 OPTION TO EXTEND SERVICES (NOV 1999)

The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 30 days.

C.3 52.217-9 OPTION TO EXTEND THE TERM OF THE CONTRACT (MAR 2000)

(a) The Government may extend the term of this contract by written notice to the Contractor within 30 days; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 30 days before the contract expires. The preliminary notice does not commit the Government to an extension.

(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.

(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed five (5) years and six months.

C.4 VAAR 852.203-70 COMMERCIAL ADVERTISING (MAY 2018)

The Contractor shall not make reference in its commercial advertising to Department of Veterans Affairs contracts in a manner that states or implies the Department of Veterans Affairs approves or endorses the Contractor’s products or services or considers the Contractor’s products or services superior to other products or services.

(End of Clause) C.5 VAAR 852.219-11 VA NOTICE OF TOTAL VETERAN-OWNED SMALL BUSINESS SET-ASIDE (JUL 2019) (DEVIATION)

(a) Definition. For the Department of Veterans Affairs, “Veteran-owned small business or VOSB”:

(1) Means a small business concern—

(i) Not less than 51 percent of which is owned by one or more Veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more Veterans;

(ii) The management and daily business operations of which are controlled by one or more Veterans;

(iii) The business meets Federal small business size standards for the applicable North American Industry Classification System (NAICS) code identified in the solicitation document;

(iv) The business has been verified for ownership and control pursuant to 38 CFR part 74 and is so listed in the Vendor Information Pages (VIP) database, (https://www.vip.vetbiz.gov); and

(v) The business will comply with VAAR subpart 819.70 and Small Business Administration (SBA) regulations regarding small business size and government contracting programs at 13 CFR part 121 and 125, including the nonmanufacturer rule and limitations on subcontracting requirements in 13 CFR 121.406 and 125.6, provided that any reference therein to a service-disabled veteran owned small business concern (SDVO SBC), is to be construed to also apply to a VA verified and VIP-listed VOSB. (b) General.

(1) Offers are solicited only from eligible veteran-owned small business concerns. Only VIP-listed veteran-owned small business concerns (VOSB) may submit offers in response to this solicitation. A VIP-listed service-disabled veteran owned small business concern will be considered a VIP-listed veteran-owned small business concern for this purpose and must also meet the criteria identified in paragraph (a)(1). Offers received from concerns that are not VIP-listed veteran owned small business concerns shall not be considered.

(2) Any award resulting from this solicitation shall be made to a VIP-listed veteran-owned small business concern that meets the size standard for the applicable NAICS code.

(c) Representation. By submitting an offer, the prospective contractor represents that it is an eligible VOSB as defined in this clause, 38 CFR part 74, and VAAR subpart 819.70. Pursuant to 38 U.S.C. 8127(e), only VIP-listed VOSBs are considered eligible. Therefore, any reference in 13 CFR 121 and 125 to a service-disabled veteran-owned small business concern (SDVO SBC), is to be construed to apply to a VA verified and VIP-listed SDVOSB/VOSB and only such concern(s) qualify as similarly situated. The offeror must also be eligible at the time of award.

(d) Agreement. When awarded a contract (see FAR 2.101, Definitions), including orders under multiple-award contracts, or a subcontract, a VOSB agrees that in the performance of the contract, the VOSB shall comply with requirements in VAAR subpart 819.70 and SBA regulations on small business size and government contracting programs at 13 CFR part 121 and 125, including the nonmanufacturer and limitations on subcontracting requirements in 13 CFR 121.406 and 125.6, provided that for purposes of limitations on subcontracting, only VIP-listed VOSBs are considered eligible and/or “similarly situated” (i.e., a firm that has the same small business program status as the prime contractor). An independent contractor shall be considered a subcontractor. An otherwise eligible firm further agrees to the following:

(1) Services. In the case of a contract for services (except construction), it will not pay more than 50% of the amount paid by the government to it to firms that are not VIP-listed VOSBs.

(2) Supplies or products.

(i) In the case of a contract for supplies or products (other than from a nonmanufacturer of such supplies), it will not pay more than 50% of the amount paid by the government to it to firms that are not VIP-listed VOSBs.

(ii) In the case of a contract for supplies from a nonmanufacturer, it will supply the product of a domestic small business manufacturer or processor, unless a waiver as described in 13 CFR 121.406(b)(5) is granted.

(3) General construction. In the case of a contract for general construction, it will not pay more than 85% of the amount paid by the government to it to firms that are not VIP-listed VOSBs.

(4) Special trade contractors. In the case of a contract for special trade contractors, it will not pay more than 75% of the amount paid by the government to it to firms that are not VIP-listed VOSBs.

(5) Subcontracting. Any work that a VIP-listed VOSB subcontractor further subcontracts will count towards the percent of subcontract amount that cannot be exceeded. For supply or construction contracts, cost of materials is excluded and not considered to be subcontracted. For mixed contracts and additional limitations refer to 13 CFR 125.6.

(e) Joint ventures. A joint venture may be considered a VOSB if the joint venture is listed in VIP and complies with the requirements in 13 CFR 125.18, provided, that any reference therein to service-disabled veteran-owned small business concern (SDVO SBC), shall also apply equally to a veteran-owned small business (VOSB) and is to be construed for the VA as only a VIP-listed VOSB.

(f) Precedence. For any inconsistencies between the requirements of the SBA program for service-disabled veteran-owned small business concerns and the VA Veterans First Contracting Program, as defined in VAAR subpart 819.70 and this clause, the VA Veterans First Contracting Program requirements have precedence.

(a) This solicitation includes VAAR 852.219-11 VA Notice of Total Veteran-Owned Small Business Set-Aside.

(b) Accordingly, any contract resulting from this solicitation is subject to the limitation on subcontracting requirements in 13 CFR 125.6, or the limitations on subcontracting requirements in the FAR clause, as applicable. (d) Furthermore, if VA determines any services the support contractor(s) will perform in assessing compliance are advisory and assistance services as defined in FAR 2.101, Definitions, the support contractor(s) must also enter into an agreement with the Contractor to protect proprietary information as required by FAR 9.505-4, Obtaining access to proprietary information, paragraph (b). The Contractor is required to cooperate fully and make available any records as may be required to enable the Contracting Officer to assess the Contractor's compliance with the limitations on subcontracting or percentage of work performance requirement.

C.7 VAAR 852.232-72 ELECTRONIC SUBMISSION OF PAYMENT REQUESTS (NOV 2018)

(a) Definitions. As used in this clause—

(1) Contract financing payment has the meaning given in FAR 32.001;

(2) Designated agency office means the office designated by the purchase order, agreement, or contract to first receive and review invoices. This office can be contractually designated as the receiving entity. This office may be different from the office issuing the payment;

(3) Electronic form means an automated system transmitting information electronically according to the accepted electronic data transmission methods and formats identified in paragraph (c) of this clause. Facsimile, email, and scanned documents are not acceptable electronic forms for submission of payment requests;

(4) Invoice payment has the meaning given in FAR 32.001; and

(5) Payment request means any request for contract financing payment or invoice payment submitted by the contractor under this contract.

(b) Electronic payment requests. Except as provided in paragraph (e) of this clause, the contractor shall submit payment requests in electronic form. Purchases paid with a Government-wide commercial purchase card are considered to be an electronic transaction for purposes of this rule, and therefore no additional electronic invoice submission is required.

(c) Data transmission. A contractor must ensure that the data transmission method and format are through one of the following:

(1) VA’s Electronic Invoice Presentment and Payment System at the current website address provided in the contract.

(2) Any system that conforms to the X12 electronic data interchange (EDI) formats established by the Accredited Standards Center (ASC) and chartered by the American National Standards Institute (ANSI).

(d) Invoice requirements. Invoices shall comply with FAR 32.905.

(e) Exceptions. If, based on one of the circumstances in this paragraph (e), the Contracting Officer directs that payment requests be made by mail, the Contractor shall submit payment requests by mail through the United States Postal Service to the designated agency office. Submission of payment requests by mail may be required for—

(1) Awards made to foreign vendors for work performed outside the United States;

(2) Classified contracts or purchases when electronic submission and processing of payment requests could compromise the safeguarding of classified or privacy information;

(3) Contracts awarded by contracting officers in the conduct of emergency operations, such as responses to national emergencies;

(d) Comptroller General Examination of Record. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form.
