B.2 STATEMENT OF WORK

1. GENERAL OBJECTIVES AND REQUIREMENTS: The Buffalo VA Medical Center is seeking to establish a contract to obtain hotel rooms as part of the Hoptel Service offered to eligible Veterans. The Contractor shall provide rooms in a hotel with a minimum AAA diamond rating of 2 (or equivalent rating subject to Contracting Officer approval) located within 6 driving miles of the Buffalo VA Medical Center, 3495 Bailey Ave. Buffalo, NY 14215.

2. TYPE OF CONTRACT: Single Award Firm-Fixed Price Indefinite Delivery Indefinite Quantity (IDIQ) Contract.

3. TERM OF CONTRACT: The ordering period of this contract shall be five (5) years from the effective date. The ordering period is anticipated to be April 01, 2019 through March 31, 2024. All rooms shall be ready for occupancy by VA referred patients no later than seven (7) calendar days following award of the contract.

4. CUSTOMER SERVICE REQUIREMENTS: Courtesy is of paramount importance. All VA referred occupants and their Families shall be treated with utmost respect, and provided with courteous service.

5. ROOM REQUIREMENTS

a. The Department of Veterans Affairs requires approximately 8 (eight) furnished hotel rooms each day Sunday through Thursday. Rooms may be required on Friday and Saturday’s on an infrequent as-needed basis.

b. The fully furnished hotel rooms will include contractor provided utilities and other specified services. The hotel rooms shall comply with all city, county and state building codes and ordinances applicable to the ownership and operation of the building in which the rooms are located. Rooms shall comply with the applicable NFPA 101, 2000, Chapter 29. Rooms shall be located on a single hotel property.

c. Each unit shall have a minimum of 240 square feet of net usable space.

d. Each room shall be on the ground floor or be elevator serviced. The hotel lobby and elevators shall be accessible by wheelchair from parking areas. The interior of the room shall not have any stairs.

e. The rooms shall be smoke free. Contractor personnel shall not smoke in the rooms at any time regardless of the presence of VA occupants.

f. Contractor shall supply all utilities including heat, air conditioning, electricity, water and sewer, local telephone service, and basic television cable service.

g. The room rate per night will not include sales tax, of which the VAMC is exempt from paying.

h. All costs associated with general lodging are included in the contract price. There shall be no additional charges to the Veteran or their family for lodging, or any other service generally provided by the contractor, such as parking. Any expenses incurred in addition to those covered by the lodging (e.g. unauthorized meals, damages, movie channels, room services, long distance calls, etc.) are not the responsibility of the Buffalo, NY VA Medical Center. Local phone shall be included in the lodging rate.

6. PATIENT EMERGENCIES: In the event a VA referred occupant is in an emergency situation of any kind, the Contractor shall contact the appropriate parties to respond to the emergency. In addition, the Contractor shall immediately contact the VA Medical Center COR or the VA Medical Center, Officer of the Day if the emergency occurs in other than normal business hours.

7. DAILY ROOM SERVICE

Daily room service shall be provided each room and shall include at a minimum:

1) Make up bed(s). If the previous night’s occupant is different from the VA referred occupant for the next night, the bed linens will be changed daily as the room’s occupant change. Bed linens shall be changed every three (3) calendar days if the room is continuously occupied by the same VA referred occupant.

2) Vacuum all carpeting

3) Clean the bathroom floor, vanity sink and mirror, commode, and bath/shower unit

4) Change all used bath linens with laundered bath linens

5) Empty waste paper baskets

6) Replace toilet paper roll when three quarters consumed

7) Dust furniture

8) Any other standard services provided by room service to other guests of the hotel

8. TRANSPORTATION

a. Contractor shall provide on-call shuttle transportation for the VA referred occupants from the contractor’s hotel to the VA Medical Center and from the VA Medical Center to the hotel. The contractor shall provide the on-call transportation service from 6:00 a.m. to 11:00 p.m. seven days per week. Contractor shall respond within (30) minutes after being contacted by either the VA referred occupant or VA official to provide the on-call transportation service as described. **The Contractor is not required to provide Veteran occupants with more than 2 trips per day.

b. If the Contractors owned vehicle is not available, the contractor shall find/is responsible other means of transporting the VA referred occupant from the contractor facility to the Buffalo, NY VA Medical Center and back to the contractor’s facility.

c. If contractor uses other means such as Taxi/Cab, the contractor shall ensure that the Taxi/Cab driver and the VA referred occupant and their support understand that the contractor is responsible for the Taxi/Cab fare. Taxi/Cab driver shall know not to ask the VA referred occupant and their family for Taxi/Cab fare.

9. CONTINENTAL BREAKFAST

a. Each morning, the contractor shall provide a continental breakfast to the VA referred occupants. The breakfast meal may be self served buffet service located in a common area of the hotel. The contractor shall provide the necessary eating utensils, dishware, and serving ware for the breakfast meal. Contractor shall provide, at a minimum, items similar to following beverages and food for the breakfast meal:

b. Coffee; tea; milk; fresh juice; fresh fruit; sweet rolls or donuts; cold cereals; bread, bagels, or rolls; butter or margarine; fruit preserves or jellies.

c. Contractor shall inform the VA referred occupant of the availability of the free breakfast upon the VA referred occupant’s arrival. If the Hotel does not provide general continental breakfast to all guests, they must provide the VA referred occupants with vouchers to obtain breakfast daily.

10. ROOM REQUIREMENTS

a. Each room shall comply with the following general room requirements:

(1) Rooms shall be double occupancy

(2) Floor covering: All type of floor coverings shall be clean; free of stains; odor-free; and free of cracks or tears. Shag style carpets used as floor covering shall be ½” or less in length.

(3) All windows shall have window treatments consisting of shades, blinds or drapes. The window treatments shall be substantial enough to prevent viewing into the room from outside of the room. In addition, the window treatments shall be capable of substantially darkening the room during daylight hours.

(4) Each room’s exterior door shall have the ability to be secured with door guard and dead bolt lock. In addition, exterior doors shall have an exterior light; peep hole; if not leading into a climate controlled hallway, the door shall have weather stripping on four sides of door or frame to effectively seal off air leaks.

(5) Each room shall have a bathroom with a tub and shower or combination.

(6) Each room shall have at least a compact (approximately 2 cu ft) refrigerator with a freezer compartment, a microwave and an automatic drip coffee maker. A supply of regular and decaffeinated coffee and associated condiments shall be provided daily.

(7) Rooms shall be adequately air conditioned and heated.

(8) The Americans with Disabilities Act (ADA) prohibits U.S. businesses that serve the public from discriminating against persons with disabilities. When necessary, the Contractor shall permit entry to guests and their service animals, as well as allow service animals to accompany guests to all public areas of a property. No fees or deposits, even those normally charges for pets, shall be charged for service animals as they are not pets.

b. General Furniture Package

(1) All furniture shall be in good general condition; shall be clean; free of stains and odors; and have no tears or rips in the fabric coverings. Non-upholstered furniture surfaces shall be clean and free of scratches, broken surfaces, splinters, stains. The furniture package shall be consistent with industry standard for double occupancy.

(2) Each bed shall be supplied with the adequate bed linens which will be freshly cleaned, free of stains, odors, tears, and in good condition.

11. GENERAL BUILDING REQUIREMENTS AND SPECIFICATIONS

a. Fire Safety

(1) Buildings in which space is offered shall be in compliance with latest editions of the National Fire Codes, Uniform Building Code and any other Federal, State or local codes relating to hotel safety.

(2) Equipment, services, or utilities furnished and activities of other occupants shall be free of safety, health, and fire hazards. When hazards are detected, the contractor shall promptly correct hazards.

(3) Maintenance of contractor-owned fire extinguishers shall be provided by the contractor in accordance with NFPA Standard No. 101.

(4) As required by code, smoke detectors/alarms shall be installed in each room, office, storage area, hallways and other common areas.

(5) Facilities shall be (at the time of quote submission) and remain compliant with the requirements of the Hotel and Motel Fire Safety Act of 1990 (Public Law 101-391) (15 U.S.C. 2201 et. seq.) and be listed on the U.S. Fire Administration Hotel and Motel National Master List found at https://apps.usfa.fema.gov/hotel/. In addition, the offeror's facility must be compliant with the requirements of the Americans with Disabilities Act (Public Law 101-336) (42 U.S.C. 12101 et. seq.).

b. Asbestos - No asbestos containing fireproofing or insulation on building structures, acoustical treatment, molded or wet-applied ceiling or wall finishes/decorations, will be permitted. If present, such materials shall be removed by the contractor prior to occupancy by the VA.

c. Wheelchair Accessibility: All areas and furnishings must comply with Uniform Federal Accessibility Standards (UFAS).

d. Elevators: If elevators are a part of the room complex, they shall conform to the latest requirements of the American National Standard A171 and A171a Safety Code for Elevators, except for elevator emergency recall and shall be inspected and maintained in accordance with American National Standard A17.1, Inspector’s Manual for Elevators or equivalent local code. The elevators shall also comply with applicable Federal, State and local codes and ordinances.

e. Miscellaneous: No activity to the building and/or grounds that would cause an increase in dust, dirt or spores to be airborne (i.e., renovation to the building, movement of earth on the grounds) shall take place without the contractor’s written notification to the VA at least seven (7) calendar days in advance of the event.

f. Inspection: The Government reserves the right, at any time before and after contract award and during the term of the contract, to inspect the rooms and all other areas of the complex access to which is necessary to ensure a safe and healthy environment for the VA occupants.

12. ROOM RESERVATIONS

a. Room reservations, room occupancy, and room payment will be on the following basis:

(1) The Contractor shall allow the occupancy of rooms covered by this contract only upon the specific individual referral by the Contracting Officer’s Representative (COR) or authorized Buffalo VA Veterans Service Center (VSC) personnel identified by the Contracting Officer. The VA will inform the Contractor of an individual’s name and the expected arrival time at the Contractor’s hotel.

(2) For this contract, the Contractor shall use its existing check in and check out times.

b. The COR will notify the Contractor of when specific individuals will be checking out of the hotel. Should the VA referred occupant refuse to leave the room, the Contractor shall immediately notify the COR. The Contractor will not extend the occupancy of the room without VA confirmation and not by request of the individual in occupation of the room. Should the VA referred occupant check out of the hotel without prior notice from the VA the Contractor shall immediately notify the COR or the VA Medical Center Officer of the Day/Admissions Department (716-862-3232) if the check-out occurs in other than normal business hours.

13. TASK ORDERS:

a. Estimated task orders will be issued off this IDIQ contract to establish funding up to a not-to-exceed ceiling for a specified period of performance. Funding levels on estimated task orders will be adjusted via modification to reflect actual funds expended following the task order period of performance.

b. Upon receipt of a funded task order, the Contractor shall hold eight (8) rooms for each day Sunday through Thursday for the task order period indicated. Rooms needed for Friday and Saturday will be requested by the COR as needed.

c. The VA may request the number of rooms held to be decreased at no cost when at least 48 hours advance notice is provided.

d. The COR may request additional rooms provided the task order not-to-exceed ceiling will not be exceeded. The contractor shall accommodate requests for additional rooms when space is available and shall not deprioritize VA requests.

14. INVOICING AND PAYMENT:

a. The extent of the VA’s obligation to place orders under this contract does not exceed the IDIQ minimum. No rooms shall be held for the VA’s use without a current funded task order.

b. The Contractor shall submit an invoice to the VA for payment for all rooms covered by this contract on a monthly basis in arrears.

c. All rooms being held for the VA’s use that are not canceled will be paid by the VA at the contract rate except where the contractor agrees to shorter notice cancelations at no charge.

15. HISTORIC USAGE/DEMAND: This section is informational only.

a. During calendar year 2018, the Veterans receiving Hoptel Service occupied contracted hotel rooms for 1457 nights. 1442 were Sunday through Thursday nights, and 15 were either Friday or Saturday nights. Actual payments made by the Buffalo VA during calendar year 2018 may have been higher due to rooms being held but not canceled. The historic usage numbers below show monthly totals for occupied rooms only. The monthly totals of actual rooms occupied for calendar year 2018 were as follows (actual future usage will vary based on demand):

C.2 52.216-18 ORDERING (OCT 1995)

(a) Any supplies and services to be furnished under this contract shall be ordered by issuance of delivery orders or task orders by the individuals or activities designated in the Schedule. Such orders may be issued from 04/01/2019 through 03/31/2024.

(b) All delivery orders or task orders are subject to the terms and conditions of this contract. In the event of conflict between a delivery order or task order and this contract, the contract shall control.

(c) If mailed, a delivery order or task order is considered "issued" when the Government deposits the order in the mail. Orders may be issued orally, by facsimile, or by electronic commerce methods only if authorized in the Schedule.

C.3 52.216-19 ORDER LIMITATIONS (OCT 1995)

(a) Minimum order. When the Government requires supplies or services covered by this contract in an amount of less than one room, the Government is not obligated to purchase, nor is the Contractor obligated to furnish, those supplies or services under the contract.

(b) Maximum order. The Contractor is not obligated to honor—

(1) Any order for a single item in excess of 15 rooms in one day;

(2) Any order for a combination of items in excess of 15 rooms in one day; or

(3) A series of orders from the same ordering office within 1 day that together call for quantities exceeding the limitation in paragraph (b)(1) or (2) of this section.

(c) If this is a requirements contract (i.e., includes the Requirements clause at subsection 52.216-21 of the Federal Acquisition Regulation (FAR)), the Government is not required to order a part of any one requirement from the Contractor if that requirement exceeds the maximum-order limitations in paragraph (b) of this section.

(d) Notwithstanding paragraphs (b) and (c) of this section, the Contractor shall honor any order exceeding the maximum order limitations in paragraph (b), unless that order (or orders) is returned to the ordering office within 1 days after issuance, with written notice stating the Contractor's intent not to ship the item (or items) called for and the reasons. Upon receiving this notice, the Government may acquire the supplies or services from another source.

C.4 52.216-22 INDEFINITE QUANTITY (OCT 1995)

(a) This is an indefinite-quantity contract for the supplies or services specified, and effective for the period stated, in the Schedule. The quantities of supplies and services specified in the Schedule are estimates only and are not purchased by this contract.

(b) Delivery or performance shall be made only as authorized by orders issued in accordance with the Ordering clause. The Contractor shall furnish to the Government, when and if ordered, the supplies or services specified in the Schedule up to and including the quantity designated in the Schedule as the "maximum." The Government shall order at least the quantity of supplies or services designated in the Schedule as the "minimum."

(c) Except for any limitations on quantities in the Order Limitations clause or in the Schedule, there is no limit on the number of orders that may be issued. The Government may issue orders requiring delivery to multiple destinations or performance at multiple locations.

(d) Any order issued during the effective period of this contract and not completed within that period shall be completed by the Contractor within the time specified in the order. The contract shall govern the Contractor's and Government's rights and obligations with respect to that order to the same extent as if the order were completed during the contract's effective period; provided, that the Contractor shall not be required to make any deliveries under this contract after March 31, 2024.

C.5 52.217-8 OPTION TO EXTEND SERVICES (NOV 1999)

The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 30 days.

C.6 52.232-19 AVAILABILITY OF FUNDS FOR THE NEXT FISCAL YEAR (APR 1984)

Funds are not presently available for performance under this contract beyond 09/30/2019. The Government's obligation for performance of this contract beyond that date is contingent upon the availability of appropriated funds from which payment for contract purposes can be made. No legal liability on the part of the Government for any payment may arise for performance under this contract beyond 09/30/2019, until funds are made available to the Contracting Officer for performance and until the Contractor receives notice of availability, to be confirmed in writing by the Contracting Officer.

C.7 VAAR 852.203-70 COMMERCIAL ADVERTISING (MAY 2018)

The Contractor shall not make reference in its commercial advertising to Department of Veterans Affairs contracts in a manner that states or implies the Department of Veterans Affairs approves or endorses the Contractor’s products or services or considers the Contractor’s products or services superior to other products or services.

(End of Clause) C.8 VAAR 852.219-74 LIMITATIONS ON SUBCONTRACTING—MONITORING AND COMPLIANCE (JUL 2018)

(a) This solicitation includes FAR 52.219-14 Limitations on Subcontracting.

(b) Accordingly, any contract resulting from this solicitation is subject to the limitation on subcontracting requirements in 13 CFR 125.6, or the limitations on subcontracting requirements in the FAR clause, as applicable. The Contractor is advised that in performing contract administration functions, the Contracting Officer may use the services of a support contractor(s) retained by VA to assist in assessing the Contractor's compliance with the limitations on subcontracting or percentage of work performance requirements specified in the clause. To that end, the support contractor(s) may require access to Contractor's offices where the Contractor's business records or other proprietary data are retained and to review such business records regarding the Contractor's compliance with this requirement.

(c) All support contractors conducting this review on behalf of VA will be required to sign an “Information Protection and Non-Disclosure and Disclosure of Conflicts of Interest Agreement” to ensure the Contractor's business records or other proprietary data reviewed or obtained in the course of assisting the Contracting Officer in assessing the Contractor for compliance are protected to ensure information or data is not improperly disclosed or other impropriety occurs.

(d) Furthermore, if VA determines any services the support contractor(s) will perform in assessing compliance are advisory and assistance services as defined in FAR 2.101, Definitions, the support contractor(s) must also enter into an agreement with the Contractor to protect proprietary information as required by FAR 9.505-4, Obtaining access to proprietary information, paragraph (b). The Contractor is required to cooperate fully and make available any records as may be required to enable the Contracting Officer to assess the Contractor's compliance with the limitations on subcontracting or percentage of work performance requirement.

C.9 VAAR 852.232-72 ELECTRONIC SUBMISSION OF PAYMENT REQUESTS (NOV 2018)

(a) Definitions. As used in this clause—

(1) Contract financing payment has the meaning given in FAR 32.001;

(2) Designated agency office means the office designated by the purchase order, agreement, or contract to first receive and review invoices. This office can be contractually designated as the receiving entity. This office may be different from the office issuing the payment;

(3) Electronic form means an automated system transmitting information electronically according to the accepted electronic data transmission methods and formats identified in paragraph (c) of this clause. Facsimile, email, and scanned documents are not acceptable electronic forms for submission of payment requests;

(4) Invoice payment has the meaning given in FAR 32.001; and

(5) Payment request means any request for contract financing payment or invoice payment submitted by the contractor under this contract.

(b) Electronic payment requests. Except as provided in paragraph (e) of this clause, the contractor shall submit payment requests in electronic form. Purchases paid with a Government-wide commercial purchase card are considered to be an electronic transaction for purposes of this rule, and therefore no additional electronic invoice submission is required.

(c) Data transmission. A contractor must ensure that the data transmission method and format are through one of the following:

(1) VA’s Electronic Invoice Presentment and Payment System at the current website address provided in the contract.

(2) Any system that conforms to the X12 electronic data interchange (EDI) formats established by the Accredited Standards Center (ASC) and chartered by the American National Standards Institute (ANSI).

(d) Invoice requirements. Invoices shall comply with FAR 32.905.

(e) Exceptions. If, based on one of the circumstances in this paragraph (e), the Contracting Officer directs that payment requests be made by mail, the Contractor shall submit payment requests by mail through the United States Postal Service to the designated agency office. Submission of payment requests by mail may be required for—

(1) Awards made to foreign vendors for work performed outside the United States;

(2) Classified contracts or purchases when electronic submission and processing of payment requests could compromise the safeguarding of classified or privacy information;

(3) Contracts awarded by contracting officers in the conduct of emergency operations, such as responses to national emergencies;

(4) Solicitations or contracts in which the designated agency office is a VA entity other than the VA Financial Services Center in Austin, Texas; or

(5) Solicitations or contracts in which the VA designated agency office does not have electronic invoicing capability as described above.

C.10 VAAR 852.237-70 CONTRACTOR RESPONSIBILITIES (APR 1984)

The contractor shall obtain all necessary licenses and/or permits required to perform this work. He/she shall take all reasonable precautions necessary to protect persons and property from injury or damage during the performance of this contract. He/she shall be responsible for any injury to himself/herself, his/her employees, as well as for any damage to personal or public property that occurs during the performance of this contract that is caused by his/her employees fault or negligence, and shall maintain personal liability and property damage insurance having coverage for a limit as required by the laws of the State of New York. Further, it is agreed that any negligence of the Government, its officers, agents, servants and employees, shall not be the responsibility of the contractor hereunder with the regard to any claims, loss, damage, injury, and liability resulting there from.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records—Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

(e)(1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c), and (d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (e)(1) in a subcontract for commercial items.
