B.2 LIMITATIONS ON SUBCONTRACTING-- MONITORING AND COMPLIANCE (JUN

2011) This solicitation includes FAR 52.219-14 Limitations on Subcontracting. Accordingly, any contract resulting from this solicitation will include this clause. The contractor is advised in performing contract administration functions, the CO may use the services of a support contractor(s) retained by VA to assist in assessing the contractor's compliance with the limitations on subcontracting or percentage of work performance requirements specified in the clause. To that end, the support contractor(s) may require access to contractor's offices where the contractor's business records or other proprietary data are retained and to review such business records regarding the contractor's compliance with this requirement. All support contractors conducting this review on behalf of VA will be required to sign an “Information Protection and Non-

Disclosure and Disclosure of Conflicts of Interest Agreement” to ensure the contractor's business records or other proprietary data reviewed or obtained in the course of assisting the CO in assessing the contractor for compliance are protected to ensure information or data is not improperly disclosed or other impropriety occurs. Furthermore, if VA determines any services the support contractor(s) will perform in assessing compliance are advisory and assistance services as defined in FAR 2.101, Definitions, the support contractor(s) must also enter into an agreement with the contractor to protect proprietary information as required by FAR 9.505-4, obtaining access to proprietary information, paragraph (b). The contractor is required to cooperate fully and make available any records as may be required to enable the CO to assess the contractor's compliance with the limitations on subcontracting or percentage of work performance requirement.

B.3 SUBCONTRACTING COMMITMENTS--MONITORING AND COMPLIANCE (JUN

2011) This solicitation includes VAAR 852.215-70, Service-Disabled Veteran-Owned and Veteran-Owned Small Business

Evaluation Factors, and VAAR 852.215-71, Evaluation Factor Commitments. Accordingly, any contract resulting from this solicitation will include these clauses. The contractor is advised in performing contract administration functions, the

CO may use the services of a support contractor(s) to assist in assessing contractor compliance with the subcontracting commitments incorporated into the contract. To that end, the support contractor(s) may require access to the contractor's business records or other proprietary data to review such business records regarding contract compliance with this requirement. All support contractors conducting this review on behalf of VA will be required to sign an “Information

B.4 PERFORMANCE WORK STATEMENT

Hudson Valley DirecTV Cable Programming Service

1. Scope: The Department of Veterans Affairs, Hudson Valley Healthcare System (VA-HVHCS), Engineering Service

(138) needs DirecTV cable services programming. These services are for enhancing patient care for outpatient and resident Veterans served by the VA Hudson Valley Healthcare System. These services are currently under contract, expiring September 30, 2018. The Government has determined that these services are a continuing need beyond

September 30, 2018 and requires a Firm-Fixed Price contract to support this need.

2. Applicable Documents: Federal Acquisition Regulation (FAR) and Veterans Administration Acquisition Regulation

(VAAR), as applicable to this requirement.

3. Tasks: The Contractor shall provide DirecTV program services using the existing infrastructure.

4. Equipment: The Montrose campus has 215 drops and Castle Point campus has 90 drops.

5. Performance Locations:

Castle Point Campus (Dutchess County, NY): 41 Castle Point Road, Wappinger Falls, New York 12590

FDR-Montrose Campus (Westchester County, NY): 2094 Albany Point Road, Montrose, New York 10548

6. Performance Periods: Base Year: October 1, 2018 through September 30, 2019

Option Year 1: October 1, 2019 through September 30, 2020

Option Year 2: October 1, 2020 through September 30, 2021

Option Year 3: October 1, 2021 through September 30, 2022

Option Year 4: October 1, 2022 through September 30, 2023

7. Requirements:

a. Contractor shall supply television service to the entire Castle Point campus of at least 90 Drops with a subscription service that includes the following, at a minimum:

c. Equipment and Material Storage: The contractor shall provide and store all equipment, the materials specified above, and any other materials required to complete the project and are required to be kept clean and dry throughout the duration of the project.

d. Contractor Use of the Premises: During the period of the project, the contractor will have access to the site only during business hours of 8AM-4:30PM Monday – Friday. No on-site work shall be performed outside these hours or on holidays unless otherwise directed by the Contracting Officer. The contractor will need to coordinate with the government Contracting Officer/VA POC to arrange access to the VA Medical Facility. The contractor shall make every effort to cause a minimum of damage to the medical facility and any areas not included in this scope of work.

Any damage caused will be repaired at the contractor’s expense.

e. Protection of Public: Special precaution shall be taken when working on the acute psychiatric wards at the Montrose campus.

a. Contractor personnel must have in their possession for inspection by VA Police Department a valid state or government issued identification such as drivers’ license or passport. Personnel may be required to surrender their ID to the VA Police to obtain a temporary day pass at the discretion of VA Police. ID will be returned upon leaving US

Government property.

b. The Certification and Accreditation (C&A) Requirements for Information Resources do not apply and the Security

Accreditation Package is not required.

9. Quality Assurance: The Contractor shall maintain the system and provide best quality TV programming services which ensures that service meets minimum signal level threshold and voltage requirements. Service calls for outages due to equipment failure or damage or loss of service must be addressed within 24 hours or the next business day, whichever is sooner.

C.2 52.217-9 OPTION TO EXTEND THE TERM OF THE CONTRACT (MAR 2000)

(a) The Government may extend the term of this contract by written notice to the Contractor within 30 days of contract expiration; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least

60 days before the contract expires. The preliminary notice does not commit the Government to an extension.

(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.

(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 66 months.

C.3 VAAR 852.203-70 COMMERCIAL ADVERTISING (MAY 2018)

The Contractor shall not make reference in its commercial advertising to Department of Veterans Affairs contracts in a manner that states or implies the Department of Veterans Affairs approves or endorses the Contractor’s products or services or considers the Contractor’s products or services superior to other products or services.

C.4 VAAR 852.232-72 ELECTRONIC SUBMISSION OF PAYMENT REQUESTS (NOV 2012)

(a) Definitions. As used in this clause—

(1) Contract financing payment has the meaning given in FAR 32.001.

(2) Designated agency office has the meaning given in 5 CFR 1315.2(m).

(3) Electronic form means an automated system transmitting information electronically according to the

Accepted electronic data transmission methods and formats identified in paragraph (c) of this clause. Facsimile, email, and scanned documents are not acceptable electronic forms for submission of payment requests.

(4) Invoice payment has the meaning given in FAR 32.001.

(5) Payment request means any request for contract financing payment or invoice payment submitted by the contractor under this contract.

(b) Electronic payment requests. Except as provided in paragraph (e) of this clause, the contractor shall submit payment requests in electronic form. Purchases paid with a Government-wide commercial purchase card are considered to be an electronic transaction for purposes of this rule, and therefore no additional electronic invoice submission is required.

(c) Data transmission. A contractor must ensure that the data transmission method and format are through one of the following:

(1) VA’s Electronic Invoice Presentment and Payment System. (See Web site at http://www.fsc.va.gov/einvoice.asp.)

(2) Any system that conforms to the X12 electronic data interchange (EDI) formats established by the Accredited

Standards Center (ASC) and chartered by the American National Standards Institute (ANSI). The X12 EDI Web site

(http://www.x12.org) includes additional information on EDI 810 and 811 formats.

(d) Invoice requirements. Invoices shall comply with FAR 32.905.

(e) Exceptions. If, based on one of the circumstances below, the contracting officer directs that payment requests be made by mail, the contractor shall submit payment requests by mail through the United States Postal Service to the designated agency office. Submission of payment requests by mail may be required for:

(1) Awards made to foreign vendors for work performed outside the United States;

(2) Classified contracts or purchases when electronic submission and processing of payment requests could compromise the safeguarding of classified or privacy information;

(3) Contracts awarded by contracting officers in the conduct of emergency operations, such as responses to national emergencies;

(4) Solicitations or contracts in which the designated agency office is a VA entity other than the VA Financial

Services Center in Austin, Texas; or

(d) Comptroller General Examination of Record. E.7 VAAR 852.270-1 REPRESENTATIVES OF CONTRACTING OFFICERS (JAN 2008)

The contracting officer reserves the right to designate representatives to act for him/her in furnishing technical guidance and advice or generally monitor the work to be performed under this contract. Such designation will be in writing and will define the scope and limitation of the designee's authority. A copy of the designation shall be furnished to the contractor.

E.8 52.212-2 EVALUATION--COMMERCIAL ITEMS--ADDENDUM

Basis for contract award - This acquisition is being conducted under FAR Parts 12 and 13. Offers will be evaluated using the factors identified in FAR 52.212-2, Evaluation – Commercial items. Noncompliance may be grounds to eliminate the proposal from consideration for contract award. Award will be made utilizing a Lowest Price Technically Acceptable

(LPTA) source selection method. By submission of its offer in accordance with the instructions provided in clause FAR

52.212-1, Instructions to Offerors, the Offeror agrees to the terms of this solicitation.

Specifically, the evaluation process shall proceed as follows:

The following factors shall be used to evaluate offers:

First, the quotes will be ranked in order from lowest to highest based on the price. The lowest priced quotation will then be evaluated and receive a rating of Acceptable or Unacceptable based on the criteria below. To be rated as Acceptable, the Technical quote must meet the government's minimum requirements as described in the schedule. Quotes deemed

Unacceptable are those that fail to meet the Government's minimum requirements.

Past performance will then be evaluated and assigned a rating of Acceptable or Unacceptable. To be rated as Acceptable, the past performance must present a reasonable expectation that the Offeror will successfully perform the required effort, or the Offeror’s performance record is unknown.

If the lowest priced Offeror’s Technical quote and past performance are rated acceptable, the government will then evaluate pricing to determine fair and reasonableness per FAR 13.106-3.

If the lowest priced quotation is evaluated to have an acceptable technical quote, acceptable past performance, and fair and reasonable prices, per FAR 13.106-3, the Government will complete a responsibility determination in accordance with the criteria specified in FAR 9.104-1. If found responsible, the Government may stop the evaluation process at this point as that quote represents the best value to the Government. Award shall be made to that Offeror without further consideration of any other offers.

If the lowest priced quotation is assigned an unacceptable rating, or if the price is determined not fair and reasonable or if the Offeror is found to be non-responsible, the next lowest priced quote will be evaluated. This process will continue (in ascending order) until an Offeror is evaluated to have an acceptable technical rating, fair and reasonable prices and the

Offeror is deemed responsible or until all offers have been evaluated.

The government reserves the right to evaluate all quotes. The award will be made to the Offeror whose proposal represents the best value to the government on a LPTA basis, factoring in price and non-price factors – Technical

Capability and Past Performance.

Factor 2: Price

To be considered for award, price must be determined fair and reasonable in accordance with FAR 13.106-3(a).

Options. IAW the provision at FAR 52.217-5, the government will evaluate offers for award purposes by adding the total price for all options including the option under FAR 52.217-8, to the total price for the basic requirement. Evaluation of options will not obligate the government to exercise options. The government may determine that an offer is unacceptable if the option prices are significantly unbalanced.

Offerors are advised that the Option to Extend Services Clause at 52.217-8 is included in the solicitation and will be included in the awarded contract. When proposing prices for base and option years, Offerors should consider that the government may choose to exercise the option to extend services at the end of any period of performance (base or option periods), utilizing the rates in effect during the period of performance in which the option is exercised. For purposes of evaluation, the government assumes that any price proposed for base and option periods reflects the possibility that a period of performance may be extended.
