The government intends to award a firm fixed price Purchase Order with 1 Base Year plus up to 4 Option Years. Contractor shall provide all necessary personnel, supervision, labor, equipment, materials, and disposal necessary to provide the services at the West Haven CT VAMC pursuant to the PWS described herein.
Quoters should carefully follow instructions included in 52.212-1 and evaluation criteria specified in Section E.
Pricing should be identified in the Price/Cost Schedule.

B.2 PERFORMANCE WORK STATEMENT
VA Connecticut Healthcare System Automatic Door Maintenance
1. Scope:
The contractor will furnish all labor, transportation, parts, test equipment, tools, and expertise necessary to provide corrective maintenance to all automatic door systems within the West Haven CT VA Medical Center. There are approximately 110 automatic door systems of varying makes and models. The selected vendor shall be ADA, AAADM certified (or equivalent) in door repair. Emergent repairs may occur and will require work to be done off hours and on weekends. These services are intended to maintain the automatic doors in West Haven in proper working condition. These maintenance/repair responsibilities are limited to the basic door operator functions and safety sensors, the repair of security devices shall not be covered under this contract, however joint participation with other contractor(s) to ensure proper operation(s) in those areas may be required. This Contract does not guarantee the vendor exclusive right to make all repairs or future installations. The VA retains the right to obtain emergent and non-emergent services from other sources.
Within the West Haven Campus there are 110+ automatic door openers to include the following:
· Nabco Gyrotech
· Besam
· Automatic Door Systems Inc
· Stanley door systems
· Miscellaneous (Pro swing, Ditec, and Horton) Door types include swing, sliding and revolving.
2. Description of services:
2.1 Compliance:
The contractor shall be fully responsible for compliance with all VA, local, state and Federal environmental/occupational safety laws, rules and regulations. The contractor shall follow VACT Interim life safety measure and Infectious control risk assessment Policies, and take necessary actions to avoid conditions that may be hazardous to the health and safety of hospital personnel and patients. The contractor is responsible for meeting all applicable OSHA and VA guidelines for safe working Processes. All work for the duration of the contract shall be performed by ADA, AAADM (or equivalent) certified technicians/inspector.
2.2 Qualified Technicians
Contractor’s shall only deploy for service technicians that possess the appropriate licensing and certification as required by their respective trade for the maintenance testing and services being conducted. Where required by manufacturer warranties and/or recommendations and requirements, service technicians shall be approved by the manufacturer to service their respective equipment. If no manufacturer certification is required for a piece of equipment, the technician must be licensed in the particular trade being performed. Copies of those licenses and certifications shall be included in the quote package.
2.3 Standards
Contractor shall be responsible for repairing each piece of equipment to manufacturer standards and acceptable working tolerances for the safe operation and continued service life. Contractor is responsible for providing all labor and work associated with completing warranty repair work on all pieces of equipment serviced. All repairs are to include all parts, labor (to include circuit boards, controllers, and actuators) as well as any required adjustments and operational testing. The vendor shall service all existing, new, or replaced door systems installed on the West Haven Campus during the period of performance of this contract in accordance with this Performance Work Statement
3. Service calls; Notifications and Response Time:
The contractor must provide an emergency telephone number for purposes of accepting service calls, an answering machine is not acceptable. Facilities Management Service (FMS) will notify the contractor of equipment failure. For non-emergent calls the contractor shall respond no later than the next business day. For emergent calls (high profile areas such as secure exterior doors, Medical Emergency Room, Psych emergency room and Psych wards) the contractor shall respond within two (2) hours of the originating call.
3.1 Confirmation of Repair Work:
All completed repairs must be inspected and approved by Facilities Maintenance Service, and a detailed “Monthly” list of all repairs furnished to the Contracting Officers Representative.
3.2 Discovered Conditions:
Upon Inspection / discovery of a unit that has extensive damage or is found to be beyond economical repair the contractor shall immediately notify the Facility Maintenance Service Contracting Officer Representative (FMS COR)or Contracting Officer for authorization for repairs or replacement. FMS COR approval is also required for equipment costs in excess of $500.
3.3 Escort and Check-in:
When the contracted technician arrives at the VAMC to perform the work, the technician shall check in with the designated facility representative and follow their directions in performing the work in accordance with VAMC standards. All contractor personnel working onsite at the VA Medical Center shall check in and out at the Engineering offices located in building fifteen (Street Level) during normal days and working hours, Monday – Friday 7:30am – 4:30 pm. For services required during after hours, weekends and Holidays vendor check in will be at the Boiler Plant (203-932-5711 x3744). Access to work areas and performance monitoring will be provided by VAMC FMS Personnel.
3.4 Cleanup:
The contractor shall be responsible for cleaning of the work area upon completion of work, and remove and dispose of all removed materials.
3.6 Quality Assurance:
The COR shall monitor contractor performance quality, and the COR’s feedback will inform the performance evaluations created by the Contracting Officer. Key items the COR will watch for include, but are not limited to: response timeliness, technician preparation and readiness to perform the work, the quality of the work performed, professionalism of the technicians, and compliance with contract and facility requirements.
In the event of a quality issue arising, the COR will investigate and attempt to resolve the issue with the technician or contractor directly. If the COR is unable to resolve the issue, the COR shall refer the issue to the CO for fact-finding, evaluation, and resolution in a manner the CO sees fit, with all legal remedies available for use.
3.7 Other Quote Considerations
No work outside of that detailed in this work description performed will be paid by the VA without the express, prior written authorization of the Contracting Officer. No other government employee has authority to change the resulting contract’s terms or conditions or to commit funding.
In all quotes submitted, the quoting vendor shall identify if they will self-perform the contract requirements or if they will subcontract any part of it. If subcontracting, the quoting vendor shall identify the percentage (%) of proposed contract value the prime and the subcontractor(s) will account for, as well as what key tasks will be performed by which party. This will be closely monitored for compliance by the government, and the act of submitting a quote constitutes the granting of permission to the government to audit such activity.
The CO retains the right to refuse the use of any subcontractor for any or no reason.

SECTION C - CONTRACT CLAUSES
ADDENDUM to FAR 52.212-4 CONTRACT TERMS AND CONDITIONS—COMMERCIAL ITEMS Clauses that are incorporated by reference (by Citation Number, Title, and Date), have the same force and effect as if they were given in full text. Upon request, the Contracting Officer will make their full text available.
The following clauses are incorporated into 52.212-4 as an addendum to this contract:
C.1 52.203-17 CONTRACTOR EMPLOYEE WHISTLEBLOWER RIGHTS AND REQUIREMENT TO INFORM EMPLOYEES OF WHISTLEBLOWER RIGHTS (APR 2014)
(a) This contract and employees working on this contract will be subject to the whistleblower rights and remedies in the pilot program on Contractor employee whistleblower protections established at 41 U.S.C. 4712 by section 828 of the National Defense Authorization Act for Fiscal Year 2013 (Pub. L. 112–239) and FAR 3.908.
(b) The Contractor shall inform its employees in writing, in the predominant language of the workforce, of employee whistleblower rights and protections under 41 U.S.C. 4712, as described in section 3.908 of the Federal Acquisition Regulation.
(c) The Contractor shall insert the substance of this clause, including this paragraph (c), in all subcontracts over the simplified acquisition threshold.
(End of Clause) C.2 52.204-4 PRINTED OR COPIED DOUBLE-SIDED ON POSTCONSUMER FIBER CONTENT PAPER (MAY 2011)
(a) Definitions. As used in this clause— "Postconsumer fiber" means— (1) Paper, paperboard, and fibrous materials from retail stores, office buildings, homes, and so forth, after they have passed through their end-usage as a consumer item, including: used corrugated boxes; old newspapers; old magazines; mixed waste paper; tabulating cards; and used cordage; or
(2) All paper, paperboard, and fibrous materials that enter and are collected from municipal solid waste; but not
(3) Fiber derived from printers' over-runs, converters' scrap, and over-issue publications.
(b) The Contractor is required to submit paper documents, such as offers, letters, or reports that are printed or copied double-sided on paper containing at least 30 percent postconsumer fiber, whenever practicable, when not using electronic commerce methods to submit information or data to the Government.

C.3 52.217-8 OPTION TO EXTEND SERVICES (NOV 1999)
The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 10 days.

C.4 52.217-9 OPTION TO EXTEND THE TERM OF THE CONTRACT (MAR 2000)
(a) The Government may extend the term of this contract by written notice to the Contractor within 10 days; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 10 days before the contract expires. The preliminary notice does not commit the Government to an extension.
(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.
(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed five (5) years.

C.5 52.228-5 INSURANCE—WORK ON A GOVERNMENT INSTALLATION (JAN 1997)
(a) The Contractor shall, at its own expense, provide and maintain during the entire performance of this contract, at least the kinds and minimum amounts of insurance required in the Schedule or elsewhere in the contract.
(b) Before commencing work under this contract, the Contractor shall notify the Contracting Officer in writing that the required insurance has been obtained. The policies evidencing required insurance shall contain an endorsement to the effect that any cancellation or any material change adversely affecting the Government's interest shall not be effective—
(1) For such period as the laws of the State in which this contract is to be performed prescribe; or
(2) Until 30 days after the insurer or the Contractor gives written notice to the Contracting Officer, whichever period is longer.
(c) The Contractor shall insert the substance of this clause, including this paragraph (c), in subcontracts under this contract that require work on a Government installation and shall require subcontractors to provide and maintain the insurance required in the Schedule or elsewhere in the contract. The Contractor shall maintain a copy of all subcontractors' proofs of required insurance, and shall make copies available to the Contracting Officer upon request.
(End of Clause) C.6 52.232-40 PROVIDING ACCELERATED PAYMENTS TO SMALL BUSINESS SUBCONTRACTORS (DEC 2013)
(a) Upon receipt of accelerated payments from the Government, the Contractor shall make accelerated payments to its small business subcontractors under this contract, to the maximum extent practicable and prior to when such payment is otherwise required under the applicable contract or subcontract, after receipt of a proper invoice and all other required documentation from the small business subcontractor.
(b) The acceleration of payments under this clause does not provide any new rights under the Prompt Payment Act.
(c) Include the substance of this clause, including this paragraph (c), in all subcontracts with small business concerns, including subcontracts with small business concerns for the acquisition of commercial items.
(End of Clause) C.7 52.237-2 PROTECTION OF GOVERNMENT BUILDINGS, EQUIPMENT, AND VEGETATION (APR 1984) The Contractor shall use reasonable care to avoid damaging existing buildings, equipment, and vegetation on the Government installation. If the Contractor's failure to use reasonable care causes damage to any of this property, the Contractor shall replace or repair the damage at no expense to the Government as the Contracting Officer directs. If the Contractor fails or refuses to make such repair or replacement, the Contractor shall be liable for the cost, which may be deducted from the contract price.

C.8 52.246-4 INSPECTION OF SERVICES—FIXED-PRICE (AUG 1996)
(a) Definitions. "Services," as used in this clause, includes services performed, workmanship, and material furnished or utilized in the performance of services.
(b) The Contractor shall provide and maintain an inspection system acceptable to the Government covering the services under this contract. Complete records of all inspection work performed by the Contractor shall be maintained and made available to the Government during contract performance and for as long afterwards as the contract requires.
(c) The Government has the right to inspect and test all services called for by the contract, to the extent practicable at all times and places during the term of the contract. The Government shall perform inspections and tests in a manner that will not unduly delay the work.
(d) If the Government performs inspections or tests on the premises of the Contractor or a subcontractor, the Contractor shall furnish, and shall require subcontractors to furnish, at no increase in contract price, all reasonable facilities and assistance for the safe and convenient performance of these duties.
(e) If any of the services do not conform with contract requirements, the Government may require the Contractor to perform the services again in conformity with contract requirements, at no increase in contract amount. When the defects in services cannot be corrected by reperformance, the Government may (1) require the Contractor to take necessary action to ensure that future performance conforms to contract requirements and (2) reduce the contract price to reflect the reduced value of the services performed.
(f) If the Contractor fails to promptly perform the services again or to take the necessary action to ensure future performance in conformity with contract requirements, the Government may (1) by contract or otherwise, perform the services and charge to the Contractor any cost incurred by the Government that is directly related to the performance of such service or (2) terminate the contract for default.

C.12 VAAR 852.232-72 ELECTRONIC SUBMISSION OF PAYMENT REQUESTS (NOV 2018)
(a) Definitions. As used in this clause—
(1) Contract financing payment has the meaning given in FAR 32.001;
(2) Designated agency office means the office designated by the purchase order, agreement, or contract to first receive and review invoices. This office can be contractually designated as the receiving entity. This office may be different from the office issuing the payment;
(3) Electronic form means an automated system transmitting information electronically according to the accepted electronic data transmission methods and formats identified in paragraph (c) of this clause. Facsimile, email, and scanned documents are not acceptable electronic forms for submission of payment requests;
(4) Invoice payment has the meaning given in FAR 32.001; and
(5) Payment request means any request for contract financing payment or invoice payment submitted by the contractor under this contract.
(b) Electronic payment requests. Except as provided in paragraph (e) of this clause, the contractor shall submit payment requests in electronic form. Purchases paid with a Government-wide commercial purchase card are considered to be an electronic transaction for purposes of this rule, and therefore no additional electronic invoice submission is required.
(c) Data transmission. A contractor must ensure that the data transmission method and format are through one of the following:
(1) VA’s Electronic Invoice Presentment and Payment System at the current website address provided in the contract.
(2) Any system that conforms to the X12 electronic data interchange (EDI) formats established by the Accredited Standards Center (ASC) and chartered by the American National Standards Institute (ANSI).
(d) Invoice requirements. Invoices shall comply with FAR 32.905.
(e) Exceptions. If, based on one of the circumstances in this paragraph (e), the Contracting Officer directs that payment requests be made by mail, the Contractor shall submit payment requests by mail through the United States Postal Service to the designated agency office. Submission of payment requests by mail may be required for—
(1) Awards made to foreign vendors for work performed outside the United States;
(2) Classified contracts or purchases when electronic submission and processing of payment requests could compromise the safeguarding of classified or privacy information;
(3) Contracts awarded by contracting officers in the conduct of emergency operations, such as responses to national emergencies;
(4) Solicitations or contracts in which the designated agency office is a VA entity other than the VA Financial Services Center in Austin, Texas; or
(5) Solicitations or contracts in which the VA designated agency office does not have electronic invoicing capability as described above.

C.13 VAAR 852.237-70 CONTRACTOR RESPONSIBILITIES (APR 1984)
The contractor shall obtain all necessary licenses and/or permits required to perform this work. He/she shall take all reasonable precautions necessary to protect persons and property from injury or damage during the performance of this contract. He/she shall be responsible for any injury to himself/herself, his/her employees, as well as for any damage to personal or public property that occurs during the performance of this contract that is caused by his/her employees fault or negligence, and shall maintain personal liability and property damage insurance having coverage for a limit as required by the laws of the State of Connecticut. Further, it is agreed that any negligence of the Government, its officers, agents, servants and employees, shall not be the responsibility of the contractor hereunder with the regard to any claims, loss, damage, injury, and liability resulting there from.

C.14 VAAR 852.246-71 REJECTED GOODS (OCT 2018)
(a) Supplies and equipment. Rejected goods will be held subject to Contractor’s order for not more than 15 days, after which the rejected merchandise will be returned to the Contractor’s address at the Contractor’s risk and expense. Expenses incident to the examination and testing of materials or supplies that have been rejected will be charged to the Contractor.
(b) Perishable supplies. The Contractor shall remove rejected perishable supplies within 48 hours after notice of rejection. Supplies determined to be unfit for human consumption will not be removed without permission of the local health authorities. Supplies not removed within the allowed time may be destroyed. The Department of Veterans Affairs will not be responsible for, nor pay for, products rejected. The Contractor will be liable for costs incident to examination of rejected products.

(d) Comptroller General Examination of Record. (1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.
