B.2 LIMITATIONS ON SUBCONTRACTING-- MONITORING AND COMPLIANCE (JUN 2011)
This solicitation includes VAAR 852.219-11 VA Notice of Total Veteran-Owned Small Business Set-Aside. Accordingly, any contract resulting from this solicitation will include this clause. The contractor is advised in performing contract administration functions, the CO may use the services of a support contractor(s) retained by VA to assist in assessing the contractor's compliance with the limitations on subcontracting or percentage of work performance requirements specified in the clause. To that end, the support contractor(s) may require access to contractor's offices where the contractor's business records or other proprietary data are retained and to review such business records regarding the contractor's compliance with this requirement. All support contractors conducting this review on behalf of VA will be required to sign an “Information Protection and Non-Disclosure and Disclosure of Conflicts of Interest Agreement” to ensure the contractor's business records or other proprietary data reviewed or obtained in the course of assisting the CO in assessing the contractor for compliance are protected to ensure information or data is not improperly disclosed or other impropriety occurs. Furthermore, if VA determines any services the support contractor(s) will perform in assessing compliance are advisory and assistance services as defined in FAR 2.101, Definitions, the support contractor(s) must also enter into an agreement with the contractor to protect proprietary information as required by FAR 9.505-4, obtaining access to proprietary information, paragraph (b). The contractor is required to cooperate fully and make available any records as may be required to enable the CO to assess the contractor's compliance with the limitations on subcontracting or percentage of work performance requirement.
B.3 PERFORMANCE WORK STATEMENT
This solicitation seeks competent vendors to deliver the best-value solution for service and maintenance of White River Junction VA’s (VAMC) patient ceiling lifts. The VAMC currently uses Handimove International, E-Z Stand, ARJO, INVACARE, and LIKO type lifts, but may purchase different types/models during the terms of this contract, and the service for those items will be covered by this contract.
Service includes all parts, batteries, structural support, and any other items associated with patient ceiling lifts. This contract will cover twice annual visits for PM’s of all lifts to be done during normal working hours, one day each month (12 visits a year) to repair any damaged or malfunctioning lifts, and on call emergency visits as needed. All parts up to $100.00 will be covered by contractor at no additional expense to the VAMC. Any repair costs over $100.00 will require authorization by the Contracting Officer prior to the repair being made. Adjustment to pricing agreed-to will only change if the total number of lifts increases or decreases by more than 10%.

Applicable Regulations Perform work in compliance with Specifications:
· 01 00 00 - General Requirements
· VA Specifications: http://www.cfm.va.gov/til Additionally, the following must be submitted and approved by the VA before the contractor begins work on site:
· Activity Hazard Analysis (AHA). A blank AHA form is available at http://www.swf.usace.army.mil/pubdata/safety/PDF/blank_AHA_Form.pdf
· Infection Control Plan
· Schedule
· Material Safety Data Sheets (MSDS) for any hazardous materials to be brought on site.
· Shop Drawings
· Construction Submittals
The provisions of all applicable NFPA, OSHA, EPA, and VA codes, Federal, State, and local regulations shall be followed throughout the course of this project. Applicable VA publications and design manuals are available to the successful bidder at www.va.gov/facmgt.
Quoting vendors shall employ technicians certified in medical/lift repair and provide documentation stating such. All parts and materials used will be OEM, new, and meet all current medical standards and codes.
Work Hours Work is to be done during standard business hours (Monday – Friday 7:00 AM – 5:00 PM), when possible.
The quoting contractor shall provide an hourly rate for repair service done during standard business hours, to be used in case additional services are needed that are not covered by the activities already described.
The quoting contractor shall provide an hourly rate for repair service done outside of standard business hours, to be used in case additional services are needed that are not covered by the activities already described.
The quoting contractor guarantees that a call for emergency repair service will result in a qualified technician being on site and the work beginning within 24 hours of the call being placed. The contract has a required response time in case of system outage, as this is a critical patient care need.
VAMC Work Conditions The technician’s service visit shall be scheduled in advance with the permission of the Contracting Officer’s (CO) designated facility representative (COR). Technicians who show up without prior permission may be turned away at the fault of the vendor.
Technicians will report to BLDG.37 and ask for the M&R Foreman (Maintenance and repairs) and sign in using the contractors log book. They will receive a work badge and be escorted to areas of work. Upon completion of work, the technician will report back to BLDG.37, provide a detailed list of work completed to the COR, sign out, and return the badge.
The government retains the right to refuse entry to the VAMC to any personnel for any or no reason.
Quality Assurance The COR shall monitor contractor performance quality, and the COR’s feedback will inform the performance evaluations created by the CO. Key items the COR will watch for include, but are not limited to: response timeliness, technician preparation and readiness to perform the work, the quality of the work performed, professionalism of the technicians, and compliance with contract and facility requirements.
In the event of a quality issue arising, the COR will investigate and attempt to resolve the issue with the technician or contractor directly. If the COR is unable to resolve the issue, the COR shall refer the issue to the CO for fact-finding, evaluation, and resolution in a manner the CO sees fit, with all legal remedies available for use.
Other Quote Considerations Additional, related work may be ordered off the resulting contract without further competition at the sole discretion of the CO.
Any travel, shipping, or fees associated with the work to be done (including the hourly rates for non-standard work) shall be factored into the rates quoted. This is required, as there are no reserve dollars in the VISN 1 (New England) budget for extensive travel, per diem, lodging.
No work outside of that detailed in this work description performed will be paid for by the VA without the express, prior written authorization of the CO. No other government employee has authority to change the resulting contract’s terms or conditions or to commit funding.
In all quotes submitted, the quoting vendor shall identify if they will self-perform the contract requirements or if they will subcontract any part of it. If subcontracting, the quoting vendor shall identify the percentage (%) of proposed contract value the prime and the subcontractor(s) will account for, as well as what key tasks will be performed by which party. This will be closely monitored for compliance by the government, and the act of submitting a quote constitutes the granting of permission to the government to audit such activity.
The CO retains the right to refuse the use of any subcontractor for any or no reason.
The evaluation of quotes received will be done using the Trade-Off method, where Technical Ability and Past Performance are more important than Price. Price remains important, as only the quote representing the best value to the government will be used.
As Technical Ability is one of the Evaluation Factors being used in this Solicitation, the quoting vendor shall provide copies of certification for the technicians they propose to use with their quote packet, as well as any other related certifications or training documents and documents that demonstrate the vendor’s technical proficiency. A portion of the Technical Ability factor is how much of the contract value will be represented by the prime vs subcontractor’s contributions to performance.
As Past Performance is one of the Evaluation Factors being used in this Solicitation, the quoting vendor shall provide past performance references of related work to demonstrate their ability to successfully perform this service.
Should no quotes received represent the best value to the government, a new solicitation will be issued for broader competition.

The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The Contracting Officer may exercise the option by written notice to the Contractor within 10 days.
(End of Clause)
C.3 52.217-9 OPTION TO EXTEND THE TERM OF THE CONTRACT (MAR 2000)
(a) The Government may extend the term of this contract by written notice to the Contractor within 10 days; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 10 days before the contract expires. The preliminary notice does not commit the Government to an extension.
(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.
(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed five (5) years.
(End of Clause) C.4 52.237-2 PROTECTION OF GOVERNMENT BUILDINGS, EQUIPMENT, AND VEGETATION (APR 1984) The Contractor shall use reasonable care to avoid damaging existing buildings, equipment, and vegetation on the Government installation. (e) If any of the services do not conform with contract requirements, the Government may require the Contractor to perform the services again in conformity with contract requirements, at no increase in contract amount. When the defects in services cannot be corrected by reperformance, the Government may (1) require the Contractor to take necessary action to ensure that future performance conforms to contract requirements and (2) reduce the contract price to reflect the reduced value of the services performed.
(f) If the Contractor fails to promptly perform the services again or to take the necessary action to ensure future performance in conformity with contract requirements, the Government may (1) by contract or otherwise, perform the services and charge to the Contractor any cost incurred by the Government that is directly related to the performance of such service or (2) terminate the contract for default.
(End of Clause)
C.6 VAAR 852.203-70 COMMERCIAL ADVERTISING (MAY 2018)

(End of Clause)
C.7 VAAR 852.211-73 BRAND NAME OR EQUAL (JAN 2008)
(Note: as used in this clause, the term "brand name" includes identification of products by make and model.)
(a) If items called for by this invitation for bids have been identified in the schedule by a "brand name or equal" description, such identification is intended to be descriptive, but not restrictive, and is to indicate the quality and characteristics of products that will be satisfactory. Bids offering "equal" products (including products of the brand name manufacturer other than the one described by brand name) will be considered for award if such products are clearly identified in the bids and are determined by the Government to meet fully the salient characteristics requirements listed in the invitation.
(b) Unless the bidder clearly indicates in the bid that the bidder is offering an "equal" product, the bid shall be considered as offering a brand name product referenced in the invitation for bids.
(c)(1) If the bidder proposes to furnish an "equal" product, the brand name, if any, of the product to be furnished shall be inserted in the space provided in the invitation for bids, or such product shall be otherwise clearly identified in the bid. The evaluation of bids and the determination as to equality of the product offered shall be the responsibility of the Government and will be based on information furnished by the bidder or identified in his/her bid as well as other information reasonably available to the purchasing activity. CAUTION TO BIDDERS. The purchasing activity is not responsible for locating or securing any information that is not identified in the bid and reasonably available to the purchasing activity. Accordingly, to insure that sufficient information is available, the bidder must furnish as a part of his/her bid all descriptive material (such as cuts, illustrations, drawings or other information) necessary for the purchasing activity to:
(i) Determine whether the product offered meets the salient characteristics requirement of the Invitation for Bids, and

(2) If the bidder proposes to modify a product so as to make it conform to the requirements of the Invitation for Bids, he/she shall:
(i) Include in his/her bid a clear description of such proposed modifications, and
(ii) Clearly mark any descriptive material to show the proposed modifications.
(3) Modifications proposed after bid opening to make a product conform to a brand name product referenced in the Invitation for Bids will not be considered.
The clause entitled "Brand name or equal" applies only to the following line items:
