B.3 STATEMENT OF WORK

A. GENERAL INFORMATION

1. Title: Executive Certificate Program Services

2. Scope of Work: The contractor shall provide all resources necessary to accomplish the deliverables described in the Statement of Work (SOW), except as may otherwise be specified. The scope of this contract is to design, develop, and administer an Executive Certificate Program in public policy and policy leadership as an element of the Veterans Benefits Administration (VBA) Directors Development Program. This contract is designed to strengthen the leadership capabilities of select senior high potentials, to promote policy and institutional reform, combining industry best practices of business, economics and political science with public policy and administration. This contract shall be tailored to the executive level as selectees will be leaders with the highest potential for selection and assignment to VBA’s most demanding future leadership positions.
3. Background: This contract is a new initiative and an integral component of a new VBA Directors Development Program designed to establish a cadre of highly competent senior executives with leadership and managerial expertise in preparation for appointment to future senior level positions across the VBA.

4. Performance Period: The base period of performance is 12 months from the date of award. The contract will have four one-year option periods. Any required work at the Government site shall not take place on Federal holidays or weekends unless directed by the Contracting Officer (CO).

5. Type of Contract: Firm Fixed-Price

6. Place of Performance: The primary place of performance shall be at the Contractor’s facility for development of course material and administration of the program. The Contractor and facilities used for the program shall be located within Washington, District of Columbia metropolitan area. This contract is to facilitate local Program Management (PM) oversite during program development, course observation and participation by VBA senior leadership, and student participation in other Directors Development Program events in the National Capital Region. (Executive Office visits, USB, and SES seminars).

B. CONTRACT AWARD MEETING

The Contractor shall not commence performance on the tasks in this SOW until the Contracting Officer Representative (COR) or the CO has conducted a post award conference or has advised the Contractor that a post award conference is waived.

C. GENERAL REQUIREMENTS

1. For every task, the Contractor shall identify in writing all necessary subtasks, associated costs by task, and together with associated sub-milestone dates. The Contractor's subtask structure shall be reflected in the proposal and detailed Project Management Plan (PMP).

2. The Contractor shall provide a detailed Project Management Plan (PMP) with its quote and shall update that plan as required throughout the contract period of performance. The PMP shall address only the work specific to this contract. It shall define the roles and responsibilities of Contractor’s program and project managers. The Contractor shall document its Standard Operating Procedures (SOP) for completion of the specific tasks in this SOW. The VBA PM team shall be briefed on the PMP which provides the Contractor’s detailed plan for completing the required deliverables. The Contractor's plan shall be responsive to this SOW and describe, in further detail, the approach to be used for each aspect of the contract as defined in the quote. An updated PMP and SOP are due within 30 days after contract award effective date.

3. All written deliverables shall be phrased in layperson language. Statistical and other technical terminology will not be used without providing a glossary of terms.

4. Where a written milestone deliverable is required in draft form, the VBA Program Manager (PM) will complete their review of the draft deliverable within 15 calendar days from date of receipt. The Contractor shall have 10 calendar days to deliver the final deliverable from date of receipt of the Government’s comments.

5. All deliverables, except where specified otherwise, shall be provided in one electronic copy to the COR. All deliverables shall be delivered via software compatible (type and version) with that used by the VBA and shall become the sole property of the VBA upon creation.

6. The Contractor shall not deliver to the VBA any proprietary products or information, software, tools or systems. Company financial information provided in invoices and other documents are exempted from this requirement. If the Contractor believes further exemption is required to this requirement as necessary for effective or efficient execution of this contract, the Contractor shall request a specific exception in writing to the COR and shall not provide the proprietary tools or information until written approval is received from the CO.
7. The Contractor shall perform all work in compliance with Contractor’s SOPs for application of government and industry best practices. The Contractor shall maintain compliance and conformance with Section 508 of the Rehabilitation Act Amendments of 1998, which requires that when Federal agencies develop, procure, maintain, or use electronic and information technology, they shall ensure that the electronic and information technology allows Federal employees with disabilities to have access to and use of information and data that is comparable to the access to and use of information and data by Federal employees who are not individuals with disabilities. Section 508 compliance with VA standards is mandatory and the contractor will meet the most recently updated requirement specifications to comply (effective as of 18 January 2017), conformance to VA TMS templates and the associated standards; to include current SCORM (SCORM v1.2, 2004 edition) standards is mandatory. The Contractor shall ensure newly created content is compliant with Section 508, and SCORM standards at creation. The Contractor shall execute any changes required to ensure compliance and/or conformance by modifying any aspect of each curriculum and course that would prevent continued use of the materials is remedied as required for 508 compliance and conformance.

D. SPECIFIC MANDATORY TASKS AND ASSOCIATED DELIVERABLES

Description of Tasks and Associated Deliverables: The Contractor shall provide the specific deliverables described below within the performance period stated in Section A.4 of this SOW, although the components may be added or subtracted at any time by VBA in order to reflect the results of needs assessment and learning analysis and to meet changes in VBA Directors Development Program requirements. The Contractor shall identify all assumptions as to scope of required activities and number and type of components along with their technical approach.
Task 1.0 Executive Certificate Program: The Contractor shall design and develop a customized, senior Executive Level Certificate Program in Policy Leadership. This contract is an instrumental element of VBA’s Directors Development program designed to broaden the skills of high potential senior executives who are poised for future assignment to senior executive leadership positions. The Contractor must be an accredited organization recognized by the Council for Higher Education Accreditation and able to deliver a certificate program consisting of five graduate-level courses offered in week long format that can be tailored to meet the educational needs of VBA senior-level participants through the interjection of VBA or VA-specific scenarios, exercises or discussions. The Contractor shall work with the Government assigned PM for course creation, development, and scheduling. The required Executive Certificate Program shall include but are not limited to the following elements.

The contract shall accommodate 12 students each year to include all course related books, handouts, software, audio visual and related interactive computer-based training, lesson plans, instructor guides, facilitator guides, participant guides, job aids and performance support tools as needed.

a) The contract shall consist of five courses that will be hand select from the proposed list of Contractor provided and accredited graduate-level courses in leadership and public policy such as, but not limited to, Policy and Program Evaluation, Economics for Executives, Public Policy Processes, Public Budgeting and Financial Management for Executives, Ethics, and Decision Making for Executives, and a Public Policy Capstone. Additionally, the Contractor at the request of VBA shall tailor existing courseware, examples and scenarios or exercises to conditions that the senior executives shall encounter in the VBA leadership environment e.g. VBA specific topics.

b) The course shall be a maximum of one year in length, with a blended delivery model, to accommodate the flexibility of the student population who has varying schedules at their home station. The course should consist of 5 one-week face to face sessions will meet accreditation requirements, and should be 8 hours daily Monday to Friday with applicable breaks and a lunch. If weekend hours are required in order to meet accreditation requirements, the Contractor shall identify the accreditation requirements in the Project Management Plan.

c) The contract shall also contain online instruction to be completed in between the face to face sessions, as a part of the overall certificate program.

d) The Government anticipates conducting sessions once, every other month beginning in September 2018 and ending NLT September 2019 although the actual course date time for each session will be coordinated and scheduled with the VBA PM.

e) Each contract course shall be developed at the executive education level as many of the participants have 20+ years’ experience, it is desired that the Contractor maintain the integrity of the cohort, as the program is customized to the senior executives and may contain proprietary information and discussions.

f) This a customized program as such there will be no Graduate Record Examination or standardized test for selection to the program. All participants will be selected through the VBA selection process. VBA will comply with any accreditation requirements i.e. minimum education prerequisite for admission requires participants to possess a Bachelors Degree. The VBA PM will coordinate all participant selection, and pertinent contact information.

Deliverable 1.0: Executive Certificate Program Development.

Task 2.0 Administer Executive Certificate Program:

To enhance the learning experience and effectiveness of the Executive Certificate Program the Contractor must ensure the correct level of experienced instructor support and administration personnel services are available and committed for the duration of the program. Additionally, the training facility for adult professionals must have flexible and technologically- advanced learning environments that are safe, healthy, comfortable, aesthetically pleasing and accessible. The Contractor shall provide at minimum the following features to enable the administration of the Executive Certificate Program.

a) All contracted instructors delivering any curriculum as a part of this program must have demonstrated in past performance, experience instructing adult professional at the senior executive level specifically in leadership and public policy. The selected participants have 20+ years’ experience, and require professional instructors that can enhance their learning experience and relate to the executive’s perspective through experiences they have gained at a similar level of employment and through instructing in the topic area.

b) The Contractor shall provide administrative staff to assist students with administrative needs to include but not limited to access to facilities, facilities directions, and instructor contact information, student and emergency services. All facilities must be in compliance with ADA Title III regulations, Part 36 Nondiscrimination on the Basis of Disability in Public Accommodations and Commercial Facilities.

c) The Contractor shall provide a facility able to accommodate the specific space and equipment needs of the training program and curriculum and be of ample size to accommodate 12 adult learners.

d) The Contractor shall provide support space, such as a business station that allows students the capability to conduct some business functions during breaks in the training session. (i.e. email, internet connectivity).

e) The Contractor shall provide all audio /visual equipment, furniture, training aides, and any related equipment required to facilitate lecture-style instruction that encourages interaction and is suitable for the cohort size.

f) The Contractor shall provide online technical support to participants for technical problems that may occur during the online training portion of the program, and instructor support via email or other online support tools (skype, Lync, contractor support SharePoint, or Web portal).

g) The Contractor shall provide information and directions for public or campus dining options within .3 miles from the training facility to accommodate participants on per diem without transportation during the training sessions.

Deliverable 2.0: Administrative Support Package Executive Certificate Program.

E. SCHEDULE FOR DELIVERABLES

1. The Contractor shall complete the Delivery Date column in Attachment A for each deliverable specified.

2. Unless otherwise specified, the number of draft copies and the number of final copies shall be the same.

3. If for any reason the scheduled time for a deliverable cannot be met, the Contractor is required to explain why (include the original deliverable due date) in writing to the COR and CO, including a firm commitment of when the work shall be completed. This notice to the COR and CO shall cite the reasons for the delay, the impact on the overall contract and provide a corrective plan of action. The COR and CO will then review the facts and issue a response in accordance with applicable regulations.

F. CHANGES TO STATEMENT OF WORK

Any changes to this SOW shall be authorized and approved only through written correspondence from the CO. A copy of each change will be kept in a project folder along with all other products of the project. Costs incurred by the contractor through the actions of parties other than the CO shall be borne by the contractor.

G. REPORTING REQUIREMENTS

1. The Contractor shall provide the Contracting Officer Representative (COR) with monthly written progress reports. Monthly reports are due to the COR no later than the 5th business day of the month. The Program Management Review (PMR), unless otherwise specified by the COR will be held the second Tuesday or Wednesday of each month as designated by the COR throughout the project’s duration. The PMR slides are due to the COR no later than three business days prior to the scheduled monthly PMR.

2. The Contractor shall provide the COR and with the following reports initially within 15 business days after completion of the post award conference, and thereafter biweekly delivered via email. Required biweekly documentation consists of:

3. The Contractor progress report shall cover all work completed during the preceding month and shall present the work to be accomplished during the subsequent month. This report shall also identify any problems that arose and a statement explaining how the problem was resolved. This report shall also identify any problems that have arisen but have not been completely resolved with an explanation. The report shall also provide complete, detailed financial reports.

H. TRAVEL

Contractor Travel is not required for the completion of the work addressed in this Statement of Work.

I. GOVERNMENT RESPONSIBILITIES

The Government will provide all participant information once selected and aide in the scheduling and onboarding of participants through the assigned Government PM.

J. CONTRACTOR EXPERIENCE REQUIREMENTS – KEY PERSONNEL

Skilled experienced professional and/or technical personnel are essential for successful Contractor accomplishment of the work to be performed under this contract. The Lead Instructor for each of the 5 chosen course selections, are designated as Key Personnel and shall not be removed, diverted, or replaced from work without approval of the CO and COR.
Any personnel the contractor offers as substitutes shall have the ability and qualifications equal to or better than the key personnel who are being replaced. Requests to substitute personnel shall be approved by the COR and the CO. All requests for approval of substitutions in personnel shall be submitted to the COR and the CO at least 30 calendar days prior to making any change in key personnel. The request shall be written and provide a detailed explanation of the circumstances necessitating the proposed substitution. The Contractor shall submit a complete résumé for the proposed substitute, any changes to the rate specified in the contract and any other information requested by the CO needed to approve or disapprove the proposed substitution. The COR and CO will evaluate such requests and promptly notify the contractor of approval or disapproval thereof in writing.

K. SECURITY

The Contractor shall not have routine access to Veterans Affairs (VA) facilities. The Contractor shall be escorted by VA employees for any required visit to a VA facility. The Contractor does not require access to VA sensitive information.

SECTION C - CONTRACT CLAUSES

C.1 52.203-19 PROHIBITION ON REQUIRING CERTAIN INTERNAL CONFIDENTIALITY AGREEMENTS OR STATEMENTS (JAN 2017)

(a) Definitions. As used in this clause— Internal confidentiality agreement or statement means a confidentiality agreement or any other written statement that the contractor requires any of its employees or subcontractors to sign regarding nondisclosure of contractor information, except that it does not include confidentiality agreements arising out of civil litigation or confidentiality agreements that contractor employees or subcontractors sign at the behest of a Federal agency.

Subcontract means any contract as defined in subpart 2.1 entered into by a subcontractor to furnish supplies or services for performance of a prime contract or a subcontract. It includes but is not limited to purchase orders, and changes and modifications to purchase orders.

Subcontractor means any supplier, distributor, vendor, or firm (including a consultant) that furnishes supplies or services to or for a prime contractor or another subcontractor.

(b) The Contractor shall not require its employees or subcontractors to sign or comply with internal confidentiality agreements or statements prohibiting or otherwise restricting such employees or subcontractors from lawfully reporting waste, fraud, or abuse related to the performance of a Government contract to a designated investigative or law enforcement representative of a Federal department or agency authorized to receive such information (e.g., agency Office of the Inspector General).

(c) The Contractor shall notify current employees and subcontractors that prohibitions and restrictions of any preexisting internal confidentiality agreements or statements covered by this clause, to the extent that such prohibitions and restrictions are inconsistent with the prohibitions of this clause, are no longer in effect.

(d) The prohibition in paragraph (b) of this clause does not contravene requirements applicable to Standard Form 312 (Classified Information Nondisclosure Agreement), Form 4414 (Sensitive Compartmented Information Nondisclosure Agreement), or any other form issued by a Federal department or agency governing the nondisclosure of classified information.

(e) In accordance with section 743 of Division E, Title VII, of the Consolidated and Further Continuing Appropriations Act, 2015, (Pub. L. 113-235), and its successor provisions in subsequent appropriations acts (and as extended in continuing resolutions) use of funds appropriated (or otherwise made available) is prohibited, if the Government determines that the Contractor is not in compliance with the provisions of this clause.

(f) The Contractor shall include the substance of this clause, including this paragraph (f), in subcontracts under such contracts.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records—Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

(e)(1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c), and (d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (e)(1) in a subcontract for commercial items. C.3 52.217-8 OPTION TO EXTEND SERVICES (NOV 1999)

The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 30 days of contract expiration.

C.4 52.217-9 OPTION TO EXTEND THE TERM OF THE CONTRACT (MAR 2000)

(a) The Government may extend the term of this contract by written notice to the Contractor within 30 days; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 60 days before the contract expires. The preliminary notice does not commit the Government to an extension.

(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.

(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed five (5) years.

The Contractor shall not make reference in its commercial advertising to Department of Veterans Affairs contracts in a manner that states or implies the Department of Veterans Affairs approves or endorses the Contractor’s products or services or considers the Contractor’s products or services superior to other products or services.

(b) If the offeror is required to submit an individual subcontracting plan, the minimum goals for award of subcontracts to service-disabled veteran-owned small business concerns and veteran-owned small business concerns shall be at least commensurate with the Department's annual service-disabled veteran-owned small business and veteran-owned small business prime contracting goals for the total dollars planned to be subcontracted.

(c) For a commercial plan, the minimum goals for award of subcontracts to service-disabled veteran-owned small business concerns and veteran-owned small businesses shall be at least commensurate with the Department's annual service-disabled veteran-owned small business and veteran-owned small business prime contracting goals for the total value of projected subcontracts to support the sales for the commercial plan.

(d) To be credited toward goal achievements, businesses must be verified as eligible in the Vendor Information Pages database. The contractor shall annually submit a listing of service-disabled veteran-owned small businesses and veteran-owned small businesses for which credit toward goal achievement is to be applied for the review of personnel in the Office of Small and Disadvantaged Business Utilization.

(e) The contractor may appeal any businesses determined not eligible for crediting toward goal achievements by following the procedures contained in 819.407.

C.8 852.219-76 SUBCONTRACTING PLANS MONITORING AND COMPLIANCE. (JUL 2018)

(a) This solicitation includes FAR 52.219-9, Small Business Subcontracting Plan, and VAAR 852.219-9, VA Small Business Subcontracting Plan Minimum Requirement.

(b) Accordingly, any contract resulting from this solicitation will include these clauses, unless the contract is awarded to a small business concern. The Contractor is advised in performing contract administration functions, the Contracting Officer may use the services of a support contractor(s) to assist in assessing the Contractor's compliance with the plan, including reviewing the Contractor's accomplishments in achieving the subcontracting goals in the plan.
