PERFORMANCE WORK STATEMENT

1.0 BACKGROUND

This Performance Work Statement (PWS) outlines the requirement for Transportation of People (TOP) for the

UNITAS-21 multinational exercise located in Peru.

2.0 SCOPE OF WORK:

The Contractor shall perform Transportation of People (TOP) services in accordance with the schedule and as defined within this Performance Work Statement (PWS).

The Transportation of People requirement includes vans, busses, and cargo box trucks, and all other equipment used for loading/unloading and transporting personnel and equipment in support of this exercise as described in this PWS.

The Contractor is required to assign a person to oversee this contract and be able to address discrepancies and authorize changes to the contract. This person shall be available for communication with the Contracting Officer during the Period of Performance.

Contractor shall deliver and set up vehicles and equipment and be ready to perform service by start time.

The Contractor is responsible for, and the unit price shall be inclusive of, all logistical requirements of its personnel and equipment, to include, transportation, lodging, sustenance, and any other related items required by its personnel in order to fulfill the services in this PWS.

The Contractor is responsible for, and the unit price shall be inclusive of, all delivery, pickup, cleanup, maintenance, restocking, base access, variables, including, but not limited to, all necessary equipment, licensed operators, holiday and overtime costs, mobilization and demobilization (including all associated equipment and labor required to satisfy requesting activity), removal, disposal, transportation, set-up, pre-positioning, staging, vetting of operations, fuel and operating expenses, dismantling and labor, repositioning, all applicable taxes and surcharges.

In addition, the Contractor is responsible for, and unit price shall be inclusive of, performance at night, overtime, Friday, Saturdays, Sundays, Holidays, performance under heavy rain and other inclement weather, as well as any cost associated with all necessary insurance as required by local laws, licenses and permits or incurred to comply with applicable laws, codes, and regulations, in connection with the performance of the work.

Contractor shall supply transportation vehicles, drivers, roadside assistance, maintenance or preventative maintenance required as needed and/or set forth below in the requirements section. Unit Price shall be inclusive of all mileage, all necessary equipment, licensed drivers, all liability insurance as required by local law, holiday and overtime costs, fuel, tolls, parking fees, all other operating expenses, and all other incidentals.

Vehicles and operators/drivers will be available on the dates and starting locations listed in “UNITAS TOP

SCHEDULE” excel doc. Most operations will be executed during daylight hours, but night operations may be required. Drivers will work in 12-hour shifts as dictated by the beginning of the workday (TBD). Drivers should have a working knowledge of, and be able to navigate unaided, the area to which assigned. Drivers should also have a working knowledge of the English language and have such fluency as to follow guidance and direction as given by the team assigned. Drivers will be expected to conduct themselves in a professional manner and have such appearance and personal hygiene to reflect such professionalism.

In performing this contract, the contractors shall comply with its terms and with laws or regulations of the country where performance occurs to include applicable safety and health regulations, and shall obtain any insurances, licenses or permits required by these laws or regulations. If there is a difference between the terms of this contract and laws or regulations of the country where performance occurs, the contractors shall promptly notify the

Government if it believes that will be unable to fully perform specified tasks or provide specified requirements because of problems, disputes, or complications with the respective country where performance occurs.

All prices as a result of this contract shall be Firm-Fixed-Prices and shall be expressed in U.S. Dollars.

3.0 DESCRIPTION OF SERVICES:

WITH A 24 HOUR NOTICE FROM THE U.S GOVERNMENT, THE CONTRACTOR SHALL ALLOW +/- 1

DAY DEVIATION FROM SCHEDULE TO ALLOW FLEXIBILITY AND CHANGES TO THE SCHEDULE.

THE TOTAL NUMBER OF DAYS FOR EACH LINE ITEM WILL REMAIN THE SAME.

1. Van:

Contractors shall furnish climate-controlled 9 Passenger vans with operators, in good order and condition and otherwise in full compliance with best commercial practices and local laws and regulations. The heating and air conditioning system of each personnel-transporting vehicle shall be in working condition at all times.

The vehicle shall be in a clean condition so as not to soil passengers, their clothing or possessions with dirt, grease, oil, or other matter and shall be free of debris.

Safety Items: The Contractor must maintain each vehicle pursuant to local city and country safety requirements. In addition, each vehicle shall have the following operational safety features:

seatbelts for the driver and each passenger, door and windshield mounted rear-view mirrors, windshield wipers, parking break, horn, an emergency triangle, spare tire, jack and complete set of tools for changing a flat tire, as well as any other equipment required by local authorities.

Unlimited Mileage: The Government shall have unlimited mileage during the performance of the contract. The purpose of the van is to fulfill a requirement for exercise participants to get to and back from work/lodging on daily basis, as well as get around the local area and between the exercise locations, to include Lima, Ancon, Salinas. It is anticipated that the majority of destinations and locations adhere to those specified in the table 1, however, the U.S. Government reserves the right to deviate from this schedule if directed by exercise requirement.

Contractors shall provide van service capacity on a daily rate basis. The daily rate shall include:

one (1) driver or operator, any additional helpers or personnel required by local authorities, tolls, all insurance, fuel, holiday surcharges, overtime, and all other operating expenses.

2. Bus:

Contractor shall provide an operator and a climate-controlled busses that can seat at least 44 passengers, in good order and condition and otherwise in full compliance with best commercial practices and local laws and regulations. They shall be equipped with seat belts for all occupants, an emergency triangle, spare tire, jack and complete set of tools for changing a flat tire, as well as any other equipment required by local authorities.

The heating and air conditioning system of each personnel-transporting vehicle shall be in working condition at all times.

The vehicle shall be in a clean condition so as not to soil passengers, their clothing or possessions with dirt, grease, oil, or other matter and shall be free of debris.

Contractors shall provide bus service capacity on a hourly ordaily rate basis. The hourly or daily rate shall include: one (1) driver or operator, any additional helpers or personnel required by local authorities, tolls, all insurance, fuel, holiday surcharges, overtime, and all other operating expenses. Vendors must specify which rate they are using.

Substitution of Buses. If Contractor does not have available the type of bus ordered and the bus has been ordered at least 24 hours in advance, contractors shall substitute a bus type equal to or better than the bus ordered at the price listed for the type of bus originally ordered. EXAMPLE:

If two (2) 44 passenger buses are ordered but unavailable, contractors shall furnish a combination of passenger buses at the price listed for the 44 passenger buses originally ordered.

3. Cargo Box Truck (10 to 15 ft)

Contractors shall provide a 10-15 ft covered, lockable trucks with a driver to load/off load cargo.

The driver shall assist with loading and offloading.

This truck will be used to transport personnel gear that does not fit into the bus.

Contractors shall be responsible for security and prevent loss/damage/destruction of cargo.

Government shall not be liable for loss or damage to vehicles in any amount regardless of the cost, except where the loss or damage is caused by the willful and wanton negligence of Government employee.

4.0 ALL VEHICLES:

This section applies to all vehicles under this contract. The term “vehicle” as applied in this section, refers to transportation vehicles (vans, busses, trucks, etc.)

The Contractor will provide all qualified personnel/drivers, supervision, transportation, maintenance, operating cost, equipment to unload, tools, materials, unload and transport government cargo and equipment, and other required items to U.S. Government Forces located in Peru.

Condition:

Both the exterior and interior of the vehicles shall be free of excessive soil, rust, and damage. All automatic door locks, windows, seats, etc. shall be operative. All vehicle systems shall be operative and kept in line with manufacturer’s recommended maintenance program.

The vehicles and equipment shall be in sound mechanical condition and shall meet all applicable safety laws and regulations (DOD regulations and country laws where services are being provided). The vehicles and equipment shall be suitable for their intended use and shall be operated with due care and within all operating safety limits.

Maintenance:

The Contractor is responsible for all scheduled and unscheduled maintenance and repair of vehicles. The Contractor shall ensure each vehicle meets or exceeds the minimum maintenance standards at the time of acceptance and throughout the contract period. The Contractor shall provide vehicles that have been properly maintained and serviced, including all motor oils, lubricants, antifreeze, coolants and other fluids such as windshield washer fluid, and shall be responsible for all emergency and non-emergency repairs and services.

Should any vehicle break down while in the Government’s possession, contractors shall replace it with another vehicle of the same or larger size as quickly as possible, but in any case, no more than two (2) hours after the breakdown is reported. The replacement shall take place either at the point of breakdown or at contractors’ office closest to that point; whichever is more convenient for the Government. All repair or replacement costs, including transportation, shall be at contractors’ expense. In addition, contractors shall be liable for any Government incurred costs because of the breakdown; such as towing, repair costs, and related transportation expenses because contractors was unreachable.

Delivery and Inspection:

The Contractor shall deliver all vehicles by the date specified in the period of performance. Each vehicle must pass an acceptance inspection before the Government personnel or equipment is loaded. Contractors shall be responsible for ensuring that contractors and the Government Technical Representative jointly inspect each vehicle before and after trips.

Contractors shall provide vehicles that have been properly maintained and serviced. If a vehicle does not meet the requirements of this contract as determined by the KO, the Government shall have the right to reject the vehicle for performance of services. The Government shall not consider any claim for damage to a vehicle which has not been inspected.

Insurance:

All vehicles shall be registered, licensed and insured. Contractors shall provide and maintain at its expense, all vehicle operator's insurance required by the law of the country in which the vehicle is to be operated. All necessary insurance certificates shall be provided with the rental vehicle. Such insurance shall include all coverage required by law for bodily injury, collision, and property damage liability. Contractors shall be liable for, and shall indemnify and hold harmless the Government, its agents, and its employees, against all actions or claims for loss of or damage to property or the injury or death of persons, resulting from the fault, negligence, or wrongful act or omission of contractors, its subcontractors, its agents, or employees.

Damages:

The Government shall not be responsible for acts of God that may result in damage to any vehicle (i.e. hail storms, thunderstorms etc.). In addition, the Government shall not be responsible for normal depreciation to the vehicles.

For purposes of this contract, “normal depreciation” is defined as the wear and tear that can reasonably be expected to result given the vehicle’s use by equipment-laden troops in a harsh environment. Normal depreciation includes, but is not limited to, minor scratches and dents to vehicle’s exterior, minor damage to seat coverings, and the presence of dirt or sand. The Government will only be responsible for damage in excess of normal wear that results from negligence, neglect, or similar acts of the Government. All Contractor claims for damage by the Government should be submitted to the contracting officer for consideration in accordance with FAR Part 33.2.

Standard Work Period: The standard work period will be 12 hours per day and not to exceed 12 hours per day.

Selection of the 12 hour period will be up to the contracting officer or his designated representative and may vary from day to day, but will provide the driver a rest period of not less than 8 consecutive hours per day.

Over Night Travel:

Travel may include overnight stays of single or multiple nights in varying locations and the driver must be prepared for this eventuality. The U.S. Government will not provide drivers’ quarters, meals or a per diem of any type.

Base passes:

The Contractor is responsible for all required coordination with military authorities, to obtain base passes or Area

Passes that provide appropriate access for their drivers and vehicles to military facilities. Should the Contractor have difficulty obtaining the necessary passes, they must contact the Contracting Officer immediately.

Security:

The Contractor and his/her hired employees shall be responsible for ensuring all safety driving requirements are adhered to and shall not at any time during the performance of this lease agreement place in any danger the

Government passengers being transported within the leased vehicles. The Contractor is required to comply with force protection measures as directed by the US Government Representative. In addition Contractor personnel shall comply with all Government regulations regarding security procedures, the wearing of badges, access lists, and safety procedures.

Provide vehicle placards according to the vehicle identification scheme contained in the vehicle matrix and routing scheme (TBD). Placards will be placed on the vehicle dashboard for ease in identification. The information is provided on the schedule.

Any personal articles or items found in a vehicle after completion of each trip shall be turned over to the

Government Technical Representative.

Traffic Violations and Fines:

Each vehicle operator shall be responsible for payment of fines and legal costs incurred as a consequence of the violations of traffic laws or regulations.

5.0 OPERATORS:

This section applies to all vehicle and equipment operators provided by the Contractor under this contract.

Contractor personnel shall at all times be under the supervision of the Contractor and not under the supervision of the U.S. Government or any of its officers or employees. The Contracting Officer will bring discrepancies or noncompliance with the contract clauses, specifications, or PWS to the attention of the Contractor’s supervisor or foreman for necessary corrective action.

Vehicle operators shall at all times adhere to local laws such as speed limits and safe driving requirements. No individual driver shall be required to drive more than twelve (12) hours straight or more than local labor laws restrict, whichever is lower. Drivers must not have been on-duty within the previous twelve (12) hours or less than local labor laws restrict, whichever is lower.

All vehicle operators must be fully qualified and possess on their person at all times a valid license or equal documentation that may be required by the host nation for legal operation of the vehicle in which they are assigned to drive or operate.

Vehicle operators shall at all times represent themselves and the company they are employed by in a professional manner. The operators will present a conservative appearance and attired in clean clothes and observe best practices of personal hygiene.

All vehicle operators must be familiar with the area and must speak English with sufficient fluency to converse and understand directions and instructions provided by U.S. Government occupants without requiring the use of a translator.

In the event the driver is unable to speak English, contractors shall furnish an acceptable solution that may be accepted by Contracting Officer, at no additional cost to the Government. An acceptable solution can be, but not limited to an English-speaking rider in the vehicle which may require a larger vehicle than initially stated to satisfy the number of passengers required to be transported.

4.0 PERIOD OF PERFORMANCE (POP):

POP will be from 9 September 2021 to 10 October 2021. Locations will be the city of Lima, Ancon Navy Base, Salinas Training Area. Specific See “UNITAS TOP SCHEDULE” excel doc for POP dates.

5.0 DELIVERY:

The Contractor shall remain in contact with the Government Technical Representative for any and all changes to the delivery schedule. Some requirements are for specific trips (point a to point b), and some requirements will be general trips in and around the specified area. The contractor will be notified 24 hours ahead of time if they need to travel outside the identified area (i.e. if a vehicle is for Miraflores, Lima then any trip to Salinas will be identified 24 hours prior).

6.0 GOVERNMENT FURNISHED EQUIPMENT:

None.

7.0 QUALITY CONTROL: Quality and accuracy of services: IAW FAR 12.208 the Government will rely on the contractors existing quality assurance systems. The contractor is responsible for ensuring the quality and accuracy of its product and services are maintained, including making any requested correction or changes, at no additional cost to the Government. The contractor agrees at a minimum to monitor its personnel performance to assure accuracy and quality of delivery of service.

8.0 QUALITY ASSURANCE:

The contractor shall, if any of the services does not conform to the contract requirements, be required by the U.S.

Government to re-perform the services in conformity with the contract requirements, at no additional expense to the

U.S. Government.

9.0 HOLIDAYS

The contractor may be required to work during the Peru and/or United States holiday periods.

10.0 SAFETY & SECURITY

The contractor and his/her hired employees shall be responsible for ensuring all safety requirements are adhered to.

The Contractor is required to comply with force protection measures as directed by the U.S. Government

Representative.

11.0 POINTS OF CONTACTS AND AUTHORITIES

The U.S. Government (Exercise Executive Agent) retains the right to make changes to this Performance Work

Statement, prior to contract award, based on factors that are unknown at this time (e.g. funding is formally decreased, direction from higher headquarters due to changing political conditions, dates shift slightly, etc). The

Contracting Officer is the only person authorized to approve any changes to the requirements of the contract and not withstanding provisions contained elsewhere in this contract, the authority remains solely with the contracting officer. In the event the Contractor affects any change at the direction of any person other than the contracting officer, the change will be considered to have been made without authority and no adjustment will be made in the contract price as a result of the change.

Vendors shall invoice for all vechicles utilized, and those forcasted to be utilized so long as it is in that 24 hour window for anticipated requirements. Any and all other invoices will not be allowable costs.

12.0 CONTRACTUAL RELATIONSHIPS

The contractor shall provide work force possessing the skills, knowledge and training to satisfactorily perform the services required by this contract. Personnel performing work under this work statement shall remain employees of the contractor and will not be considered employees of the Government.

Contractor personnel shall at all times be under the supervision of the contractor and not under the supervision of the

U.S. Government or any of its officers or employees. The contracting officer will bring discrepancies or noncompliance with the contract clauses, specifications, or Performance Work Statement to the attention of the contractors’ supervisor or foreman for necessary corrective action.

13.0 LIABILITY

The U.S. Government accepts no liability for the actions of the contractor or his employees and agents.

14.0 CANCELLATIONS/ADDITIONS: The Contracting Officer has the right to add or delete from this PWS any change requirements (including the numbers and type of personnel or equipment needed) to make this mission a success. Changes made with at least 48-hour notice shall incur NO penalty. Other modifications may be negotiated as required, but only by the Contracting Officer.

Contractor shall provide vans that can hold up to 7 passengers. No individual driver shall be required to drive more than twelve (12) hours straight, and a schedule shall be furnished with the Performance Work Statement (PWS).

52.204-26 COVERED TELECOMMUNICATIONS EQUIPMENT OR SERVICES--REPRESENTATION (OCT

2020)

(a) Definitions. As used in this provision, “covered telecommunications equipment or services” and "reasonable inquiry" have the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain

Telecommunications and Video Surveillance Services or Equipment.

(b) Procedures. The Offeror shall review the list of excluded parties in the System for Award Management (SAM)

(https://www.sam.gov) for entities excluded from receiving federal awards for “covered telecommunications equipment or services”.

(c) Representations.

(1) The Offeror represents that it [ ___ ] does, [ ___ ] does not provide covered telecommunications equipment or services as a part of its offered products or services to the Government in the performance of any contract, subcontract, or other contractual instrument.

52.212-2 EVALUATION--COMMERCIAL ITEMS (OCT 2014) – TAILORED

(a) The Government will award a Firm Fixed Price contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. All Quotes must be submitted by 3:00 PM EST, Friday August 27, 2021, late offerors will not be accepted. The Government reserves the right to award multiple awards from this https://www.sam.gov/ solicitation. Basis for the award will Price and other factors. The following factors shall be used to evaluate offers:

(i) Price; price will be evaluated based on the lowest evaluated price meeting or exceeding the technical capability. Offerors shall be ranked in order of the lowest price to highest price.

All offered pricing shall be in USD, with a maximum of two (2) decimal points.

(ii) Technical acceptability of the items offered to meet the Government requirement to include the ability of to provide all deliverables in accordance with the required delivery dates. Contractors are hereby notified that their offer MUST meet ALL of the requirements of the solicitation. Failure to satisfy any one, or a combination of, or all will render the entire offer as “Unacceptable”.

(iii) Past Performance: Per DFARS 213.106-2(b)(i), an evaluation of each supplier’s past performance history in the Supplier Performance Risk System (SPRS), for the FSC and

PSC of the supplies being purchased, is required in the case of competitive procurements for supplies using SAP. In the case of a supplier without a record of relevant past performance history in SPRS for the FSC or PSC of the supplies being purchased, the supplier may not be evaluated favorably or unfavorably for its past performance history.

(b) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

c) Performance will start 9 September 2021 at 0800 local time in Lima, Peru

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (FEB 2021)

The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for Award Management (SAM) accessed through https://www.sam.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (v) of this provision.

(a) Definitions. As used in this provision --

“Covered telecommunications equipment or services” has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.

“Economically disadvantaged women-owned small business (EDWOSB) Concern” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.

"Forced or indentured child labor" means all work or service-

(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or

(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.

“Highest-level owner” means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.

“Immediate owner” means an entity, other than the offeror, that has direct control of the offeror. Indicators of control include, but are not limited to, one or more of the following: Ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.

“Inverted domestic corporation” means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).

“Manufactured end product” means any end product in product and service codes (PSCs) 1000-9999, except--

(1) PSC 5510, Lumber and Related Basic Wood Materials;

(2) Product or Service Group (PSG) 87, Agricultural Supplies;

(3) PSG 88, Live Animals;

(4) PSG 89, Subsistence;

(5) PSC 9410, Crude Grades of Plant Materials;

(6) PSC 9430, Miscellaneous Crude Animal Products, Inedible;

(7) PSC 9440, Miscellaneous Crude Agricultural and Forestry Products;

(8) PSC 9610, Ores;

(9) PSC 9620, Minerals, Natural and Synthetic; and

(10) PSC 9630, Additive Metal Materials.

“Place of manufacture” means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.

“Predecessor” means an entity that is replaced by a successor and includes any predecessors of the predecessor.

“Reasonable inquiry” has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain

Telecommunications and Video Surveillance Services or Equipment.

“Restricted business operations” means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate--

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

(3) Consist of providing goods or services to marginalized populations of Sudan;

(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;

(5) Consist of providing goods or services that are used only to promote health or education; or

(6) Have been voluntarily suspended.

“Sensitive technology”--

(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically--

(i) To restrict the free flow of unbiased information in Iran; or

(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and

(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act

(50 U.S.C. 1702(b)(3)).

“Service-disabled veteran-owned small business concern”--

(1) Means a small business concern--

(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and

(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.

(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).

"Small business concern"--

(1) Means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13

CFR part 121 and size standards in this solicitation.

(2) Affiliates, as used in this definition, means business concerns, one of whom directly or indirectly controls or has the power to control the others, or a third party or parties control or have the power to control the others. In determining whether affiliation exists, consideration is given to all appropriate factors including common ownership, common management, and contractual relationships. SBA determines affiliation based on the factors set forth at 13 CFR 121.103.

“Small disadvantaged business concern”, consistent with 13 CFR 124.1002, means a small business concern under the size standard applicable to the acquisition, that--

(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by--

(i) One or more socially disadvantaged (as defined at 13 CFR 124.103) and economically disadvantaged (as defined at 13 CFR 124.104) individuals who are citizens of the United States; and

(ii) Each individual claiming economic disadvantage has a net worth not exceeding $750,000 after taking into account the applicable exclusions set forth at 13 CFR 124.104(c)(2); and

(2) The management and daily business operations of which are controlled (as defined at 13.CFR 124.106) by individuals, who meet the criteria in paragraphs (1)(i) and (ii) of this definition.

“Subsidiary” means an entity in which more than 50 percent of the entity is owned--

(1) Directly by a parent corporation; or

(2) Through another subsidiary of a parent corporation.

“Successor” means an entity that has replaced a predecessor by acquiring the assets and carrying out the affairs of the predecessor under a new name (often through acquisition or merger). The term

“successor” does not include new offices/divisions of the same company or a company that only changes its name.

The extent of the responsibility of the successor for the liabilities of the predecessor may vary, depending on State law and specific circumstances.

“Veteran-owned small business concern” means a small business concern--

(1) Not less than 51 percent of which is owned by one or more veterans (as defined at 38 U.S.C. 101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and

(2) The management and daily business operations of which are controlled by one or more veterans.

"Women-owned business concern" means a concern which is at least 51 percent owned by one or more women; or in the case of any publicly owned business, at least 51 percent of the stock of which is owned by one or more women; and whose management and daily business operations are controlled by one or more women.

“Women-owned small business concern” means a small business concern--

(1) That is at least 51 percent owned by one or more women or, in the case of any publicly owned business, at least

51 percent of its stock is owned by one or more women; or

(2) Whose management and daily business operations are controlled by one or more women.

“Women-owned small business (WOSB) concern eligible under the WOSB Program (in accordance with 13 CFR part 127)”, means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the

United States.
