III. THE DETERMINATION FOR USE OF OTHER THAN FULL AND OPEN
COMPETITION IS BASED ON THE FOLLOWING (select all that apply):

1. ___ RESTRICTIVE RIGHTS. The source has established proprietary rights, limited rights in data, patent rights, copyrights or secret processes in the item or service required.
2. X EXCLUSIVE LICENSING AGREEMENTS. The item or service is only available from the Original Equipment Manufacturer (OEM), or there is only one authorized distributor or technical representative for the OEM.
The NSWC Common Engineering Toolset Community requires the acquisition of the Phoenix Integration ModelCenter software suite to link architecture models with analysis framework for the architected system to run trade studies, perform requirement verification, and to conduct trusted technical reviews. ModelCenter is unique in its ability to create analysis frameworks from a SysML model that can use a large variety of other modeling tools to conduct the analytics. No other tool can take our previously generated SysML models created in No Magic software and automatically create the analysis to execute and link domain specific executions to our SysML model. Once in the analysis framework, ModelCenter provides integration and execution of architecture, CAD, analytical, and simulation tools. ModelCenter will provide the interoperability and singular execution of these tools and the capability to customize a solution for toolsets beyond its out-of-the-box capability. NSWC Common Engineering Toolset Community will also be able to open, review, and execute contractor created ModelCenter model integration frameworks.
Mathworks provides limited integration capabilities to toolsets currently in use and planned continued use. However, Mathworks does not integrate into No Magic toolsets for integration
DON SAP Guide Enclosure (3) 3 and visual representation of the analysis, and it does not have the integration toolset capacity capabilities offered by the ModelCenter. Other possible options for this capability would be to create our solutions internally at a much higher cost for labor and a much longer schedule. Each tool, requiring integration, would require labor intensive customization to work with Mathwork’s toolset. It is estimated that each toolset integration would require one half of a full-time equivalent at a minimum, pushing the schedule out and requiring subject matter experts to perform the programming efforts.
Market Research was performed by attending vendor conferences (National Defense Industry Association and International Council for Systems Engineering) along with market survey and evaluating available products. The Phoenix Integration ModelCenter Software was identified as the only product that would meet the Government’s current needs based on industry experience, the many capabilities unmatched by other vendor’s software products and integration operability with the Government’s customers and teaming contractors.
While some other suppliers offer similar features, none offer all of these in one single package necessary to fulfill the Government’s unique requirements in this case. This proprietary equipment may only be purchased from the original equipment manufacturer, Phoenix Integration. There are no resellers available.

The determination that the procurement for the above item/service is an urgent and compelling requirement is based on the following:
