Performance Work Statement

1. INTRODUCTION. This is a Performance Work Statement for a requirements contract to provide court reporting services at Marine Corps Base Camp Lejeune, North Carolina, Marine Corps Air Station New River, North Carolina, and Marine Corps Air Station Cherry Point, North Carolina.

2. CONTRACTOR RESPONSIBILITIES.

a. RESPONSIBILITY. The Government will not be responsible for the Contractor’s personal supplies, equipment, materials, or belongings (such as repair tools and equipment, diagnostic software, etc., brought into the buildings or on the grounds to perform services. This includes items such as loss or damage caused by fire, theft, tornado, hurricane, accident or other disaster.

b. SERVICES. Services to be performed include recording, transcribing and furnishing typed transcriptions of conferences, courtroom and/or local legal proceedings, depositions, advisory board and committee meetings, personal grievance and appeal hearings and other administrative hearings. Dictation may be recorded by stenotype machine, steno mask, 100% shorthand, tape recording devices or any combination of the above. When dictation is recorded by tape recording devices, equipment must be of such quality as to ensure against error, misinterpretation or loss of voice. Equipment must be continuously monitored by the contractor, and proper operation shall be the responsibility of the contractor. When the contractor is required to reproduce exhibits that may become a part of the transcript, but do not require transcription, the charge will be the page rate in accordance with “Additional Copies” as set forth in Section B.

c. CONFIDENTIALITY REQUIREMENT. The contractor shall hold inviolate and in the strictest confidence any and all information of an official character which he may gain in the performance of his duties under this agreement. The contractor, its agents or employees, shall not, during this contract with the Government, hold any position or official relationship with, own any stocks or bonds of, or have any peculiar interest in any participants of the proceedings. Depositions shall be taken by the duly authorized notary and no separate fee is to be charged for notary service, administering oath or affixing seal.

d. FORMAT. For each original, copy, and condensed version of the transcript, the contractor shall provide (1) a title page showing the name, docket number (if applicable), place and date of the proceedings (2) a complete index of speakers and/or witnesses, and (3) a Word Index. The index of speakers and/or witnesses shall indicate the page where testimony and/or speech of every person begins and shall identify the exhibits by numbers showing which party introduced them and giving a brief description of the nature of the exhibit. The following transcription standards shall be met for each transcript:

1. No fewer than 25 typed lines on standard 8-1/2 x 11 paper.

2. 12 Pitch, Courier, Times Roman or New Roman

3. Left-hand margin to be set at no more than 1-3/4 inches.

4. Right-hand margin to be set at no more than 3/8 inch.

5. Each question and answer to begin on a separate line.

6. Each question and answer to placement not to exceed five spaces from the left-hand margin and five spaces from the Q & A to the text.

7. Carry-over Q & A lines to begin at the left-hand margin.

8. Colloquy material to begin no more than 15 spaces from the left-hand margin, with carryover colloquy to the left-hand margin.

9. Quoted material to begin no more than 15 spaces from the left- hand margin, with carry-over lines to begin no more than 10 spaces from the left-hand margin.

10. Parentheticals and exhibit markings to begin no more than 15 spaces from the left-hand margin, with carry-over lines to begin no more than 15 spaces from the left-hand margin.

e. HOURS OF PERFORMANCE REQUIRED. The contractor shall be prepared to begin performance at 8:00 A. M. on each day of scheduled performance, and shall continue to provide court reporting services until the presiding officer closes the proceeding for the day.

f. ABSENCES. The Contractor shall obtain and remunerate a substitute whenever he/she is unable to perform the services. The substitute must be qualified to perform the services and must adhere to the terms and conditions of this contract.

g. FOLLOWING DIRECTIONS OF THE CONTRACTING OFFICER’S REPRESENTATIVE.

The contractor shall follow the instructions of the Contracting Officer’s Representative (COR) regarding court reporting services to be provided during any scheduled appearance.

h. SCOPE OF REPORTING REQUIRED. Everything spoken during a session shall be reported and incorporated into the transcript unless the presiding officer otherwise directs. This shall include a record of appearances, with the names and identification of parties who actually testify or speak at the proceedings or who request the entering of their appearances, together with such other matters as may be directed by the presiding officer. Upon notification by the reporter that a recess is necessary to replace paper, tape, or other necessary materials used in performance of the work, the presiding officer shall grant such a request and order a recess for a reasonable time. No part of the proceedings shall be omitted from the record unless the presiding officer so directs.

A full and complete verbatim record shall be made and transcribed.

i. ACCURACY REQUIRED. It shall be the responsibility of the contractor to furnish complete transcripts which accurately reflect the full and complete verbatim record of the hearing. If electronic sound recording devices are used, they must be of such a quality as to ensure against error, misinterpretation, or loss of voice. Equipment must be operator monitored and include simultaneous playback, listening, pre-amplification and speaker identification facilities. When errors attributable to the contractor’s performance appear in the transcript

(i.e., those which change or obscure the meaning of the testimony but not including typographical errors or misspelling if the extended meaning is clearly evident, such as “their” for “there”) in an excess of one (1) error per

100 words of transcripts, the COR may demand and the contractor shall correct the errors and furnish corrected transcripts within five (5) calendar days after receipt of notification, and without additional cost to the Government for same, regardless of the delivery time the original order specified.

j. LEGIBILITY REQUIRED. The original copy shall be on white paper and clearly legible. Additional copies may be made from originals that are clearly legible.

k. CONTRACTOR PROVIDED SUPPLIES AND EQUIPMENT. The contractor shall provide all supplies and equipment required to perform the work. The Government will not be responsible for the contractor's supplies, equipment, materials, or belongings brought into the buildings or on the grounds to perform services. This includes losses or damages caused by fire, theft, tornado, hurricane, accident or other disaster.

l. PUBLIC/PRIVATE PROCEEDINGS. Proceedings shall be designated public or private. The presiding official shall be the sole judge as to the type, and the contractor binds himself to comply with the determination of the presiding official.

m. PROGRESS REPORTS REQUIREMENT. When required by the COR, a report shall be made by the contractor each day for each case, or each day’s proceedings in a given case, and shall be mailed the same day, postage paid, to the office designated by the COR. If a case has been assigned for a proceeding and is called but not heard at the time and place indicated in the notice of assignment, a record shall nevertheless be written up with a title page, list of appearances, a memorandum of the date, hour and place at which the proceedings was called and a statement showing what action was taken and why the proceeding was not held.

n. DATA RIGHTS. All notes, transcripts, records and any other material which is a part of or related to, any action recorded by the contractor shall be the property of the contractor and shall be maintained by the contractor for at least sixty (60) days from the date that transcript was taken by contractor. After such sixty (60) day period has lapsed, the contractor may dispose of transcripts at his own discretion.

o. LICENSE AND PERMIT REQUIREMENT. The contractor shall obtain, at his own expense, all necessary licenses and permits and shall conform to all laws, regulations and ordinances applicable to performance of services as specified in this contract.

p. DELIVERY REQUIREMENT. Unless the contractor is otherwise directed by the COR, all transcripts ordered shall be delivered to the office designated by the COR during regular business hours, with postage or other transportation charges fully prepaid by the contractor. Transcripts shall be delivered within 14 calendar days of the final session of any deposition or fact finding conference, and within 21 calendar days of the final session of any Equal Employment Opportunity Commission hearing.

q. DELIVERY PRICES. Prices shall include all recordings, transcribing and furnishing of copies of proceedings delivered to a destination designated by the COR. Prices per page and per four-hour session will be those set out in Section B.

r. UNAUTHORIZED WORK PERFORMANCE. The contractor shall not perform work that deviates from contract requirements and specifications. If the contractor deviates from contract requirements and specifications without prior approval of the Contracting Officer, such deviation shall be at the risk of the contractor and any cost of this unauthorized work shall be borne by the contractor.

3. GOVERNMENT RESPONSIBILITIES.

a. TASK ORDERS. Task orders will be issued against the contract for all services and will be placed by the Contract Administrator, via e-mail. The contractor shall receive a minimum of fourteen (14) calendar days’ notice in advance of the time and place of a contemplated proceeding covered by this contract, which the contractor shall acknowledge by using the same or faster means of communication. Should the Government not provide fourteen (14) calendar days’ notice, the contractor shall have the option to accept or refuse the order. However, upon acceptance of any order by the contractor, all provisions of the contract shall apply.

b. ORDER CANCELLATION. In cases when a proceeding has to be cancelled, the contractor shall be notified by the Government at least one day prior to the scheduled appearance. Should the Government fail to provide this notice; the contractor shall be paid for one four-hour session.

c. GOVERNMENT POINT OF CONTACT. The receiving agency point of contact will be provided at time of award.

52.212-2 EVALUATION--COMMERCIAL ITEMS (Oct 2014) “TAILORED”

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:

This is a requirement for court reporter services to provide a platform for Court Reporter/Stenography for

MCIEAST legal department.

This procurement is 100% set-aside for small business. All responsible small business sources may submit a response which, if timely received, will be considered by the agency.

Quotes will be evaluated and ranked according to price, from lowest to highest. The Government reserves the right to evaluate only the technical proposal of the lowest price offeror. Other technical proposals may not be evaluated unless the Government determines the lowest price offeror to be unacceptable or non-responsive. In the event the

Government determines the lowest price offeror to be unacceptable, the technical proposal of the next lowest price offeror will be evaluated .This process will continue until a technical proposal is determined to be acceptable.

Technical acceptability will be based on the demonstrated ability to meet the technical requirements, including the delivery requirement. A mere statement that the vendor “will meet the Government’s requirements” is insufficient;

the vendor must demonstrate how it will meet the requirement. Low Price Technically Acceptable (LPTA) will be evaluated on: (1) price; (2) technical specifications; and (3) delivery.

To ensure technical compliance with the requirements, vendor quotes shall include the following information:

a. Vendor Specifications. The vendor’s quote shall provide a description of how the vendor will meet the

Government’s requirements as stated above. The manufacturer's name and manufacturer’s complete part numbers of items shall be submitted in the quote. Drawings, product literature, pictures, and description of all quoted items shall be included.

b. Vendor must have an active cage code at the time award to be considered for an award.

Past performance will be verified via the Past Performance Information Retrieval System (PPIRS

(b) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer's specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL ITEMS (OCT 2018)

The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for Award Management (SAM) accessed mailto:kyle.greene@usmc.mil through https://www.sam.gov. (a) Definitions. As used in this provision--

“Economically disadvantaged women-owned small business (EDWOSB) concern” means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.

“Forced or indentured child labor” means all work or service—

(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or

“Inverted domestic corporation,” means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).

“Place of manufacture” means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.

“Restricted business operations” means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate—

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

(3) Consist of providing goods or services to marginalized populations of Sudan;

(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;

(5) Consist of providing goods or services that are used only to promote health or education; or

(6) Have been voluntarily suspended.

“Sensitive technology”—

(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically—

(i) To restrict the free flow of unbiased information in Iran; or

(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and

(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act

(50 U.S.C. 1702(b)(3)).

“Service-disabled veteran-owned small business concern”—

(1) Means a small business concern—

(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and

(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.

(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).

“Small business concern” means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR Part 121 and size standards in this solicitation.

“Small disadvantaged business concern, consistent with 13 CFR 124.1002,” means a small business concern under the size standard applicable to the acquisition, that--

(2) Through another subsidiary of a parent corporation.

“Veteran-owned small business concern” means a small business concern—

(1) Not less than 51 percent of which is owned by one or more veterans(as defined at 38 U.S.C. 101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and

(2) The management and daily business operations of which are controlled by one or more veterans.

“Women-owned business concern” means a concern which is at least 51 percent owned by one or more women; or in the case of any publicly owned business, at least 51 percent of the its stock is owned by one or more women; and whose management and daily business operations are controlled by one or more women.

“Women-owned small business concern” means a small business concern --

(1) That is at least 51 percent owned by one or more women or, in the case of any publicly owned business, at least

51 percent of the stock of which is owned by one or more women; and

(2) Whose management and daily business operations are controlled by one or more women.
