2.1. Background & Procurement History

The DPA (Division of Pharmaceutical Analysis) is a CDER Headquarters laboratory. The nature of the work demands quick turn-around on sample analyses. As the DPA has grown, data management has become more time-and space-consuming. To address these needs, the DPA has purchased and implemented Agilent Technologies, Inc. OpenLAB Enterprise Content Management (ECM) module, Business Process Manager and Electronic Laboratory Notebook (ELN). ELN was purchased with FSS order number GS-07F-0564X / HHSF223201510297G. This order has expired and cannot be renewed.

2.2. Objective

Replacement of the expired order HHSF223201510297G with a new contract that provides annual maintenance and support to the Government-furnished ELN software.

2.3. Supported Software

Annual maintenance supports the following Government-furnished ELN software (Product Numbers from Agilent Technologies GSA Schedule Contract):

2.4. Technical Specifications & Salient Characteristics

This solicitation is using Brand Name or Equal procedures in accordance with FAR Provision 52.211-6 Brand Name or Equal (Aug 1999). The Brand Name Product is Agilent Open Lab ELN annual maintenance, product number R2067A. The specifications (1 & 7) and salient characteristics (2-6) of the brand name software are the following:

1. Software Supported: Agilent Technologies Electronic Laboratory Notebook licenses with product numbers G3620AA, G3621AA & G3624AA on GSA ScheduleGS-07F-0564X.

2. Scope and Description of Maintenance: An organization and process to provide remote technical support for the diagnosis and resolution of problems or performance issues of the support software.

3. Relationship with Licenses: Maintenance does not include licenses, and is priced separately.

Maintenance is annual.

4. Technical Support: Telephone 8 AM – 5 PM M-F excluding holidays. Internet based support requests and tracking. Online self-help knowledge base. English language. Response times dependent upon contractor-defined severity.

5. Patches, Fixes & Updates: Provides patches, updates, releases and new versions of the Software along with other generally available technical material.

6. Exclusions: Does not cover consulting, installation, configuration, training or upgrades. Does not cover data recovery. Does not cover hardware.

7. Accessibility: Software maintenance information, documentation and support delivered to the Government conform to Section 508 accessibility standards.

2.5. Government Furnished Property (GFP) & Information (GFI)

All software, to include the supported ELN software in Table 2, network access and configuration, and hardware to include IT and laboratory instruments are GFP.

3. Special Requirements, Terms and Conditions

3.1. Unauthorized Costs/Expenses

The following are unauthorized by this contract: travel, travel reimbursement or any Other Direct Cost incurred by the contractor for work under this contract, any type of consulting or services that are at additional cost.

3.2. This Contract’s 508 Standards Do Not Include Software Delivered As Part of Maintenance

Software delivered to the Government under this ELN maintenance agreement is considered part of the ELN software itself (rather than maintenance) for purposes of Section 508 applicability, and is therefore not within scope of the Section 508 requirements of this order.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records—Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. 9.1. Quote Submission Instructions:

Quotes may be submitted via SF 1449 or other electronic document via email to Jacob.ohatnick@fda.hhs.gov by the closing date and time of the solicitation. Late submissions, modifications and revisions will be accepted if the Contracting Officer determines it to be in the Government’s best interests.

If not submitted on the SF 1449, include a statement specifying the extent of agreement with all terms, conditions, and provisions included in this solicitation. Quoters that fail to furnish required representations or information, or reject the terms and conditions of the solicitation may be excluded from consideration.

9.3. Special Note and Instructions on SMAs

Certain terms and conditions often included in software agreements, SMAs, End User Licensing Agreements (EULAs) and Terms of Service (ToS) generally are prohibited when the Federal Government is the end user. Other terms and conditions are unenforceable, non-binding, or automatically stricken from the agreement. Therefore offerors are strongly encouraged to provide software SMA/EULA/ToS tailored specifically for the Federal Government.

Specific agreement terms and conditions which are determined to be prohibited, unenforceable, non-binding, automatically stricken or otherwise not allowed will be removed from the agreement by the Government.

All such agreements are subject to negotiation.
