FAR Subpart 13.106-1(b)(1) - Only one source (including brand name product) is deemed reasonably available to provide the required supplies or services and the cost/price is at or below the SAT.

FAR Subpart 13.106-1(b)(2) – The required supplies or services are commercial items, only one source (including brand name product) is capable of satisfying the Agency’s requirement, and the cost/price exceeds the SAT but does not exceed $7M.

Provide an explanation supporting and clearly addressing the items applicable to the situation requiring Sole Source procurement:

PBGC procured the Harte-Hank s Dat a Technologies , Inc . ("Trillium") , now Syncsort perpetual license in 2005 and is is used heavily to support four Office of Benefit Administration (OBA ) applications: Spectrum , CRM , MyPBA, and CMS . This software i s currently supported on PBGC' s Technolog y Reference Model (TRM ) and the technical support includes monthly updates to the software. This application is critical to the ability of PBGC staff to support

5. DEMONSTRATION THAT THE CONTRACTOR’S UNIQUE QUALIFICATIONS OR THE NATURE OF THE

ACQUISITION REQUIRES THE USE OF THE AUTHORITY CITED

This software maintenance support will ensure PBGC meets external financial auditing requirements and meets critical corporate strategic and business objectives. Trillium is a key component within the agency’s EA program and sEA program office and supports the AVS (Address Validation System). P

Th e contractin g office r conducte d marke t researc h on GSA Federa l Suppl y Schedule as well as NASA SEWP and found no other authorized resellers o f Trillium Software and Maintenance . Marke t researc o f Trillium Software showe d that maintenance support must be provided directly by Trillium Software and their sales department confirmed that Trillium is the only available source for maintainence and updates to this Software Owned by PBGC under a Perpetual License.

Further, the Government conducted extensive research and analysis to evaluate the technical features, licensing costs, transition costs, and functionality of 11 competitive products and awarded a Contract to Trillium within the last four months. Trillium did not offer option pricing at the time of the evaluation and was awarded a one-year contract.

The cost of replacing the Current Software and implementing a replacement is estimated to be in excess of $350,000 of duplicative costs including duplicative research, procurement, and implementation costs by the Government.

ITIOD Conducted extensive research prior to the Award in March of 2018 and will continue to monitor the Market for new Products and evaluate options annually.

Determination: A determination that the cost/price is fair and reasonable will be made by the Contracting Officer before the contract action is issued.

To be completed by the Contracting Officer.

The Contracting officer willl make a determination that the price is fair and reasonable by: 1) comparing the percentage of original price to annual price for Maintenance compared to industry averages for maintenance and upgrades to perpetual licenses, 2) analyzing curent costs for annual maintenance on a new perpertual license, 3) comparison to catalog pricing and previous contracts.
