Attachment # 1 - Requirements List Matter-Specific Litigation Intelligence on Puerto Rico’s Fiscal Crisis, the PROMESA cases, and All Related Litigation and Legislative Activities
INTRODUCTION
Corporate/Financial Litigation (“C-Financial”) is the section within the Civil Division of the U.S. Department of Justice that handles complex bankruptcy cases on behalf of the United States and that is charged with representing the United States’ position on Bankruptcy Code interpretation and constitutionality. Presently, C-Financial is actively monitoring efforts to resolve Puerto Rico’s fiscal crisis. C-Financial’ s work includes representation of the United States in bankruptcy-like cases filed by the Commonwealth of Puerto Rico and related territorial agencies in the United States District Court for the District of Puerto Rico under the Puerto Rico Oversight, Management, and Economic Stability Act (PROMESA), advising federal agencies about those proceedings, and monitoring legislative and political developments in Congress and within the Commonwealth government that may affect United States’ interests (including claims to money and property). A significant focus of C-Financial involves protecting the government’s financial, contractual, and regulatory interests in large, complex bankruptcies, and Puerto Rico’s debt restructuring constitutes the largest restructuring ever attempted and the first ever pursued by a territorial government. The breadth of daily developments, together with the number of interested actors and stakeholders, makes this a high-profile matter that requires C-Financial to have real-time, breaking updates and immediate access to documents, as well as to analysis provided by those with knowledge of the field.
1. SCOPE AND PERIOD OF PERFORMANCE
C-Financial requires timely access to breaking news, updates, source documents, and analysis on all aspects of Puerto Rico’s fiscal crisis. The general requirements for this information are specified below.
The base period of performance (POP) will be twelve (12) months after the contract award date. The POP also will include an additional four (4) one (1) year options that will be exercised at the sole discretion of the Government. The Government is under absolutely no obligation to exercise its renewal option at the end of any contracting year.
2. REQUIREMENTS
The contracting entity must be able to provide regular, prompt e-mail updates on issues of intermediate and major significance regarding all aspects of the Puerto Rico fiscal crisis extending to relevant federal and territorial activities, whether on judicial, legislative, or executive levels. The contractor shall provide these updates in near real-time for all significant developments in or relating to any PROMESA title VI proceeding or title III restructuring (or any related proceedings) as developments occur (including multiple reports per day when news events require). Any court hearing should receive thorough reporting coverage, ideally from a reporter present at the hearing. The contracting entity should also provide frequent (at least weekly) summaries of key summaries of developments and occasional updates contextualizing the above information, with a focus on major events.

All e-mail updates shall accurately summarize each development, include easily accessible links to quoted or referenced source materials, and provide appropriate analysis of the development being covered, with a level of detail that is commensurate with the significance of the event.
Because PROMESA borrows substantially from the Bankruptcy Code, individuals who have experience reporting on and familiarity with sophisticated chapter 11 bankruptcy reorganizations and related litigation should principally prepare the updates.
For the personnel assigned to reports on the Puerto Rico matter please list the number of months/years each has worked in the bankruptcy field or has reported on Commonwealth of Puerto Rico politics.
2.1 Delivery
C-Financial users shall be able to receive electronic message updates from the service at any time during the term of the contract. C-Financial users shall also have access to the information, documents, and data stored on the contractor’s website. The contract will allow at least five user accounts at a time and permit reassignment of accounts to other users as needed by C-Financial.
