This solicitation will utilize the policies contained in the Federal Acquisition Regulations (FAR) Part 12 in conjunction with the policies and procedures for solicitation evaluation and award prescribed in FAR Part 13, Simplified Acquisition Procedures, as appropriate for this acquisition.

All vendors must quote Authentic, Manufacturer certified/warranted products in original, intact manufacturer's packaging, no "Gray Market", counterfeit or resale items will be considered.

BASIS OF AWARD:

QuAAtro Maintenance Services

The basis of award should be made using Best Value-Tradeoff Process. All evaluation factors other than cost or price, when combined, are significantly more important to the Government than cost or price.

EVALUATION FACTORS:

Factor (A) Experience: Offerors shall include resumes and/or qualifications identified in the Statement of Work including evidence of training, experience for the service engineers proposed in maintaining the equipment in this service agreement.

Factor (B) Past Performance (quality, timeliness, and business relations): The offeror shall submit references from two (2) customers that have purchased similar services within the last five years.

Offerors shall provide a point of contact name, phone number, email address, and company address for those references. Statements by past clients may be used in the evaluation of the vendor's technical quote under any and all applicable evaluation criteria. Any information obtained by the Government from references outside the vendor's quote may be used in a similar manner.

Factor (C) Technical Capabilities: Offeror shall include the company’s technical brochure, referencing the specific equipment referenced in the Statement of Work contained herein. The vendor must provide a narrative of how they intend to meet the needs specified in this service agreement and will be evaluated on documentation in their proposals by critical factors such as access to repair facilities, spare parts, and expertise in maintaining the equipment in the statement of work.

In determining which quotation offers the greatest value or advantage to the Government, overall technical merit will be considered more important than price or cost. The degree of importance of price or cost as an evaluation factor will increase with the degree of equality in the technical merits of the quotations. Between acceptable quotations with a significant difference in technical merit, a determination will be made as to whether the additional technical merit or benefits reflected by a higher priced quotation warrants payment of the additional price or cost.

STATEMENT OF WORK:

Maintenance Services for Three Seal QuAAtro Instruments

Background: The U.S. Geological Survey, National Water Quality Laboratory (NWQL), located in Lakewood, CO uses three (3) Seal Analytical QuAAtro segmented flow analyzers with three (3) XY-3 samplers to perform routine nutrient analyses. The analyses include: Total Kjeldahl Nitrogen and Phosphorus, Total and Dissolved Nitrogen and Phosphorus in alkaline persulfate digests and low-level phosphorus by modified EPA 365.1. The NWQL’s turnaround time for these analyses is thirty (30) days, and with an average annual sample load of 46,000 samples per year, these instruments are often in operation five (5) days a week. Due to this work load, it is imperative that the instruments are maintained in optimum condition to prevent delay in sample analysis and the assurance of data quality.

General Requirements: The NWQL is housed in Building 95 which is located on the Denver Federal Center (DFC), Lakewood, CO. The DFC is a secure facility and all visitors must show a picture identification in order to be admitted. Building 95 hours are 7:30 a.m., through 4:30 p.m., local time, Monday through Friday, except for Federal Holidays and other days specifically designated by the contracting officer. All work required hereunder shall be performed during these hours unless other arrangements are agreed to by the Government. Visitors to building 95 are required to sign in and out. Equipment covered by this requirement shall be inspected by the Contractor’s Service Engineer and shall be maintained to the original equipment manufacturer (OEM) specifications for operations and performance. The contractor shall coordinate this inspection visit through the USGS Technical Liaison. The date and time of the inspection shall be mutually agreed to, but in no event shall be no later than 30 days after contract award.

Scope: The Contractor shall provide all necessary personnel, equipment and materials, except as otherwise specified herein, for the preventative maintenance, emergency repairs, software support, and remedial service for Seal Analytical QuAAtro segmented flow analyzers and XY-3 samplers.

This requirement also includes providing and installing all required parts along with any necessary travel and associated expenses.

Technical Requirements:

A. The Contractor shall diagnose equipment failure (including failure caused by OEM supplied software) and provide all labor, testing equipment, travel expenses, parts and firmware and software revisions required to maintain the equipment in accordance with OEM published operating specifications. All software and hardware shall be free of malicious code.

B. Preventative maintenance shall be performed by the Contractor once per year, and the Contractor shall provide all necessary parts, labor and travel expenses. Preventative

P a g e | 7 maintenance shall be performed at the NWQL in accordance to the procedures recommended by the OEM.

C. All repairs and preventative maintenance, provided by the Contractor, shall be performed by a certified, factory trained technician and be scheduled with the concurrence of the USGS Technical Liaison or other authorized NWQL employee. If the technician is not factory trained, he/she shall be able to provide documentation of adequate training, which may include references from two other customers, and proof of at least one year of successful experience repairing the Seal Analytical QuAAtro equipment in this contract. The documentation shall be provided upon request to the USGS Technical Liaison or other authorized NWQL employee. The Contractor shall have access to service manuals, bulletins, software upgrades and system upgrades.

D. The Contractor shall respond to all service-related phone calls or emails within one business day.

E. On-site emergency repairs and remedial service shall be started, at the NWQL, within three

(3) working days of verbal or written notification by the Contracting Officer (CO), USGS Technical Liaison, or authorized NWQL chemist/technician. “Emergency repair” is herein defined as “a system or component of a system that cannot carry out its intended function without repair”. An emergency repair will be so specified, at the time of the service call, by the initiator of the service call, at the sole discretion of the initiator of the service call.

F. The contractor shall initiate non-emergency repair as required within five (5) working days of verbal or written notification by the Contracting Officer (CO), USGS Technical Liaison or other authorized NWQL employee. “Non-emergency repair” is defined as “a system or component of a system that requires repair or service but can presently operate or carry out its intended function without the repair or service”. If the category of the repair is not specified by the initiator of the call, the repair shall be considered a “non-emergency repair”.

G. If the repair requires replacement parts, the Contractor’s service engineer shall procure and arrange to have the new OEM parts (where available) or an acceptable, certified part, based on judgment of the USGS Technical Liaison or other authorized NWQL employee for this contract, on site within forty-eight (48) hours of the initial service visit.

H. The Contractor shall provide telephone troubleshooting support Monday through Friday 6:00am – 6:00pm local time.

I. The Contractor shall pay for shipping expenses of all replacement parts and return shipment expenses for all non-expendable replacement parts.

J. The Contractor shall provide free AAce software upgrades

K. Should the Contractor Service Technician and the authorized USGS Technical Liaison or other authorized NWQL employee concur that a piece of equipment requires off-site repair, the Contractor shall pay for shipping expenses for delivery of the equipment to the repair

P a g e | 8 site and return to the NWQL. If the piece of equipment is determined to require off-site service and this service is expected to require greater than 72 hours the Contractor shall provide the NWQL an equivalent piece of equipment as a loaner.

L. The Contractor shall submit, in person or by electronic notification, the USGS Technical Liaison or other authorized NWQL employee with a detailed report of any logged service repair that cannot be completed within five (5) business days of the original request. This report shall be received by the NWQL no later than the 6th business day of such request and shall include the nature of repair, measures that are being pursued to complete the repair, and an estimate of the time period required to complete the repair. The Contractor shall include a Contingency Plan for dealing with repairs that cannot be completed within five (5) working days. This Contingency Plan shall provide additional procedures for obtaining expertise and/or resources when the equipment cannot be diagnosed and repaired in a set period of time. The Contingency Plan shall be provided to the USGS Technical Liaison no later than 14 days after award of contract.

M. All hazardous wastes generated as a consequence of services (e.g. cleaning solvents, etc.)

shall be disposed of by the NWQL. The Contractor shall provide a profile of all hazardous waste generated on site to the responsible NWQL personnel for proper disposal.

N. The NWQL will provide the following consumable operating supplies:

Any item not listed here and considered to be consumable by the Contractor must be submitted with the Contractor’s quote.

O. Verbal agreements between the Contractor or one of its representatives and personnel from the NWQL, if contrary to implied or stated provisions of this Contract are non-binding, unless entered into by the CO.

P. The Contractor (if other than the OEM) shall, within 30 days prior to Contract completion, have the equipment inspected by the OEM and the OEM shall certify in writing that all equipment specified in the Contract is operating to OEM specifications. The Government reserves the right to hold the Contractor responsible for bringing the equipment up to OEM standards at no cost to the Government.

Q. The Government reserves the right to add or remove individual pieces of equipment unilaterally by written notice to the contractor. Items added or removed will be done so for complete months only, i.e. no partial monthly billing will be required. The unit price for any items added shall be made at the Contractor's standard catalog or market price, less any discounts provided under this contract. In the event an item is removed from this contract, the contract shall be reduced by the monthly amount, specified herein, times the number of

A single Firm Fixed Price award for all line items shall be made to the offeror submitting the lowest priced qualified offer that meets all the technical specifications listed above. Vendors shall include a specification sheet and a photo of the item being supplied with their quote. All vendors must quote Authentic, Manufacturer certified/warranted products in original, intact manufacturer's packaging, no "Gray Market", counterfeit, or resale items shall be considered.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph

(d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records—Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

(e)(1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c), and (d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (e)(1) in a subcontract for commercial items. Unless otherwise indicated below, the extent of the flow down shall be as required by the clause—
