B. 2. Statement of Work (SOW)

B. 2.1 Introduction The purpose of this SOW is to obtain both operational and maintenance services for the existing Kantech/Avigilon-based Physical Access-Control System (PAS) installed at the United States Geological Survey (USGS) - Woods Hole Coastal & Marine Science Center (WHCMSC) - Woods Hole, MA 02543.

Controlled by Kantech Entrapass software and interfaced with Avigilon video surveillance equipment, the PAS provides perimeter security monitoring, alarm, surveillance; badging; and 24/7 remote centralized monitoring to the WHCMSC.

B. 2.2 PAS Background

B. .2.1 PAS Location The PAS service-area is comprised of five facilities in two separate locations; Woods Hole, and Falmouth, MA. There are four buildings at the Woods Hole Oceanographic Institution (WHOI) Quissett Campus, 384 Woods Hole Road, Woods Hole MA. The fifth building, the WHCMSC Marine Operations Center (MOF) is located at 11 Woods Hole Road, within 2 miles of the Quissett Campus.

B. 2.2.2 PAS Support Services Overview The Contractor shall provide an integrated performance and maintenance solution for continuous monitoring, physical access control, surveillance, and duress alarming to the WHCMSC. The PAS operates 24-hours a day, 365/6 days-per-year under levels of access ranging from normal operations to 100% lockdown.

The PAS DSC alarm panels permit all five buildings to be monitored by USGS employees both in-house and remotely. Additional PAS functionality includes badging (issuance and tracking of photo identification cards) and duress alarms. PAS support also requires the Contractor to provide 24/7 passive central monitoring by a 3rd party (offsite) company.

PAS support requires the Contractor to provide 24/7 passive system monitoring against intrusion, provide 24/7 3rd party central alarm monitoring services, perform scheduled maintenance and repair during normal hours, perform un-scheduled and non-urgent maintenance and repair during normal hours;

install Government approved software and/or engineering updates during normal hours;

maintain and repair hardware, software and firmware during normal operations;

provide scheduled maintenance and repair services to include preventive maintenance performed quarterly and at recommended intervals, during normal hours;

provide 24-hour fix-on-failure repairs and non-routine unscheduled services; upgrades the PAS based upon future requirements. (Ancillary services to be provided post-award.)

B. 2.3 Acronyms, Definitions Terms and Trademarks

Aiphone - Aiphone Co. Ltd, a Japanese company, US subsidiary: Aiphone Corporation;

Aiphone - model J0-DV (door unit), J0-MD (master unit), installed 2018;

Ancillary Costs/Services - costs for fix-on-failure repairs, non-routine services, and upgrades to the PAS based upon future requirements;

Assumption of Services - The date the incoming contractor assumes support for the PAS, the first day of the PoP;

Avigilon - Avigilon, a subsidiary of Motorola Solutions;

Avigilon - Avigilon v. 7.2.108 IP based video system w/ associated cameras, Central Station Monitoring - passive alarm monitoring provided 24/7 by a Massachusetts certified 3rd party alarm response company;

Contractor - the prospective awardee, Cut-over - the date and time the presumptive awardee assumes full responsibility for PAS support services, commences: 00:00:01 AM, November 01, 2020;

DSC - DSC Model 832 alarm system, manufactured by DSC-Tyco, a subsidiary of Johnson Controls Security Products;

Government Furnished Property (GFP) - Property in the possession of, or directly acquired by, the Government; and subsequently furnished to the contractor for performance of a contract. Government furnished property includes, but is not limited to, spares and property furnished for repairs, maintenance, overhaul, or modification;

Incumbent - Incumbent contractor, the provider of covered services at the time of solicitation;

Kantech - a subsidiary of Tyco Security Products, Kantech/Avigilon - the Kantech Entrapass security management software and Avigilon- surveillance video equipment as installed at WHCMSC at the time of award, the basis for WHCMSC Physical Access-control;

Kantech Entrapass - Kantech Entrapass Corporate Edition multiple work-station security management software, current edition: v.8.10.78, includes gateway, server, workstation and database utility;

Kantech HID - HID-C1346, a 26-bit, 125 kHz proximity card reader;

KT-300 - Kantech access control hardware w/associated security devices incl. electrified door hardware, KSF - Kantech Secure Format, standard 26-bit Wiegand protocol interface;

PAC - Kantech Entrapass Corporate Edition v.8.10.78, Physical Access Control software suite controlling the Kantech Entrapass security management software and Avigilon- surveillance video equipment;

PAS - Physical Access-Control System, the WHCMSC security system, as a whole and end-to-end, as installed and functioning at time of solicitation;

PII - Personally Identifiable Information; per the US Department of Labor*: information: that directly identifies an individual (e.g., name, address, social security number or other identifying number or code, telephone number, email address, etc.);

Technical Liaison (TL) - on-site Government point of contact for the physical access-control system.

B. 2.4 Scope

Installed in 2003, and serving five facilities at two separate locations, the PAS is comprised of the Kantech/Avigilon Physical Access Control (PAC) system interfaced with multiple DSC facility alarm security panels. The PAS system is managed through the PAC's Kantech Entrapass Corporate Edition v.8.10.78 software. The PAS' surveillance capability is provided by the PAC's integrated Avigilon video system. The PAS also includes one entry-control Aiphone video-intercom with a remote door-release system installed in 2018. PAS functionality also includes a duress alarm system installed at one facility housing freezer and refrigeration units The PAS is monitored both in-house and remotely. PAS support requires the Contractor to provide 24/7 passive central monitoring furnished by a 3rd party alarm company.

All PAC software is hosted on a Government controlled server within the USGS' domain. In addition to the PAC software, the Government maintains a redundant server and mirrored database(s). PAC software is administered exclusively by Government employees. The PAC infrastructure currently incorporates a Kantech HID I.D. card reader and card printer with digital camera station.

B. 2.5 Transition Support Services Requirements

B. 2.5.1 Transition Support Services Overview The Contractor shall provide a Phase-In Transition Plan (transition plan) no later than five business days after receipt of award. The Contractor shall execute the transition plan while working closely with the Incumbent Contractor (Incumbent) and the TL to ensure that PAS services remain uninterrupted during the transitional period and cut-over.

B. 2.5.2 Transition Plan Deliverables The plan shall address, at a minimum:

plan to work with Incumbent for up to 30 days prior to assumption of services to prepare for cut-over, plan to provide scheduled/proactive support, including quarterly maintenance;

plan to coordinate with the TL and the Incumbent to account for, and protect, Government keys, ID cards, access cards, security codes and privileged user access information, plan to assume responsibility for tangible GFP, plan to assume responsibility for software, licenses, maintenance agreements, and inventories;

plan to transfer informal business and technical documentation e.g. training aids, local operating procedures, FAQ's and similar.

B. 2.6 Support Services Requirements

Contractor shall be responsible for providing end-to-end Kantech/Avigilon-based PAS support.

Scheduled/proactive services, including quarterly maintenance, shall be coordinated through the TL and shall be performed, to the greatest extent practicable, during WHCMSC normal operating hours: Monday - Friday, 8:00 A.M. to 4:30 P.M., ET, excluding Federal Holidays.

The TL shall provide an initial monthly call-list (emergency PoC's and contact information) to the Contractor five business days post-award and every 25 days thereafter.

The contractor shall permit up to three false alarm responses at no charge to the Government per each 12-month contract period.

Kantech may cease supporting the KT-300 series controllers and/or the Entrapass system during this agreement's period of performance. The Contractor shall notify the TL in writing (email is preferred) in a timely manner, regarding any communication the Contractor receives regarding Kantech's support policies https://www.dol.gov/general/ppii as applicable to the PAS/PAC. Should replacement/migration become necessary, the Contractor shall coordinate with the Government to devise and implement a replacement strategy.

B. 2.6.1 Transition Support Services Performance The Contractor shall participate a turn-over inspection within 10 business days after receipt of award. The turn-over inspection participants shall include, at a minimum; the TL, the Incumbent Contractor's service/maintenance PoC, and the Contractor's service/maintenance PoC.

The inspection participants shall (by mutual agreement of the parties) identify equipment requiring immediate service/repair, and the Contractor shall provide a written summary including a comprehensive list of the defective equipment and a description of issues requiring USGS' immediate attention.

The Contractor shall, after the first scheduled maintenance event, provide the TL a comprehensive list of software, system, and operational issues requiring Government attention.

B. 2.6.2 Transition Support Services Deliverables The following information shall be provided with the quote:

names, contact information, and roles & responsibilities for all key personnel;

proof of Contractor and Contractor's representative(s) certification and licensure, proposed service and maintenance schedules.

Within five business days after receipt of award the Contractor shall:

participate in the kick-off meeting.

Within ten business days after receipt of award the Contractor shall:

participate in a turn-over inspection to identify equipment requiring immediate service/repair.

Within five business days after the turn-over inspection the Contractor shall:

provide a written summary to the TL (email preferred) titled: Summary of the PAS Physical

System as Inspected, that shall include a comprehensive list of defective equipment and a description of issues requiring USGS' immediate attention.

Within five business days after the first scheduled maintenance event, the Contractor shall:

provide a written summary to the TL (email preferred) titled: Summary of the PAC Software and

Related Systems, including a comprehensive list of software, system, and operational issues requiring USGS' attention.

Contractor support shall include: 24/7 PAS continuous passive intrusion detection, 24/7 3rd party central alarm monitoring services, required scheduled services, routine maintenance and repair; and post-award ancillary support.

B. 2.6.3 Support Services Overview Contractor support shall include: 24/7 PAS continuous passive intrusion detection, 24/7 3rd party central alarm monitoring services, required scheduled services, routine maintenance and repair; and post-award ancillary support. The Contractor shall provide all management, supervision, and labor; and furnish all required materials and associated consumable supplies.

B. 2.6.3.1 Support Services, Parameters and Deliverables The Contractor shall make the PAS available 24-hours, 365/6 days per year; programmed for the USGS' requested level of access which may range from normal operations to 100% lockdown. The Contractor's minimum acceptable response time shall be no longer than one hour for response via phone or email and within 4 hours to arrive on site. The Contractor shall provide service-call documentation (e.g.

reports, logs, audit trails or summaries thereof) encompassing the previous 12-months of alarm response activities for at least two but no more than five current customers requiring similar levels of support. This data must be sufficient to evaluate the Contractor's over-all alarm response performance. This documentation shall be submitted with the quote.

B. 2.6.3.2 Measurement of Support Services:

The Contractor's performance shall be measured by:

real time availability of the PAS measured in percent, requirement: 99.9%;

competent and timely fulfillment of all maintenance, repair, and support services;

adherence to call-schedule response parameters;

successful integration of new components and functionality into the existing PAS.

B. 2.6.3.3 Support Services Performance Contractor shall provide services supporting routine/scheduled maintenance of, and non-urgent repairs to existing the Kantech/Avigilon-based PAC. The Contractor is responsible for supporting, maintaining and upgrading the current Kantech Entrapass software. The Contractor is responsible for supporting and maintaining the DSC alarm system infrastructure/components and associated equipment; to include:

access to, and control of, Aiphone equipment and functionality, Avigilon video surveillance equipment, software, and functionality, duress alarm and temperature monitoring for refrigeration/freezer facility, installation of Government approved hardware, firmware, software, and engineering updates;

preventive/proactive maintenance performed quarterly and/or at intervals recommended by original equipment manufacturer, and/or Government representatives;

24-hour fix-on-failure repair, non-routine maintenance, upgrades (ancillary support).

B. 2.6.3.4 Third Party Support Services Deliverables Contractor shall provide continuous central station alarm monitoring 24-hours per day, 365/6-days per year performed by a Massachusetts-licensed 3rd party, non- residential (business/commercial), alarm monitoring company. Contractor shall provide proof of 3rd Party monitoring agreement and documentation of 12 months of the 3rd party vendor's alarm response-times for at least two but no more than five current customers requiring similar levels of support. Provide all 3rd party services documentation to the TL within ten business after receipt of award.

Required 3rd party support services include:

· one account (monitoring) for each of the 5 facilities.

· monthly database modification/updates, to include at a minimum o change of call-list personnel, o add/delete authorized users, o account history reports, o opening and closing reports.

B. 2.6.4 Support Services Deliverables and Performance Optional Years 1 - 4, Contractor shall continue PAS base-year support, at or above the base-year level of effort, for every optional year awarded. Contractor shall support all PAS system expansion and upgrades incorporated during the previous 12 months in the following optional year, if exercised.

B. 2.6.5 Support Services Deliverables and Performance Optional Years 1 - 4 - (Ancillary) Contractor shall continue PAS base-year ancillary support, at or above the base-year level of effort, for every optional year awarded. Contractor shall, upon Government request, provide an integrated solution for continuous real-time monitoring, physical access control, inclusion of added components, installations, and upgrades to the PAS based upon future requirements.

B. 2.6.6 Support Services Deliverables and Performance, Conclusion of Services Contractor shall leave the equipment in good operating condition at the conclusion of the resulting agreement. Contractor shall participate in either a turn-over or a final inspection during the final 30 days of this contract and shall work closely with the Government and the new contractor to ensure a swift and seamless transition of services.

B. 2.7 Certification, Licensure, and Insurance

Only a Contractor or Contractor's service representative(s) holding current state licensure and/or manufacturer certification shall repair, service and/or maintain the PAS or any of its components. Proof of licensure and certification shall be provided with the Contractor's quote. Contractor shall maintain licensure, certification, and insurance for the duration of the agreement commencing upon award and including all optional periods, if exercised.

If certification is offered, the Contractor's service representative(s) shall be certified to repair, service and/or maintain PAS components incorporated after the period of performance commences. All certification shall be acquired in a timely manner ("timely" as defined by the Contracting Officer). After award, the Contractor shall provide notification of new or renewed certification/licensure to the TL within 30 days of receipt.

Contractor minimum vocational/professional requirements (proof of licensure required), the Contractor shall:

hold and maintain a valid Massachusetts Electrician's "C" license, hold and maintain a valid Massachusetts S-license for the duration of the agreement, to include optional periods, if exercised.

hold and maintain a valid Massachusetts Security Systems Contract license for the duration of the agreement, to include optional periods, if exercised.

Contractor minimum levels of certification, training, and authorization (proof of licensure, certification, and authorization required, the Contractor shall:

obtain Kantech Entrapass software license and software rights for the duration of the agreement, to include optional periods, if exercised.

hold and maintain manufacturer's authorization to provide, install, and maintain Avigilon products including annual software releases for the duration of the agreement, to include optional periods, if exercised;

Contractor service representatives shall, meet the following minimum requirements:

hold and maintain Massachusetts Systems Technician (Class D) license for the duration of the agreement, to include optional periods, if exercised.

hold and maintain a valid Massachusetts S-license, for or the duration of the agreement, to include optional periods, if exercised.

hold and maintain Kantech Entrapass Certification for the duration of the agreement, to include optional periods, if exercised.

hold and maintain authorization to personally install, manage, and repair Avigilon products including annual software releases, patches, and updates for the duration of the agreement, to include optional periods, if exercised.

B. 3. Government Furnished Property (GFP)

The Government certifies that the equipment to be maintained under this contract will be in good operating condition on the effective date of this contract. For the purpose of this contract, the term, "good operating condition" means the conditions necessary for the equipment to function as intended without corrective maintenance.

The contracting officer may revoke the Government's assumption of risk if the TL determines that the contractor's property management practices are noncompliant with contract requirements.

The PAS maintains approximately 350 photo ID KSF format access cards. The PAS has one main server (Windows Server 2016) and several remote workstations which are monitored in-house by USGS security personnel.

PAS hardware includes:

multiple Kantech KT-300 Controllers/Smart Com devices, multiple DSC Alarm Systems with LCD Keypads, 18 video surveillance cameras with security server, 250 various door/window alarm contacts, various request to exit devices, Kantech IO proximity card readers, a badge printer station.

The Aiphone installation includes:

- 1 ea. Aiphone Master Station 7" (inch) with door release and analog exterior video-intercom station,

- 1 ea. Aiphone "Kantech door-release" control module,

- 1 ea. Aiphone 30 degree exterior mounting plate for video-intercom station,

- 1 ea. Aiphone reception desk stand,

- 1 ea. Aiphone proprietary intercom cable.

B. 4. Information Technology Security Requirements Summary

1. Background Investigation Contractor employees who will have access to federal Information Technology (IT) systems are subject to background investigations by the Federal Office of personnel Management. The level of investigation required will be the same as would be required for federal employees holding position involving similar duties. Work cannot begin on the DOI/USGS system until the background investigation has at least been initiated.

DOI Departmental Manual Part 441, Chapter 3, Attachment 5 (available at:

http://elips.doi.gov/appdm/actgetfiles.cfm?relnum=3631) provides level and procedural guidance for the appropriate background investigations based on types of access. The solicitation and contract should state the levels required for applicable labor categories or positions.

This position has been determined to be MODERATE RISK and requires a Minimum Background Investigation and credit check.

2. Non-disclosure Agreement Prior to receiving access to the USGS computers, contractor employees shall be required to sign non-disclosure or other system security agreements, depending on the systems to be used and level of access granted. The required non-disclosure agreement will be similar or may be customized as needed to reflect the data involved. Restrictions on use, duplication and disclosure of sensitive and proprietary data are covered in clause GS1406.

3. Training Contractor employees shall complete the USGS-defined Federal Information Systems Security Awareness computer security training before being granted system access and must renew the training annually.

Failure to complete training within the required timeframe may result in loss of system access for that user.

Contractor employees with the significant IT security responsibilities shall also complete specialized role-based training as directed.

4. Personnel Changes The System Administrator will provide a list to the COR/Technical Liaison identifying contractor and subcontractor employees requiring access to the USGS systems for performance of work hereunder and will assign each person a unique user ID. The USGS Project Officer will be advised immediately when any of the personnel no longer require USGS computer access so that those IDs and access privileges can be cancelled. When possible, the COR must be notified in advance of any potential unfriendly termination of an employee or subcontractor.

Incident Reporting Contractor employees must report any computer security (viruses, intrusion attempts, system compromises, offensive e-mail, etc.) which may affect government data or systems in accordance with DOI Computer Security directives. The Help Desk or SPOC will investigate and coordinate with the Computer Security Incident Response Team

(CSIRT).

GS0231 Technical Liaison-Technical Direction (OCT 2014)

(a) The performance required herein shall be subject to the technical direction of the Technical Liaison (TL) as identified below. As used herein, "technical direction" is defined as direction to the contractor that fills in details, suggests possible lines of approach, or otherwise supplements the scope of the work set forth herein and shall not constitute a new assignment, and does not supersede or modify any article or clause of this contract.

(b) The Technical Liaison is not authorized to perform, formally or informally, any of the following actions:

(1) Promise, award, agree to award, or execute any contract modification, or notice of intent that changes or may change this contract;

(2) Waive or agree to modification of the delivery schedule;

(3) Make any final decision on any contract matter subject to the Disputes Clause;

(4) Terminate, for any reason, the contractor's right to proceed;

(5) Obligate in any way, the payment of money by the Government. Only a warranted Contracting Officer is authorized to obligate funds on this or any other contract action.

GS1414 - Contractor Personnel Clearance and Identity Credentials

(a) During all operations on Government premises, contractor personnel shall comply with the rules and regulations governing the conduct of personnel and the operation of the facility.

(b) USGS rules regarding physical security and personnel security apply to all personnel in USGS facilities.

(c) Each contractor (or subcontractor) employee requiring recurring access to USGS facilities will be required to obtain a USGS-issued identification badge. Government-issued identity credentials must be worn upon entry and displayed at all times while on federally controlled property, unless otherwise instructed by the TL. Prior to obtaining the badge, the contractor is required to initiate a background suitability check on each such employee in accordance with USGS National Security Position Handbook.

The type of background investigation required is based on the risk/sensitivity level designation, as described in the Statement of Work. This clearance/credential requirement does not apply if the contractor does not have any unsupervised IT system access and will only need building access for less than 6 months or only occasional building access (such as for periodic equipment maintenance). In those cases, building procedures for visitors will be applied.

(d) At least 2 weeks before starting work, the contractor will provide a listing to the TL identifying contractor and subcontractor employees requiring access to USGS facilities or systems for performance of work hereunder.

(e) The contractor employees are required to complete the applicable clearance request forms provided by the TL. The following forms, or their equivalent may be used to initiate the credentialing process: SF 85 or SF 85-P (which includes authorization for credit check), SF 86, OF-306, and/or other forms designated for this purpose by the Office of Personnel Management (OPM), Federal Protective Service, or other federal agency in whose space work will be performed under this contract. The SF 86 must be completed on-line at http://www.opm.gov/e-qip/ and printed out by the employee. Contractor employees must present themselves for fingerprinting, together with the printed SF 86, other completed forms, at least 14 calendar days before starting work under this contract. If fewer than 14 days remain before the scheduled start of contract performance, the contractor employee may be allowed temporary, supervised access but must complete this application process as soon as practicable, normally within a day of his or her first arrival at the facility. An employee's refusal to provide or authorize provision of information may constitute grounds for denial or revocation of credentials. Government personnel may contact the contractor/subcontractor employee being screened or investigated in person, by telephone or in writing, and the contractor agrees to make them available for such contact. If a contractor a employee already holds a credential issued by a federal agency after clearance through OPM, provide documentation supporting this status to the TL.

USGS security officials will determine if the existing clearance can be accepted without further investigation.

(f) Badges/credentials issued upon satisfactory completion of a preliminary National Agency Check (NAC) may be revoked if the subsequent NAC with Inquiries (NACI) investigation produces an unfavorable determination. Individuals who do not pass the background investigation cannot be permitted to hold a building pass, allowed entry into the building for contract work, or permitted access to USGS systems (whether remote or on-site). In such cases, the Contractor will be required to sign (or have their subcontractor sign) a notification form indicating that their employee has been informed of the results of the background check. The Government will be the final authority in determining access privileges. The Government's exercise of its right to grant and revoke the access of particular individual(s) to its facilities, systems, or parts thereof shall not constitute a breach or change to the Contract, regardless of it impact on any individual's ability to perform work under the Contract.

(g) The Government reserves the right to require a re-submission of clearance forms and a new background investigation at any time. Failure to provide the documents within the specified time period will result in removal of the employee until such time that the documents are submitted and clearance granted. Should removal be necessary, salary/wages and other costs associated with the removed employee are not allowable or allocable under this contract. If removal would result in understaffing or non-performance of contract requirements, the Contractor shall provide a qualified and cleared replacement. Failure to do so will entitle to Government to a downward adjustment in price reflecting the reduced level of performance.

(h) When any of their personnel leaves the company's employ, is reassigned to other work, or otherwise no longer requires access to USGS facilities or USGS computer systems, the contractor shall immediately advise the USGS TL so that those user accounts and credentials can be cancelled. The contractor will ensure that the ID badge and keys (if any) are retrieved and promptly returned to the COR, who will forward them to the issuing USGS security official. The TL must be notified in advance of any potentially unfriendly termination of an employee or subcontractor.

(i) The contractor will report any lost keys or badges to the TL within 24 hours. The TL will relay the information to the responsible building security officials. All badges and keys shall be returned to the TL at the completion of this contract.

(a) Definitions. As used in this provision-

Covered telecommunications equipment or services has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.

Economically disadvantaged women-owned small business (EDWOSB) concern means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.

Forced or indentured child labor means all work or service-

(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or

Place of manufacture means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.

Predecessor means an entity that is replaced by a successor and includes any predecessors of the predecessor.

Restricted business operations means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L. 110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate-

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).

Service-disabled veteran-owned small business concern-

(1) Means a small business concern-

(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and

(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.

Successor means an entity that has replaced a predecessor by acquiring the assets and carrying out the affairs of the predecessor under a new name (often through acquisition or merger). The term "successor" does not include new offices/divisions of the same company or a company that only changes its name. The extent of the responsibility of the successor for the liabilities of the predecessor may vary, depending on State law and specific circumstances.

Veteran-owned small business concern means a small business concern-

(1) Not less than 51 percent of which is owned by one or more veterans (as defined at 38 U.S.C. 101(2)) or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more veterans; and

(2) The management and daily business operations of which are controlled by one or more veterans.

Women-owned business concern means a concern which is at least 51 percent owned by one or more women; or in the case of any publicly owned business, at least 51 percent of its stock is owned by one or more women; and whose management and daily business operations are controlled by one or more women.
