Except as provided herein, all terms and conditions of the document referenced in Item 9 A or 10A, as heretofore changed, remains unchanged and in full force and effect .

The map shows a red line, presumably a road that runs through 320720440005 (the 35 acre) parcel. Is this an easement that is going to be conveyed to provide access to the northern part of the acquisition parcel? If it is, then that part of the acquisition will have access, if not, there is not a legal route to get to the northern portion of the acquisition. The solicitation is not clear to me whether that is going to be conveyed for sure.

It is correct that the red line depicts a ~15-foot wide easement for ingress and egress that will be acquired by the USFWS, thus providing legal access to the northerly part of the acquisition parcel. Legal descriptions of the various easements are currently being edited, so more detailed descriptions will be provided to the appraiser following contract award.

The SOW includes easement reservations, one of which includes pedestrian only access on an existing footpath for use and maintenance of a pump in the Walla Walla river. Is a pedestrian access only sufficient for maintenance of that pump? If it has to be pulled and replaced how do they get equipment in there to fix problems? Maybe this is a tiny pump, but if the 35 acres is relying upon a pump with Pedestrian only access, that might be problematic.

The pump is situated just north of the northerly boundary of parcel 320720440005 within the circular easement area seen on the Appraisal Site Map. The linear easement extending northeast to the river from said circular area follows an existing pipeline. This easement will allow for pedestrian and vehicular access as necessary for use and maintenance of the pump and associated pipeline. Legal descriptions of the various easements are currently being edited, so more detailed descriptions will be provided to the appraiser following contract award.

"I assume the statement suggesting that improvements may need to be considered is due to the main access point for the NE tract being an easement that runs through the improvements. This is a key point we’d like to confirm. If there is another reason the improvements on the adjacent tract (not part of the acquisition) would need to be considered—given that they are not situated on the subject property being valued—we would appreciate further clarification."

The proposed acquisition includes a fee interest in a portion of a single contiguous tract.

Therefore, the tract may represent a partial acquisition requiring before and after valuation procedure in accordance with the Federal Rule of UASLFA. Whether an acquisition is a total or partial acquisition cannot be determined until the appraiser has determined the highest and best use and the larger parcel, so the highest and best use and larger parcel conclusions will determine whether the improvements require consideration.

Section 2: Subject of the Appraisal

Proposed Acquisition: The U.S. Fish and Wildlife Services proposes to acquire 93 acres of agricultural land along with a perpetual, reciprocal easement for ingress and egress (see attached Appraisal Site Map within the Land Surveyor Report, reciprocal access easement identified in red). The property is located about three miles west of the Wallula Junction of US Highway 730 and W Highway 12, Walla Walla County, Washington and is identified as Walla Walla County Parcel Number 320720340005. The tract is irregular in shape and is bisected by W Highway 12 and an abandoned railroad right-of-way. Historic use has been for agriculture (alfalfa, wheat, and barley).

The adjacent ~35-acre tract (320720440005) is owned in conjunction with the proposed acquisition and is improved with a homesite, agricultural outbuildings, and an RV park. The improvements are not located on the proposed acquisition but may require consideration based upon the determination of larger parcel.

Legal Description of Proposed Acquisition:

The subject tract is located in the S1/2 of Section 20, Township 7 North, Range 32 East, WM and is identified as a Portion of Lot 1, McNary National Wildlife Refuge Tract (112,a,b,R) Appraisal March 19, 2025

Survey filed in Book 11 at Page 43 of Surveys, under Auditor’s File No. 2009-01295. The acquisition tract may also be identified as Walla Walla County Parcel Number 320720340005.

Property Rights Appraised:

Fee simple estate, subject to encumbrances and reservations of record as described in the Title Commitment prepared by Land Title of Walla Walla, Inc. under File No. 53295, dated January 30, 2025.

Water Rights: The U.S. Fish and Wildlife Water Resources Branch determined that there are two water rights appurtenant to the subject property which allow for irrigation of a portion of the subject tract with water diverted from the Walla Walla River. The water rights also allow for irrigation of adjacent Parcel 320720440005, but both water rights were temporarily donated to the Washington Trust Water Rights Program on November 26, 2024. The stated end date for the trust period is January 1, 2035, but the donor can request to cancel the donation before the stated term expires.

Reservations: The landowner will reserve the following (see Appraisal Site Map):

• An access easement along an existing road on the northern portion of Parcel 32720340005. This easement will allow for pedestrian access to the river and use will be restricted to the current landowner. This easement may be identified as the winding easement extending north to the river from the northern border of parcel 320720440005).

• An easement for use and maintenance of a water pump and pipeline drawing water from the Walla Walla River. Said pump is situated just north of parcel 320720440005 within the circular easement area identified on the Appraisal Site Map.

The linear easement extending northeasterly to the river follows an existing pipeline. The easement will allow for pedestrian or vehicular access as necessary for use and maintenance of the pump and associated pipeline.

• A perpetual, reciprocal access easement allowing vehicular ingress and egress along an existing road in the southerly portion of Parcel 32720340005.

Detailed descriptions of the easements will be provided following contract award.

Access: Physical and legal access to the property is provided by State Highway 12.

Intended Users: U.S. Fish and Wildlife Service

Intended Use: To assist the client agency in its determination of the amount to be paid as just compensation for the property rights acquired or conveyed.1

Type of Value: Market Value

Definition of Market Value:

Market value is the amount in cash, or on terms reasonably equivalent to cash, for which in all probability the property would have sold on the effective date of value, after a reasonable exposure time on the open competitive market, from a willing and reasonably knowledgeable seller to a willing and reasonably knowledgeable buyer, with neither acting under any compulsion to buy or sell, giving due consideration to all available economic uses of the property.2

Effective Date: The date of the last property inspection.

In rare instances when the date of the property inspection varies significantly from the date the appraiser concludes his market research and analysis, it may be appropriate to use the latter as the effective date of value. If the appraiser determines the date of value should be other than the date of the final inspection, he/she must contact the Review Appraiser.

Section 4: Assignment Conditions

Applicable Standards: USPAP, 2024 Edition UASFLA 6th Edition

Extraordinary Assumptions:

None.

If the appraiser determines that any extraordinary assumption is required, he/she must contact the Review Appraiser.

Legal Instructions: None.

Hypothetical Conditions:

None.

If the appraiser determines that any hypothetical conditions are required, he/she must contact the Review Appraiser to request legal instruction.

Jurisdictional Exceptions:

A jurisdictional exception to USPAP Standards Rule 1-2(c) is required for appraisals for federal acquisitions—i.e., appraisals applying the federal definition of market value—to ensure the

U.S. Fish & Wildlife Service Statement of Work Page 4 of 6 opinion of value can be used as a reliable measure of just compensation under the Fifth Amendment to the U.S. Constitution.

Therefore, the appraiser must include the following statement:

• The appraisal was developed, and the appraisal report prepared in conformance with the Appraisal Standards Board’s Uniform Standards of Professional Appraisal Practice and complies with USPAP’s Jurisdictional Exception Rule when invoked by Section

1.2. 7.2 of the Uniform Appraisal Standards for Federal Land Acquisitions.

Pre-Work Meeting: A pre-work meeting, scheduled by the Review Appraiser at a mutually acceptable time and place, must precede the appraiser’s scope of work determination.

This meeting should include the agency, the private property owner, and/or other stakeholders, to provide transparency with respect to the process, to exchange vital information, and to assign tasks as necessary.

Property Inspection: In compliance with applicable standards.

The appraiser will schedule the property inspection as soon as practicable, providing the Review Appraiser adequate notice of the date of the inspection to allow U.S. FWS representatives to attend the inspection.

Contacting Landowners:

Under the Uniform Act, the owner or the owner’s designated representative must be given an opportunity to accompany the acquiring agency’s appraiser during the appraiser’s inspection of the property (UASFLA 1.2.6.4).

Larger Parcel: The appraiser must make a larger parcel determination in every appraisal developed under these Standards (UASFLA 1.4.6 at page 24).

Special Instructions: None.

Section 5: Additional Assignment Conditions

1. The Statement of Work (SOW), and other assignment instructions must be included in the addenda to the appraisal report.

2. The appraisal development must substantially conform to the process described in Section 1 of the Uniform Appraisal Standards for Federal Land Acquisitions 6th Edition.

3. The appraisal report should substantially conform to the sequence and content described in Section 2 of the Uniform Appraisal Standards for Federal Land Acquisitions 6th Edition.

4. The appraisal must include color photographs of all comparable sales from a terrestrial point of view, unless granted a waiver by the Review Appraiser in writing to use aerial photographs or

satellite imagery, in which case the appraiser should cite the source and date of the aerial photographs.

5. All comparable sales must be confirmed by the buyer, seller, broker, or other person having knowledge of the price, terms, and conditions of sale.3 The appraisal should include contact information for the party or parties relied upon to verify each sale (i.e. telephone number, email, etc.), along with maps clearly showing the location of the subject relative to the comparable property. It is important that the locations of the comparable sales and the subject property are shown on the same map so that a reader of the report who may not be familiar with the area can understand the relative proximity of the properties and locate them in the field.4

6. The appraisal report will be reviewed for compliance with the Uniform Standards of Professional Appraisal Practice, the Uniform Appraisal Standards for Federal Land Acquisitions 6th Edition, and the terms of this Statement of Work. The appraiser must provide explanation, clarification, and/or modification, for any inadequacies identified by the Review Appraiser before an appraisal report will be accepted.

7. While the public is not an intended user of the appraisal report, the Freedom of Information Act (FOIA) and Agency policy may result in the release of all or part of the appraisal report to others.

8. If the appraiser encounters any intractable questions of fact, law, or appraisal methodology requiring resolution, the appraiser must contact the Review Appraiser for direction.

Section 6: Performance/Deliverable Requirements

Appraisal Consultation:

Before determining an opinion of value, the appraiser must reach concurrence with the Review Appraiser regarding the Highest and Best Use and Larger Parcel determinations.

Draft Appraisal Report Due:

The initial Appraisal report shall be provided to the Review Appraiser within 60 days of contract award (or alternative quoted date). Expedited delivery is preferable.

Review & Comments Provided:

Any request for revisions or corrections will be provided within 30 calendar days of receipt of the initial appraisal report.

Final Appraisal Edits Provided:

The necessary revisions or corrections must be provided within 10 calendar days of receipt of the requests for revisions.

Expedited delivery is preferable.

Deliverables: The appraiser will deliver a final PDF Digital Report5.

The Review Appraiser will inform the appraiser when the review process is complete.

Invoice Submission and Payment:

Invoice must be submitted within 60 days of Final Appraisal Report acceptance by the Government.

Any adjustments to the above Deliverable/Task Schedule shall be submitted to the Contracting Officer (CO). The Contracting Officer will approve or reject the request by email.
