NOTICE TYPE: COMBINED SYNOPSIS / SOLICITATION

FROM: U.S. Department of the Interior (DOI), Interior Business Center (IBC), Acquisition Services Directorate (AQD), and the United States (US) Army, Special Operations Command (SOCSOUTH)

Subject: Request for Quotation (RFQ)

This is a combined synopsis/solicitation for commercial products or commercial services prepared in accordance with the format in subpart 12.6, Streamlined Procedures for Evaluation and Solicitation for Commercial Items, as supplemented with additional information included in the notice and following the Simplified Acquisition Procedures in FAR Part 13. This announcement constitutes the only solicitation as quotes are being requested.

The DOI, IBC, AQD, on behalf of SOCSOUTH is issuing this Request for Quotation (RFQ) for the purpose of establishing a Purchase Order for DirecTV subscription programming services for the DirecTV Receivers as described in the Statement of Work (SOW). The solicitation will result in the award of a Firm Fixed Price (FFP) purchase order after receipt and evaluation of quotes.

Requirement is to provide DirecTV satellite service to SOCSOUTH’s existing DirecTV satellite receivers. SOCSOUTH used to pay for this requirement via Government Purchase Card (GPC) but is no longer authorized to pay for it via GPC. SOCSOUTH has all the necessary equipment and is requesting the quotes for the subscription services as provided by DirecTV.

This acquisition is set aside for small businesses. The small business size standard is $41,500,000. The requirement is for DirecTV subscription programming services for the DirecTV receivers, as described in the Statement of Work (SOW).

AQD will manage the solicitation and resultant contract administration, as well as payment of invoices.

GENERAL INFORMATION FOR VENDOR’S QUOTE:

Interested offerors must submit any questions concerning this combined synopsis/solicitation by April 4, 2022, 3:00 PM EST to enable the buyer time to respond. Any questions shall be submitted via the email addresses provided below and can be submitted before April 4, 2022, 3:00PM EST. Any questions submitted after this deadline may not be considered.

Offerors must include a completed copy of the provision at FAR 52.212-3, Offeror Representations and Certifications – Commercial Items, with their quotes. The offeror shall complete only paragraphs (b) of this provision if the Offeror has completed the annual representations and certifications electronically via the System for Award Management (SAM) website accessed through www.sam.gov . If the offeror has not completed the annual representation and certifications electronically, the offeror shall complete paragraphs (c) through (p) of this provision, which is included in this solicitation.

All responsible sources may submit a quote which shall be considered by the Agency.

Addendum to FAR 52.212-1 – Instructions to Offerors – Commercial Items (Nov 2021) The following information must be submitted in order to be considered for award:

1. Signed Standard Form (SF 1449), page 1, block 14;

2. Provide pricing information (Attachment No. 2) with any and all discounts taken into consideration. This pricing information shall allow the interested offeror to breakout their quoted price allowing the acquisition team to perform a price analysis.

3. The offeror must provide proof that they are an authorized third-party vendor for DirecTV, with authority for third party billing on behalf of DirecTV; OR, provide sufficient information such that this authorization can be independently verified directly with the brand name source DirecTV. Failure to provide this proof or information will result in a materially deficient quote and may be ineligible for award.

4. Detailed information about the DirecTV channels and programming being provided.

5. The quote must also contain the following:

a. Tax Identification Number (TIN)

b. Unique Entity Identifier (UEI) / CAGE Code

c. Complete Business Mailing Address

d. Contact Name, Phone Number & E-mail Address

e. RFQ Number

f. Quote Number

g. Quote Total

Quotes that do not meet all the requirements specified in this RFQ may not be considered.

Addendum to 52.212-2 -- Evaluation -- Commercial Items (Nov 2021)

FAR 52.212-2, Evaluation-Commercial Items, applies to this acquisition and paragraph (a) is completed as follows:

The following factors shall be used to evaluate offers:

(a) The government intends to award a FFP purchase order to the responsible offeror who provides the Lowest Price Technically Acceptable (LPTA) offer.

Factor I. Technical: We will determine the merits of this factor on the basis of its acceptability. Acceptability will be determined on a pass or fail basis. Your offer shall be considered acceptable if it (1) conforms to the terms of this solicitation and (2) can meet the requirement as defined within the SOW. A submitted quote that addresses the SOW requirements without any disagreement to the terms set forth within this solicitation shall be considered acceptable.

Factor II. Price: The submitted quote shall include pricing that addresses the required items identified in the SOW. The government will evaluate the quote to ensure a fair and reasonable price by using one or more of the following price analysis techniques:

a. Comparison of proposed prices received in response to the solicitation

b. Comparison of the proposed prices with the Government estimate

c. Comparison of the proposed prices with available historical information

(b) A written notice of award or acceptance of an offer, mailed or otherwise furnished to the successful offeror within the time for acceptance specified in the offer, shall result in a binding contract without further action by either party. Before the offer’s specified expiration time, the Government may accept an offer (or part of an offer), whether or not there are negotiations after its receipt, unless a written notice of withdrawal is received before award.

AQD Evaluation of Options Provision (MAR 2022)

The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic award. To account for the possible use of the additional six-month option period(s) permitted under 52.217-8, the Government will take the price for the final (or highest priced) option period, prorated to a six-month value, and add it to the sum of the base plus all option periods. The agency's price evaluation will mathematically document the calculation of adding the six months of services for the option to extend services to the total contract price in the award summary.

This amount will be used for comparative evaluation for award purposes only. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the options.

FAR 52.217-8 can be exercised at any point during the period of performance of the contract and applies to the period of performance immediately preceding exercising the option.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records-Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor ’s directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

52.217-8 Option to Extend Services (Nov 1999)

The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within seven (7) days.

(a) The Government may extend the term of this contract by written notice to the Contractor within one (1) day;

provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least fourteen (14) days before the contract expires. The preliminary notice does not commit the Government to an extension.

(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.

(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 60 months.

DEPARTMENT OF INTERIOR LOCAL CLAUSES

The following Department of the Interior Acquisition Regulation (DIAR) clauses apply to this Solicitation:

Electronic Invoicing and Payment Requirements – Invoice Processing Platform (IPP) (April 2013)

Payment requests must be submitted electronically through the U. S. Department of the Treasury's Invoice Processing Platform System (IPP).

"Payment request" means any request for contract financing payment or invoice payment by the Contractor. To constitute a proper invoice, the payment request must comply with the requirements identified in the applicable Prompt Payment clause included in the contract, or the clause 52.212-4 Contract Terms and Conditions - Commercial Items included in commercial item contracts. Under this contract, the following documents are required to be submitted as an attachment to the IPP invoice.

INVOICE CONTENTS:

Invoices must include, as a minimum, the following information:

1. CLIN/Item number of deliverable

2. Description of deliverable

3. Price of deliverable

4. Quantity of deliverable

5. The period of performance that the invoice covers

The contractor is responsible for ensuring invoices submitted are accurate and complete.

Additional supporting documentation MAY BE REQUESTED at the discretion of the COR or CO.

PAYMENT:

a. Payments under this order will be due 30 calendar days after the date of actual receipt of proper invoice in the office designated to receive the original invoice or final acceptance of the goods or services, whichever is later.

b. The date of the check issued in payment or the date of payment by wire transfer through the Treasury Financial Communications System shall be considered to be the day payment is made.

FINAL INVOICE:

Within sixty calendar days of product acceptance and/or completion of services:

a. The contractor shall submit a final invoice, designated as such by a clear statement of “FINAL INVOICE” on the face of the invoice document.

b. The contractor shall provide a certificate of completion which certifies all goods and service have been provided as required by this contract.

c. The contractor shall provide a release of claims against the government for any further payment under this contract.

The sixty-calendar day submission timeframe shall not be extended without written authorization from the contracting officer. In the event items a, b, or c above are not submitted within the authorized timeframe, the contracting officer will make final cost determinations in order to make final payment and close out the contract unilaterally.

The Contractor must use the IPP website to register access and use IPP for submitting requests for payment. The Contractor Government Business Point of Contact (as listed in SAM) will receive enrollment instructions via email from the Federal Reserve Bank of Boston (FRBB) prior to the contract award date, but no more than 3 - 5 business days of the contract award date.

If the Contractor is unable to comply with the requirement to use IPP for submitting invoices for payment, the Contractor must submit a waiver request in writing to the Contracting Officer with its proposal or quotation.

DIAR 1452.201-70 AUTHORITIES AND DELEGATIONS (SEP 2011)

(a) The Contracting Officer is the only individual authorized to enter into or terminate this contract, modify any term or condition of this contract, waive any requirement of this contract, or accept nonconforming work.

(b) The Contracting Officer will designate a Contracting Officer's Representative (COR) at time of award. The COR will be responsible for technical monitoring of the contractor's performance and deliveries. The COR will be appointed in writing, and a copy of the appointment will be furnished to the Contractor. Changes to this delegation will be made by written changes to the existing appointment or by issuance of a new appointment.

(c) The COR is not authorized to perform, formally or informally, any of the following actions:

(1) Promise, award, agree to award, or execute any contract, contract modification, or notice of intent that changes or may change this contract;

(2) Waive or agree to modification of the delivery schedule;

(3) Make any final decision on any contract matter subject to the Disputes Clause;

(4) Terminate, for any reason, the Contractor's right to proceed;

(5) Obligate in any way, the payment of money by the Government.

(d) The Contractor shall comply with the written or oral direction of the Contracting Officer or authorized representative(s) acting within the scope and authority of the appointment memorandum. The Contractor need not proceed with direction that it considers to have been issued without proper authority. The Contractor shall notify the Contracting Officer in writing, with as much detail as possible, when the COR has taken an action or has issued direction (written or oral) that the Contractor considers to exceed the COR's appointment, within 3 days of the occurrence. Unless otherwise provided in this contract, the Contractor assumes all costs, risks, liabilities, and consequences of performing any work it is directed to perform that falls within any of the categories defined in paragraph (c) prior to receipt of the Contracting Officer's response issued under paragraph (e) of this clause.

(e) The Contracting Officer shall respond in writing within 30 days to any notice made under paragraph (d) of this clause. A failure of the parties to agree upon the nature of a direction, or upon the contract action to be taken with respect thereto, shall be subject to the provisions of the Disputes clause of this contract.

(f) The Contractor shall provide copies of all correspondence to the Contracting Officer and the COR.

(g) Any action(s) taken by the Contractor, in response to any direction given by any person acting on behalf of the Government or any Government official other than the Contracting Officer or the COR acting within his or her appointment, shall be at the Contractor's risk.
