STATEMENT OF WORK

National Oceanic and Atmospheric Administration (NOAA)

NOAA FISHERIES

Atlantic and Caribbean Reef Fish (Population and Ecosystems Monitoring Division)

National Coral Reef Monitoring Program Surveys in Florida

I. Background/Overview:

As part of the National Coral Reef Monitoring Plan (NCRMP), the Southeast Fisheries Science Center (SEFSC) conducts biennial surveys as part of a multi-agency effort to assess the fishes and corals in and around the Dry Tortugas National Park (DRTO) and along the Florida Reef Tract. DRTO is located approximately 70 miles northwest of Key West, Florida and protects one of the healthiest coral reef systems along the Florida Reef Tract. All of the coral reefs in Florida are of great concern from a scientific and management standpoint and are closely monitored by multiple state and federal agencies. The survey is extremely labor intensive with dive teams conducting many dives per leg of this survey. Most areas across Florida are relatively easily accessed; however, at DRTO, there is only minimal infrastructure present, mostly related to National Park Service operations. There is limited to no berthing and no supplies available to vessels in the Dry Tortugas area.

II. Scope of Work

Research live-aboard dive cruises to complete reef visual census (fish), coral demographic, and benthic assessment surveys. These data will be incorporated into the database for the National Coral Reef Monitoring program and other state and federal resource monitoring programs.

III. Tasks

Task 1 Berthing and boarding for at least 12 divers for at least 10 consecutive days. One 5 dive days and one 10 dive day cruise are expected for a total quantity of 15 dive days plus one transit day per cruise and up to three weather days between both cruises (up to 20 days total).

Task 2 At least 3 meals per day must be provided where at least two are “hot” meals prepared on site. Additional snacks (fruit, chips, etc..) must also be available to the divers throughout the day and night.

Task 3 Each diver must be provided with a bunk in a designated berthing area with a covering that limits visibility within the bunk.

Task 4 Vegetarian meals must be provided, if requested at least 2 weeks prior to the start of the mission.

Task 5 As all diving operations must conform to the NOAA diving standards, the vessel(s) must provide an experienced NOAA certified Divemaster, or allow agency personnel (e.g., designated NOAA Divemaster, Dive Safety Officer, or NOAA Unit Dive Supervisor) on the vessel's operational control of all diving operations.

Task 6 Vessel personnel are required to work with the individuals from NOAA to facilitate all dive operations and ensure that they are completed in a manner that conforms with industry standards or NOAA standards. Any concerns in safety by the vessel crew are required to be reported to the NOAA Chief Scientist, Divemaster, or Deck Boss immediately.

Task 7 Provide nitrox air for SCUBA tank fills throughout the diving day without having to cease dive operations. Dive fills or tank swaps will be completed when a diver removes their 1 st stage from the tank and notifies the designated crew member.

Task 8 The nitrox mix should be 32±2% at least 95% of the time.

Task 9 Air/nitrox used to fill the SCUBA tanks must meet NOAA standards as identified in the most recent Diving Safety Manual. If requested, provide NOAA’s Unit Diving Supervisor for the SEFSC a copy of air quality testing for all the compressors or nitrox systems to be used during the mission. Current air quality must have been tested within the previous 6 months.

Current standards are as follows:

Task 10 Vessel crew shall have experience working with “live-boat” operations as no anchoring will be allowed during diving activities, emergencies excluded. Anchoring may be permitted within designated areas when no dive operations are underway.

Task 11 The vessel must be on location at the first dive location of the day and available for dive operations from 0730 to 1800.

Task 12 The vessel will provide experienced dive personnel on-site for the entirety of the cruise familiar with the vessel operations and emergency plans.

Task 13 Must provide all standard dive-safety equipment required for chartered dive operations as per US Coast Guard. There must be a sufficient quantity of oxygen to supply one diver for the time required to transport them to a higher-level medical care facility or 12 hours whichever is less.

Task 14 Must provide deck space to accommodate required NOAA provided safety equipment, approximately 50ft 2 .

Task 15 Vessel(s) must have 120V AC power and provide an area to accommodate the set-up by the research team of a portable, vessel-wide wireless network system for the duration of the mission. All divers must be able access the wireless network at any time dive operations are not occurring.

Task 16 The vessel must be provisioned with appropriate first-aid and medical supplies including adequate supplies to provide basic medical support for animal bites, common injuries (including slips, trips, falls, sprains, strains) and illness (including seasickness, common cold, food borne illness, etc.) and at least one Automated External Defibrillator (AED) unit. Additional medical supplies required for suspected COVID cases described in the Special Requirements Section are also required.

The above list will be performed either at the berthing location, along the route from the berthing location to the DRTO, or in the waters near or around the DRTO.

IV. Period of Performance

Cruises are expected to occur between May 15, 2022 to September 30, 2022. Scheduling will be dependent upon time of year (weather), SEFSC schedule, and contractor’s schedule.

V. Place of Performance

Aboard the contracted vessel and at port while loading/unloading the vessel.

VI. Deliverable Schedule

1. Cruise scheduling can be adjusted to fit the operator's schedule, however, all cruises must be completed between May 15, 2022 and September 30, 2022.

2. The contractor will make the vessel available for loading at least 4 hours prior to departure.

3. Weather dependent, at least 90% of meals should be provided within one hour of the following times: Breakfast- 0630, Lunch- 1200, Dinner-1900.

4. Vessel must be ready each day for diving operations within 30 minutes of the daily agreed upon start time. This will be approximately 0730; however, it will be dependent on time of year (available light) and the sampling schedule for the day.

VII. Government-Furnished Resources

The Government will not furnish any resources to the Contractor in support of this contract.

VIII. *SPECIAL REQUIREMENTS:

COVID-19 Special Requirements

1. The contractor must comply with all government requirements for COVID mitigation. This may include UNOLS, NOAA, or other requirements and will be discussed at the post-award meeting. These requirements may include but are not limited to the following:

a. 14 day shelter in place (SIP) for all seagoing personnel (and households if SIP is at home) prior to departure.

b. Confirmed negative COVID test(s) for all seagoing personnel at pre-specified time points prior to departure. Tests for contractor personnel will be at the contractor’s expense.

c. PPE including but not limited to gloves, face coverings (covering nose and mouth) and face shields in some situations.

d. Adequate cleaning supplies for cleaning common use areas frequently for the duration of the trip.

e. Adequate hand sanitizer for use by all seagoing personnel frequently for the duration of the trip.

f. A medical professional (EMT or higher) that is capable of conducting a quick-screen COVID test (if available) while underway and caring for contractor or government personnel that may exhibit COVID-like symptoms while underway.

g. Appropriate and adequate medical supplies to provide basic medical support to personnel with COVID-like symptoms for up to seven (7) days and a supply of quick screen COVID tests (if available).

h. If anyone on the vessel displays COVID-like symptoms the vessel will return to port immediately. The vessel must have the ability to isolate any personnel comfortably who exhibit COVID-like symptoms for the duration of the return to port.

IX. Applicable Standards

Vessel must meet all United States Coast Guard requirements. All operators shall be currently licensed by the United States Coast Guard at the required level commensurate with the vessel they are operating.

X. Special Requirements

a. Confidentiality and Data Privacy

This contract may require that services contractors have access to Privacy Information. Services contractors are responsible for maintaining confidentiality of all subjects and materials and may be required to sign and adhere to a Non-disclosure Agreement (NDA).

b. Intellectual Property Rights

All deliverables are the property of the U.S. Government. All documents, analyses, files (digital or other), reports, notes and photos are to be used only by Contractor personnel assigned to this purchase order. Documents, files and other data are to be stored exclusively on Government owned equipment and at no point should be saved or archived on personal drives or devices.

Copies are not to be disseminated to anyone outside of the NMFS or to any other contractor personnel without explicit release from the Government.

The contractor will not require access to Federal Buildings, DOC Systems and includes an IT component.

XI. Key Personnel Required Knowledge and Experience:

Dive Master experience: International or Professional Divemaster certification with experience in vessel operations and emergency plans.

Boat Captain experience: Captain must have appropriate US Coast guard certifications and 2 or more years of experience “live boating”.

XII. Evaluation Factors: The Government will issue an order resulting from this request for quotation to the responsible offeror whose quotation results in the best value to the Government, considering both price and non-price factors. The following factors will be used to evaluate quotations:

Technical Evaluation Factors:

Factor 1--TECHNICAL APPROACH. The quotation will be evaluated on how the offer or intends to organize, staff and manage the contract, the Vessel and means that will be used to accomplish the contract requirements. The degree to which the quotation demonstrates an understanding of the requirements will be evaluated, as well as the offeror's planned management of consultants and subcontractors, if applicable.

Factor 2--EXPERIENCE. The offeror's background, experience, and qualifications will be assessed to determine the likelihood that that offeror can successfully perform the contract requirements and the degree of the risk of non-performance.

Factor 3--KEY PERSONNEL. The education, experience, and accomplishments of key personnel will be evaluated to determine the degree to which they possess the qualifications to perform their proposed duties under the contract.

Factor 4--COST/PRICE. The proposed prices/costs will be evaluated. The cost evaluation will determine whether the proposed costs are realistic, complete, and reasonable in relation to the solicitation requirements. Proposed costs must be entirely compatible with the technical approach.

XIV. Contractor's invoice

The Contractor shall prepare and submit invoices to MB.Invoices@noaa.gov. If the invoice does not comply with these requirements, the designated billing office will return it within 7 days after receipt with the reasons why it is not a proper invoice. The Government will take into account untimely notification when computing any interest penalty owed the Contractor. Terms are Net 30.

Please do not seek payment information until such time as the30 days have passed from acceptance. NOAA does make every attempt to make prompt payments.

(i) Name and address of the Contractor.

(ii) Invoice date and invoice number. (The Contractor should date invoices as close as possible to the date of the mailing or transmission.)

(iii) Contract number or other authorization for supplies delivered or services performed (including order number and line item number).

The Offeror shall not complete the representation at paragraph (d)(1) of this provision if the Offeror has represented that it "does not provide covered telecommunications equipment or services as a part of its offered products or services to the Government in the performance of any contract, subcontract, or other contractual instrument" in paragraph (c)(1) in the provision at 52.204-26, Covered Telecommunications Equipment or Services--Representation, or in paragraph (v)(2)(i) of the provision at 52.212-3, Offeror Representations and Certifications-Commercial Products and Commercial Services. The Offeror shall not complete the representation in paragraph (d)(2) of this provision if the Offeror has represented that it "does not use covered telecommunications equipment or services, or any equipment, system, or service that uses covered telecommunications equipment or services" in paragraph (c)(2) of the provision at 52.204-26, or in paragraph (v)(2)(ii) of the provision at 52.212-3.

(a) Definitions. As used in this provision- Backhaul, covered telecommunications equipment or services, critical technology, interconnection arrangements, reasonable inquiry, roaming, and substantial or essential component have the meanings provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.

(b) Prohibition. (1) Section 889(a)(1)(A) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019 (Pub. L. 115-232) prohibits the head of an executive agency on or after August 13, 2019, from procuring or obtaining, or extending or renewing a contract to procure or obtain, any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system.

Nothing in the prohibition shall be construed to--

(i) Prohibit the head of an executive agency from procuring with an entity to provide a service that connects to the facilities of a third-party, such as backhaul, roaming, or interconnection arrangements; or

(ii) Cover telecommunications equipment that cannot route or redirect user data traffic or cannot permit visibility into any user data or packets that such equipment transmits or otherwise handles.

(2) Section 889(a)(1)(B) of the John S. McCain National Defense Authorization Act for Fiscal Year 2019 (Pub. L. 115-232) prohibits the head of an executive agency on or after August 13, 2020, from entering into a contract or extending or renewing a contract with an entity that uses any equipment, system, or service that uses covered telecommunications equipment or services as a substantial or essential component of any system, or as critical technology as part of any system. This prohibition applies to the use of covered telecommunications equipment or services, regardless of whether that use is in performance of work under a Federal contract. Nothing in the prohibition shall be construed to--

(i) Prohibit the head of an executive agency from procuring with an entity to provide a service that connects to the facilities of a third-party, such as backhaul, roaming, or interconnection arrangements; or

(ii) Cover telecommunications equipment that cannot route or redirect user data traffic or cannot permit visibility into any user data or packets that such equipment transmits or otherwise handles.

(c) Procedures. The Offeror shall review the list of excluded parties in the System for Award Management (SAM) (https://www.sam.gov) for entities excluded from receiving federal awards for "covered telecommunications equipment or services."

(d) Representations. The Offeror represents that--

(i) For covered equipment--

(A) The entity that produced the covered telecommunications equipment (include entity name, unique entity identifier, CAGE code, and whether the entity was the original equipment manufacturer (OEM) or a distributor, if known);

(B) A description of all covered telecommunications equipment offered (include brand; model number, such as OEM number, manufacturer part number, or wholesaler number; and item description, as applicable); and

(C) Explanation of the proposed use of covered telecommunications equipment and any factors relevant to determining if such use would be permissible under the prohibition in paragraph (b)(1) of this provision.

(ii) For covered services--

(A) If the service is related to item maintenance: A description of all covered telecommunications services offered (include on the item being maintained: Brand; model number, such as OEM number, manufacturer part number, or wholesaler number; and item description, as applicable);

or

(B) If not associated with maintenance, the Product Service Code (PSC) of the service being provided; and explanation of the proposed use of covered telecommunications services and any factors relevant to determining if such use would be permissible under the prohibition in paragraph (b)(1) of this provision.

(2) Disclosure for the representation in paragraph (d)(2) of this provision. If the Offeror has responded "does" in the representation in paragraph (d)(2) of this provision, the Offeror shall provide the following information as part of the offer:

(i) For covered equipment--

(A) The entity that produced the covered telecommunications equipment (include entity name, unique entity identifier, CAGE code, and whether the entity was the OEM or a distributor, if known);

(B) A description of all covered telecommunications equipment offered (include brand; model number, such as OEM number, manufacturer part number, or wholesaler number; and item description, as applicable); and

(C) Explanation of the proposed use of covered telecommunications equipment and any factors relevant to determining if such use would be permissible under the prohibition in paragraph (b)(2) of this provision.

(ii) For covered services--

52.204-26 COVERED TELECOMMUNICATIONS EQUIPMENT OR SERVICES--REPRESENTATION (OCT 2020)

(a) Definitions. As used in this provision, "covered telecommunications equipment or services" and "reasonable inquiry'' have the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.

(b) Procedures. The Offeror shall review the list of excluded parties in the System for Award Management (SAM) (https://www.sam.gov) for entities excluded from receiving federal awards for "covered telecommunications equipment or services".

(c) Representations. (1) The Offeror represents that it [ ] does, [ ] does not provide covered telecommunications equipment or services as a part of its offered products or services to the Government in the performance of any contract, subcontract, or other contractual instrument.

52.212-3 OFFEROR REPRESENTATIONS AND CERTIFICATIONS--COMMERCIAL PRODUCTS AND COMMERCIAL SERVICES (NOV 2021) The Offeror shall complete only paragraph (b) of this provision if the Offeror has completed the annual representations and certification electronically in the System for Award Management (SAM) accessed through https://www.sam.gov. If the Offeror has not completed the annual representations and certifications electronically, the Offeror shall complete only paragraphs (c) through (v)) of this provision.

(a) Definitions. As used in this provision-- "Covered telecommunications equipment or services" has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.

"Economically disadvantaged women-owned small business (EDWOSB)concern" means a small business concern that is at least 51 percent directly and unconditionally owned by, and the management and daily business operations of which are controlled by, one or more women who are citizens of the United States and who are economically disadvantaged in accordance with 13 CFR part 127. It automatically qualifies as a women-owned small business eligible under the WOSB Program.

"Forced or indentured child labor" means all work or service

(1) Exacted from any person under the age of 18 under the menace of any penalty for its nonperformance and for which the worker does not offer himself voluntarily; or

(2) Performed by any person under the age of 18 pursuant to a contract the enforcement of which can be accomplished by process or penalties.

"Highest-level owner" means the entity that owns or controls an immediate owner of the offeror, or that owns or controls one or more entities that control an immediate owner of the offeror. No entity owns or exercises control of the highest level owner.

"Immediate owner" means an entity, other than the offeror, that has direct control of the offeror.

Indicators of control include, but are not limited to, one or more of the following: ownership or interlocking management, identity of interests among family members, shared facilities and equipment, and the common use of employees.

"Inverted domestic corporation," means a foreign incorporated entity that meets the definition of an inverted domestic corporation under 6 U.S.C. 395(b), applied in accordance with the rules and definitions of 6 U.S.C. 395(c).

"Manufactured end product" means any end product in product and service codes (PSCs) 1000-9999, except

(1) PSC 5510, Lumber and Related Basic Wood Materials;

(2) Product or Service Group (PSG) 87, Agricultural Supplies;

(3) PSG 88, Live Animals;

(4) PSG 89, Subsistence;

(5) PSC 9410, Crude Grades of Plant Materials;

(6) PSC 9430, Miscellaneous Crude Animal Products, Inedible;

(7) PSC 9440, Miscellaneous Crude Agricultural and Forestry Products;

(8) PSC 9610, Ores;

(9) PSC 9620, Minerals, Natural and Synthetic; and

(10) PSC 9630, Additive Metal Materials.

"Place of manufacture" means the place where an end product is assembled out of components, or otherwise made or processed from raw materials into the finished product that is to be provided to the Government. If a product is disassembled and reassembled, the place of reassembly is not the place of manufacture.

"Predecessor" means an entity that is replaced by a successor and includes any predecessors of the predecessor.

"Reasonable inquiry" has the meaning provided in the clause 52.204-25, Prohibition on Contracting for Certain Telecommunications and Video Surveillance Services or Equipment.

"Restricted business operations" means business operations in Sudan that include power production activities, mineral extraction activities, oil-related activities, or the production of military equipment, as those terms are defined in the Sudan Accountability and Divestment Act of 2007 (Pub. L.

110-174). Restricted business operations do not include business operations that the person (as that term is defined in Section 2 of the Sudan Accountability and Divestment Act of 2007) conducting the business can demonstrate-

(1) Are conducted under contract directly and exclusively with the regional government of southern Sudan;

(2) Are conducted pursuant to specific authorization from the Office of Foreign Assets Control in the Department of the Treasury, or are expressly exempted under Federal law from the requirement to be conducted under such authorization;

(3) Consist of providing goods or services to marginalized populations of Sudan;

(4) Consist of providing goods or services to an internationally recognized peacekeeping force or humanitarian organization;

(5) Consist of providing goods or services that are used only to promote health or education; or

(6) Have been voluntarily suspended.

"Sensitive technology"

(1) Means hardware, software, telecommunications equipment, or any other technology that is to be used specifically-

(i) To restrict the free flow of unbiased information in Iran; or

(ii) To disrupt, monitor, or otherwise restrict speech of the people of Iran; and

(2) Does not include information or informational materials the export of which the President does not have the authority to regulate or prohibit pursuant to section 203(b)(3) of the International Emergency Economic Powers Act (50 U.S.C. 1702(b)(3)).

"Service-disabled veteran-owned small business concern"

(1) Means a small business concern

(i) Not less than 51 percent of which is owned by one or more service-disabled veterans or, in the case of any publicly owned business, not less than 51 percent of the stock of which is owned by one or more service-disabled veterans; and

(ii) The management and daily business operations of which are controlled by one or more service-disabled veterans or, in the case of a service-disabled veteran with permanent and severe disability, the spouse or permanent caregiver of such veteran.

(2) Service-disabled veteran means a veteran, as defined in 38 U.S.C. 101(2), with a disability that is service-connected, as defined in 38 U.S.C. 101(16).

"Small business concern"--

(1) Means a concern, including its affiliates, that is independently owned and operated, not dominant in the field of operation in which it is bidding on Government contracts, and qualified as a small business under the criteria in 13 CFR part 121 and size standards in this solicitation.

(2) Affiliates, as used in this definition, means business concerns, one of whom directly or indirectly controls or has the power to control the others, or a third party or parties control or have the power to control the others. In determining whether affiliation exists, consideration is given to all appropriate factors including common ownership, common management, and contractual relationships. SBA determines affiliation based on the factors set forth at 13 CFR 121.103.

"Small disadvantaged business concern, consistent with 13 CFR 124.1002," means a small business concern under the size standard applicable to the acquisition, that--

(1) Is at least 51 percent unconditionally and directly owned (as defined at 13 CFR 124.105) by--

(i) One or more socially disadvantaged (as defined at 13 CFR 124.103) and economically disadvantaged (as defined at 13 CFR 124.104) individuals who are citizens of the United States; and

"Subsidiary" means an entity in which more than 50 percent of the entity is owned

(1) Directly by a parent corporation; or

(2) Through another subsidiary of a parent corporation.

"Successor" means an entity that has replaced a predecessor by acquiring the assets and carrying out the affairs of the predecessor under a new name (often through acquisition or merger). The term "successor" does not include new offices/divisions of the same company or a company that only changes its name. The extent of the responsibility of the successor for the liabilities of the predecessor may vary, depending on State law and specific circumstances.

"Veteran-owned small business concern" means a small business concern

(1) Not less than 51 percent of which is owned by one or more veterans(as defined at 38 U.S.C.
