(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records—Negotiation.

(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.

(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.

(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

(e)(1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c), and (d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (e)(1) in a subcontract for commercial items. Unless otherwise indicated below, the extent of the flow down shall be as required by the clause—

SECTION C--DESCRIPTION/SPECIFICATIONS/STATEMENT OF WORK

C.1 SCOPE OF CONTRACT

Description of Work: Fuels reduction/modification for hazardous fuels reduction treatment on a possible 167.5 acres, with the use of goats. Goats will be used for the purpose of removing potentially hazardous flammable fuels from the project area. The area to be grazed is within the WUI area in the Challenge Community Protection Fuels Reduction Project around Challenge, CA in Yuba County on the Feather River Ranger District, Plumas National Forest. Contract intent is to have the opportunity for the goats to graze during conducive weather conditions and time frames that are advantageous for the removal of new vegetation growth.

Background: The project area is located in Yuba County on the West Slopes of the Sierra Nevada mountain range between the elevations of 1500’ and 3500 feet, near the forested community of Challenge California. The majority of the units considered for grazing have been recently (within past 1-5 years) commercially thinned from 100% canopy cover down to 30-50% canopy cover, or have been hand thinned through post fire damaged areas of ridges and exposed areas in effort to provide a fuel break for future wildfire suppression needs. Since the thinning has taken place, the fuel breaks have had re-growth from cut stump sprouts and natural surface growth, causing the fuel breaks to be less effective. The vegetation in the units can be characterized as an upper canopy of mixed conifer and hardwood stands with a lower canopy of stump re-growth, brush/shrub component and grasses, represented vegetation is listed below.

Intent: The intent of this contract is to reduce the existing vegetation re-growth, shrubs, brush and grasses with the use of goats with targeted grazing in effort to modify the fuel loading and continuity, essentially working towards maintaining and keeping existing fuel breaks effective.

The intended contract units cover 167.5 acres, the Forest Service acknowledges that not all acres may be able to be treated due to slope, and other inaccessibility issues or concerns. These issues or concerns will be handled appropriately by the Contracting Officer and Contractor.

Description: All units will be available via handheld maps and digitally using avenza for use with smartphones.

Exclusions: There are small exclusion areas in and adjacent to many of the units. These areas are flagged on the ground with the following colors: archaeological = red and black, sensitive plants = blue and black, hydrology= blue and white, noxious weeds = orange.

Accessibility: Well maintained road systems provide basic access to treatment units. Maps and photos may indicate that a road goes to the unit location; however, vehicle access may be difficult or restricted. Unit locations may necessitate that the Contractor walks to the stand or acquire some other means of travel. The Government assumes no responsibility to maintain roads in a passable condition.

Any prospective contractor desiring an explanation or interpretation of the solicitation, drawings, specifications, etc., must request it in writing from the Contracting Officer soon enough to allow a reply to reach all prospective contractors before the solicitation closing date. Oral explanations or instructions given before the award of a contract will not be binding.

C.3 Maps Maps showing the general vicinity and/or specific work areas are included in Section J. Maps are general in nature and are not to be considered as definitively identifying locations.

Site Visit There will be no pre-bid tour/meeting. Offerors or quotes are urged and expected to inspect the site where services are to be performed and to satisfy themselves regarding all general and local conditions that may affect the cost of contract performance, to the extent that the information is reasonably obtainable. In no event shall failure to inspect the site constitute grounds for a claim after contract award.

C.4 Estimated Start Date & Contract Time Start: Estimated start date is July 1, 2019 to conclude on October 31, 2021. With the intent to have the opportunity for the goats to graze during conducive weather conditions and time frames that are advantageous for the removal of new vegetation growth, i.e., different seasonal blooming periods. With the possibility of two option years.

C.5 Restrictions on Work:

Before goats are brought into the project area for targeted grazing, they shall be held for quarantine off-site for a minimum of 72 hours, or until such time as any seeds from invasive species not present in the project area will have passed through the intestinal tract of all animals in the herd. Contractor shall certify in writing to Contracting Officer quarantine has occurred off-site, and include quarantine location.

5. In addition to Section H, Archaeological and Historic Sites; Targeted grazing shall cease immediately upon discovery of previously-unknown cultural resources. COR shall be notified immediately and the affected area(s) shall be fenced off for avoidance until a Forest Service Archaeologist can determine relevance of the discovery.

6. Mature oak trees shall be protected from grazing activities.

7. All food and trash shall be removed from the site and properly disposed of on a regular basis.

8. All dogs used by the contractor for this contract shall have been vaccinated for rabies. A certificate showing vaccinations shall be submitted with the proposal. Contractor shall keep vaccination records or proof of current vaccination for all dogs on the project areas. Contractors’ dogs used in the operation need not be leashed but must be under contractor’s control.

9. Contractor shall immediately report to COR and all proper governmental authorities any case of infectious animal disease appearing in livestock on the premises, and shall, at the Contractor’s sole cost and expense, take all steps required to isolate, control, and eliminate such disease. Livestock exhibiting symptoms of diseases communicable to humans shall be immediately removed from the premises.

C.6 Licenses and Insurance The contractor shall obtain the insurance and licenses listed here; (see also Section L, Notices to Offerors and Respondents).

Control area- A point or area identified within the treatment unit with red & black or noxious weed flagging. Special restrictions apply.

C.O.R. - Contracting Officer's Representative.

DBH - Diameter Breast Height, the diameter of a tree as measured at a point 4 1/2 feet above ground on the uphill side of a tree.

Limited Operating Period (LOP) – Restricted operating dates due to wildlife (Spotted Owl, Goshawk) or recreation requirements.

Mobilization – The act of delivering all ordered personnel and equipment to the project area. The price for mobilization shall be included in the proposed unit prices.

Shrub- A woody plant at least 12 inches tall, distinguished from a tree by having several stems rather than a single trunk. Shrubs do not include hardwoods or conifers.

Riparian Conservation Area Buffer – A 100 to 328 horizontal foot area extending upslope on each side of a stream channel.

Streamside Management Zone (SMZ) - Riparian area protected during logging, mechanical treatments, and site preparation; contains natural debris and vegetation.

Supervisor (foreman) – A working (English-speaking) supervisor, who is knowledgeable and experienced in the required work and supervision, shall be provided for each crew and is required to stay with the crew while work is in progress. If the crew is non-English-speaking, the supervisor must be bilingual in English and the language of the crew.

C2. SPECIFICATION WORK REQUIREMENTS

Contractor agrees to supply, utilize, and care for no less than 100 goats to graze during calendar year 2019 and 2021 for the purpose of removing potentially hazardous flammable fuels from the project area.

In general, the plan of operation shall be to confine livestock within small parcels using electric fencing, or other methods approved by COR, until the agreed upon level of grazing in the parcel is completed, and then to move the grazing stock to the next parcel(s).

Contractor shall periodically inspect the area being grazed and notify the COR when grazing is completed on that parcel.

Contractor shall take care to avoid soil erosion problems caused by temporarily overstocking, such as exposing bare soil excessively and causing excessive powdering of soils. Contractor shall take care to protect trees of 4 inches or greater in diameter breast height (DBH) from bark stripping or girdling damage, by using tarps, portable fencing, or other effective means.

The goats shall be completely fenced in, except when being herded between locations, or deemed necessary to not fence in by the contractor or shepherd, and attended by a shepherd at all times. Contractor shall keep roads and trails open and accessible for public use whenever possible, but may upon notification of the COR close them temporarily for reasons of security or difficulty of fencing, or while herding goats between locations.

Desired Outcome- Within the project area, fine live herbaceous small diameter fuels will be reduced by 75% across the project area. Overall reduction of previously cut, stump sprouts and re-growth. The intent is to maintain previously thinned fire hazard fuel breaks, graze the small diameter fuels in effort to reduce their growth and maintain the effectiveness of these fuel breaks.

52.242-14 Suspension of Work (Apr 1984)

(a) The Contracting Officer may order the Contractor, in writing, to suspend, delay, or interrupt all or any part of the work of this contract for the period of time that the Contracting Officer determines appropriate for the convenience of the Government.

(b) If the performance of all or any part of the work is, for an unreasonable period of time, suspended, delayed, or interrupted (1) by an act of the Contracting Officer in the administration of this contract, or (2) by the Contracting Officer’s failure to act within the time specified in this contract (or within a reasonable time if not specified), an adjustment shall be made for any increase in the cost of performance of this contract (excluding profit) necessarily caused by the unreasonable suspension, delay, or interruption, and the contract modified in writing accordingly. However, no adjustment shall be made under this clause for any suspension, delay, or interruption to the extent that performance would have been so suspended, delayed, or interrupted by any other cause, including the fault or negligence of the Contractor, or for which an equitable adjustment is provided for or excluded under any other term or condition of this contract.

(c) A claim under this clause shall not be allowed—

(1) For any costs incurred more than 20 days before the Contractor shall have notified the Contracting Officer in writing of the act or failure to act involved (but this requirement shall not apply as to a claim resulting from a suspension order); and

(2) Unless the claim, in an amount stated, is asserted in writing as soon as practicable after the termination of the suspension, delay, or interruption, but not later than the date of final payment under the contract.

AGAR 452.209 – 71 ASSURANCE REGARDING FELONY CONVICTION OR TAX DELINQUENT STATUS FOR CORPORATE APPLICANTS, ALTERNATE 1 (FEB 2012)

(a) This award is subject to the provisions contained in the Consolidated Appropriations Act, 2012 (P.L. No. 112-74), Division E, Sections 433 and 434 regarding corporate felony convictions and corporate federal tax delinquencies. Accordingly, by accepting this award the contractor acknowledges that it –

(b) If the awardee fails to comply with these provisions, the Forest Service may terminate this contract for default and may recover any funds the awardee has received in violation of sections 433 or 434.

The Contracting Officer may retain up to 10 percent of the invoiced amount if the contractor is behind schedule at the time the invoice is presented. “Behind schedule” means that the percentage of work completed is less than the percentage of time used.

FEDERAL ACQUISITION REGULATION (48 CFR CHAPTER 1) CLAUSES

52.246-4 Inspection of Services--Fixed-Price (AUG 1996) E.1 Sampling The standard procedure will be visual inspection of 100% of the work completed. In addition, unbiased 100 foot transects will be established as work progresses. Transects will be GPS’d and repeatable and will represent at least one percent of each unit area (about 1 transect for every 10 acres).

E.2 Specific Inspection Procedures Sample transects will be placed throughout each unit, so as to obtain a representative sample of the work. Determinations of the acceptability of the work performed will be based on these inspections, which will be considered conclusive, except as otherwise provided in this contract.

Only one item will be evaluated by transect:

1. Thinning for Hazardous Fuels; Goat Grazing All units within contract area will have been grazed through by contractor standards based on livestock capabilities.

E.3 Acceptance This is a performance based contract with disincentives for poor performance. Reductions in performance will result reductions in pay on a per Unit (bid item) basis. Payment will be based on the quality of work performed on a sliding scale (Table 1).

E.4 Government Inspections Government inspections are for the purpose of satisfying the Government that the services are acceptable and do not relieve the Contractor of the responsibility for maintaining quality control. Contractors are encouraged to use the same pile inspection forms contained in this contract.

The Contracting Officer's Representative or designated inspector will conduct all inspections. Summary results will be immediately shared with the Contractor Foreman or Crew Boss in the field as work progresses.

Final Inspections. Final inspections for payment will utilize the same data collected on Inspection Forms as work progresses.

Disputed Inspection.

The Contractor may request reinspection without rework if the results are unacceptable. Reinspection must be requested in writing within 48 hours after receiving written notice of the inspection results. Reinspection will be accomplished within five working days after receipt of the contractor's written request.

Reinspection after Rework. Where rework after a failed inspection may improve the inspection results, the Contractor may rework the area and request (in writing) a second inspection. The Government will charge to the Contractor the cost of this additional inspection. Reinspection will be accomplished within five working days after the notice is received. The results of the second inspection will be final, and no further rework will be permitted.

The request must be made in writing and must be made within 10 calendar days of completing work on the unit in question. If remeasurement indicates a variance of five percent or less from the stated quantity, the Contractor shall pay for the actual cost of remeasurement and no adjustment will be made in the quantity as stated in Part B. If remeasurement indicates a variance more than five percent from the stated quantity, payment will be based on the remeasured quantity, and the Contractor will not be liable for the costs of remeasurement. All remeasurements will be done by the Government. Remeasurement of acreage will be done with two people using a hand compass and ground measurement or by means of a Global Positioning System. This clause is not applicable to quantities listed as estimated quantities.

(a) The Contractor shall assign to this contract the following key personnel: One contractor’s representative, fluent in English, onsite every day.

(b) During the first ninety (90) days of performance, the Contractor shall make no substitutions of key personnel unless the substitution is necessitated by illness, death, or termination of employment. The Contractor shall notify the Contracting Officer within 15 calendar days after the occurrence of any of these events and provide the information required by paragraph (c) below. (c) The Contractor shall provide a detailed explanation of the circumstances necessitating the proposed substitutions, complete resumes for the proposed substitutes, and any additional information requested by the Contracting Officer. Proposed substitutes should have comparable qualifications to those of the persons being replaced. The Contracting Officer will notify the Contractor within 15 calendar days after receipt of all required information of the decision on substitutions. The contract will be modified to reflect any approved changes of key personnel.

Emergencies Fire Plan [X] Not applicable; however, Contractors are required to comply with State law during fire season.

1. Corral fencing; if corral fencing is connected to any battery terminals, contractor will ensure that battery location is in an exposed area, free from any vegetation and on mineral soil.

Area of Responsibility for Fire. Unless otherwise noted elsewhere in the contract, the following define the limits of a contractor's area of responsibility:

· Special for this project: 25 meters around the perimeter of the unit being grazed.

Superintendence by Contractor The name and the specific authorities of the foreman or superintendent must be designated in writing to the Contracting Officer. The Contractor may use his/her own prepared letterhead stationery or a "Designation of Contractor's Representative" form available from the Contracting Officer. If the Contractor or the designee is not present when work is being performed on the contract, a Suspend Work Order may be issued with contract time continuing to run. The Contractor shall have a person on-site that is fully conversant in the English language.

Camping Permit Compliance Contractor shall comply with all terms and conditions of any camping permit issued to allow use of premises.
