(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph
(d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, as defined in FAR 2.101, on the date of award of this contract, and does not contain the clause at 52.215-2, Audit and Records - Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor's directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.
(e)(1) Notwithstanding the requirements of the clauses in paragraphs (a), (b), (c), and (d) of this clause, the Contractor is not required to flow down any FAR clause, other than those in this paragraph (e)(1) of this paragraph in a subcontract for commercial items. Unless otherwise indicated below, the extent of the flow down shall be as required by the clause-

All five species have small ranges and are isolated on certain limestone, talus, and riparian areas of the Shasta-trinity National Forest (STNF). Their range includes portions of Shasta, Siskiyou and Trinity Counties.
There are few known sites on adjacent private lands. Approximately 96% of the species known distribution is on Federal lands.
These five terrestrial mollusks are designated as Forest Sensitive Species (FSS) and are also covered by the Northwest Forest Plan Survey and Manage Guidelines (S&M). The goal of FSS/S&M is to stabilize and/or reverse trends in viability of covered species that may lead to federal listing under the Endangered Species Act. At this time, the five species have no protection or special status under the California Department of Fish and Wildlife¿s (CDFW) conservation programs. Current information for known sites or management on private lands is not available.
Threats and stressors to the five species include the following:
· The raising of Shasta Dam poses the greatest immediate threat as it would inundate the majority of four of five species¿ occupied sites as well as suitable habitat. Bureau of Reclamation (BOR) has not published a Decision for raising the dam, although it is unlikely at this time.
· Soil compaction adversely affects reproduction.
· Other stressors include the crushing, burning, and collection of individuals; prolonged drought; wildfire and other activities that remove or significantly reduce the vegetative cover or food supply, and compact soils. These activities may include unregulated water diversion(s), recreation (pedestrian, OHV/ORV), logging, road construction, herbicide use, grazing, prescribed fire, mining, chemical contamination or introduction of non-native species in or near the mollusks¿ habitat.
A conservation strategy is likely to have the greatest impact in terms of reducing the need to list the species as it will address and manage the primary stressors to the species. It is anticipated the conservation strategy will include the following elements and any additional elements the Forest Service, YFWO or other potential partners and experts determine necessary for the species conservation needs:
A thorough assessment of the species¿ biological and environmental needs which will help improve our current understanding of the habitat associated with populations and enhance the ability to effectively conserve these species.
Continued implementation of the Survey & Manage Standards and Guidelines that include protecting and managing known sites and conducting pre-disturbance surveys (currently limited to some activities), based on monitoring results.
· Suggested changes or improvement of Survey & Manage design features and criteria for road construction, mechanical treatments, and prescribed fire actions that can impact limestone or talus slopes, down wood, soil and riparian vegetation that provide required habitat for the five species, if determined to be necessary.
· Develop, implement, and incorporate into annual operating plans, protection measures for grazing allotments that overlap suitable habitat and known sites, if, based on analyses, the protection measures are necessary for conservation of the species.
Effectiveness monitoring guidelines that consists of pre-, during-and post-project implementation monitoring within known sites as well as suitable habitat to help contribute information for, and toward, improved conservation of these species:
o Monitoring strategies should be designed to help determine if the Survey & Manage Standards and Guidelines, or other developed measures, conserve and protect known sites and habitat.
o Monitoring should be designed and conducted to ensure site-disturbance or collection activities do not lead to a loss of populations.
In addition, research information that has been or would be proposed to be collected from known sites can help assess population trends and attempt to determine the factors that control those trends (detection probabilities, abundance, factors that control rate/distance of dispersal, habitat and population density/structure in different habitat conditions). Such data would help improve the current understanding of the habitat associated with populations and enhance the ability to effectively conserve these species. For example: of primary interest is how current fuels and timber management practices impact the species and the monitoring elements in the conservation strategy would contribute information to address this interest.
Contractor Responsibility: The Contractor shall provide everything--including, but not limited to, all equipment, supplies, transportation, labor, and supervision--necessary to complete the project, except for that which the contract clearly states is to be furnished by the Government.
Contractor shall provide all technical, professional, and non-personal services necessary to coordinate and implement the Project as further set forth herein (the ¿Work¿).
Deliverables. All work under this contract shall commence on 1 September 2020, and end no later than 29 August 2022. The Contractor shall:

a. A suggested outline of the Conservation Strategy is contained in Exhibit 1, for the purpose of informing potential bidders about the scope of work being proposed. As the Strategy is developed, the format of the final document may not follow this outline, but the substantive content in the suggested outline (e.g. development of targets and indicators and a monitoring plan, development of design features that address species needs during project implementation, the Appendices, etc.) will be part of the final work product.
b. Contractor will provide an electronic copy of the draft Strategy in a Microsoft Word document file format, including any photographs and maps to review. Upon acceptance of the final Strategy, the contractor will provide an electronic copy of the Strategy report on a thumb drive saved as a Microsoft Word document file. The final Strategy will be of professional quality and consistent with standards for the profession. The interim and final Strategy will be submitted to the Shasta-Trinity National Forest, Forest Wildlife Biologist.
Item 2: Assemble a comprehensive database of historical and current literature for the five mollusks Some literature for the Five Mollusk Species may come from sources that were not originally produced electronically and may not be available in electronic format (e.g. in library collections or elsewhere). The database is to be assembled as an electronic library and would include:
a. Research articles from historical (out of print) and current publications, including peer reviewed journals from print-only and electronic sources
b. Government publications, including but not limited to research and general technical reports.

Contractor shall:
a. Participate in a project organizational kick-off meeting on a date to be determined (TBD) following award of the contract. Participation may be virtual;
b. On a date TBD in agreement with the Forest, schedule a site visit (Item 4) in the spring of 2021 to view the project area with federal and non-federal conservation partners to discuss the formulation of the draft Strategy;
c. Submit a draft Strategy (Item 1), a list of literature assembled for the literature database (Item 2), and a draft site classification system (Item 3) by September 1, 2021.
i. The Forest will provide substantive review and comment on Items 1-3 no later than October 15, 2021;
d. On a date TBD in agreement with the Forest, schedule a site visit (Item 4) in the fall of 2021 or spring of 2022 to review the project area with federal and non-federal conservation partners to discuss and answer questions about the final draft Strategy;
e. Submit a final draft Strategy (Item 1), electronic copies of all documents assembled for the literature database (Item 2) and the site classification system (Item 3) by June 1, 2022.
i. The Forest will provide substantive review and comment on Items 1-3 no later than July 15, 2022.
f. Submit the final Strategy and all accompanying documentation (Items 1-3) no later than August 15, 2022.
Restrictions on Work Work may be performed at any time during the period of the contract. Nothing in this part shall be construed to take away any of the Government's rights under the Suspension of Work Clause (52.242-14).
Technical Requirements
The contractor shall meet the minimum Federal standards (36 CFR61, 36CFR296.8 (a) (i-v)).
The contractor must be appropriately qualified to carry out or supervise the work to be conducted. The contractor shall have training, education and/or experience, and possess demonstrable competence in terrestrial mollusk ecology and management. The minimum qualifications are: (1) a combination of education, preferably a graduate degree, and field experience in ecology or a related discipline; (2) demonstrated ability to plan, staff, organize and supervise activity of the type and scope proposed; (3) demonstrated ability to carry research to completion, as evidenced by timely completion of research reports, or similar documents; (4) at least one year of experience and/or specialized training working with terrestrial mollusks of the Pacific Northwest.
Contractor will provide an electronic copy of the draft Strategy (Item 1) in a Microsoft Word document file format, including any photographs and maps to review, and electronic copies of all documents assembled for the literature database (Item 2) and the site classification system (Item 3). AWARD DETERMINATION

The selection official will base the award decision on price and non-price factors--comparing the relative merits of the competing technical proposals, the risks to the government associated with each proposed technical approach, and the risks associated with each offeror¿s capability.
EVALUATION FACTORS
The Government will assess the of each offeror¿s Technical Approach and Capability. Technical Approach and Capability are approximately equal in importance.
Technical Approach The Technical Approach will be evaluated on the basis of the following criteria, which are listed in descending order of importance: (1) Soundness of the technical approach (including its practicality and the offeror¿s understanding the Government¿s requirements) and (2) the degree to which the offeror can meet any desired enhancements listed in the Statement of Work.
Capability of the Offeror The Government will assess the capability of each offeror on the basis of the following criteria which are of approximately equal value: (1) Organizational Experience and (2) Organizational Past Performance. The Government will not assess capability on a pass/fail basis, but will use its assessments of capability as a basis for comparing offerors to determine best value.
NOTE: Organizations lacking specific experience in the work to be done may mitigate the shortcoming by such means as hiring experienced personnel or subcontractors. Such mitigation efforts should be incorporated in the Technical Proposal and will be evaluated under Soundness of Approach factor.
(1) Organizational Experience. Experience is the opportunity to learn by doing. The Government will evaluate each offeror's organizational experience on the basis of its breadth, its depth, and its relevance to the work that will be required under the prospective contract. The Government will not evaluate an offeror's organizational experience on the basis of the personal experience of the offeror's key personnel. However, the Government will consider the extent to which the offeror's key personnel have worked together in the past. The Government will evaluate the organizational experience of the offeror's proposed key subcontractors.
(2) Organizational Past Performance. Past performance is a measure of the degree to which an offeror satisfied its customers in the past and complied with Federal, state, and local laws and regulations. The Government will contact some of each offeror's customers to ask whether or not that: (1) that the offeror was capable, efficient, and effective;
(2) the offeror's performance conformed to the terms and conditions of its contract (specifications); (3) finished within the contract time; (4) the offeror was reasonable and cooperative during performance; and (5) the offeror was committed to customer satisfaction. The Offeror shall not complete the representation in this provision if the Offeror has represented that it "does not provide covered telecommunications equipment or services as a part of its offered products or services to the Government in the performance of any contract, subcontract, or other contractual instrument" in the provision at 52.204-26, Covered Telecommunications Equipment or Services-Representation, or in paragraph (v) of the provision at 52.212-3, Offeror Representations and Certifications-Commercial Items.
