INSTRUCTIONS FOR THE PREPARATION OF OFFERS (FAR 52.212-1 Addendum)
Solicitation documentation and any issued amendments will be posted to https://beta.sam.gov/ . This the only official location where these documents can be obtained and where updates are posted. No hard copy solicitation materials are available.
Offerors shall provide all requested information referenced in this section. Failure to provide all requested information may result in the proposal not being considered for further evaluation.

OFFER SUBMISSION DOCUMENTS
1. One (1) original fully completed and signed SF 1449 Offer page, acknowledgment of all SF30 amendments completing blocks 15a, b, and c of the Amendment and attaching to the SF 1449 Offer page;
2. Quote pricing document. Document shall provide detailed pricing breakout in accordance with the CLIN structure and items requested. Please include Attachment 4 Interactive Bid Schedule with quote pricing.
3. Attachment 3 “Specifications for Brand Name or Equal” document. To be completed fully, as instructed on the form, and submitted with quote. Offers that fail to complete the “Specifications for Brand Name or Equal” document exactly as the form instructs will be found non-responsive and thus not eligible for award.
4. If offeror are quoting the “Name Brand” requested, offers shall include proof documentation they are providing the exact match, this documentation could include manufacturer quote to the Small Business (Vendors may choose to redact any manufacturer pricing, if they so choose), specifications sheets, vendor email to the Small Business, etc. This documentation will be utilized to ensure the “Brand Name” is being provided, and vendors are not simply stating “Exact Match” yet providing no evidence to the Buyer the offer is indeed an “Exact Match”.
5. If offeror is quoting an “Equal” item in accordance with FAR 52.211-6 Brand Name or
Equal, the offer shall adhere to all document requirements identified below in FAR 52.212-2 Evaluation – Commercial Items (Addendum), Paragraph 2. Offerors that fail to submit all required “Equal” documents will be found non-responsive and thus not eligible for award.

(a) The Government will award a contract resulting from this solicitation to the responsible offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers: Lowest Priced Technically Acceptable.
E valuation Methodology
In accordance with FAR Part 13 the Government will award a firm fixed price contract resulting from this solicitation to the responsible Offeror whose offer conforming to the solicitation will be most advantageous to the Government, price and other factors considered. The following factors shall be used to evaluate offers:
Lowest Price Technically Acceptable
(LPTA), evaluation method.
Technical Acceptability is defined as:
1) Meeting all requirements as defined in the solicitation, to include submission of all Quote submission documents referenced in Instructions for the Preparation of Offers (FAR 52.212-1 Addendum). Failure to submit ANY of the required document listed in “Offer Submission Documents (52.212-1 Addendum)” will render your quote non-responsive and thus not eligible for award. Failure to acknowledge any and all amendments will render your quote non-responsive and thus not eligible for award.
2) Brand Name or Equal. The Buyer is allowing Sellers to submit bids for alternate items, provided those items meet all of the salient physical, functional, or performance characteristics specified by this solicitation. Sellers MUST enter exactly what they are offering (including make, model and description) into the Offer Submission Document #2 in order for the offer to be considered. The Buyer will evaluate 'equal' items on the basis of information furnished by the Seller or identified in the offer and reasonably available to the Buyer. The Buyer is not responsible for locating or obtaining any information not identified in the offer.
If an item in this solicitation is identified as a brand name or "equal", the purchase description reflects brand name as well as the characteristics and level of quality that will satisfy the Government's needs.
The salient physical, functional, or performance characteristics that "equal" products must meet are specified in the solicitation. To be considered for award, offers of "equal" products, including "equal" products of the brand name manufacturer, must meet the salient physical, functional, or performance characteristic specified in this solicitation; clearly identify the item by brand name and make or model number; Include descriptive literature such as illustrations, drawings, or a clear reference to previously furnished descriptive data or information available to the Contracting Officer; and Clearly describe any modification the offeror plans to make to a product to in order for the product to conform to the solicitation requirements. Mark any descriptive changes to clearly show the modification. The Contracting Officer is not responsible for locating or obtaining any information not identified in the offer. Unless the offeror clearly indicates in its offer that the product being offered is an "equal" product, the offeror shall provide the brand name product referenced in the solicitation. Offeror attachments (shall be returned as part of your quote). In addition to providing pricing, Offeror shall include certain non-pricing information as attached document(s) to their quote, so they are received no later than the closing date and time of this solicitation. Attachment(s) can total no more than 20 MB, whether multiple files or one file, and may be zipped to decrease their size. Vendors offering “Equal” shall NOT write “Complies”, “Yes”, etc in “Attachment 3 “Vendor’s Submission” column of required submission attachment matrix "Specifications for Brand Name of Equal", vendors shall write the exact specification they are offering as an equal for each line of this matrix. Failure to meet this requirement will result in your offer being found “Technically Unacceptable”. Offerors upload "Equal" supporting specifications are only provided for the Government to VERIFY the equal, it is incumbent on the Offeror to call out the "Equal" specification on the attached matrix document. The Government will not assume a specification is “Equal” and dig through attached specifications to find it. An Offeror's failure to comply shall result in the quote being determined incomplete. The incomplete quote will be considered not in conformance with the solicitation and shall be “Technically Unacceptable”.
2) Acceptable rating in “Past Performance”.
Past performance will be evaluated in accordance with FAR 13.106-2. Past Performance will be rated on an “acceptable” or “unacceptable” basis. The apparent successful, prospective contractor must have “acceptable” past performance. System for Award Management (SAM.gov) exclusions list, Federal Awardee Performance and Integrity Information System, and Contractor Performance Assessment Reporting System (CPARS) shall be considered as part of the past performance evaluation process. Any past performance that is found to be “Negative”, shall result in the entire Past Performance rating as “Unacceptable”. “Negative” is defined as any CPARS past performance evaluation rated less than “Satisfactory”, any Terminations for Default/Cause, or any negative performance references will be rated as ‘Unacceptable’. Note: In the case of an offeror without a record of relevant past performance or for whom information on past performance is not available or so sparse that no meaningful past performance rating can be reasonably assigned, the offeror may not be evaluated favorably or unfavorably on past performance. Therefore, the offeror shall be determined to have unknown past performance. In the context of acceptability/unacceptability, “unknown” shall be considered “acceptable.” Any past performance that is found to be “negative”, shall result in the entire Past Performance rating as “Unacceptable” making the overall Technical Acceptability as “Unacceptable”.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph
(d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records-Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

452.224-70 Confidentiality of Information.
As prescribed in 424.104, insert a clause substantially as follows:
CONFIDENTIALITY OF INFORMATION (FEB 1988)
(a) Confidential information, as used in this clause, means --(1) information or data of a personal nature, Proprietary about an individual, or (2) information or data submitted by or pertaining to an organization.
(b) In addition to the types of confidential information described in (a)(1) and (2) above, information which might require special consideration with regard to the timing of its disclosure may derive from studies or research, during which public disclosure of primarily invalidated findings could create an erroneous conclusion which might threaten public health or safety if acted upon.
(c) The Contracting Officer and the Contractor may, by mutual consent, identify elsewhere in this contract specific information and/or categories of information which the Government will furnish to the Contractor or that the Contractor is expected to generate which is confidential. Similarly, the contracting Officer and the Contractor may, by mutual consent, identify such confidential information from time to time during the performance of the contract. Failure to agree will be settled pursuant to the "Disputes" clause.
(d) If it is established that information to be utilized under this contract is subject to the Privacy Act, the Contractor will follow the rules and procedures of disclosure set forth in the Privacy Act of 1974, 5 U.S.C. 552a, and implementing regulations and policies, with respect to systems of records determined to be subject to the Privacy Act.

If the Contracting Officer does not pose any objections in writing within the 45-day period, the contractor may proceed with disclosure. Disagreements not resolved by the Contractor and Contracting Officer will be settled pursuant to the "Disputes" clause.
(g) Whenever the Contractor is uncertain with regard to the proper handling of material under the contract, or if the material in question is subject to the Privacy Act or is confidential information subject to the provisions of this clause, the Contractor shall obtain a written determination from the Contracting Officer prior to any release, disclosure, dissemination, or publication.
(h) The provisions of paragraph (e) of this clause shall not apply when the information is subject to conflicting or overlapping provisions in other Federal, State or local laws.

452.237-75 Restrictions Against Disclosure.
As prescribed in 437.110(e), insert a clause substantially as follows:
RESTRICTIONS AGAINST DISCLOSURE (FEB 1988)
(a) The Contractor agrees, in the performance of this contract, to keep all information contained in source documents or other media furnished by the Government in the strictest confidence. The Contractor also agrees not to publish or otherwise divulge such information in whole or in part in any manner or form, or to authorize or permit others to do so, taking such reasonable measures as are necessary to restrict access to such information while in the Contractor's possession, to those employees needing such information to perform the work provided herein, i.e., on a "need to know" basis. The Contractor agrees to immediately notify in writing, the Contracting Officer, named herein, in the event that the Contractor determines or has reason to suspect a breach of this requirement.
(b) The Contractor agrees not to disclose any information concerning the work under this contract to any persons or individual unless prior written approval is obtained from the Contracting Officer. The Contractor agrees to insert the substance of this clause in any consultant agreement or subcontract here under.
