SECTION B - SCHEDULE OF PRICES
CONTRACT LINE ITEMS
(See Attachment 00 –Bid Schedule/ Price Breakdown)
a. Offerors shall enter unit prices and amounts for contract line items as indicated in the schedule.
b. In the event there is a difference between a unit price and the extended total amount, the unit price will be held to be the intended bid and the total of the contract line item will be recomputed accordingly. If the bidder provides a total amount for a contract line item but fails to enter the unit price, the total amount divided by the contract line item quantity will be held to be the intended unit price.
c. Quantities depicted throughout this contract represent the Government's best estimate of the quantity of work for the period of performance. After contract award, situations may arise which impact upon the Government's requirements and necessitate changes to this contract. Should this occur, the Contracting Officer will modify the contract in accordance with the provisions and limitations specified herein. The quantities are estimates of the amount of work that will be ordered.

INTENT AND LOCATION OF CONTRACT
The intent of this solicitation is to award a single fixed price contract Janitorial Services, to be performed for the Southern Research Station Coweeta Hydrologic Laboratory, 3160 Coweeta Lab Road, Otto, North Carolina 28763. This contract will be awarded for a Base Period and four (4) twelve month Option Periods by means of a Fixed‑Price Performance Based Service Contract.
The Contractor shall provide all labor, supplies, supervision, tools, materials, equipment, and transportation necessary to provide custodial services in accordance with this specification. The work consists of completing the Line items in the Schedule of Items, Attachment 00 Schedule of Items per the, Attachment 02 as well as the Frequency of Services Table.
SECTION C
SPECIFICATIONS/SCOPE OF WORK

GOVERNMENT FURNISHED ITEMS
The Government will provide the following item(s) of Government property to the Contractor for use in the performance of this contract. This property shall be used and maintained by the Contractor in accordance with the provisions of the "Government Property" FAR clause contained elsewhere in the contract
Government Furnished Facilities. The Government will make available to the Contractor a space to store custodial supplies and equipment at the facility. The Contractor shall be responsible and accountable for taking adequate precautions to prevent fire hazards, odors, and vermin. The Contractor shall be held responsible for the cost of any repairs caused by negligence or abuse on his/her part, or on the part of his/her employees. The Contractor is responsible for maintaining their supply storage areas in a clean, organized and accessible manner for their use and for FS employees who will access these areas for inspection of Contractor supplies and equipment. These areas will also have to be accessible for repairs and maintenance.
The Contractor shall obtain written approval from the Contracting Officer prior to making any modifications or alterations to the space provided. Any such modifications or alterations approved by the Government will be made at the expense of the Contractor. At the completion of the contract, all facilities shall be returned to the Government in the same condition as received, except for reasonable wear and tear.

Availability of Utilities The Government will furnish utility services at existing outlets, for use in those facilities provided by the Government and as may be required for the work to be performed under the contract: electricity, fresh water, sewage service, and refuse collection (from existing collection points). Information concerning the location of existing outlets may be obtained from the Contracting Officer’s Representative. Utilities specified will be furnished at no cost to the Contractor.

GOVERNMENT’S QUALITY ASSURANCE (QA)
The Government will monitor progress to ensure that the Contractor is providing the quality of work expected and meets performance standards. Visual observation may be used. The Government reserves the right, if deemed necessary to ensure compliance with the contract, to make 100% full inspection of the work.
Government inspections will be documented on Daily Diaries and placed in the contract file.
Government inspections are for the sole benefit of the Government and do not-
(1) Relieve the Contractor of responsibility for providing adequate quality control measures;
(2) Relieve the Contractor of responsibility for damage to or loss of the material before acceptance;
(3) Constitute or imply acceptance; or
(4) Affect the continuing rights of the Government after acceptance of the completed work.
SECTION F
DELIVERIES OR PERFORMANCE
WORKING HOURS
Regular Working Hours. The Contractor will perform the required Custodial services after the Government's regular (normal) working hours of 07:30 am to 4:00pm Mondays through Fridays except (a) Federal Holidays and (b) other days specifically designated by the Contracting Officer.
PERFORMANCE REQUIREMENTS
The Contractor is required to adhere to all requirements listed in the contract and to Adhere to all Standard Specifications for each project.
PERIOD OF PERFORMANCE
Base Period- March 1, 2018 through February 28, 2019 Options- if exercised by the Government:
Option Period 01- March 01, 2019 through February 29, 2020 Option Period 02- March 01, 2020 through February 28, 2021 Option Period 03- March 01, 2021 through February 28, 2022 Option Period 04- March 01, 2022 through February 28, 2023
SECTION G
CONTRACT ADMINISTRATION DATA
INVOICING
Invoices will be processed via Invoice Processing Platform (IPP). A copy of the actual invoice must be attached to the electronic invoice in IPP in order to process payment. Invoices will be approved for all work completed, inspected and accepted by the COR.
Payment – The Contractor will submit a monthly invoice through IPP at the end of each service month via www.IPP.gov Payments shall be made through IPP with approval of invoice on a calendar month (30 days) basis in arrears. Upon receipt of Contractor’s IPP invoice, payments will be made 30 calendar days from the acceptance date in accordance with the Prompt Payment Act.
Payment for less than a full month will be determined by dividing the number of days in the month into the unit price to achieve a daily rate. This amount will then be multiplied by the actual number of days to arrive at the total amount earned for that month.
NOTIFICATION OF SUBCONTRACTING
The Contractor shall promptly contact the Contracting Officer upon entering into any subcontract arrangement. Standard Form 1413 shall be completed and forwarded to the CO for each subcontractor utilized.
SECTION H
SPECIAL CONTRACT REQUIREMENTS SECTION
MANDATORY SOURCES OF SUPPLY OR SERVICE REQUIRMENT
Certain supplies to be provided under this contract must use mandatory sources (FAR 52.208-9). One of the mandatory sources for Bio-Based and Bio-Preferred products can be found at the GSA Bio-Preferred website: www.gsa.gov/portal/content/105368.
BIO-BASED CLEANING PRODUCTS:
The Contractor shall utilize products and material made from biobased materials to the maximum extent possible without jeopardizing the intended end use or detracting from the overall quality delivered to the end user. All supplies and materials shall be of a type and quality that conform to applicable federal specifications and standards. All supplies and materials to be used in the performance of work described herein are subject to the approval of the Contracting Officer or designated representative. The following is a list of products that may be used in this contract for custodial services for which biobased products are available. The list is not all inclusive. (all purpose cleaner, degreaser/cleaner, deodorizer, floor finis, disinfectant sanitizer, Glass cleaner, Bathroom cleaner)
Biobased products that are designated for preferred procurement under USDA’s BioPreferred program must meet the required minimum biobased content as stated in the USDA final Rule available at www.biopreferred.gov.
Prior to contract start and if requested with the initial proposal, the contractor shall submit a complete list of bio-based products indicating the name of the manufacturer, cost of each material and the intended use of each of the materials to be used during the performance of the contract. Additionally, if a multiple/multi-year contract, the winning contractor on each anniversary date of the contract shall compile a complete list of biobased products, including the above information, purchased to carry out the contract requirements. The Contractor shall list volume to be used and total cost for each individual product. This information will be used for reporting purposes and are to be used in carrying out the requirements of the contract.
AGRICULTURE ACQUISITION REGULATION (48 CFR CHAPTER 4) CLAUSES
AGAR 452.209-70, ORGANIZATIONAL CONFLICTS OF INTEREST (FEB 1988)
(a) The Contractor warrants that, to the best of the Contractor’s knowledge and belief, there are no relevant facts or circumstances which could give rise to an organizational conflict of interest, as defined in FAR Subpart 9.5, or that the Contractor has disclosed all such relevant information.
(b) The Contractor agrees that if an actual or potential organizational conflict of interest is discovered after award, the Contractor will make a full disclosure in writing to the Contracting
Officer. This disclosure shall include a description of actions which the Contractor has taken or proposes to take, after consultation with the Contracting Officer, to avoid, mitigate, or neutralize the actual or potential conflict.
(c) The Government may terminate this contract for convenience, in whole or in part, if it deems such termination necessary to avoid an organizational conflict of interest. If the Contractor was aware of a potential organizational conflict of interest prior to award or discovered an actual or potential conflict after award and did not disclose or misrepresented relevant information to the Contracting Officer, the Government may terminate the contract for default, debar the Contractor from Government contracting, or pursue such other remedies as may be permitted by law or this contract.
(d) The Contractor further agrees to insert provisions which shall conform substantially to the language of this clause, including this paragraph (d), in any subcontract or consultant agreement hereunder.
SUBPART 22.12 – NONDISPLACEMENT OF QUALIFIED WORKERS UNDER SERVICE CONTRACTS
This subpart prescribes policies and procedures for implementing Executive Order 13495 of January 30, 2009, Nondisplacement of Qualified Workers Under Service Contracts, and related Secretary of Labor regulations and instructions (see 29 CFR part 9).
a) When a service contract succeeds a contract for performance of the same or similar services, as defined at 29 CFR 9.2, at the same location, the successor contractor and its subcontractors are required to offer those service employees that are employed under the predecessor contract, and whose employment will be terminated as a result of the award of the successor contract, a right of first refusal of employment under the contract in positions for which they are qualified. Executive Order 13495 generally prohibits employment openings under the successor contract until such right of first refusal has been provided, when consistent with applicable law.

(d) Comptroller General Examination of Record. The Contractor shall comply with the provisions of this paragraph (d) if this contract was awarded using other than sealed bid, is in excess of the simplified acquisition threshold, and does not contain the clause at 52.215-2, Audit and Records—Negotiation.
(1) The Comptroller General of the United States, or an authorized representative of the Comptroller General, shall have access to and right to examine any of the Contractor’s directly pertinent records involving transactions related to this contract.
(2) The Contractor shall make available at its offices at all reasonable times the records, materials, and other evidence for examination, audit, or reproduction, until 3 years after final payment under this contract or for any shorter period specified in FAR Subpart 4.7, Contractor Records Retention, of the other clauses of this contract. If this contract is completely or partially terminated, the records relating to the work terminated shall be made available for 3 years after any resulting final termination settlement. Records relating to appeals under the disputes clause or to litigation or the settlement of claims arising under or relating to this contract shall be made available until such appeals, litigation, or claims are finally resolved.
(3) As used in this clause, records include books, documents, accounting procedures and practices, and other data, regardless of type and regardless of form. This does not require the Contractor to create or maintain any record that the Contractor does not maintain in the ordinary course of business or pursuant to a provision of law.

52.217-8 -- Option to Extend Services.
As prescribed in 17.208(f), insert a clause substantially the same as the following:
Option to Extend Services (Nov 1999) The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 3 Days of the end of the last period of performance on the contract.
52-217-9 Option to Extend the Term of the Contract (Mar 2000)
(a) The Government may extend the term of this contract by written notice to the Contractor within 3 Days; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 3 Days before the contract expires. The preliminary notice does not commit the Government to an extension.
(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.

(a) The Contractor shall, at its own expense, provide and maintain during the entire performance of this contract, at least the kinds and minimum amounts of insurance required in the Schedule or elsewhere in the contract.
(b) Before commencing work under this contract, the Contractor shall notify the Contracting Officer in writing that the required insurance has been obtained. The policies evidencing required insurance shall contain an endorsement to the effect that any cancellation or any material change adversely affecting the Government’s interest shall not be effective—
(1) For such period as the laws of the State in which this contract is to be performed prescribe; or
(2) Until 30 days after the insurer or the Contractor gives written notice to the Contracting Officer, whichever period is longer.
(c) The Contractor shall insert the substance of this clause, including this paragraph (c), in subcontracts under this contract that require work on a Government installation and shall require subcontractors to provide and maintain the insurance required in the Schedule or elsewhere in the contract. The Contractor shall maintain a copy of all subcontractors’ proofs of required insurance, and shall make copies available to the Contracting Officer upon request.

52.223-2 -- Affirmative Procurement of Biobased Products Under Service And Construction Contracts. (Sep 2013)
(a) In the performance of this contract, the contractor shall make maximum use of biobased products that are United States Department of Agriculture (USDA)-designated items unless—
(1) The product cannot be acquired—
(i) Competitively within a time frame providing for compliance with the contract performance schedule;
(ii) Meeting contract performance requirements; or
(iii) At a reasonable price.
(2) The product is to be used in an application covered by a USDA categorical exemption (see 7 CFR 3201.3(e)). For example, all USDA-designated items are exempt from the preferred procurement requirement for the following:
(i) Spacecraft system and launch support equipment.
(ii) Military equipment, i.e., a product or system designed or procured for combat or combat-related missions.

52.208-9 Contractor Use of Mandatory Sources of Supply Or Services (Oct 2008)
(a) Certain supplies or services to be provided under this contract for use by the Government are required by law to be obtained from nonprofit agencies participating in the program operated by the Committee for Purchase from People Who Are Blind or Severely Disabled (the Committee) under the Javits-Wagner-O’Day Act (41 U.S.C. 48). Additionally, certain of these supplies are available from the Defense Logistics Agency (DLA), the General Services Administration (GSA), or the Department of Veterans Affairs (VA). The Contractor shall obtain mandatory supplies or services to be provided for Government use under this contract from the specific sources indicated in the contract schedule.
(b) The Contractor shall immediately notify the Contracting Officer if a mandatory source is unable to provide the supplies or services by the time required, or if the quality of supplies or services provided by the mandatory source is unsatisfactory. The Contractor shall not purchase the supplies or services from other sources until the Contracting Officer has notified the Contractor that the Committee or an AbilityOne central nonprofit agency has authorized purchase from other sources.

FAR 52.204-3 TAXPAYER IDENTIFICATION (OCT 1998)
(a) Definitions.
"Common parent," as used in this provision, means that corporate entity that owns or controls an affiliated group of corporations that files its Federal income tax returns on a consolidated basis, and of which the offeror is a member.
"Taxpayer Identification Number (TIN)," as used in this provision, means the number required by the Internal Revenue Service (IRS) to be used by the offeror in reporting income tax and other returns. The TIN may be either a Social Security Number or an Employer Identification Number.
(b) All offerors must submit the information required in paragraphs (d) through (f) of this provision to comply with debt collection requirements of 31 U.S.C. 7701(c) and 3325(d), reporting requirements of 26 U.S.C. 6041, , 6041A, and 6050M and implementing regulations issued by the IRS.
