(d) Comptroller General Examination of Record. 52.217-8 Option to Extend Services (Nov 1999)

The Government may require continued performance of any services within the limits and at the rates specified in the contract. These rates may be adjusted only as a result of revisions to prevailing labor rates provided by the Secretary of Labor. The option provision may be exercised more than once, but the total extension of performance hereunder shall not exceed 6 months. The Contracting Officer may exercise the option by written notice to the Contractor within 30 days.

52.217-9 Option to Extend the Term of the Contract (Mar 2000)

(a) The Government may extend the term of this contract by written notice to the

Contractor within 7 Days; provided that the Government gives the Contractor a preliminary written notice of its intent to extend at least 14 Days before the contract expires. The preliminary notice does not commit the Government to an extension.

(b) If the Government exercises this option, the extended contract shall be considered to include this option clause.

(c) The total duration of this contract, including the exercise of any options under this clause, shall not exceed 5 years and 6 months, inclusive of the 6-month extension in accordance with FAR 52.217-8.

52.222-49 Service Contract Labor Standards-Place of Performance: Rhinelander, WI (May

2014)

(a) This contract is subject to the Service Contract Labor Standards statute, and the place of performance was unknown when the solicitation was issued. In addition to places or areas identified in wage determinations, if any, attached to the solicitation, wage determinations have also been requested for the following: Northeastern Wisconsin.

(b) Quoters who intend to perform in a place or area of performance for which a wage determination has not been attached or requested may nevertheless submit bids or proposals.

However, a wage determination shall be requested and incorporated in the resultant contract retroactive to the date of contract award, and there shall be no adjustment in the contract price.

452.204-70 Modification for Contract Closeout (DEVIATION JUL 2022)

Upon contract closeout for contracts utilizing Simplified Acquisition Procedures (SAP) according to FAR 13:

(a) If unobligated funds in the amount of $1000 or less remain on the contract, the

Contracting Officer (CO) shall issue a unilateral modification for deobligation. The contractor will receive a copy of the modification but will not be required to provide a signature. The CO shall immediately proceed with contract closeout upon completion of the period of performance, receipt and acceptance of supplies or services, and final payment.

(b) If unobligated funds of more than $1000 remain on the contract, the CO shall issue a bilateral modification for deobligation. The contractor will receive a copy of the modification and will be required to provide a signature. (The CO may also request a

Release of Claims be completed by the contractor, although not required for contract and orders using SAP procedures.) If the bilateral modification and Release of Claims are not returned to the CO within 60 days, the CO shall release the modification as unilateral and proceed with contract closeout upon completion of the period of performance, receipt and acceptance of supplies or services, and final payment.

The period of performance of this contract is from 05 December 2022 through 30 November

2023, approximately. Four option year periods are also included in this requirement:

Key Personnel

(a) The Contractor shall assign to this contract the following key personnel:

(b) During the first ninety (90) days of performance, the Contractor shall make no substitutions of key personnel unless the substitution is necessitated by illness, death, or termination of employment. The Contractor shall notify the Contracting Officer within 15 calendar days after the occurrence of any of these events and provide the information required by paragraph (c) below. After the initial 90-day period, the Contractor shall submit the information required by paragraph (c) to the Contracting Officer at least 15 days prior to making any permanent substitutions.

(c) The Contractor shall provide a detailed explanation of the circumstances necessitating the proposed substitutions, complete resumes for the proposed substitutes, and any additional information requested by the Contracting Officer. Proposed substitutes should have comparable qualifications to those of the persons being replaced. The Contracting Officer will notify the

Contractor within 15 calendar days after receipt of all required information of the decision on substitutions. The contract will be modified to reflect any approved changes of key personnel.

INVOICING

Invoices will be created and processed via Invoice Processing Platform (IPP). Invoices will be approved for all work completed, inspected, and accepted by the COR.

Payment – The Contractor will submit a monthly invoice through IPP at the end of each service month. Payments shall be made through IPP with approval of invoice on a calendar month (30 days) basis in arrears. Upon receipt of Contractor’s IPP invoice, payments will be made 30 calendar days from the acceptance date in accordance with the Prompt Payment Act.

System for Award Management (SAM) accessed through https://beta.sam.gov. If the

Offeror has not completed the annual representations and certifications electronically, the

Offeror shall complete only paragraphs (c) though (u) of this provision.

(10) Past Performance. If CPARs is not available, please send a list of your references.

The Government will evaluate the following factors:

• Factor I – Technical – Experience/Key Personnel

• Factor II – Past Performance

• Factor III – Price

Factor I – Technical – Experience/Key Personnel. The Technical Acceptability evaluation provides an assessment of the offeror’s capability to satisfy the Government’s requirement.

Offerors must receive an “Acceptable” rating for the Technical Acceptability factor in order to be considered for award.

Rating Description for Technical

• Acceptable Quote clearly meets the minimum requirements of the solicitation.

• Unacceptable Quote does not clearly meet the minimum requirements of the solicitation.

Factor II – Past Performance. Past performance will be evaluated on the basis of the following sub-factors of equal importance:

Subfactor 1 – Recency

Subfactor 2 – Relevance

Recency Assessment. An assessment of the past performance information will be made to determine if it is recent. To be recent, the effort must be ongoing or must have been performed during the past three (3) years from the solicitation issuance date. Recent past performance is defined as not more than 3 years from the RFQ release date; relevant in terms of similar nature of work, size and complexity.

Relevancy Assessment. To be relevant, the effort must be similar in nature of work, size, and complexity. The Government will conduct an in-depth evaluation of all recent performance information obtained to determine if it is the same or similar in nature of work, size, and complexity to the services being procured under this solicitation.

Assigning Rating. The Past Performance Factor will be assigned one of the ratings defined below.

Rating Description for Past Performance

• Acceptable Based on the offeror’s performance record, the Government has a reasonable expectation that the offeror will successfully perform the required effort, or the offeror’s performance record is unknown

• Unacceptable Based on the offeror’s performance record, the Government has no reasonable expectation that the offeror will be able to successfully perform the required effort.

The evaluation team will perform a Factor II Past Performance evaluation on each offeror proposal.

The Government will use past performance information from Government databases such as the

Contractor Performance Assessment Reporting System (CPARS) Database and Contractor

Responsibility Assessment, etc., which is available using the Offerors DUNS number submitted with 52.212-1 Instructions to Offerors. An offer will be determined to be acceptable under Factor

II Past Performance in accordance with the following procedures:

1) The Government will use your past three (3) year’s performance which is derived from

CPARS for that assessment.

2) For the Offeror to receive an acceptable Past Performance Ranking, their CPARS ratings must be equal to or greater than “Satisfactory” in at least half of all proposals evaluated.

3) If the Offeror does not have at least three (3) CPARS records, the Offeror will be required to provide three (3) but no more than five (5) recent and relevant, in magnitude and scope, Past

Performance Questionnaires. The Offeror will be required to have these sent to the Contracting

Officer directly from the organization completing the questionnaire.

4) Offerors without a record of relevant past performance or for whom information on past performance is not available or so sparse that there is no meaningful past performance rating can be reasonably assigned; the offeror may not be evaluated favorably or unfavorably on past performance. Therefore, the offeror shall be determined to have unknown past performance. In the context of acceptability/unacceptability, “unknown” shall be considered “acceptable

5) Price evaluation will be performed on all Offerors Pricing Proposals in accordance with

52.212-1 Instructions to Offerors. Proposals will be ranked from lowest to highest price based on the Total Evaluated Price (TEP). The TEP is the total of the base year and all option years including the option to extend IAW FAR 52.217-8.

6) Reasonableness: Prices are reasonable in comparison to estimates, prior prices paid, and competition and can be supported by suitable estimating techniques. If a price is unreasonably low to realistically perform the work for the proposed price, the offer will be not considered in competitive range and will not be considered for contract award.

7) Options. The Government will evaluate offers for award purposes by adding the total price for all options to the total price for the basic requirement. The Government may determine that an offer is unacceptable if the option prices are significantly unbalanced. Evaluation of options shall not obligate the Government to exercise the option(s).

8) As part of the price evaluation, the Government will evaluate its option to extend services (see

FAR Clause 52.217-8 by adding one half of the quoter's final option period price (base and four option periods). Thus, the quoter’s total price for the purpose of evaluation will include the base year, 1st option and 2nd option period, 3rd option period, 4th option period, and ½ of the 4th option period price.
